Center District AGREEMENT #1994 (Orig 1-4-84) COOPERATION AGREEMENT Mo 3308, 11-2-83 The purpose of this agreement is to set forth the basis upon which the City of Palm Springs (herein referred to as the City) and SENCA or a contemplated joint venture, subsequently to be formalized by SENCA and Doubletree, Inc. (herein referred to as the Developer) will mutually pursue the development of the Convention Center District (herein referred to as the Project) . A. Project In accordance with its submittals of August 12, September 6, September 23, October 19, and October 31, 1983 to the City, the Developer proposes to perform the role of master developer for the Project. This Project will include as a minimum a high quality 500 room hotel , a first phase convention center of approximately 80,000 square feet, parking and landscape improvements. Additionally, the Developer proposes to plan for, and to use its best efforts to implement, a larger project that will include in its ultimate configuration 1,750 high quality hotel rooms, a 175,000 square foot convention center, parking improvements, landscape improvements and land acquisition for a future site of a cultural facility. B. Assistance to be provided by the City 1. Land Acquisition: The City will utilize its best efforts to assist the Developer in land assembly to acquire the appropriate acreage for the Project. This assistance includes, but is not limited to, condemnation authority of the Redevelopment Agency. 2. Financing: a. The City will utilize its best efforts to issue appropriate, properly guaranteed tax exempt financing for both public and private improvements associated with the Project. This assistance includes, but is not limited to, industrial development bonds, certificates of participation, assessment district bonds, or special district bonds. b. The City recognizes that costs for a portion of the public improvements will be borne by the City or the Redevelopment Agency. The exact amount and portion of improvements will be the result of future negotiation between the City and the Developer. 3. Processing: The City will provide staff assistance and organizational support to assure minimum processing time for review of submitted plans to expedite processing and construction. 4. Amenities: Concurrent with the Project implementation, the City will utilize its best efforts to Facilitate construction of a new public golf course responsive to the Project needs. C. Developer Responsibilities 1. Site Planning: The Developer will provide a Master Plan showing the relationship between all the components of the development including first and subsequent stages of hotel development, convention center, landscaping improvements, parking improvements, cultural facility and other related project uses. COOPERATION AGREEMENT Page 2 2. Land Acquisition: The Developer will utilize its best efforts to acquire the appro- priate acreage necessary to facilitate the Project. The land will be a site acceptable to the City. Land acquisition may either be on fee simple or long-term leased property. 3. Feasibility Analysis: The Developer will undertake appropriate feasibility analysis and studies to determine Project risk and how it will proceed with the Project. All feasibility studies will be shared with the City or its assigned agents. 4. Plan Submission: The Developer will prepare plans and specifications for review by the City's various boards, committees, commissions, and Council . These plans shall be consistent with City' s General Plan and Ordi- nance provisions. 5. Shared Uses: The Developer will utilize its best efforts to help reduce costs of the convention center through the use of shared parking, meeting room space, kitchen and banquet facilities, open space and other such means. 6. Assignment: The Developer shall not assign this Agreement or any part thereof without the prior written consent of the City, which consent shall not be unreasonably withheld. D. Mutual Responsibilities 1. Timetable: Both parties hereby tentatively agree to the following timetable: Event Date Preliminary Site Identification December 1, 1983 Site Selection January 1, 1984 Property Optioned February 1, 1984 Feasibility Study Completed March 1, 1984 Development Agreement March 15, 1984 2. Development Agreement: Both parties agree to work toward a development agreement out- lining specific responsibilities, provisions, schedule of events, construction and performance of all parties connected with the development of the Project. 3. Modification: This agreement may be terminated, modified or expanded by supplemental mutual agreement.
