AGREEMENT
between
UNITED STATES OF AMERICA
and
CITY OF PALM SPRINGS
This agreement made by the United States of America, acting by through
the Federal Aviation Administration, as represented by the Manager,
Airports Division, Western-Pacific Region, hereinafter referred to as
"FAA," and the City of Palm Springs hereinafter referred to as "City."
WITNESSETH:
WHEREAS, the city submitted a request by a letter dated March 20, 1989,
a copy of which is attached hereto, and hereby incorporated herein and
made a part of by reference; and
WHEREAS, the city requested the FAA consent on leasing a twenty-acre
parcel, that was acquired with Federal financial assistant, for clear
zone and approach protection purposes of Runway 12; and
WHEREAS, the city is obligated under various grant agreement with the
FAA to expend an amount equal to the proceeds that could or will be
realized from the lease of the said land for improvement of Palm Springs
Regional Airport.
NOW THEREFORE, in consideration of the covenants and agreements contained
herein, FAA and City mutually agree as follows:
Article I
Pursuant to the authority contained in Public Law 100-223 and Part 152
of the Federal Aviation Regulations, FAA shall deliver to City a letter
of consent for long-term leasing of the above mentioned parcel of that
real property covered by the various Grant Agreements in effect at the
Palm Springs Regional Airport for compatible purposes and future
operational use of the airport.
Article ii
City shall expend an amount equal to the net proceeds derived from the
leased real property and otherwise perform in accordance with all the
requirements of the letter of consent, as attached hereto.

Article III
This agreements shall remain in effect until FAA determines that City
has complied with all terms thereof and FAA so informs City.
Article IV
The parties hereto agree that this agreement is personal and does not
run with the land.
