This amendment modifies the repayment schedule for the City of Palm Springs, for the Mid Valley Parkway-Dinah Shore Bridge project. All other provisions in the existing reimbursement agreement, amendment#1, amendment#2, and amendment#3 are considered in force. The CVAG Executive Committee,on December 1,2003,approved the City of Palm Springs'request to reimburse CVAG, a total of$164,744.20 by means of annual payments for the Mid Valley Parkway project improvement. The City of Palm Springs will make annual payments of$10,421.26 beginning July 1,2004,with a final payment due on Julyl,203 gin the amotuit of 10,421.36. The City of Palm Springs, shall pay CVAG any funds received from fature development ofthe properties adj acent to the improved Dinah Shore/Mid Valley Parkway,to reduce the outstanding balance owed by the City ofPalm Springs. No interest will accrue on the outstanding balance. This amendment obligates and authorizes for expenditure, work not previously authorized under the terms of the existing Reimbursement Agreement, executed May 8, 1996, Exhibit "A" -"Scope-of Services" and Exhibit "B"- "Estimate of Cost". With reference to paragraph 5.1 in the original agreement, the City of Palm Springs requested a credit of $1,080,681 be applied as the City's share of the Mid Valley Parkway (west end) within the City's jurisdiction. This credit is based on the City's contribution to the: Regional Arterial Program by constructing Gene Autry Trail and was recognized by CVAG in 1990 as eligible for reimbursement. CVAG has also recorded TUMF iiscrepancies of$93,469.05 for the City of Palm Springs. Therefore, the City's remaining credit to be applied to the City's share of this project is $987,211.95. All other provisions are considered in force. CVAG will advance funds to Lead Agency as follows: Mesquite Avenue from (gene Aub:y Trail to Dinah Shore Drive including Dinah Shore Drive. BridgQTMid- Valley Parkway Phase i - The Capital Improvement Plan has a total of $15,747,000 programmed for improvements to the Mesquite Avenue from (Gene Autry Trail to Dinah Shore Drive including Dinah Shore Drive Bridge, Mid-Valley Parkway Phase I) ("the :Project"). An amount of$3,543,010 was previously obligated and authorized for this project by amendment one; and the original agreement. A request has been made that$12,203,990 be obligated and authorized for expenditure on the Construction phase of the Mesquite Avenue from Gene Autry Trail to Dinah Shore Drive including Dinah Shore Drive Bridge and the intersection of Mesquite Avenue/Gene Autry, Mid-Valley Parkway Phase I project. Reimburse Agr-Mid-Valley Parkway Phase I AGREEMENT #3562 CITY OF PALM SPRINGS - CITY OF CATHEDRAL M05604, 7--19-95 REIMBURSEMENT AGREEMENT "MESQUITE AVENUE FROM GENE AUTRY TRAIL TO DINAH SHORE DRIVE INCLUDING DINAH SHORE DRIVE BRIDGE" "MID-VALLEY PARKWAY PHASE I" THIS AGREEMENT is made and entered into this 8th day of May 19 96, by and between City of Palm Springs ("Lead Agency"), the City of Cathedral City ("Agency"), and the Coachella Valley Association of Governments, a California joint powers agency, ("CVAG"), and is made with reference to the following background facts and circumstances: RECITALS The "Coachella Valley Area Transportation Study", a valley-wide study prepared under the auspices of CVAG, has identified various transportation and highway projects throughout the Coachella Valley to be projects of regional importance; and Approval of a highway financing measure by the voters of Riverside County in November of 1988 has created a source of funds with which to construct such projects; and CVAG and its member agencies have adopted a Transportation Uniform Mitigation Fee ("TUMF"), the proceeds from which are also intended to fund the construction of such regional projects; and CVAG by agreement with its member agencies and with the Riverside County Transportation Commission ("RCTC"), has been designated as the agency through which such funds are to be conveyed and disbursed for the purpose of completing said regional transportation projects; and Under CVAG's customary method of funding eligible projects with member jurisdictions, a jurisdiction pays one-half of the applicable costs (the "Jurisdiction One-Half") and CVAG pays the other one-half(the "CVAG One-Half"). Historically, the CVAG One-Half has been paid after project completion as a reimbursement to the jurisdiction (the "Reimbursement Policy.") However, there now exists a compelling need to fund and construct various eligible projects notwithstanding that some or all of CVAG's member jurisdictions do not now have their 50% of funding in place so that such projects could go forward under the Reimbursement policy. CVAG has determined that as to member jurisdictions that do not participate in the TUMF program, projects will continue to go forward under the existing Reimbursement Policy. As to member jurisdictions that have a TUMF ordinance, CVAG is, under the circumstances provided herein, willing to advance necessary funding to such a jurisdiction of some or all of the Jurisdiction One-Half with the understanding and agreement, embodied herein, that the jurisdiction will pay back and reimburse the Jurisdiction One-Half to CVAG at a future date. Advanced Funding Agreement PS/CC/CVAG Page 1 0 • Lead Agency desires to proceed with a project known as "Mesquite Avenue from Gene Autry Trail to Dinah Shore Drive including Dinah Shore Drive Bridge, Mid-Valley Parkway Phase I, 4-Lane Arterial" (the "Project"). The estimated cost for the design, right-of-way, and construction of the Project is $15,747,000. Lead Agency has a TUMF ordinance and desires to receive advances from CVAG of all or a portion of its Jurisdiction One-Half relating to the Project. CVAG is, under the circumstances provided herein, willing to advance some or all of the Jurisdiction One-Half of Lead Agency with reference to the Project. Agency reserves design approval over the Mid Valley Parkway in those areas in which it passes within Agency's boundaries. Agency funds are not available to pay for the Dinah Shore Bridge over the Whitewater River, or to fund required mitigation measures as identified below, and non-City of Cathedral City funds are to be made available for that purpose. CVAG agrees to accept Right of Way dedication and existing eligible Regional Arterial Contributions as a credit against what would otherwise be Agency's local share of the Dinah Shore Bridge costs. Nothing in this or other sections of this agreement shall be construed as imposing any other financial obligation on Cathedral City in the completion of the Mid Valley Parkway Bridge project or required mitigations as identified below. Appropriate landscaped medians and parkway development, including landscaping, connection of irrigation facilities to existing waterlines along Dinah Shore Drive and masonary noise reduction walls complying with existing policies, shall be included in the Mid Valley Parkway Phase I Project through Agency's boundaries as required mitigation measures for the Project impacts. Such improvements shall be generally as described in Agency's City Council policy adopted by Minute order on June 14, 1995, Minute Order 1518, adopted July 2, 1991, its design guidelines and policies previously established by Resolution 89-94 in July, 1989, and as required by the City Zoning ordinance and General Plan as they now exist for improvements along designated scenic arterial highways and specifically as described in Exhibit A-2 of the attached scope of services. Agency reserves approval over the location and design of noise reduction walls to be constructed as part of this project, and approval of the bridge structure type, guardrail design, abutments, landscaping, and bridge color. The Mid Valley Parkway Final Environmental Report (FEIR) indicated that mitigation measures for the impact of the bridge and for traffic noise shall be in compliance with the bridge review and approval measures and noise standards as identified in the FEIR It is the intent of Lead Agency, Agency and CVAG that this agreement will be amended, either individually or collectively, for the bid process and construction phases, to include a scope of work, cost estimate and if necessary, schedule modifications, for each respective phase. Advanced Funding Agreement PS/CC/CVAG Page 2 Lead Agency agrees to submit only those costs which are eligible under CVAG's policies as outlined in Section IV, "Cost Determination/Expense Eligibility" of CVAG's Policies and Procedures Manual. Real property purchased to secure the necessary Right of Way shall be acquired in the name of either the Lead Agency or Agency, depending upon the jurisdiction in which the property is located. Any property in excess of that. required for Project Right of Way shall be promptly disposed of by the respective jurisdiction in the best interests of the Regional Arterial Program. If in any case a dispute exists between CVAG and the respective jurisdiction as to what property or the extent thereof is excess of that required for Project Right of Way, the sole determination of CVAG's Executive Committee shall control and the jurisdiction shall promptly dispose of that property designated by CVAG as excess. Any funds realized from the sale of excess property shall be returned to CVAG. CVAG shall have the right to approve the sale price of excess property. Language to effectuate these provisions shall be placed in the grant deed of each parcel conveyed to or acquired by the respective jurisdiction. NOW, THEREFORE, in consideration of the mutual covenants and subject to the conditions contained herein, the parties do agree as follows: 1. The program embodied in this agreement for the advance of funds by CVAG shall apply only to those regional arterial projects that have heretofore been identified in the CVAG 1993 proposed updated list of projects. The Project is one of those projects and is therefore eligible. 2. The Project is generally described as and consists of the following: Mesquite Avenue from Gene Autry Trail to Dinah Share Drive including Dinah Shore Drive Bridge, Mid-Valley Parkway Phase i These services will hereinafter be referred to as the "Project". 2.1 The Project may be divided into phases, each of which shall be shown and identified on Exhibits "B-1, B-2" hereto. Said Exhibit shall show the dollar amount of each phase and the total of the amounts for each phase shall equal the total shown in paragraph 4 hereof. 3. The scope of work of the Project is more particularly described in Exhibits "A- 1, A-2", entitled "Scope of Services" - "Mesquite Avenue from Gene Autry Trail to Dinah Shore Drive including Dinah Sltore_Di'ive Rridge, Mid-Valley Parkway Phase i"_ attached hereto and made a part hereof. The cost estimate for the Project is more particularly described in Exhibits "B-1, B-2" - "Estimate of Cost", attached hereto and made a part hereof. The cost estimates include a calculation intended to allow Lead Agency to recover an amount representing the time of its employed staff in working on the Project as well as amount Lead Agency shall pay to outside contractors in connection with the Project. The amount of the Jurisdiction One-Half and the CVAG One-Half shall be calculated by reference to the cost estimates as shown on Exhibits "B-1, B-2" unless amended pursuant to the provisions of Paragraph 8. Exhibit "C" is the "Project Schedule". Advanced Funding Agreement PS/CC/CVAG Page 3 ! • 4. It is the agreement between CVAG and Lead Agency that of the total cost of the Project of$15,747,000, CVAG shall be responsible for $8,368,000 (Exhibit B-2), minus any SB300 funds resulting from Agency's application for S.B 300 funds under the provisions of Paragraph 5.2; Lead Agency shall be responsible for $7,379,000 (Exhibit B-1), except as provided under the provisions of paragraph 5.2.1, pay its Jurisdiction One-Half and CVAG shall pay its CVAG One-Half. However, so that the Project may proceed and notwithstanding the cost sharing specified above, CVAG will advance Lead Agency, from time to time as Project costs are incurred, a total amount equal to either: (i) Lead Agency's Jurisdiction One-Half, or; (ii) one-half of the Lead Agency's Jurisdiction One-Half. Whether the amount to be advanced shall be under sub-paragraph (i) or (ii) above will depend on the provisions of paragraph 5 hereof and its sub-paragraphs. 4.1 It is intended that, in order to expedite this project, CVAG will fully fund Project costs, up to the amounts programmed by the Regional Arterial Program Twenty Year Financial Plan. If the Project is not completed on a timely schedule, as approved by CVAG's Executive Committee, or if all Project wort:has stopped, Lead Agency agrees to reimburse CVAG all advanced funds, including CVAG One-Half and Jurisdiction One-Half, as follows: 4.1.1 If the Project is delayed, as distinguished from being terminated, by circumstances within the control of Lead Agency, Lead Agency shall reimburse CVAG interest on the Lead Agency's share of the total funds theretofore advanced by CVAG at CVAG's cost of borrowing rate. If the Project is terminated by circumstances within the control of Lead Agency, Lead Agency shall reimburse CVAG the Lead Agency's share of the total amount of funds theretofore advanced by CVAG, together with interest thereon at CVAG's cost of borrowing rate. 4.1.2 If the Project is delayed or terminated by circumstances beyond the control of Lead Agency, then Lead Agency shall not be obligated to reimburse CVAG. 4.2 Payments to Lead Agency shall be made upon presentation to CVAG of statements from Lead Agency, certifying by Project its costs, and enclosing therewith copies of contractor's invoices, evidence of payment from previous billing, and such other information and records as may be required by CVAG to verify costs, provided however, that such payments shall be made to Lead Agency no more frequently than monthly. Lead Agency shall submit a Project Status Report to CVAG, monthly, by the first day of each month. The Project Status Report is to be received in the CVAG offices prior to the release of funds. 5. It is the intent of this agreement that the advances by CVAG will be under one or both of the following provisions: 5.1 Future i,andnwneir Reimbursement. CVAG will advance one-half of the Jurisdiction One-Half (25% of total estimated Project cost) provided Lead Agency has in place as of the date of the first advance, to the sole satisfaction of CVAG, a statutorily authorized mechanism, such as a Road and Bridge Benefit District or a developer's reimbursement ordinance, or other legally authorized mechanism, which will ensure to the satisfaction of CVAG that the Lead Agency will be able, over time and provided benefited property is developed, to be in a Advanced Funding Agreement PS/CC/CVAG Page 4 position to assess or chargelRe landowner of land being developed9tth his or her prorata share of the Lead Agency's cost with reference to the Project. Such prorata share is referred to herein as the "Future Development Revenue." 5.1.1 As to advances made pursuant to paragraph 5.1, Lead Agency and CVAG shall keep a record thereof. Lead Agency shall be responsible for monitoring the progress of development in the area benefited by the Project or within which landowners shall otherwise have a future obligation to contribute to the cost of the Project (such as within an assessment district) and Lead Agency shall diligently seek to collect sums due it from such owners as Future Development Revenue. As Future Development Revenue is collected, Lead Agency shall, upon receipt, remit the same to CVAG in partial reimbursement of the one-half advance of the Jurisdiction One-Half and such payments shall continue until the total amount due (25% of the total Project cost) shall have been reimbursed. The risk of a shortfall in this mechanism shall fall upon Lead Agency and should it ever appear that the total amount of the required payment (25% of total Project cost) will never be reimbursed from Future Development Revenue notwithstanding full development of all land affected, Lead Agency will pay the unpaid balance of the one-half of the Lead Agency's share One-Half to CVAG upon the demand of CVAG made in writing to Lead Agency. Collections by Lead Agency of monies from landowners as Future Development Revenue shall, to the extent they are required to be remitted to CVAG pursuant hereto, be deemed to be made to Lead Agency in trust for the account of CVAG and such funds shall not be deemed to become a part of the general funds of;Lead Agency. 5.1.2 Lead Agency shall pay all costs incurred as attorneys' fees in defending the legality of the district, ordinance or other mechanism used by Lead Agency to later collect Project costs from landowners should it be challenged by court action. 5.2 State-Local Transnnrtation Partnership Program CVAG will advance one-half of the Jurisdiction One-Half(25% of total estimated Project cost) provided CVAG is able to determine to its sole satisfaction prior to the first advance that Lead Agency and Agency have applied for and are eligible to receive matching revenues from the State of California with reference to the Project under a program known as the State-Local Transportation Partnership Program established under the provisions of Streets and Highway Code, section 2600 et seq. 5.2.1 As to advances made pursuant to paragraph 5.2, Lead Agency, Agency and CVAG shall keep a record thereof. "Lead Agency" and "Agency" shall be responsible for seeking for, applying for and progress billing for funds under the State-Local Transportation Partnership Program (SB300). As construction billings are presented to CVAG, a deduction will be made for the expected amount of reimbursement to be received from the State of California under the State-Local Transportation Partnership Program (SB300) with reference to the Project. 6. invnicing Procedures: It is the intent of this agreement that payments by CVAG will be under the following provisions: 6.1 Payments to Lead Agency shall be made upon presentation to CVAG of statements from Agency, certifying by Project its costs, and enclosing therewith copies of Advanced Funding Agreement PS/CC/CVAG Page 5 contractor's invoices, evi*e of payment of previous billing, antuch other information and records as may be required by CVAG to verify costs, provided however, that such payments shall be made to Agency no more frequently than monthly. 6.2 CVAG shall reimburse Lead Agency upon presentation to CVAG completed documentation, certifying by ]Project its eligible costs, in accordance with paragraph 6.1. This parallel process payment will guarantee that such disbursements shall be made to Lead Agency in no more than two weeks. 6.3 Prior to any final payment to Lead Agency for Project costs, a final report shall be submitted to CVAG by Lead Agency containing a record of all payments made for said Project and the source of funds of all such payments, together with a record of all change orders, cost over-runs, and other expenses incurred, and final payment will thereafter be paid by CVAG in accordance with its rules and regulations and policies concerning eligible project costs. 7. Amendments to this agreement shall be signed by Lead Agency and CVAG, except for amendments related to Segment No.4 in Exhibit B-2, where signatures shall be made by Agency and CVAG. 8. The parties agree that should unforeseen circumstances arise which result in new work not covered in Exhibits "A-1, A-.2" or an increase of any costs over those shown in Exhibits "B-1, B-2", CVAG will in good faith consider an amendment to this agreement to include any such costs under this agreement so as to provide thereby for further advance to be made on account thereof. The Scope of Work shall be subject to changes, for the purpose of CVAG payment, by additions, deletions, or revisions by agreement between Lead Agency and CVAG if such changes are in accordance with the policies, procedures, and cost determination/expense eligibility criteria adopted by CVAG. 9. Lead Agency agrees to keep all Project contracts and records for a period of not less than three years from the date a notice of completion is filed by the Lead Agency on such Project, or if the Project is not one as to which a notice of completion would normally be recorded, for three years from the date of completion. Lead Agency further agrees that all such files and records will be made available to CVAG upon its reasonable request. 10. It is the intent of the Lead Agency, Agency and CVAG that the Project be represented as being funded by Measure "A"/TUMF funds. All project public notices, news releases, and documents should indicate the Project is being cooperatively developed by the Lead Agency, RCTC, and CVAG using Measure "A"/TUMF funds. Prior to initiation of on-site construction, Lead Agency agrees to provide at least one "Project Sign" to be placed in a safe and visible location near the site of construction so that all travelers passing the location have the opportunity to observe who the agencies are that are providing funds for the construction of the project. Exhibit "D" - "Project Sign", provides a guide for Project Sign format. 11. This agreement is for funding purposes only and nothing herein shall be construed so as to constitute CVAG as a party to the construction or ownership of the Project or to make it as a partner or joint venturer with Lead Agency and/or Agency as to the Project. The Lead Agency shall assume the defense of, indemnify and hold harmless Advanced Funding Agreement PS/CC/CVAG Page 6 CVAG, its member agenctand their respective officers and emcees, and each and every one of them, from and against all actions, damages, claims, losses and expenses of every type and description to which they may be subjected or put, by reason of, or resulting from, the actions or inactions of the Lead Agency taken in the performance of the Agreement or any agreement entered into by Lead Agency with reference to the Project. CVAG shall assume the defense of, indemnify and hold harmless the Lead Agency and/or Agency, its officers, employees, and agents, and each of them, from and against all actions, damages, claims, losses, and expenses of every type and descriptions to which they may be subjected or put, by reason of, or resulting from, the actions of CVAG taken in the performance of the Agreement. 11.1 Lead Agency agrees to include in its contract specifications and bid documents a requirement that all prime contractors shall name CVAG and its member agencies as "also insured" on all liability insurance coverage required by Lead Agency on each contract. Lead Agency will provide a copy of the Insurance Certificate to CVAG, depicting CVAG and its member agencies, within 30 days of signing a contract with the prime contractor. 12. Any dispute concerning a question of fact arising under this contract that is not disposed of by agreement shall first be decided by the CVAG Executive Director or designee, who may consider written or verbal evidence submitted by Lead Agency. This decision shall be issued in writing. However, no action in accordance with this Section shall in any way limit either party's rights and remedies through actions in a Court of Law with appropriate jurisdiction. Neither the pendency of dispute nor its consideration by CVAG will excuse Lead Agency from full and timely performance in accordance with the terns of this contract. 13. Any Agency receiving federal funds must have an approved Disadvantaged Business Enterprise program. All recipients of Federal Highway Administration (FHWA) funds must carry out the provisions of Part 23, title 49 of the Code of Federal Regulations (CFR) which established the Federal Department of Transportation's policy supporting the fullest possible participation of firms owned and controlled by minorities and women in the Department of Transportation programs. 14. This agreement and the exhibits herein contain the entire agreement between the parties, and is intended by the parties to completely state the agreement in full. Any agreement or representation respecting the matters dealt with herein or the duties of any party in relation thereto, not expressly set forth in this agreement, is null and void. 16. If any term, provision, condition, or covenant of this agreement, or the application thereof to any party or circumstance, shall to any extent be held invalid or unenforceable, the remainder of the instrument, or the application of such term, provision, condition or covenant to persons or circumstances other than those as to whom or which it is held invalid or unenforceable, shall not be affected thereby and each term and provision of this agreement shall be valid and enforceable to the fullest extent permitted by law. In the A, t either party hereto brings an action orkeeding for a declaration of the rights of the parties, for injunctive relief, for an alleged breach or default, or any other actions arising out of this agreement, or the transactions contemplated hereby, the prevailing party in any such action shall be entitled to an award of actual attorneys' fees and costs incurred in such action or proceeding, without regard to any rule of court or schedule of such fees maintained by the court, in addition to any other damages or relief awarded, regardless of whether such action proceeds to final judgment. 18. This agreement may be executed in one or more counterparts and when a counterpart shall have been signed by each party hereto, each shall be deemed an original, but all of which constitute one and the same instrument. Advanced Fundmg Agreement PS/CC/CVAG Page 12 0 0 EXHIBIT A-2 SCOPE OF SERVICES (CONTINUED) SIDEWALKS/BICYCLE PATHS: The development of Phase I of the MVP shall include a sidewalk and bicycle path crossing of the Whitewater bridge. The sidewalk and bike path shall also be extended to continue through both the east and west bridge approaches in Cathedral City and Palm Springs respectively. STREET TREES/PARKWAY LANDSCAPING: The development of Phase I of the MVP shall include parkway landscaping along the entire length of the route through Cathedral City including the new bridge approach. Irrigation and electrical necessary to serve the landscaped parkways shall be extended where possible from adjacent property. The street tree to be used for Dinah Shore Drive is the Australian Willow, to be spaced 40 foot on center. This tree shall be installed at 24" box size with proper staking, root barrier, and bubbler type irrigation head within a deep root irrigation tube. Flowering ground cover shall be used within the planting beds along with compacted decomposed granite at a 3 inch depth. Climbing bougainvillaea or other climbing plant material (espaliered) shall be used against walls to discourage graffiti vandalism. NOISE REDUCTION WALLS: The development of Phase I of the MVP shall include construction of decorative walls in areas identified on the attached exhibits. The design and materials of the wall shall be reviewed and approved by the City. The height of the walls shall be a maximum of 6 feet. RAISED MEDIAN LANDSCAPING: The development of Phase I of the MVP shall include 14 foot wide raised, landscaped traffic medians along the entire length of the route through Cathedral City. Breaks in the median island are shown on the attached exhibit schematically. Final location shall be determined by the City. Each turning pocket length should be an approximate 150'. Each section of the median island shall be provided with irrigation and electrical service including proper meters. Landscaping is to consist of Sweet Acacia trees spaced every 80 feet and interspersed with clusters of Mexican fan palms. Ground cover, cactus and shrubs shall be used that are of low maintenance drought tolerant variety yet provide a lush, quality appearance. The planting bed shall be filled with compacted decomposed granite (Palm Springs Gold fines at 3" depth). DRAINAGE: Dinah Shore has two significant dips,which should be removed, as they will impede traffic flow and prevent construction of the raised medians. One is a large concrete cross gutter at Sky Blue Water. This should be replaced with a system of catch basins and connection pipes tying into the existing drain on the south side. The second location is east of Wishing Well Trail (between Cathedral Canyon and Date Palm Drive). This is a much more abrupt and severe dip. The existing pavement profile will have to be altered to remove this dip, as there is no underground facility for connection or expansion. BRIDGE ENTRY ENHANCEMENT: Landscaping and entry monumentation shall be incorporated into the abutment area of bridge approach. STREET IMPROVEMENTS: The development of Phase I of the MVP shall include paving, curb and gutter improvements on Dinah Shore Drive (separate from the bridge or its approaches), within existing street rights-of-way, only as necessary to complete required parkway landscape mitigation improvements.
