HomeMy WebLinkAboutA3569 - CITY OF COACHELLA POLICE DISPATCH City of Coachella • • Dispatch Services AGREEMENT #3569 AGREEMENT FOR DISPATCH SERVI, M05612, 8-2-95 THIS IS AN AGREEMENT by and between the CITY OF COACHELLA, a Municipal Corporation ("COACHELLA") and the CITY OF PALM SPRINGS, a Municipal Corporation ("PALM SPRINGS'). WHEREAS, COACHELLA needs to expand its dispatch services and acquire additional dispatch equipment in order to service the needs of its residents for police and fire services; and WHEREAS, PALM SPRINGS has the capability, both in personnel and equipment, to provide dispatch services to accommodate the needs of the City of Coachella; and WHEREAS, COACHELLA and PALM SPRINGS desire to enter into an agreement whereby PALM SPRINGS will provide dispatch services to COACHELLA to respond adequately to the needs of its residents. NOW, THEREFORE, COACHELLA and PALM SPRINGS hereby agree as follows: 1. Services Provided By Palm Springs. PALM SPRINGS shall provide the following dispatch services to COACHELLA: A. Receive all police or emergency related calls originating within the territorial limits of the City, of Coachella or concerning any person or event within the territorial limits of the City of Coachella. B. Ascertain the purpose of each call and determine the response which is appropriate or necessary including the dispatch of police, fire, medical or other service units reasonably necessary to respond to the call. C. Dispatch, as appropriate and necessary, police, fire, medical or other unit or units to the location of the call, or to the person or event in need of the service for which the call was initiated. 1 Coachella Palm Springs Agreement for Dispatch Services Document 921v1 D. Hire, train, supervise and maintain dispatchers capable of responding to all calls originating in, or concerning persons and events within the territorial limits of the City of Coachella including dispatchers fluent in the Spanish language. E. Arrange for and maintain equipment and services sufficient to respond to the Spanish language needs of the residents of COACHELLA such as, but not limited to, the AT&T language line on a 24-hour basis in those situations when a Spanish fluent dispatcher is not available to receive and/or respond to a Spanish-speaking person. F. Acquire and maintain any and all equipment necessary to provide the services described herein. G. Comply with the requirements of the State of California regarding the CLETS system and its usage. H. Require its personnel assigned to providing the services described herein to become knowledgeable in the street system of the City of Coachella, to learn the names of the employees of the Coachella Police Department and Coachella Fire Protection District, and to become proficient in the operational procedures of the Coachella Police Department and the Coachella Fire Protection District related to the services described herein. I. The services to be provided hereunder shall encompass those duties and functions customarily rendered by a police department in the State of California. Such services shall include dispatching the various police units of the COACHELLA or the fire units of the Coachella Fire Protection District with all available information and directions including data checks with computer systems such as DIMES and CLETS, and recording the information from the various calls and units as they are relayed through the Palm Springs Dispatch Center. 2. Joint Duties. COACHELLA and PALM SPRINGS shall cooperate to accomplish the following objectives required by this agreement: 2 Coachella Palm Springs Agreement for Dispatch Services Document 921v1 A. Determine the most feasible and cost effective method to modify the radio systems of COACHELLA and PALM SPRINGS so as to provide effective dispatch services to COACHELLA from the Palm Springs Dispatch Center. B. Prepare common dispatch codes, unit designations and standard dispatch operating procedures to implement the services to be provided by PALM SPRINGS under this agreement. C. Review, no less frequently than annually, the staffing, training, procedures and equipment so as to provide the highest level of service required,by PALM SPRINGS under this agreement. D. Develop a plan for comprehensive training for all dispatchers responsible for dispatch operations under this agreement which shall require them to know the streets and street system of the COACHELLA, to know the operational methods and tactics of the Coachella Police Department and the Coachella Fire Protection District and to ride with members of the Coachella Police Department and Fire Protection District. E. Develop a plan for the comprehensive training at the Palm Springs Dispatch Center to require COACHELLA'S police supervisors to achieve familiarity with the dispatch system operated by PALM SPRINGS. 3. PALM SPRINGS Personnel. Except as provided herein, PALM SPRINGS shall be responsible for the recruitment, hiring, training and supervision of all personnel utilized to provide the services required to be rendered by PALM SPRINGS under this agreement. Notwithstanding the foregoing, PALM SPRINGS agrees as follows: A. To hire COACHELLA's current dispatch personnel consisting of four (4) persons as dispatchers of PALM SPRINGS on a full-time basis. All four (4) COACHELLA employees shall be compensated according to the commensurate PALM SPRINGS salary and benefit classification provided that said COACHELLA employees shall be paid no less in salary and benefits then received from COACHELLA at the time they are hired by PALM SPRINGS. Thereafter the level of salary and benefits shall be Coachella Palm Springs Agreement for Dispatch Services Document 921v1 established and modified in the same manner as other PALM SPRINGS city employees subject to all PALM SPRINGS rules and regulations. B. PALM SPRINGS shall classify said COACHELLA employees according to their current experience, training and seniority with the COACHELLA provided that said employees may be required to serve a probationary period not to exceed six (6) months as determined by the PALMS SPRINGS Chief of Police. 4. Payment By Coachella. COACHELLA shall pay the following amounts to PALM SPRINGS: A. A personnel cost in the annualized sum of $123, 497.00 or the actual salary and benefits paid by PALM SPRINGS to three (3), not four (4), COACHELLA dispatchers hired by PALM SPRINGS, whichever is greater. It is contemplated that this personnel cost shall increase as the actual salary and benefits paid by PALM SPRINGS to its dispatchers increase. B. An annual service fee for each of the five years under this agreement in the following amounts: 1 . August 1, 1995 to June 30, 1996: $ 0. 2. July 1 , 1996 through June 30, 1997: $10,000. 3. July 1, 1997 through June 30, 1998: $15,000. 4. July 1, 1998 through June 30, 1999: $15,000. 5. July 1 , 1999 through June 30, 2000: $20,000. C. The annual percentage costs and the annual service fee shall be paid in equal monthly installments on the last day of each month commencing August 31, 1995, and continuing thereafter until this agreement has expired or terminated as provided herein. D. Coachella shall pay all expenses associated with modifying the radio systems of COACHELLA and PALM SPRINGS necessary to provide the services described herein. 4 Coachella Palm Springs Agreement for Dispatch Services Document 921v1 i • 5. Term of Agreement. A. This agreement shall commence on August 1 , 1995 and continue until June 30, 2000. B. This agreement shall be extended for a second five-year term from July 1 , 2000 to June 30, 2002 under the same terms and conditions contained herein unless either party gives written notice of its intention to terminate the second five-year term on or before April 1 , 2000. In the event that this agreement is extended for a second five-year term, the annual service fee shall remain at $20,000. C. Notwithstanding the foregoing, either party may terminate this agreement as of June 30th of any even numbered year provided that the party seeking to terminate the agreement gives written notice thereof not less than six (6) months prior thereto. 6. Indemnity. A. PALM SPRINGS agrees to defend and indemnity COACHELLA, its officers, employees or agents against any and all claims, costs, expenses, liability and loss due to any injury or damage to any person, persons or property resulting from any act, error or omission which arises from the services rendered or required to be rendered under this agreement by PALM SPRINGS provided that PALMS SPRINGS shall not be required to defend or indemnify COACHELLA for any negligent act of its officers, employees or agents. B. COACHELLA agrees to defend and indemnity PALM SPRINGS its officers employees or agents against any and all claims, costs expenses liability and loss due to any injury or damage to any person, persons or property resulting from any act error or omission which arises from the services rendered or required to be rendered under this agreement by COACHELLA provided that COACHELLA shall not be required to defend or indemnify PALM SPRINGS for any negligent act of its officers employees or agents 5 Coachella Palm Springs Agreement for Dispatch Services Document 921v1 7. General Conditions And Provisions. A. Notices. All notices under this Agreement shall be in writing and shall be delivered by personal service or by certified or registered mail, postage prepaid, return receipt requested, of the parties. Any written notice to any of the parties required or permitted hereunder shall be deemed to have been duly given on the date of service if served personally or if served by facsimile transmission (with confirmation of receipt), or seventy-two (72) hours after the mailing. Rejection or other refusal to accept or the inability to deliver because of changed address of which no notice was given as provided hereunder shall be deemed to be receipt of the notice, demand or request sent. Notices of the parties shall be addressed as follows: To COACHELLA : Chief of Police 1515 Sixth Street Coachella, CA 92236 To PALM SPRINGS: Chief of Police P.O. Box 1830 Palm Springs, CA 92263 By giving the other party at least thirty (30) days' written notice thereof, the parties hereto shall be deemed to have changed their respective addresses. B. Governing Law. This Agreement shall be governed by, construed in accordance with, and interpreted under the laws of the State of California and shall be deemed to have been entered into in Coachella, California for purposes of venue no matter where actually executed. C. Severability. If any provision of this Agreement shall be determined to be contrary to law or unenforceable, the remaining provisions shall be severable, valid and enforceable in accordance with the remaining valid terms. 6 Coachella Palm Springs Agreement for Dispatch Services Document 921v1 D. Entire Agreement. This Agreement constitutes the entire agreement between the parties. E. Amendments. No modifications or additions to the Agreement shall be valid unless the same shall be in writing, signed by all parties hereto and made in accordance with the provisions of this Agreement. F. Miscellaneous. The agreements contained herein shall not be construed in favor of or against either party but shall be construed as if all parties prepared this Agreement:. G.. Further Documents and Actions. The parties-shall deliver such other documents or take such other actions as any other party may reasonably request in connection with the consummation of or evidencing the transactions contemplated in this Agreement. H. Counterparts. This Agreement may be executed in multiple identical counterparts, each of which shall be deemed an original, but all of which together will constitute one and the same instrument. IN WITNESS WHEREOF, the parties have executed this Agreement on July 19, 1995.
