THIS AGREEMENT is made and entered into this�day of Lit,/ , 1997, by and
between City of Palm Springs ("Agency"), and the Coachella all ' Association of
Governments, a California joint powers agency, ("CVAG").
1. Agency desires to proceed with a project known as the "Whitewater River Crossings
Feasibility Studv" (the "Project"). The estimated cost of the Project is $90,000, Under
CVAG's customary method of funding eligible projects with member jurisdictions, a jurisdiction
pays one-half of the applicable costs (the "Jurisdiction One-Half") and CVAG pays the other
one-half(the "CVAG One-Half'). Agency has a TUMF ordinance, the proceeds from which are
also intended to fund the construction of such regional projects. Agency desires to receive
advances from CVAG of all or a portion of its Jurisdiction One-Half relating to the Project.
CVAG is, under the circumstances provided herein, willing to advance some or all of the
Jurisdiction One-Half of Agency with reference to the Project.
2. The scope of work of the Project is more particularly described in Exhibit "A",
entitled ".Scope of Services - "Whitewater River Crossings Feasibility Study", attached hereto
and made a part hereof. The cost estimate for the Project is more particularly described in
Exhibit "B" - "Estimate of Cost", attached hereto and made a part hereof. The cost estimates
include a calculation intended to allow Agency to recover an amount representing the time of its
employed staff in working on the Project as well as amounts Agency shall pay to outside
contractors in connection with the Project. The amount of the Jurisdiction One-Half and the
CVAG One-Half shall be calculated by reference to the cost estimates as shown on Exhibit "B".
Exhibit "C" is the "Project Schedule".
3. It is the agreement between CVAG and Agency that CVAG shall advance the total cost
of the feasibility study for the Project of up to_$90,000• CVAG and Agency shall enter into an
agreement in the future relating to the construction of the three Whitewater River Crossings.
Agency shall repay CVAG its Jurisdiction One-Half prior to the completion of construction of the
first Whitewater River crossing to be constructed. If the construction of the three Whitewater
River Crossings does not proceed within a reasonable time in the future, the Agency shall repay
CVAG the Jurisdiction One-Half of all sums advanced by CVAG for this Project.
4. Agency agrees to submit and CVAG shall pay only those costs which are eligible under
CVAG's policies as outlined in the "Cost Determination/Expense Eligibility" of CVAG's Policies
and Procedures Manual.
5. Prior to any final payment to Agency by CVAG, a final report shall be submitted to
CVAG by Agency containing a record of all payments made for said Project and the source of
funds of all such payments, together with a record of all change orders, cost over-runs, and other
expenses incurred, and final payment will thereafter be paid by CVAG in accordance with its rules
and regulations and policies concerning Project Cost Determination and Expense Eligibility.

6. All notices or other communications required or permitted hereunder shall be in writing
and shall be either personally delivered (which shall include delivery by means of professional
overnight courier service which confirms receipt in writing (such as Federal Express or UPS)),
sent by telecopier or telefacsimile ("FAX") machine capable of confirming transmission and
receipt, or sent by certified or registered mail, return receipt requested, postage prepaid to the
following parties at the following addresses or numbers:

7. This agreement may be: executed in one or more counterparts and when a
counterpart shall have been signed by each party hereto, each shall be deemed an original, but all
of which constitute one and the same instrument.

EXHIBIT A
SCOPE OF SERVICES
"WHITEWATER RIVER CROSSINGS FEASIBILITY STUDY"
Prepare preliminary floodplain hydraulic analysis to determine appropriate facility sizing for three
levels of flood protection. Prepare preliminary evaluation of the vertical and horizontal roadway
alignments corresponding to the various level of service and facility requirements.
Perform preliminary structural engineering analysis of the hydraulic structures associated with the
road crossing alternatives including refined construction cost evaluation and construction constraint
identification. Perform feasibility evaluation to compare potential alternatives, including
preliminary capital costs, and select the recommended facility for each project location.
Develop a prioritization analysis of the recommended alternatives and relative ranking among the
proposed projects. Prepare evaluation of the potential public or municipal funding sources
available for this project.
Prepare a Final Project Feasibility Report which presents and summarizes the information,
procedures, results, and recommendations of the feasibility evaluation, for initial review by
Agency and CVAG Staff.
City of Palm Springs (Lead Age_nry� ject Oversight - Includes monitoring and control of the
entire project. Required activities include contract administration, schedule and cost control,
quality assurance of design, and financial administration. Additional requirements include
analyze and provide recommendations regarding extra work orders and contract disputes; oversee
the satisfactory completion of all contract work and recommend final acceptance of and payment
for the completion of the study. Coordinate billings and seek reimbursement from all agencies
providing funding for this project.
