HomeMy WebLinkAbout00001C - URBAN ECONOMICS LARRY SMITH DOWNTOWN IMPROVEMENT i AGREEMENT NO. 1 13ETW]EEN THE COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF PALM SPRINGS, CALIFORNIA, AND URBAN PROJECTS, INCORPORATED, IN ASSOCIATION WITH THE URBAN ECONOMI"'- - - -_ - -- - AND COMPANY INCORPOR1 Urban Economics Div of Larry Smith & Co. , Inc. - economics of --------- dwAtwn impr program AGREEMENT #1 (original 9-25-72) Res #003, 9-25-72 WHEREAS the Community Redevelopment Agency of the City of Palm Springs desires to undertake a community in)_proves- ent program directed toward up- grading and/or better utilizing major portions of downtown Palm Springs; and WHEREAS the Community Redevelopment Agency of the City of Palm Springs desires to retain the services of a consultant to provide redevelopment and economic consulting services; and WHEREAS Urban Projects, Incorporated, in association with the Urban Economics Division of Larry Smith and Company, incorporated, has agreed to undertake the work proposed. NOW THEREFORE this Agreement is entered into with Urban Projects, Incorporated, in association with the Urban Economics Division of Larry Smith and Company, Incorporated, (hereinafter referred to as Redevelop- ment Consultant) and the Community Redevelopment Agency of the City of Palm Springs (hereinafter called Redevelopment Agency). The parties here- by do mutually agree as follows: I. WORK TO BE PERFORMED BY REDEVELOPMENT CONSULTANT The Redevelopment Consultant hereby agrees to perform the following: A. To provide general consulting services at the request of the Redevelopment Agency on the redevelopment process, in conjunction with legal counsel, to insure that the proper pro- cedural and other steps are taken to meet the requisites of a workable, financeable program, B. To direct and/or coordinate the activities and/or input of other consultants, in conjunction with Redevelopment Agency staff, in the formulation and implementation of a community improvement (redevelopment) program including the public sector financing aspects of said program, C. To assist and/or work with legal counsel in the identification and verification of the blight conditions and insure that the final project plan of said program proposes to cure those conditions, D. To prepare specific economic and financial analysis as directed by the Redevelopment Agency and as needed during the process leading to the adoption of a project plan and, in particular, the financial analysis required as a basis for the municipal financing (bond) prospectus. E. To assist in a step-by-step program designed to culminate in a mun'icA.pal financing cram in deadline. time to meet a March 1, 1973, _- _ Agreement No. 1 Page 2 II. WORK TO BE PERFORMED BY THE REDEVELOPMENT AGENCY A. Furnish necessary Redevelopment Agency staff personnel to con- sult with the Redevelopment Consultant during the term of this agreement. B. Provide clerical assistance and printing facilities as required by the Redevelopment Consultant. C. Provide traffic engineering studies and design work necessary in the formulation of a project plan. IIL TIME SCHEDULE It is agreed that time is of the greatest importance in the completion of a project plan for the downtown area. In recognition of this, the Redevelopment Consultant shall complete his work and deliver it to the City before March 1, 1973. IV. MEETINGS It is understood that it is very important to the success of this project that meetings be held with the Downtown Property Owners Association and various community groups to obtain citizen input and community- wide support. The Redevelopment Agency shall schedule such meetings and the Redevelopment Consultant shall be available for participation in said meetings. V. It is understood that Urban Projects, Incorporated, intends to subcontract a portion of the work to be performed to Urban Economics Division of Larry Smith and Company, Incorporated, and utilize the services of Mr. A. Jerry Keyser or such other party as is acceptable to the Re- development Agency, in the performance of that work. VI. PAYMENTS It is agreed that payment for work under this agreement shall be made by the Redevelopment Agency on a monthly basis after receipt of an in- voice for services rendered by the Redevelopment Consultant. Services shall be provided on the basis of fifty dollars ($50. 00) per hour for William Bryant and Jerry Keyser, principals and rates to be provided in a schedule for other support staff plus normal reimbursable expenses. Invoices accompanied by supporting documentation shall be submitted with a written statement of services performed on a monthly basis. It is agreed that the maximum payment for all services under this con- tract shall be twenty-five thousand dollars ($25, 000. 00). VIL CANCELLATION It is agreed that the Redevelopment Agency shall have the right to cancel this agreement on a thirty (30) day notice.
