EXECUTIVE DIRECTOR—AIRPORTS PHASE II CONVENTION CENTER EXPANSION — CITY REPRESENTATIVE SERVICES CONTRACT AMENDMENT#1 RECOMMENDATION: It is recommended that City Council approve Amendment No. 1 to Agreement No. A4597 with Michael E. Fontana & Associates for City Representative Consulting Services related to the Phase II Convention Center Expansion Project. SUMMARY: This action would amend the current Agreement with Mike Fontana for City Representative Services to include the Phase II Convention Center Project. BACKGROUND: Mike Fontana is currently under contract to provide City Representative Consulting Services on the Phase I Convention Center Project. That project will soon be finished and the second phase project will soon be underway. The attached Amendment No- 1 to Mr. Fontana's current Agreement would add the Phase II Convention Center Design Coordination period and Construction Project through closeout. The design of the Phase 11 Project is well underway and Mr. Fontana has been sitting in on coordination meetings without additional compensation. It is important for a smooth transition through design/bid/construction and Mr. Fontana's efforts help to ensure that. The proposed Amendment would retain Mr. Fontana's services on an hourly basis from the end of Phase I until the bid solicitation begins in November 2003 on Phase 11. At that point the contract shifts to a flat monthly fee (same as the current fee of$11,500/mo)forthe duration of construction through project closeout- Thetotal not-to-exceed contract amount is $244,600. The funds for the contract would come from the bond issue yet to be sold on the project. The cost has been previously factored into the overall project cost projections. ALLEN F. A4597- CONVENTION CENTER CITY REPRESENTATIVE SERVICES THIS FIRST AMENDMENT to Agreement No. A4597 for contract services, (herein "Agreement") made and entered into on the day of 2003, by and between the CITY OF PALM SPRINGS (herein "City") and MICHAEL E. FONTANA & ASSOCIATES (herein"Consultant") is hereby amended effective July 1, 2003, as follows: Section 1. 2.0 Compensation is hereby amended by adding the following: "For services rendered in conjunction with the Phase II Convention Center Expansion project, Consultant shall be compensated in accordance with the "Schedule of Compensation & Performance" attached hereto as Exhibit "B" and integrated herein by this reference,but not exceeding die maximum contract amount of Two Hundred Forty Four Thousand Six Hundred Dollars ($244,600)." Section 2. 5.0 Term is hereby amended by adding the following: "Unless earlier terminated in accordance with Section 5.2 below,this Agreement for services rendered in conjunction with Phase II Convention Center Expansion Project shall be for a term of twenty-one(21)months.from the effective date of Amendment 41. Such term may be extended upon the mutual written consent of the parties hereto." Section 3. Exhibit "A" Scope of Services is hereby amended by adding the following replacement opening sentence:"Consultant shall provide consulting services to City during the development of Phase I Convention Center Remodel and Kitchen Addition and the Phase iI Convention Center Design and Expansion project in accordance with the Agreement and the following terms and conditions_" Section 4. Exhibit"B"Schedule oCCo=ensation is hereby amended by adding the following: "Phase II convention Center EUansion" A. Design Phase: Consultant shall be compensated at $115/hour on an as needed basis during the months of July, August, September and October 2003 up to a maximum of$27,600, B. Bid/Construction/CloseoutPhase: Consultant shall workamininhum of 120 hours per month and be compensated $11,500 per month in an amount not to exceed $207,000 conunencing on November 1, 2003 and continuing for 18 months. �4a- C. Incidentals: Consultant shall be reimbursed for out-of-pocket expenses approved in advance by the Contract Officer and substantiated by receipts, and for mileage at the approved IRS rate for mileage driven out of the area, if any, in the performance of this Agreement but in no event to and from Consultant's place of business up to a maximum of$10,000. Consultant sball provide one copy of each report; the cost of additional copies and any printing and/or reprographics shall be reimbursed at cost to Consultant upon presentation of receipts therefor. Consultant shall be paid monthly in accordance with the City's nonnal warrant procedures, within 30 days after receipt of an invoice documenting the services performed. The invoice shall be in the form approved by the City's Finance Director. MINUTE ORDER NO. APPROVING AMENDMENT #1 TO AGREEMENT A4597 WITH MICHAEL E. I HEREBY CERTIFY that this Minute Order, approving Amendment #1 to Agreement A4597 with Michael E. Fontana and Associates for City Representative Consulting Services related to the Phase 11 Convention Center Expansion Project, was adopted by the City Council of the City of Palm Springs, California, in a meeting thereof held on the 41" day of June 2003.
