SECOND AMENDMENT TO CONTRACT SERVICES AGREEMENT #A443C WITH
ROSENOW SPEVACEK GROUP, INC. FOR CONSULTING SERVICES FOR
REDEVELOPMENT PLAN EMINENT DOMAIN AMENDMENTS
RECOMMENDATION:
It is recommended that the Agency approve a second amendment to a contract
services agreement with Rosenow Spevacek Group, Inc. extending the
agreement for one additional year.
SUMMARY:
The Agency approved a contract services agreement with Rosenow Spevacek
Group in May 2002 to provide redevelopment plan consulting services for the
reestablishment of eminent domain authority in the Agency's two merged
redevelopment plan areas. The original contract amount of $95,700 was
increased 5% to $100,485 by the Agency's Executive Director in August 2002 to
reflect increased services required to produce an amended and restated plan for
each of the two merged areas. The original contract term of one year, even if
extended 180 days by the Agency Executive Director as allowed under the
original contract, is insufficient to conclude the amendment process for the
Tahquitz-Andreas Area of Merged Area No. 2 due to the need to establish a
Project Area Committee. The extension of the original contract term by one full
year, resulting in an amended contract term of two years, will provide sufficient
time for the required PAC activities and the consultant's continued role during
this time.
BACKGROUND:
The Agency approved a contract service agreement with Rosenow Spevacek
Group ("RSG") in May 2002 to provide redevelopment plan consulting services
for the reestablishment of eminent domain authority in each of the Agency's ten
original redevelopment project areas. These ten areas were merged into two
redevelopment project areas in May 2000.
The original amount of the RSG contract was $95,700 with a contract term of one
year. Under authority granted by the original contract, the Agency's Executive
Director, as Contract Officer, increased the contract amount by 5% to $100,485
in August 2002 to reflect increased services required to produce an amended
and restated plan for each of the two merged areas as part of the eminent
domain amendment process. A total of $71,000 has been paid to the consultant
so far under the contract and it is not anticipated that any further increases in the
contract amount will be needed.
An extended period of time is required to complete the amendment process for
the Tahquitz-Andreas Constituent Area of Merged Project No. 2 due to the
required establishment of a Project Area Committee ("PAC") to consider the
amendment and formulate a recommendation to the Agency and City Council in
this regard. A similar effort for all other portions of Project Areas No. 1 and 2 was

completed in February of this year but did not require the formation of a PAC due
to the exclusion of residential properties from eminent domain authority in those
areas.
The original contract authorized the Agency's Executive Director, as Contract
Officer, to extend the time to perform the services under the original contract by
no more than 180 days. To provide sufficient time for the required PAC activities,
and the consultant's continued role during this time, it is necessary to extend the
current contract beyond the 180-day time extension provided for in the original
contract. The extension of the original term by one year to May 2004, or a total
contract term of two years, will provide sufficient time to complete the PAC
discussion and the final amendment process for the Tahquitz-Andreas Area.

FOR REDEVELOPMENT PLAN EMINENT DOMAIN AMENDMENTS
THIS SECOND AMENDMENT TO CONTRACT SERVICES AGREEMENT
#A443C ("Second Amendment') is entered into this _day of 2003 (the
"Effective Date") by and between the COMMUNITY REDEVELOPMENT AGENCY OF
THE CITY OF PALM SPRINGS, CALIFORNIA, a municipal corporation ("Agency') and
ROSENOW SPEVACEK GROUP, INC. ("Contractor").
RECITALS
A. On May 15, 2002, Agency and Contractor entered into that certain
Contract Services Agreement #A443C ("Original Agreement') pursuant to which
Contractor agreed to provide consulting services for the preparation of redevelopment
plan amendments and related CEQA documents.
B. Agency and Contractor expanded the scope of work and increased the
Contract Sum from $95,700.00 to $100,450.00 by execution of the first amendment,
which was entitled "Addendum to Consultant Services Scope of Work" dated August 12,
2002.
C. Agency and Contractor desire to amend the terms of the Original
Agreement as more particularly described herein.
NOW, THEREFORE, the parties hereto agree as follows:
1. Section 3.4 of the Original Agreement entitled "Term" shall be deleted and
replaced with the following:
3.4 Term. Unless earlier terminated in accordance with Section 7.8 of this
Agreement, this Agreement shall continue in full force and effect until completion of the
services but not exceeding two (2) years from the date hereof, except as otherwise
provided in the Schedule of Performance.
2. Full Force and Effect. Except as expressly stated herein, all other terms of the
Original Agreement shall remain in full force and effect.
IN WITNESS HEREOF the Agency and Contractor have executed this Second
Amendment as of the date first written above.

OF THE COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF
PALM SPRINGS, CALIFORNIA APPROVING A SECOND AMENDMENT
TO CONTRACT SERVICES AGREEMENT #A443C WITH ROSENOW
SPEVACEK GROUP, INC., EXTENDING THE AGREEMENT FOR A
PERIOD OF ONE ADDITIONAL YEAR
WHEREAS, on May 15, 2002 the Community Redevelopment Agency of the City
of Palm Springs, California approved a Contract Services Agreement with Rosenow
Spevacek Group, Inc. for a term of one year in the amount of$95,700 for the preparation
of redevelopment plan amendments and related CEQA documents; and
WHEREAS, under provisions of the original contract, the Agency's Executive
Director, as Contract Officer, increased the total contract amount by five (5) percent to
$100,485 to reflect additional services required to produce an amended and restated
plan for each of the two merged areas as part of the eminent domain amendment
process covered by the contract; and
WHEREAS, the Agency desires to extend the original contract term an additional
year to provide sufficient time to complete the entire amendment process including
activities related to the required establishment of a Project Area Committee to consider
the amendment for the Tahquitz-Andreas Constituent Area of Merged Area No. 2.
NOW, THEREFORE, BE IT RESOLVED by the Community Redevelopment Agency of
the City of Palm Springs, California that the second amendment to Contract Services
Agreement #A443C with Rosenow Spevacek Group, Inc. extending the term of the
Agreement by one year, to two years total, is hereby approved.
