WITNESSETH WHEREAS, THE ANGELS is a member, in good standing, of the American League of Professional Baseball Clubs and owns the franchise of said League located in Anaheim, California, and WHEREAS, THE ANGELS desires to conduct its Spring Training program in Palm Springs, California, and WHEREAS, THE CITY will provide suitable facilities for the conduct of the Spring Training program of THE ANGELS, NOW, THEREFORE, for an in consideration of the mutual promises and covenants herein, the parties hereto mutal£y agree as follows: A. OBLIGATIONS OF THE CITY: 1. The CITY shall make available to THE. ANGELS the complete facilities of the CITY baseball stadium, known as Angels Stadium, including the auxiliary field, during the Spring Training season. 2. The CITY shall pay for all utilities used by THE ANGELS except telephone service and shall be responsible for normal maintenance and repair of buildings and structures, fences and paving. 3. The CITY will be responsible for assisting THE ANGELS in recruiting grounds maintenance personnel to work as needed during Spring Training and the California ANGELS will be responsible for the payment and supervision of these personnel. In the event THE ANGELS are not able to recruit grounds maintenance personnel, CITY shall provide necessary grounds maintenance; THE ANGELS shall reimburse CITY for CITY-incurred cost. The CITY will providg, at no cost,such equipment as mowers and other field equipment presently owned or available to CITY. 4. The CITY will be responsible for hiring personnel for stadium cleanup and restroom attendants. THE ANGELS will be responsible for payment of these personnel. 5. The CITY will be responsible for assigning police officers or other qualified personnel for traffic and control duties on THE ANGELS game dates. THE ANGELS will be -responsible for the payment of one of these personnel per game. 6. The CITY will provide and be responsible for the payment of an electrician for pre-game set-ups and ceremonies at weekday games; no electrician will be on duty during the games, except on an on-call basis. For weekend games, THE ANGELS shall pay for a CITY-provided electrician at the rate of $20.00 per game, 7. The CITY shall provide up to 45 parking spaces in the Baristo parking lot of Sunrise Plaza for ANGELS officials. Controlling these spaces shall be the responsibility of THE ANGELS. 7- a 3 7 a 4 B. OBLIGATIONS OF THE ANGELS: 1. THE ANGELS shall conduct its Spring Training program in Palm Springs during the term of this Agreement, it being understood that the early part of THE ANGELS Spring Training shall be conducted at its minor league training site. 2. THE ANGELS shall play as many major league exhibition baseball games in Palm Springs as it is practicable and at its discretion to schedule. 3. THE ANGELS shall provide one lead groundsman at its cost, to provide supervision in maintaining major league playing conditions during the'ent'ire-duration of Spring Training. 4. THE ANGELS shall be responsible for locker room area maintenance during Spring Training only. 5. THE ANGELS shall provide all items that are solely used for major league baseball, i. e. , special clay needed for infield, pitcher's mound area and home plate area, batting cages, pitching machines, etc. 6. THE ANGELS shall print admission tickets and pay for cost of ticket printing. THE ANGELS will be responsible for hiring and paying of ticket office personnel, ushers and public address announcers. 7. THE ANGELS shall contract through a mutally accepted conces- sionaire the sale of food, drink and other similar type concession items. 8. THE ANGELS shall print and sell Spring Training scorecards and secure the advertising revenue.. 9. All proceeds from the sale of tickets, parking, scorecards, food and drink, and novelties and similar items shall belong solely to THE ANGELS. 10. THE ANGELS may provide additional office space in the form of a trailer (if space in the Dr. Frey-Jaycee Building is unavailable) as needed (to be located on stadium property) during Spring Training and the CITY shall furnish utilities, except telephone and sewer. ll. THE ANGELS shall provide a certificate naming the CITY as additional insured in amounts acceptable to the City Manager to cover liability and property damage occasioned by the operations of THE ANGELS. C. CAPITAL OUTLAY: 1. The CITY shall, prior to 1980 Spring Training, refurbish the present press box to provide suitable workable conditions for the members of the accredited media. The CITY will pay 100% of the cost of said refurbishing. 2. The CITY shall provide space for the additional seating of 2,400 persons with the use of semi-portable tubular-type seats, as agreed upon by THE ANGELS and the CITY. Such seating will be provided with the CITY and THE ANGELS each paying 50% of the cost of the seats installed prior to 1980 Spring Training, 3. During the duration of this contract any additional requests for additions or improvements to the stadium as hereby requested by TIIE ANGELS, the cost thereof shall be shared on a fifty-fifty (50%-50%) basis and be subject to approval by the City Council, The procedure for making these improvements shall be as follows: -2- (a) THE ANGELS shall submit in writing a request -for specified improvements. (b) The CITY shall design the improvement and submit to THE ANGELS an estimate of cost and an improvement plan. (c) If approved in writing by THE ANGELS and by the City Council, The CITY shall call for bids and construct the improvements, (d) The CITY shall then bill THE ANGELS for fifty percent (50%) of the total cost of such improvements. 4. The cost of all improvements constructed under this Agreement may be prorated over the remainder of the 11-year term of this Agreement. In the event this Agreement is terminated by either party, the terminating party shall reimburse the unamortized capital outlay costs of the other party. 5. All capital improvements made at the stadium under this Agreement shall, upon completion in a manner satisfactory to the CITY, be the property of the CITY. D. WAIVER OF UTILITIES FAILURE: THE ANGELS expressly waives any and all claims against the CITY for compensation for any and all loss or damage sustained by reason of any defect, deficiency or impairment of any utility system, water supply system, drainage system, electrical apparatus or wires serving the premises. E. DESTRUCTION: If the premises shall be damaged or destroyed by fire, earthquake, elements, casualty, war, insurrection, riot, public disorder or any authorized act upon the part of any governmental authority and the premises crnnot be restored economically, then this Agreement at the sole option of the CITY shall cease and come to an end. Under no circumstances shall the CITY indemnify THE ANGELS for any loss of income resulting from any such destruction. F. TERM: The term og this Agreement shall be for eleven (11) years beginning January 1, 1979 and ending December 31, 1989, except that Paragraphs C2 and C6, having to do with the purchase of the bleachers, shall take effect upon execution of this Agreement. G. OPTION: THE ANGELS shall have the sole option of extending the term of this Agreement for an additional five years. THE ANGELS shall notify the CITY of its exercise of this option prior to September 30, 1989. H. CANCELLATION: It is •an event of default if either party fails to keep, perform, and observe all promises, covenants, conditions and agreements set forth in this Agreement. Upon written notice of default, as prepared by the City Manager for the CITY, or the General Manager of THE ANGELS, the party in default shall have thirty (30) days to come into compliance with the Agreement; however, where the fulfillment of such obligation requires activity of a period of time, the party in default shall commence to perform whatever actions are required to cure the particular default within five (5) days after such notice, and if such corrective action is continued diligently, stated time limit may be waived. Upon the occurrence of an event of default and if corrective action to obtain compliance with the Agreement is not performed within the stated time limits, the party which has given notice to correct the default may terminate this Agreement. m3� 7a 5 7a 6 I.
