Just last week I met with Mr. Leo Bialis, representing the Village Center for the Arts, to discuss the proposals. As expected, after the Village Center Board and their attorney, finished with the lease, there was a considerable amount of disagreement as to ,the proposal . Mr. Bialis is suggesting that rather than a formal lease, as I prepared, that a one or two page letter of understanding be developed similar to the one he's attached. I should make it clear that I am not in favor, at this point, in accepting his letter as indicated, since there are some differences that I have with the letter. Ply question is, does a simple letter of understanding perform the same function as the more formal lease agreement, particularly since we are looking at a year to year lease anyway? Stevens Park; and WHEREAS THE CITY OF PALM SPRINGS has determined that it is in the public interest to have certain cultural activities developed and operated within a portion of said park; and WHEREAS EVERYBODY'S VILLAGE OF PALM SPRINGS, INCORPORATED, a non-profit California corporation organized and existing under the laws of the State of California, has expressed a desire and willingness to operate such facilities within said Frances S. Stevens Park, NOW THEREFORE for and in consideration of the covenants and agreements contained herein to be mutually performed by the parties hereto, the sufficiency of which is hereby acknowledged, the City of Palm Springs (hereinafter sometimes referred to as "City" or "Lessor") and Everybody's Village, Incorporated, (hereinafter sometimes referred to as "Lessee") do hereby mutually covenant and agree as follows: DESCRIPTION OF PREMISES 1 . Premises. Lessor hereby rents, leases, and demises to Lessee and Lessee hires, leases, and takes from Lessor upon the terms and conditions hereinafter set forth those certain premises as desig- nated on "Exhibit A" , attached hereto and made a part hereof for all purposes, together with the right of ingress to and egress from said premises by use of all public entrances, exits, halls, passageways, and other parts of said premises to and from the Frances S. Stevens Park, now or hereafter to be provided or available therefor,, and the right of use in common with other members of the public of any parking area now existing or hereafter established for and main- tained in any portion of the said Frances S. Stevens Park. TERM 2. This lease shall be for the period commencing July 1 , 1980 and terminating June 30, 1987. USE OF PREMISES 3. Said premises are to be used by the Lessee for the purpose of con- ducting, maintaining, and developing a cultural center for creative and performing arts and crafts and for all associated uses pertaining thereto. Any other use of said premises is prohibited unless speci- fically approved in writing by Lessor. CONSIDERATION/IMPROVEMENTS 4. As consideration for the demised premises and in-lieu of rent, Lessee agrees to: Lessee shall make improvements to the demised premises at a cost of at least $77,000. As far as possible Lessee shall expend said funds on the completion of the items outlined in Schedule B; provided however, that Lessee shall receive credit for other improvements to said demised premises upon approval thereof by the City Manager. Agr. No. Page 2 On or prior to December 1 , 1980, Lessee shall furnish to Lessor a schedule of improvements to be completed prior to June 30, 1981 . Improvements for that period shall approximate not less than 10% of the total cost of improvements to be performed over the term of the lease. On or prior to December 1 , 1981 , Lessee shall furnish to Lessor a schedule of improvements to be completed prior to June 30, 1982. Improvements for that period, when added to the improvements theretofore completed, shall approximate not less than 20% of the total cost of improvements to be performed over the term of the lease. On or prior to December 1 , 1982, Lessee shall furnish to Lessor a schedule of improvements to be completed prior to June 30, 1983. Improvements for that period, when added to the improvements there- tofore completed shall approximate not less than 35% of the total cost of improvements to be performed over the term of the lease. On or prior to December 1 , 1983, Lessee shall furnish to Lessor a schedule of improvements to be completed prior to June 30, 1984. Improvements for that period, when added to the improvements there- tofore completed, shall approximate not less than 50% of the total cost of improvements to be performed over the term of the lease. On or prior to December 1 , 1984, Lessee shall furnish to Lessor a schedule of improvements to be completed prior to June 30, 1985. 100% of the required improvements shall be completed by June 30, 1985. Lessee shall be credited with improvements installed after April 1 , 1980, as if the same were installed during the lease term. It is intended that improvements be installed as complete, integral projects, and both parties recognize that a given project may not equal the precise percentages of the total dollar cost of improvements. For that reason the City Manager of Lessor is authorized to approve minor variations of dollar amount, and variations of up to 60 days in scheduled com- pletion dates of improvements, provided that the submitted schedules of improvement and Lessee' s actions in complying with such schedules, are sufficient in the sole opinion of the City Manager of Lessor to evidence substantial performance and good faith effort to comply with the terms of this paragraph. All of such improvements shall be built, installed and completed in a professional , skilled and workmanlike manner. The value of the scheduled improvements installed by Lessee shall be based upon the actual cost of construction or installation, including labor, materials, and permit fees. A true copy of a contract with a licensed contractor shall be evidence of the reasonable value of improvements. If Lessee shall purchase equipment or supplies used in the construction of the improvements and becoming a part thereof, or used up in the course of construction to the satisfaction of the City Manager, it shall submit its invoices to the City Manager and receive credit for the amount. If Lessee shall engage a contractor on a time basis, it shall submit evidence of the cost thereof to the City Manager and upon approval thereof receive credit therefor. In the event that labor, materials, supervision or any of the components of actual cost are donated to Lessee, the reasonable value of such donated materials or services shall be credited, provided that the same shall not exceed the amount of the lowest bid received from a licensed contractor for the performance of such work. Design of improvements shall be submitted for review and approval by Lessor prior to construction. PUBLIC USE 5.a Lessee agrees to make all classes open to the public, subject to available space and subject to posted fees (excepting scholarship students) , and possession of necessary skills. Agr. No. Page 3 PUBLIC USE (Cont'd. ) b Lessor specifically reserves, for the benefit of the public, the right to use public restrooms installed on the leased premises during all hours that the facilities of Everybody's Village are in operation. Lessee specifically agrees to make these facilities available and to provide proper and adequate maintenance and supplies for the public restrooms. SCHOLARSHIPS 6. Lessee agrees to continue its scholarship program, to solicit scholar- ship applications, to award scholarships to meritorious applicants, and to give primary consideration to applicants of low and moderate income. UTILITIES 7. Lessor shall pay for water and sewer use charges for the demised premises. Lessee agrees to pay when due during the term hereof, all other charges for utilities and services ordered by Lessee, including but not limited to gas, electricity, telephone, and refuse disposal services. REPAIRS AND MAINTENANCE 8. (a) During the term hereof the Lessee shall maintain the leased premises in good order and condition and shall at its own cost and expense make all interior repairs and maintain in as good condition as existed at the commencement of this Lease, all mechanical equipment and doors and windows, including but not limited to, heating, air conditioning, or glass replacement, including windows forming the exterior walls. At the expiration or other termination of the term hereof, Lessee shall deliver the leased premises in as good order and condition as at the inception of this Agreement, reasonable wear and tear and damage by casualty or the elements excepted. In this regard Lessor and Lessee shall conduct a joint inventory and condition survey, a copy of which shall be attached hereto and made a part hereof for all purposes. Should the City Manager, during the term of this lease, in his sole judgment, find that the Lessee has failed to properly maintain the leased premises as required herein, he shall notify the Lessee in writing to perform such maintenance and/or repair. Within ten (10) days after receipt of such notice, Lessee shall commence and con- tinuously and diligently pursue such maintenance and/or repair to completion within a reasonable period of time. Failure to comply with provisions of this paragraph shall be regarded as a substantive default hereunder. If any part of the demised pre- mises which is within Lessee's obligation to repair and maintain, including but not limited to fixtures, mechanical equipment, doors and windows, shall become worn out, inoperative or unrepair- able during the term of this Lease, and if notice shall be given as stated above in this paragraph, Lessee shall replace such worn out, inoperative or unrepairable item with a replacement of like or better quality; provided, however, that Lessee shall be entitled to credit against its obligation for improvements, as stated in paragraph 4 of this Lease, for that portion of the cost of the replacement item which constitutes beterment of the demised premises. (b) The Lessor agrees to maintain the structural exterior and roof of said buildings. CUSTODIAL SERVICES 9. Lessee shall provide custodial services for the leased premises at Lessee' s expense. Lessee understands that such custodial services include the cost of both labor and janitorial equipment and supplies. Lessee agrees that the quality of custodial service provided shall be commensurate with the quality provided in other municipal faci- lities. 0 ! Agr. No. Page 4 ALTERATIONS 10. Lessee shall not make any alterations or improvements to the premises without the prior written approval of the City Manager. Any approved alterations or improvements made by Lessee shall be at its sole expense and Lessee agrees to indemnify and save Lessor harmless from all liens, claims, and demands arising out of such improvements placed upon the premises, and Lessor is specifically authorized, but not required, to come upon the premises to post notices of non- responsibility pursuant to Section 1183. 1 of the California Code of Civil Procedure. DESTRUCTION 11 . In the event that the leased premises are damaged or destroyed by fire, earthquake, the elements, casualty, war, insurrection, riot, public disorder, or any authorized act upon the part of any govern- mental authority, and the premises cannot be restored economically, then this Lease, at the sole option of the Lessor, shall cease and come to an end. Under no circumstances shall the Lessor indemnify the Lessee for any loss of income or investment resulting from any such destruction. HOLDING OVER 12. In the event that the Lessee holds over or remains in the possession or occupancy of the premises without the consent of the Lessor after the expiration of the term of this lease or any extension or renewal thereof, such holding over or continued possession or occupancy shall not operate as a renewal or extension of this Lease. In the event payment is made by the Lessee and accepted by the Lessor for any period of time during which Lessee holds over or remains in possession or occupancy, such payment shall be deemed to be a month- to-month rental upon the same terms and conditions contained in this Lease, except that such occupancy and rental may at any time be terminated by Lessor. INSURANCE 13. (a) Liability Insurance. During the entire term of this Agreement, Lessee agrees to procure and maintain public liability insurance at its sole expense to protect against loss from liability imposed by law for damages on account of bodily injury, in- cluding death therefrom, suffered or alleged to be suffered by any person or persons whomsoever, resulting directly or indirectly from any act or activities of the City or Lessee, its sub- lessees, or any person acting for the City, or Lessee or under its control or direction, and also to protect against loss from liability imposed by law for damages to any property of any person caused directly or indirectly by or from acts, omissions, or activities of the City, or Lessee, or its sublessees, or any person acting for the City or Lessee, or under its control or direction. Such public liability and property damage insurance shall be maintained in full force and effect throughout the term of the Agreement and any extension thereof in the following minimum limits: Bodily Injury: $250,000 each person 500,000 each occurrence Property Damage: $ 10,000 each occurrence Agr. No. Page 5 INSURANCE (Cont'd. ) A combined single limit policy with aggregate limits in the amount of $500,000 will be considered equivalent to the required minimum limits. All of such insurance shall be primary insurance and shall name the City of Palm Springs as an additional insured. If the operation under this Agreement results in an increased or decreased risk in the opinion of the City Manager, then Lessee agrees that the minimum limits hereinabove designated shall be changed accordingly upon request by the City Manager; provided, however, that the Lessee may appeal to the City Council within ten (10) days after any increase is requested; and such requirement for increased coverage shall be subject to determination by the City Council . The determination of the City Council shall be final . Lessee agrees that provisions of this paragraph as to maintenance of insurance shall not be construed as limiting in any way the extent to which the Lessee may be held responsible for the payment of damages to persons or property resulting from Lessee's activities, the activities of its sublessees, or the activities of any person or persons for which Lessee is otherwise responsible. (b) Workers ' Compensation Insurance. The Lessee shall procure and maintain, at its sole expense, Workers ' Compensation Insurance in such amount as will fully comply with the laws of the State of California, and which shall indemnify, insure, and provide legal defense for both the Lessee and the City against any loss, claim, or damage arising from any injuries or occupational diseases happening to any worker employed by the Lessee in the course of carrying out the within Agreement. (c) Hold Harmless. Lessee agrees to indemnify and hold Lessor, its agents and employees harmless from any and all liabilities, claims, damages, or injuries to any person, including injury to Lessor's employees and all claims which arise from or are con- nected with the negligent performance of or failure to perform the work or other obligations of this Agreement, by Lessee to be performed, or are caused or claimed to be caused, by the negli- gent acts or omissions of Lessee, its agents or employees, and all expenses of investigating and defending against same; pro- vided, however, that this indemnification and hold harmless shall not include any claim arising from the sole negligence or willful misconduct of Lessor, its agents, or employees. Lessor agrees to indemnify and hold Lessee, its agents and employees harmless from any and all liabilities, claims , damages, or injuries to any person, including injury to Lessee's employees and all claims which arise from or are connected with the negligent performance of or failure to perform the work or other obligations of this Agree- ment, by Lessor to be performed, or are caused or claimed to be caused, by the negligent acts or omissions of Lessor, its agents or employees, and all expenses of investigating and defending against same; provided, however, that this indemnification and hold harmless shall not include any claim arising from the sole negligence or willful misconduct of Lessee, its agents, or employees. (d) Evidence of Insurance. A Certificate of Insurance, or an appro- priate insurance binder, evidencing the above insurance coverage with a company acceptable to the City' s Risk Management Officer shall be submitted to the City prior to execution of this Agree- ment on behalf of the City. • Agr. No. Page 6 INSURANCE (Cont'd. ) (e) Notice to City, Insurance Coverage Change. The terms of the insurance policy or policies issued to provide the above insur- ance coverage shall provide that said insurance may not be amended or cancelled by the carrier, for non-payment of premiums or otherwise, without thirty (30) days prior written notice of amendment or cancellation to the City. In the event the said insurance is cancelled, the Lessee shall , prior to the cancel- lation date, submit to the City Clerk new evidence of insurance in the amounts heretofore established. Failure to provide any insurance required herein shall be a substantive default. (f) Fire and Extended Coverage. Lessor agrees that Lessee is not responsible for providing fire and extended coverage insurance. Such coverage shall be provided by Lessor. Lessee understands that Lessor's coverages do not include Lessee's furniture and fixtures. RIGHT OF ENTRY 14. The premises shall at all reasonable times be open to proper govern- mental authorities and agents or employees of Lessor for inspection or to do things Lessor is obligated to do. LIENS 15. Lessee expressly agrees to keep and hold said premises and the Lessor' s interest therein free and clear of any mechanic's or similar liens arising by reason of any acts of the Lessee. CANCELLATION 16. If Lessor, in its sole discretion, shall determine that the best interests of the City of Palm Springs would be served by the sale, use for governmental purposes, or market rate lease of the demised premises, (excluding lease or donation at less than full market value to any other or different non-profit organization) , then Lessor shall have the right upon six months written notice to Lessee to cancel and terminate this Lease; provided however, that the effective date of any such cancellation shall not be earlier than June 30, 1983, and further provided that the effective date of cancellation shall be June 30 of the year in which such cancellation occurs based upon notice given on or before December 31 of the preceding year. In the event of such cancellation, Lessor shall reimburse Lessee on a pro rata basis for the capital investment made or committed pursuant to paragraph 4 hereof. In that event Lessor shall determine the actual cost of the improvements installed or committed to be installed as of the date of such written notice to Lessee, and shall also determine the date of payment for each such improvement. Before the effective date of such cancellation, provided Lessee is not in default under this Lease, Lessor shall pay to Lessee an amount determined by prorating the cost of each item of improvement from the date of payment for that item to June 30, 1987; that is, the cost of the item multiplied by a fraction, the numerator of which is the number of months from the effective date of cancellation to June 30, 1987, and the denominator of which is the number of months from the date of payment for that item to June 30, 1987. The degree of itemization shall depend upon the information furnished to Lessor by Lessee. Lessor shall not be required to compensate Lessee in any other manner for said cancellation. Lessee shall not be entitled to compensation for the market value of the remaining term of the leasehold interest. Lessor shall have no obligation to relocate or assist in relocation of Lessee. Agr. No. Page 7 CANCELLATION (Cont'd. ) In addition to the events set out hereinabove in this Lease as sub- stantive defaults, the following events hereinafter called "Events of Default" are grounds for termination by Lessor. (a) The failure of Lessee to punctually make any payments required hereunder when due after ten (10) days written notice thereof from Lessor. (b) The failure of the Lessee to keep, perform, and observe any and all other promises, covenants, and conditions set out in this Lease within thirty (30) days of written notice thereof; pro- vided, however, that where fulfillment of such obligation requires activity over a period of time and the Lessee shall have com- menced to perform whatever may be required to correct the parti- cular default within ten (10) days after such notice and con- tinues such performance diligently, said time limit may be waived in the manner and to the extent allowed by the City Manager. (c) The abandonment, vacation, or unauthorized discontinuance of the operation of the premises between October lst and June 30th without good cause for more than fourteen (14) consecutive days. CODES/LAWS 17. Lessee agrees that all work performed and services rendered by it, including its agents, shall be in compliance with applicable codes and City, County, State and Federal Law. SERVICE OF NOTICE 18. All notices, demands, requests and other communications which may be or are required to be given by either party or to the other shall be in writing. All notices, demands, requests and other communications by Lessor to Lessee shall be deemed to have been properly given if served personally on Lessee or if sent by United States certified mail , postage prepaid, addressed to Lessee at 538 North Palm Canyon Drive, Palm Springs, California 92262, or such other place of busi- ness as may be designated from time to time by Lessee in a written notice sent to Lessor. All notices, demands, requests, and other communications by Lessee to Lessor shall be deemed to have been pro- perly given if served on Lessor by serving the same personally on the City Manager of the City of Palm Springs or if sent by mail , postage prepaid, addressed to the City Clerk, City Hall , P.O. Box 1786, Palm Springs, California 92263. DEFAULT 19. In the event of cancellation of this Lease for any reason whatsoever, Lessor may in the exercise of the power it possesses , contractual or otherwise, enter upon the premises and remove Lessee, using whatever force may be necessary. Lessor shall not be liable for damages to Lessee as a result of any such entry or removal . In addition, Lessor shall have any and all other rights provided by law. Prior to any such entry or removal the Lessor agrees to give the Lessee ten (10) days notice of its intention to enter and remove, in order to afford the Lessee and its students, teachers, and others an opportunity to remove their equipment and other belongings. WAIVER 20. The failure of the Lessor to exercise any right accruing to it here- under shall not constitute a waiver of that or any right arising out of this Lease. Agr. No. Page 8 SUCCESSORS & ASSIGNMENTS 21 . Successors. This Lease shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and assigns. Rental and Subleasing. Lessee shall not, without the prior written consent of the Lessor, assign or mortgage this Lease. Lessee may rent or sublease portions of the demised premises, however, such sublease or rental shall not relieve Everybody' s Village from operating its own cultural arts program on the premises. Rentals and subleases shall be for uses consistent with paragraph 3 of this Lease and with the applicable zoning laws of the City of Palm Springs. PARAGRAPH HEADINGS 22.
