RJM: sgc Enclosure CC: Desert Dorado , Inc . • 11161sert Dorado, Inc. - Subdiv Impr Agr for Tr 16581-1 CITY OF PALM SPRINGS AGREEMENT #1733 (Original 7-23-81) SUBDIVISION IMPROVEMENT AGREEMEN THIS AGREEMENT, made and entered into this day of by and between Desert Dorado Inc hereinafter collectively referred to as "Subdivider" and CITY OF PALM SPRINGS, a municipal corporation of the State of California, hereinafter referred to as "CITY" ; WITNESSETH: WHEREAS, Subdivider has prepared and filed a final subdivision map of Tract No. 16581-1 in the City of Palm Springs, County of Riverside, for approval by City; and WHEREAS, as a condition precedent to the approval of said map by City, Sub- divider is required to offer for dedication those parcels of land intended for streets, highways and other public use, and also to construct and install or agree to construct and install certain improvements ; and WHEREAS, Subdivider, by said map, has offered for dedication to City for public use the streets and easements shown on said map; and WHEREAS, City desires to accept the streets and easements shown on said map for public use, and certain other such improvements; and WHEREAS, as a condition precedent to the acceptance of the dedication of such streets and easements by City, Subdivider is required to enter into an agreement with the City to construct certain improvements; and WHEREAS, the total cost of such improvements has been estimated by the City Engineer to be approximately $ 901 ,355.00 ; NOW, THEREFORE, IT IS AGREED by and between the parties hereto as follows: 1 . Subdivider, at his sole cost and expense, shall construct and install the street, drainage, domestic water, sanitary sewer and other improvements required to be constructed or agreed to be constructed as a condition precedent to the approval of said final map and acceptance of such streets and easements, as shown on the "Improvement Plans for Tract 16581-1 " , a copy of which is now on file in the office of the City Engineer of the City and which is referred to and incorporated herein as though set forth in full . 2. Subdivider shall furnish to City good and sufficient bonds executed by a corporation authorized to transact surety business in the State of California on forms approved by City, one bond in the sum of $ 901 ,355.00 to assure the faithful performance of this Agreement, and one bond in the sum of 450,680.00 to assure payment of the cost of the labor and materials for the improvements required to be constructed or installed hereby. Both of said bonds shall be deemed exonerated upon acceptance by the City of the improvements , and the furnishing of a maintenance bond at the time of the acceptance in the amount of $ 135,205.00 Said maintenance bond shall remain in effect for a period of one year from date of acceptance of the improve- ments. 3. Before final approval of street improvements, the subdivider will place survey monuments in accordance with the provisions of the State Subdivision Map Act and the Subdivision Ordinance of the City of Palm Springs as shown on the Tract Map. The Subdivider, after setting the monuments, shall furnish the City Engineer of the City of Palm Springs, written notice of the setting said monuments and written proof of having paid the engineer or surveyor for the setting of said monuments, or as provided for in the Subdivision Map Act. Subdivision Improvement Agreement Page 2 4. In accordance with the terms of said subdivision regulation aforesaid, the subdivider does hereby agree to furnish a good and sufficient bond in the amount of $ 39,250.00 to guarantee payment of the cost of setting monuments as stated in Item No. 2 of this .agreement. 5. The City Engineer or his duly authorized representative, upon written request of Subdivider, shall inspect the improvements herein agreed to be con- structed and installed by Subdivider, and, if determined to be in accordance with the applicable City standards, shall recommend the acceptance of such improvements by the City. 6. Subdivider shall complete such improvement plans including any correc- tions and revisions thereto necessary to comply with the applicable City standards as determined by the City Engineer, within thirty (30) days after approval of the final map. 7. Subdivider shall perform any changes or alterations in the construc- tion and installation of such improvements required by City, provided that all such changes or alterations do not exceed 10 percent of the original total estimated cost of such improvements. 8. Subdivider shall guarantee such improvements for a period of one year following the completion by Subdivider, and acceptance by City, against any defective work or labor done, or defective materials furnished, in the performance of this Subdivision Improvement Agreement by Subdivider and shall repair or replace any such defective work or materials discovered during said one year period. 9. Subdivider shall commence the construction and installation of such improvements within thirty (30) days from the approval of such "Improvement Plans for Tract No. 16581-1 " by the City Engineer, and shall complete such construction and installations within nine (9) months from such date of commencement, 10. In the event that Subdivider fails to perform any obligation hereunder, Subdivider authorizes City to perform such obligation twenty (20) days after mailing written Notice of Default to Subdivider at the address given below, and agrees to pay the entire cost of such performance by City. 11 . In the event that Subdivider fails to perform any obligation hereunder, Subdivider agrees to pay all costs and expenses incurred by City in securing performance of such obligations, including costs of suit and reasonable attorney's fees. 12. Subdivider hereby binds itself, its executors, administrators and assigns, and agrees to indemnify, defend, and hold the City harmless from any losses, claims, demands, actions or causes of action of any nature whatsoever, arising out of or in any way connected with the improvements agreed to be constructed and installed hereunder by the Subdivider, including costs of suit and reasonable attorney's fees. Such other items or details not specifically mentioned above that are required by the Plans or these Special Provisions shall be furnished, performed, placed, constructed, or installed. PLANS AND SPECIFICATIONS The standard plans and specifications for this project shall be the State of California, Department of Transportation, Standard Plans dated July, 19. 84, Standard Specifications dated July, 1984, and City of Palm Springs Standard Plans. These documents shall control the general provisions, construction materials, and details for this project, insofar as they may apply, except as amended by these Special Provisions or the contract documents. The following State Standard 'Plan Sheets are applicable to this contract: Traffic Siqnal and Lighting Details ES-8 Pull Box Details ES-10 Isolux Diagrams ES-11 Foundation Installations ES-13 Wiring Details and Fuse Ratings GENERAL CONSTRUCTION REQUIREMENTS SOUND CONTROL - A noise level not-exceeding 85 dbA at a distance of 50 feet shall apply to all equipment on the job or related to the job, including but not limited to trucks, transit mixers or transient equipment that may or may not be owned by the contractor. The use of excessively loud signals shall he avoided in favor of light warnings except in those cases required by safety laws for the protection of Personnel . HIGHWAY CONSTRUCTION EQUIPMENT - Attention is directed to section 7-1.01 I , \/chicle Code, and 7-1.02, Weight Limitations of the state Standard Specifi- cations. MAINTAINING TRAFFIC - Attention is directed to Caltrans 7-1.08, "Public Convenience", 7-1.09, "Public Safety", and 12-2.02, "Flagging Costs" . When permitted by the engineer, one lane on each roadway adjacent to the working area may be closed to public traffic. There shall be no encroachment upon the traveled way on Saturdays, Sundays or designated legal holidays. The undersigned further agrees that it shall hold said funds on deposit as trust funds for the uses and purposes herein set forth or such amount as may remain, until such time as it receives written notice signed by the Director of Community Development of said City to the effect that all said payments have been made and authorizing the release of said funds to the depositor. When a designated legal holiday falls on a Sunday, the following Monday shall he designated leqal holiday falls on a Sunday, the following Monday shall be designated a legal holiday. When November 11 falls on a Saturday, the preceding Friday shall be a designated legal holiday. The cost of furnishing all flagmen, guards, signs and devices shall be borne by the contractor. A minimum of one lane of traffic in each direction shall be maintained through the work area at all -times. When work is started within three (3) feet of a lane being used by public traffic, the contractor, may close the lane adjacent to the work. When the lane is closed, reflective traffic cones shall be placed to direct public traffic around the construction area in accordance with the requirements for lane closure of the standard specifications except that when work is not is progress or during non-working hours, the reflective traffic cones shall be positioned and maintained in the 1. - Pz foot width of the existing traffic lane adjacent to the work. The use of reflective traffic cones to direct traffic away from excavations shall be considered as lane closure,. The provisions in this Section may be modified or altered if, in the opinion of the engineer, public traffic: will be better served and work expedited. Any proposed modification shall be approved in writing by the engineer. EXISTING HIGHWAY FACILITIES - Attention is 'drawn to CalTrans Section 15, Existing Highway Facilities, I-or requirements relative to the preservation, removal , and disposal of existing improvements. Existing Portland cement concrete and asphaltic concrete improvements to be removed shall be cut with concrete sawinq equipment of a type meeting approval of the Engineer. Existing paved surfaces shall be cut back beyond the edge of the excavation to form square cuts before paving is bequn. Should damage to the sawcut edge occur during or after removal , the damaged edge shall be removed by further sawcuttinq, REMOVING TRAFFIC STRIPING AND PAVEMENT MARKINGS - Traffic striping and pave- ment marking to be removed shall be removed by sandblasting as specified in CalTrans Standard Specifications. Payment shall be considered as included in the lump sum prices bid for signals and lighting. Nothinq in these Special Provisions shall relieve the Contractor from his responsibilities as provided under CalTrans 7-1 .0q, Public Safety. EARTHWORK -_._Earthwork shall conform to CalTrans Section 19 of the Standard Specifications and shall include all clearing and grubbing, excavation, gradinq, embankment, backfilling or any other work necessary to prepare the subgrade for construction of improvements. CONDUIT -- Conduit shall conform to the provisions in Section 86-2.05, "Conduit, " of the Standard Specifications and these special provisions. Non-metallic type conduit shall not be used. Insulated bonding bushings will he required on metal conduit. After conductors have been installed, the ends of -conduits terminating -in pull boxes and controller cabinets shall be sealed with an approved type of sealing compound. Special features, components or vehicles designed to activate the detector will not be permitted. The Contractor shall provide an operator who shall drive the motor-driven cycle through the response or detection area of the detector at not less than three (3) miles per hour not more than seven (7) miles per hour.
