Magione: This notification is being prepared in accordance with the phone discussions of October 14, 1988 between the City of Palm Springs Traffic Engineer, Dean Lewis, and County Traffic Engineer, Richard Barrera, wherein the following notification is the appropriate procedure to be written to the City from the County. It is the County ' s understanding that this notification has been recommended as a result of your staff level discussions with your City Attorney. Please regard this letter as the County of Riverside ' s official thirty ( 30 ) days written notification to the City of Palm Springs that the underlying "Agreement for Mutual Aide in the Maintenance of Traffic Signals" , dated november 24, 1981 , is to be terminated on November 24 , 1988 . This notification is in accordance with the agreement "Section 9" . We would appreciate an acknowledgement of this notification in writing . Morgan bcc : Smoot/Jeannie Smith V- 3'.. l� r lyyr y�l 'llli ry" tv I c. olvetside Co. - MttuA1 Aid Agt re mntnce of traffic signals AGREEMENT FOR MUTUAL AID IN MAINTEE AGREEMENT #1755 (Orig 11-24-81 1 MO 3006, 10-14-81 2 SIGNALS 3 This Agreement, made and entered into by and between the County of 4 Riverside (County) and the City of Palm Springs (City) , 5 WITNESSETH: 6 WHEREAS, County and City each maintain and repair their respective 7 traffic signals, and 8 WHEREAS, each agency acknowledges the need for occasional assistance 9 and backup equipment in performing their respective traffic signal maintenance 10 and repair functions, NOW THEREFORE, 11 IT IS AGREED AS FOLLOWS: 12 1. County through its Road and Survey Department, will provide mainte 13 nance and repair of City's traffic signals and City will provide maintenance and 14 repair of traffic signals in the Coachella Valley for which the County has obli- 151 gation to maintain, at the times, upon the conditions and in the manner herein- 16 after set forth. 17 2. Said maintenance and repair shall be provided by each respective 18 party to the other only upon written request of the Road Commissioner or his 19 designee to the City and upon written request of the City Manager or his designee 20 to the County, which request shall fully specify the location and work to be 21 provided. 22 3. Each agency may, in the sole exercise of their discretion, accept 23 requests made orally provided that such oral request is followed by written 24 request within 24 hours. 25 4. Each agency reserves the right to decline a request for aid when 26 such request would cause adverse impact upon its own maintenance operation. 27 5. Each party requesting such maintenance and repair services shall 28 reimburse the party by which said services are provided for actual cost of said JAMES H.ANGELL GO UNTY GO UNSEL LAW LIBRARY BLDG. -1- RIVERSIDE,CALIFORNIA 1 maintenance and repair work, which cost shall include all of the providing party' 2 costs for wages, benefits , transportation and overhead. 3 6. Within thirty days from and after the completion of any mainte- ¢ nance and repair services provided hereunder, the party providing such services 5 shall prepare and submit to the party for which such services have been performed 6 a written statement for the reimbursement due to such party for the services 7 actually performed. 8 7. Each agency, upon receipt of statement of cost for maintenance 9 and repair service, shall reimburse the other agency within 30 days thereafter. 10 8. Records of maintenance and repair work performed under this agree- 11 ment shall be kept by the City and County and may be reviewed by each upon 12 written request to the other agency. 13 9. This agreement shall become effective upon execution by both 14 agencies and shall remain in force until terminated by either agency upon thirty 151 days ' written notice to the other. 16 10. Any notice required to be given pursuant to this agreement shall 17 be sent by regular mail , addressed follows: 18 City of Palm Springs County of Riverside Norman King, City Manager A. E. Each party hereto, for services and work requested by such party 22 hereunder, shall indemnify, defend, save and hold harmless the other party hereto 23 and its officers, agents and employees, of and from any and all loss , liability, 24 claims, demands, debts, suits, actions and causes of action arising out of or in 25 any manner connected with the performance or omission of performance of any work 26 or services hereunder by such performing party, its officers , agents and employ- 27 ees, it being specifically provided, however that each party hereto shall at all 28 times and in all events bear full and complete responsibility and liability for JAMES H.ANGELL COUNTYCOUNSEL LAW LIBRARY BLDG.
