AMENDMENT#5 - VSA AIRPORTS, AIRPORT ENGINEERING SERVICES
RECOMMENDATION:
It i s recommended that t he C ity Council a pprove Amendment#5 to Agreement
#A4487, with VSA Airports for Airport Engineering Services, adding additional work
phases and task assignments related to vehicle parking lot modifications and security
improvements at the Airport, at an additional cost of $225,000, for a revised
agreement amount of $3,267,600.
SUMMARY:
This action will allow for the design work to proceed for the relocation of the employee
parking lot for the Airport. This relocation is necessary due the growth of the Airport
and the need for additional public parking.
BACKGROUND:
In response to the events of September 11`h,and the subsequent security regulations
mandated by the federal government,a blast analysis of the main passenger terminal
at the Airport was completed. The blast analysis, which, due to the extreme
confidentiality of the information contained in the report, was shared with the City
Council in Closed Session, identified several mitigation measures which would
improve the level of blast protection for the Airport.
The second phase of blast protection for the passenger terminal was the Southerly
Terminal Access Roadway, which reconfigured the entrance roadway for the Airport
and constructed a centralized Vehicle Inspection Plaza (VIP). During this project,
employee parking for the Airport was relocated as shown on Attachment 1.
During the past year, the Airport accommodated 1.3 million passengers, it's busiest
year ever. In order to accommodate this continual growth and allow for additional
parking revenue, it is necessary to relocate the employee parking and allow for
additional public parking. The proposed employee parking areas will be adjacent to
the Airport's Compressed Natural Gas (CNG) station, which will be relocated in the
near future.

The design work will allow for phasing of the construction improvements, which is
necessary due to funding limitations.
Funds are available in Account 415-6400-56053, Security Improvements.

AMENDMENT NO. 5
AGREEMENT NO. 4487, AIRPORT ENGINEERING SERVICES
THIS FIFTH AMENDMENT to Agreement No 4487 for Contract Services, (herein "Agreement") made and
entered into on the day of 2004, by and between the CITY OF PALM
SPRINGS (herein "City") and VSA Airports, Inc (herein "Contractor"), (The term Contractor includes
professionals performing in a consulting capacity.), is hereby effective July 16, 2003, as follows:
RECITALS
The City and Contractor entered into that certain Contract Services Agreement No. 4487 for Airport
Engineering Services ("Agreement"), as duly amended from time to time.
The parties wish to amend the Agreement pursuant to the terms of this Amendment to add additional
services to be performed by Contractor and increase the Contract Sum to authorize payment for such
additional services.
NOW, THEREFORE, the parties hereto agree as follows:
Section 1
Exhibit "A" Scope of Services, Part I - Task Assignments, is hereby amended by adding item "N":
TASK TITLE/DESCRIPTION
ASSIGNMENT
N Relocation of the Employee Parking Lot - Develop and submit for City review and approval
conceptual design,construction cost estimates,engineering design,specification documents and
construction management, including civil, electrical and landscaping. DELIVERABLES:
Preparation of and distribution of a construction phasing plan, construction design and
specification documents and a construction cost estimate.

Assignment "N" to project#4 as follows:

A. For each project that is issued a "Notice to Proceed", the actual compensation shall be
based on hours worked multiplied by the hourly rate (Exhibit "C",), but not exceeding the
maximum amount of the allocation. Payments will be made monthly based on the
percentage of work completed in each area of work defined above.
Fees added with this Amendment - $225,000
Revised Total Agreement Amount (including this Amendment) - $3,267,600
Section 4
Exhibit"D" Schedule of Performance is hereby replaced with the following, which adds the work schedule
for Project#4, work item "M":
The services contemplated in this Agreement and assigned to the Engineer to complete shall commence
within 10 days from the "Notice to Proceed" date and shall be completed based upon the time lines
mutually agreed upon in writing between the City and the Engineer. Each enumerated project identified
in Exhibit "A" shall have a separate Schedule of Performance as listed below or as shall be mutually
agreed upon at a future date by the City and the Engineer. Time lines are subject to adjustment based on
receipt of Federal Aviation Administration (FAA)funds. Delays in receipt of FAA funds will result in a day
for day extension of time on each work item. Contractor shall not be entitled to receive any additional
compensation as a result of such delays.

Full Force and Effect. Except as expressly modified herein all other provisions of the Agreement shall
remain unmodified and in full force and effect.
Section 6
Corporate Authority. The persons executing this Amendment on behalf of the parties hereto warrant that
(1) such party is duly organized and existing, (ii) they are duly authorized to execute and deliver this
Amendment on behalf of said party, (iii) by so executing this Amendment, such party is formally bound to
the provisions of this Amendment, and (iv)the entering into this Amendment does not violate any provision
of any other agreement to which said party is bound.
