The bid documents further provide in Section 20 that"all-blank spaces in the bid forms must be correctly filled ire'and"Bidder acknowledges and agrees than by failing to complete the bid forms in their entirety,the,Owner may find the bidders entire Bid not responsive." Regents of University of Cal ornia(1988)206 CaLApp,3d 449. i Failure to Provide a Licensed Subcontractor for fire lnsfallatiyn of the Tensioned Fabric � Structure In submitting its bid for the lastailatiou of the Tensioned Fabric Structure.Jayne failed;to properly list a licensed subcontractor for the installation of the Tensioned Fabric Stcarcttra. Initially,it appears that Jayne attempted to list Span Systems,Inc.,sn out of state lmlicensed contractor in California,as the listed subcontractor for this scope of work.Jayne also listed an `incorrect license aumbcr for Spau Systems in an apparent attempt to disguise the lack of licensaua for Span Systems,Inc. Only after this deficiency was pointed out by harbor did Jayne concede the lack of liccasurc and now is improperly attempting to claim that it will perform this scope of work in questioxz with its own forces.This is completely inappropriate and outside the ,specifications called for in the contract for The following reasons: Section 13.31.23 of the specifications to the contract proviaes the relevant requirements for the 'fabrication and installation of the Tensioned Fabric Structure. These specific requireme�ts are designed to unsure the.quality of the work,as well as the applicability of any manufacturer's warranty, These requirements are very specific and are mandatory under the contract, 'I More specifically,se ction 1.4 sets forth the qualifications for the manufacturer and the installation of the structa r& Said section req*es•a"firm capable of assuming complete . responsibility for design,eng neetzpg,fabrication,delivezy,preparation,installation, adjusting, and cleaning of tension membrane stmc=4,and as follows: j Providing installation directly supervised by superintendent,directly employed by Ca3zLFactar 'with S years experience in installation of renslon fabric struc#ures ofsiinilar size and completey to that Specified In this Section." i Subsection l3 of sectiop I-4 further requires that the installer of the equipment be the "matsufacturer or aurhorised by manufacturer. " These specification sections requile that the listed contractor retain or employ the.entity�or [individual that installs the stxlicture(s). For quarry assurance,this requirement cannot be elegatcd and cQDtrol of this fimcrion must remain wit the contracted entity. ,As such,the ;contract mandates that Spin Systems maintain control of the installation of the Tensioned Fabric �Structute. Harbor is informed and believes that Jayne is neither authorized by the manufacturer to install the 'Tensioned Fabric Structure nor are they qualified to do so pursuant to the relevant specification section. Therefore,Jaynes"fallback"position that it will simply perform the work itseif is not appropriate,and cannot be accepted by the City. Harbor had correctly pointed ow to the City that this entity was not pxoperlq licensed for this scope of wort;and the listing of Continental Tile would thus render I Jaynes bid completely unresponsive. Subsequent to receiving Harbor's protest the City.notified Harbor that Jaynes had committed a"clerical error"by inadvertently removing Del Fk}oting from its bid submission and had somehow listed Continental Tile in its stead.To validate this position adoaneed by the contractor it would seem that not only would Jaynes need to juSE15,its failure to list an appropriate subcontractor for this scope of work but also it would have to explain the reasons behind listing E subcontractor that is completely non-responsive to the bidding requirements. I find this explanation set forth.by Jaynes completely disingenuous_ Finally in waiving the clerical error claim by Jaynes,the City has made the claim in its Aril 79"' ' letter that"Jaynes complied with all of the requirements of Public Contracts Code§ 4.107(a)(5) and 4107.5 in notifying the City and making the proper corrections;'We have seen no.evidence of this and would therefore formally request copies of all documents and couespondence submitted by Jaynes and relied upon by the City in making its determination.. while Harbox concedes that the code contains aprocess by which such clerical errors can be corrected,Public Contract Code§4107.5 sets forth the piocedure that must be followed if a general contractor snakes a clerical error in the listing of its subcontractors. Since we lxage not been provided with any leormatioa regarding this alleged clerical error we cannot det4npine whether these procedures have been followed. For example,in order to correct any alleged inadvertent clerical error, Jaynes must have,within 2 working days after the time of the prime bid opening ay the m ding authority, given written notico to the awarding authority and copies df that notice to both the mbcontrantor he or she claims to have listed in ei;ror and the intended subcontractor who bad bid to the prime contractor prior to the bid opening. The analysis of responsiveness by the City seems to rely on materials fhat were(as fat&s l know), Obtained after the bid by Jaynes was submitted. Ready, City Manager BY: Department of Aviation SUMMARY This action is a request for City Council to overrule protests of two bidders on the Improve/Modify/Rehab Terminal Complex Project, CP # 07-09, AIP 3-06-0181, RECOMMENDATION: Overrule the Bid Protests of Harbor Construction Company and Doug Wall Construction, Inc. concerning subcontractor listing deficiencies as inadvertent clerical errors, within the provisions of the Public Contract Code, subcontractors below the listing limit and material suppliers not required to be listed and find that Jaynes Corporation's bid was responsive. STAFF ANALYSIS: On April 24, 2008 the City opened bids on the Airport's Improve/Modify/Rehab Terminal Complex Project. The low, responsive, responsible bidder was found to be Jaynes Corporation. Within a few hours of the bid opening the second and third low bidders filed protests with Procurement and Contracting, copies attached. Both of the protests involved alleged deficiencies with the listing of subcontractors by Jaynes Corporation. The bid protests were forwarded to Jaynes Corporation for response. The response was received that same day and all of the information was forwarded to the City Attorney for review. The City Attorney has found that the alleged deficiencies have been properly corrected under the provisions of the Public Contract Code, or were not required to be listed under provisions of the Public Contract Code and all fall within the City's discretion to accept. Following the review by the City Attorney, letters were sent out via fax, e-mail and hard copies to the two protesting parties on Monday April 28, 2008 explaining why the City did not concur with their requests to find Jaynes Corporation as �UPPLGMGJJTAL ,�c�D21 Supplemental Report—Item 2d Non-responsive, see attached letters from Procurement and Contracting that explain the reasoning for overruling the protests. As of the time of preparation of this report Harbor Construction Company has notified Procurement and Contracting that they intend to pursue this further. However,in reviewing JCC's bid proposal a number of errors were found of wbich are referenced here in. HCCI submits this letter as a formal protest to the bid submitted by JCC. I. Addendum 43 section 2 item 1. revised this requirement by allowing the Bidders to provide:the Phone#, Gross Annual Receipts,Business Age, and additional address information for its listed Subcontractors within 24 hours of bid time. At the time of submitting the bid the Bidders were still required to complete the following items for each of its listed Subcontractors: Work to be Performed,License #,% of Total Contract,Name of Subcontract, and Address in regards to City. JCC did not provide the%of Total Contract for a number of its listed Subcontractors. In doing so JCC failed to supply all information requited by the proposal forms and specifications, tailed to fill in all blank spaces in the bid form, and failed to complete the bid form as required in the bid documents. In addition by failing to calculate and provide this information it gave JCC an unfair bid advantage over HCCI and the other bidders. 2. JCC listed Span Systems,Inc. from Manchester New Hampshire for the Fabric Structure porton of work and also provided a Subcontractor License#of 629175. The Subcontractor License#provided is not for Span Systems, Inc.. In fact Span Systems, Inc,is not a California licensed contractor. 3. 7CC listed Continental Tile from Corona California for the Tile Carpeting portion of the work and provided a Subcontractor License#of 000394, This subcontract is not licensed to perform this portion of work. This portion of work requires a C-15 license and the listed Subcontractor only has a C-54 license, refer to the attached documents. Based upon any and all of the items mentioned above the City of Palm Springs clearly needs to find the bid provided by Jaynes Corporation of California for the Improve/Modify/Rehab Terminal Complex Project non-responsive which makes Harbor Construction Co., Inc. the lowest responsive bidder. The City has reviewed your protest and has also reviewed the subsequent information received from Jaynes in response to the Harbor protest and has made the following determinations after consultation with the City Attorney's office: 1. According to the amended bid documents, at the time of bid all bidders were required to submit the name, location, license number, work to be performed and percentage of the total contract that each subcontractor would be providing above "! of 1% of the total bid price. However, Public Contract Code section 4104(a)(2)(A) requires that any information to be listed for a subcontractor beyond the name and location may be submitted by a prime contractor up to 24 hours after the deadline for submission of the bids. In its submission, Jaynes provided the name, location, license number and the work to be performed by each of its listed subcontractors. It did not provide the percentage of the total contract that each subcontractor would be providing above Yz of 1% of the total bid price, the address, phone number, business age, and gross annual receipts for each of the fisted subcontractors. However, Jaynes provided all of the required information to the City within the required 24 hours as provided for in Public Contract Code section 4104(a)(2)(A). Jaynes listed Span Systems, Inc., for the fabric structure portion of the scope of work. Harbor is correct that Span Systems is not a licensed California contactor. However, Jaynes has clarified that Span Systems is only providing the materials for thi's portion of the scope of work and that Jaynes will be performing the installation with its own forces_ As such, Jaynes was not required under Public Contract Code section 4104(a)(1) to list Span Systems. Therefore, the City has determined that this issue does not render Jaynes' bid nonresponsive. 3. Harbor is correct that Jaynes failed to list a subcontractor for the carpet-tile portion of the scope of work. However, Jaynes has properly notified the City of an inadvertent clerical error that resulted in having the carpet subcontractor, Del's Flooring, removed from its bid submission. Jaynes complied with all of the requirements of Public Contract Code sections 4107(a)(5) and 4107.5 in notifying the City and making the proper corrections. As such, the City has determined that the failure to properly list a carpet subcontractor was an inadvertent clerical error on the part of Jaynes and therefore, this issue does not render Jaynes' bid nonresponsive. In conclusion, the City would like to thank Harbor for its bid submission, however, the issues raised by Harbor in its bid protest have been properly addressed by Jaynes and therefore, the City has determined that the bid submitted by Jaynes is responsive and as the low bidder the City intends to award the contract to Jaynes. City Council Slarf Report April 30, 2008— Page 2 Award Contract Terminal Complex Project & Budget Resolution STAFF ANALYSIS: The Palm Springs International Airport has competed the design and bidding of its Improve/Modify/Rehab Terminal Complex project. This project includes rehabilitation of the existing public areas of the terminal, a complete renovation of the terminal complex large courtyard, new concessions, and a covered walkway to the southerly hold-room and much needed security enhancements. The design team is still working through the final approval of the landscape and water feature plans with the Planning Commission. Once a final approval is received, a change order will be utilized to incorporate the final approvals into the project. No landscape work will be undertaken until the final approvals are in place. Following a thirty day bidding period, project bids were received on April 24, 2008. Jaynes Corporation was the successful low bidder with a bid of $6,448,000. The Bid Tabulation is attached. In an effort to expedite the project, the bidders have been required to submit a cost for preparation of steel shop drawings, therefore immediately following the award of the contract-, a Purchase Order can be issued for that critical path work. The successful contractor will be required to submit a letter acknowledging that this work will be in accordance with all contract documents for the project and the Purchase Order will have a similar statement included. The funding for this work element will be allocated from Airport funds so as to not conflict with the requirement for FAA approval. FISCAL IMPACT: The total estimated cost for the entire project including design, construction, administration, testing, security and public address systems as well as a 5% contingency is $8,675,800.
