Subject: APPROVE AMENDMENT NO. 4 TO SOLID WASTE
MANAGEMENT AGREEMENT WITH PALM SPRINGS DISPOSAL
SERVICES

SUMMARY
Approval of this Amendment to the Palm Springs Disposal Services (PSDS)
Agreement provides for the pass through of the County's recent landfill
disposal fee increase and the City's diversion/recycling fee as outlined in
Agreement Number 4727 with PSDS, and adjustment of all fees indicated on
Exhibit M accordingly.
RECOMMENDATION-
1) Approve Amendment No. 4 to the Solid Waste Management Agreement
with Palm Springs Disposal Services and the revised exhibit M.
2) Authorize the City Manager to execute the appropriate documents.
STAFF ANALYSIS:
The City of Palm Springs contracts with Palm Springs Disposal Services for
citywide trash removal services. Per City Agreement 4727, the contractor
bills customers for disposal services and fees, including the County landfill
disposal fee and the City's diversion and recycling fee.
In addition, Section 10.04 (f) of the agreement provides that the City may use
the diversion facility fee to offset the costs of a tipping fee increase from the
County. This, in fact, is what occurred from 1996 until 2005 when the
County's tipping fee rose from $30.00 to $34.98 and the City's diversion
facility fee fell from $8.50 to $3.52, thereby keeping the combined total of the
fees to be passed on to customers unchanged. While the City attempted to

keep the combined total fee unchanged for nearly ten years, the current
economic conditions do not allow us to continue this practice.
Hence, it is recommended that the County's July 1, 2009 landfill disposal fee
increase be passed through without a subsidy from the diversion facility fee.
The chart below identifies the current and proposed fees:

These proposed fee pass throughs (Exhibit M) would increase residential
rates by an average of 3.5%; commercial rates approximately about 4%; and
debris box/compactor rates 10%. An example of specific monthly rates
include: residential economy service, from $16.46 to $17.18, commercial
standard service, from $11.62 to $11.75; and once per week "3 cubic yard"
bin service from $128.92 to $133.67. The new rates are proposed to be
effective October 1, 2009, to coincide with the PSDS billing cycle, however,
the disposal tipping fee will be pro-rated to capture 12 months of the adjusted
fee in nine months.
FISCAL IMPACT
The annual revenue loss to the Recycling/Sustainability Fund without the fee
pass throughs would be approximately $287,000 (estimates based on PSDS
billing statistics)

1. 5%City Administration Fee&5%City Franchise Fee calculated on Service Fee receipts.
2. Rate during transitional period (July 1, 2003-September 30, 2003) until subscription service becomes effective (October 1,2003).
3. Containers must not exceed 32-gallon capacity or exceed 50 lbs. when filled;plastic bags are acceptable.
4. Individually billed accounts will be billed quarterly in advance to property owner of record unless other arrangements made. Alternative payment
arrangements do not relieve property owner of responsibility for payment.
5. Centrally billed accounts will be billed monthly in arrears to a single authorized payer for two or more dwellings. All dwellings must subscribe
to the same service level. Additional services added when authorized by designated representative.
6. Additional Can services are in addition to the regular subscription service.
7. Customer selects service level: Economy, Family Value, Standard or Estate. Standard Service is the default service
in the event Customer fails to select a service level.S25.00 fee to change service levels (fee waived during annual September
enrollment period).
8. Estate Service billed annually in advance. Semi-annual payment option available for additional fee of$5.00 per billing cycle.
9. Estate Service includes Contractor-provided containers and walk-in service for Refuse, Recyclables and Green Waste. Special
collections of extra Refuse, Bulky Items, Recyclables or Green Waste performed on Weekdays with 24-hour request.
10. Change Service Charge will be waived for one change between 10/1/03 and 11/30/03 and each year during the September enrollment period.
11. Special curbside collection service by special arrangement, additional fees may apply.
12. Subject to future CPI adjustments.
13. Subject to future CPI adjustments but the Residential County Disposal Tip Fee will not increase until 7/1/09.

12. Deposit of two months service required for new accounts or delinquent accounts. Deposits plus interest returned after 12 months
of maintaining account status as "current".

AMENDMENT FOUR
TO
SOLID WASTE MANAGEMENT SERVICES AGREEMENT
(Agreement No. A4727)
THIS AMENDMENT FOUR to the Solid Waste Management Services
Agreement (the "Agreement"), is made and entered into to be effective on the I�'day of
October, 2009, by and between the City of Palm Springs, a California charter city and
municipal corporation (hereinafter referred to as the "City") and Palm Springs Disposal
Services, a California corporation (hereinafter referred to as the "Contractor")
(collectively, the "Parties").
RECITALS
A. City and contractor previously entered into the Agreement, which granted
Contractor a franchise and giving Contractor the right and duty to collect, transfer,
transport, recycle, process and dispose of solid waste and recyclable material
accumulating within the City.
B. Section 14.02 of the Agreement provides that it may be amended at any
time with the mutual written consent of the Parties.
C. Section 10.03 (d) of the Agreement provides that Contractor is required to
collect a Diversion Facility Fee of$8.50 per ton on all solid waste tonnage. Amendment
3 to the Agreement clarifies and reaffirms the uses for which the City may use the
proceeds of the Diversion Facility Fee.
D. Section 10.04 (f) of the Agreement provides that the City may use the
Diversion Facility Fee to offset the costs of a county tipping fee increase resulting from
the Contractor's use of a designated transfer station.
E. City and Contractor desire to further amend the Agreement as provided
for herein.
NOW, THEREFORE, in consideration of the mutual promises and covenants
contained herein, the Parties agree as follows:
AMENDMENT TO AGREEMENT
I. This Amendment revises rates in Exhibit M to Agreement 4727 to
reinstate the diversion facility fee to the original amount of$8,50 per ton while passing
Riverside County's tipping fee onto the customers as provided for in the original
agreement."
2. Full Force and Effect. This Fourth Amendment is supplemental to the
Agreement and is by reference made a part thereof. All of the terms, conditions, and
provisions, thereof, unless specifically modified herein, shall continue in full force and
effect. In the event of any conflict or inconsistency between the provisions of the
Amendment and any provisions of the Agreement, the provisions of the Amendment
shall govern and control.
3. Corporate Authority. The persons executing this Amendment on behalf
of the Parties hereto warrant that (1) such party is duly organized and existing, (ii) they
are duly authorized to execute and deliver this Amendment on behalf of said party, (iii)
by so executing this Amendment, such party is formally bound to the provisions of this
Amendment, and (iv) the entering into this Amendment does not violate any provision of
any other agreement to which said party is bound.
