Robert Yates responded stating that she is the evaluation consultant. Ms. Kyle stated that she spoke with her because she read the Agenda and understood that she actually attended a meeting last month, in April, that spoke about the application that was put on by AMA and the staff overseeing that. She stated that she talked with them yesterday and at that point it sounded like it would work, but when she called back today and talked with Heather Meninger, she showed her on the FTA website fta.web.gov under Chapter 37J, it says that the JARC program can provide vouchers to low-income individuals to purchase rides, including mileage reimbursement, as part of the voluntary rider program, a taxi trip or trips provided by a social service agency. She stated that it then says transit passes for use on fixed route are not eligible. Ms. Kyle stated that the consultant stated this was quite new to her as well; this is actually 'Something they found out this morning. Ms. Kyle stated that it says the exact same warding under the New Freedom grant. Mrs. Wilson then added that if they were to go after this funding and join with SunLine, which they are most happy to do, they would have to redesign their program to include other forms of transit. She stated that right now this is a bus pass program that has been directed by the CVAG Homeless Committee. Chairman Wilson stated that we've got transit, bus and we're moving in the direction of taxi as well, so there are other modes other than buses. e airman s a e a Is suggestion is to go with the motion, let staff work with CVAG staff, work it out with RCTC and then come back to the Board with where they are going with it. The Chairman stated that he's a little befuddled that SunLine extended an arm to work with CVAG together and he doesn't think CVAG has even talked with SunLine staff about this. Mrs. Wilson responded stating that she has been on vacation, Oglesby stated that he did deal with RCTC because he was told to figure out something and make it happen; RCTC came back and gave direction in a letter. He stated that it is unfortunate that this morning CVAG just found out this new information. He further stated that he will have to inform Anne Mayer, but it would have been nice if he had known prior to the meeting and maybe something could have been worked out. Mrs, Wilson then asked if there would be any consideration with regard to the first area of looking at a discount for the homeless bus passes as indicated by the FTA Administrator; "at the Agency's discretion". Oglesby stated that underneath there's a lot of things attached to it; there are two other questions that were asked and+when you see the answers to those questions, you will understand what that statement means. CHANGES By written notice or order, AGENCY may, from time to time, order work suspension of changes in the general scope of this Agreement, including, but not limited to, the sF furnished to AGENCY by FRANCHISEE as described in the Scope of Work. If any sucl suspension or change causes an increase or decrease in the price of this Agreement or time required for its performance; FRANCHISEE shall promptly notify AGENCY there assert its claim for adjustment within ten (10) days after the change or work suspension is ordered, and an equitable adjustment sl negotiated. However, nothing in this clause shall excuse FRANCHISEE from proc immediately with the agreement as changed, ARTICLE 11. DISPUTES A. Except as otherwise provided in this ,agreement, any dispute concerning a qG of fact arising under this Agreement which is not disposed of by supplemental agreement s decided by AGENCY's Taxi Administrator, who shall reduce the decision to writing and i otherwise furnish a copy thereof to FRANCHISEE. The decision of the Taxi Administratc r be final and conclusive. ARTICLE 12. TERMINATION A ArFNrY may terminate this Aareement for r its convenience any time in wt II. Current Regulatory Environment The current regulatory environment is aimed at providing the minimum of safety standards for vehicles and operators. The regulatory agency provides that drivers undergo background checks, drug tests, and that vehicles are certified mechanically safe with properly operating meters. The current regulatory environment does not address vehicle service issues, and one reason is the agency receives few complaints from riders about the service. In an interview with SunLine Service Groups it was agreed that taxicab service is a service of convenience and most persons d not complain about a bad taxi ride (dirty car, scary driver, overcharging) and simply find an alternative for the next trip, other than using taxicabs. This leaves at risk the frail, elderly, or unsuspecting riders who have no other means of transportation and feel they must ride with the taxicab that shows up. There is an absence of a to competitive market in that most persons are subject to the vehicle and driver that arrives after placing a call for service or standing in line at the Airport or a resort. This lack of market choice makes it difficult for the rider to know the true quality of service until the trip is underway, by then limiting the passenger's free market choices. The regulatory agency has little ability to monitor each ride, and lacks a system to be made aware of passenger experiences. The regulatory agency's current scope is limited to providing minimur, safety standards for car and driver. In a weld-run company, such as City Cab of Palm Springs, the rider experience is monitored by tl owner and call takers,such that poor service quality.is corrected-by discipline of the driver or repair of the vehicles. The attention by management to the customer results in a type of self- regulation. The service.quality is important to the company in hopes of repeat business, and the company is sustained on a certain minimum volume of business. Economically undesirable trips are provided (generally short trips or passengers that take excessive,time to transfer), twenty fow hour dispatch is available even though unprofitable at certain times, vehicles are kept in service ; unprofitable•hours and wait times are monitored. Complaints are resolved.by management in agreement with the rider. This type of service monitoring is indicative of City Cab's managemnz) concern to sustain or increase the number of rides flowing to the company. A company's,desire to sustain business is at times counter to the individual taxicab operator. A taxicab operating independently has no accountability and economic factors sometimes outweigh customer service. When an independent operator sees,.a ride as unprofitable, the trip is avoided,or'sometimes made profitable through unscrupulous means, While most operators are honest andAike,to give good service, the ability-to select,trips can leave a passenger stranded or taken advantage of, particularly when the operator knows there are no consequences or accountability:.A driver managed by a company is more likely to behave because there is e accountability. A well-run company like City Cab currently has little economic incentive to invest in service improvements or increase the number of vehicles in their fleet since the addition of independent operators continues to dilute business. The increase in vehicles by City Cab has been through thf addition of independents at virtually no investment cost by the company. Providing regulation th encouraees investment by City Cab and euarantees a certain amount of business_ increases trips (i) AGENCY may retain separate co-counsel at its sole cost and expense to monitor the defense of the Third Party Claim provided however, that FRANCHISEE shall have the right to control the defense of such Third Party Claim in FRANCHISEE'S sole discretion. (ii) AGENCY will not consent to the entry of any judgment or enter into any settlement with respect to such Third Party Claim without the prior written consent of FRANCHISEE. (iii) AGENCY shall cooperate with all reasonable requests of FRANCHISEE in connection with the defense of such Third Party Claim, D. To the extent reasonably possible, AGENCY shall use its good faith efforts to mitigate any losses which FRANCHISEE is obligated to indemnify against pursuant to this indemnification paragraph. ARTICLE 14. ASSIGNMENTS AND SUBCONTRACTING Neither this Agreement nor any interest herein nor claim hereunder may be assigned by FRANCHISEE either voluntarily or by operation of law, nor may all or any part of this Agreement be subcontracted by the FRANCHISEE. This does not prohibit FRANCHISEE'S from subcontracting to individual taxi operators. No subcontractor may have an ownership interest in more than one taxi. ARTICLE 15. AUDIT AND INSPECTION OF RECORDS FRANCHISEE shall provide AGENCY or other agents of AGENCY, such access to FRANCHISEE's accounting books, records, payroll documents and facilities of the FRANCHISEE r' which are directly pertinent to this Agreement for the purposes of examining, auditing and inspecting all accounting books, records, work data, documents and activities related hereto. The,reason they gave; city cab did not list an addition of cabs in business. UNTRUE This could not come at a worst time ("right before July Holiday") this is the last big weekend of the year which all Cab companies rely on for that extra capital to get thru the slow summer and help with the next season start up expense. I figured it to be around $17000.00 dollars and over the year Z figured the loss of revenue to be about 98000.00. Just to put the loss in perspective city cab operates on a 9-15% profit margin; and those cabs reprisent 20% of city cabs way of producing profit ! ! ! ! ! An annual meeting for the election of directors and for the transaction of any other proper business shall be held on the date and at the time as the Board of Directors shall from time to time fix. BYLAWS _ d ti ARTICLE II BOARD OF DIRECTORS Section 1 - FUNCTIONS. The business and affairs of the corporation shall be managed and all corporate powers shall be exercised by or under the direction of its Board of Directors. The Board of Directors may delegate the management of the day-to-day operation of the business of the corporation to a management company or other person, provided that the business and' affairs of the corporation shall be managed and all corporate powers shall be exercised under the ultimate direction of the Board of Directors. The Board of Directors shall have authority to fix the compensation of directors for services in any lawful capacity. Each director shall perform the duties of a director, including duties as a member of any committee of the board upon which the director may serve in good faith, in the manner such director believes to be in the best interests of the corporation and its shareholders and with such care, including reasonable inquiry, as an ordinary prudent person in a like position would use under similar circumstances. (Section 309) . Section 2. EXCEPTION FOR CLOSE CORPORATION. Current Regulatory Environment The current regulatory environment is aimed at providing the minimum of safety standards for vehicles and operators. The regulatory agency provides that drivers undergo background checks, drug tests, and that vehicles are certified mechanically safe with properly operating meters. The current regulatory environment does not address vehicle service issues, and one reason is the agency receives few complaints from riders about the service. In an interview with Sun.Line. Service Groups it was agreed that taxicab service is a service of convenience and most persons do not complain about a bad taxi ride (dirty car, scary driver, overcharging) and simply find an alternative for the next trip, other than using taxicabs. This leaves at risk the frail, elderly, or unsuspecting riders who have no other means of transportation and feel they must ride with the taxicab that shows up. There is an absence of a true competitive market in that most persons are subject to the vehicle and driver that arrives after placing a call for service or standing in line at the Airport or a resort. This lack of market choice makes it difficult for the rider to know the true quality of service until the trip is underway, by then limiting the passenger's free market choices. The regulatory agency has little ability to monitor each ride, and lacks a system to be made aware of passenger experiences. The regulatory agency's current scope is limited to providing minimum safety standards for car and driver. In a well-run company, such as City Cab of Palm Springs,the rider.experience is monitored by the ® owner and call takers such that poor service quality is corrected by discipline of the driver or repair of the vehicles. The attention by management to the customer results in a type of self- regulation. The service quality is important to the company in hopes of repeat business, and the company is sustained on a certain minimum volume of business. Economically undesirable trips are provided (generally short trips or passengers that take excessive time to transfer), twenty four hour dispatch is available even though unprofitable at certain times,vehicles are kept in service at unprofitable hours and wait times are monitored. Complaints are resolved by management in agreement with the rider. This type of service monitoring is indicative of City Cab's management concern to sustain or increase the number of rides flowing to the company. A company's desire to sustain business is at times counter to the individual taxicab operator. A taxicab operating independently has no accountability and economic factors sometimes outweigh customer service. When an independent operator sees a ride as unprofitable, the trip is avoided or sometimes made profitable through unscrupulous means. While most operators are honest and like to give good service, the ability to select trips can leave a passenger stranded or taken advantage of,particularly when the operator knows there are no consequences or accountability. A driver managed by a company is more likely to behave because there is accountability. A well-run company like City Cab currently has little economic incentive to invest in service improvements or increase the number of vehicles in their fleet since the addition of independent operators continues to dilute business. The increase in vehicles by City Cab has been through the ® addition of independents at virtually no investment cost by the company. All other owners of taxi firms were invited by letter to meet at the SRA offices to provide input into this study. As shb'wn'by these photographs, the firm operates out of a dedicated facility which houses their 24 hour dispatch system, company offices, and a large maintenance facility. In addition, there is adequate room to park all vehicles in a protected, fenced area. City Cab generates the most trips of any of the Coachella Valley taxi firms. The firm generated' and-serviced 6702 cab trips for the month of November 2006, or approximately 10.15 trips per day per allocated taxi permit. This represents slightly more than 16% or the market demand served by all taxicabs in Coachella Valley for the month of November, 2006. City. Cab dispatching is performed over a radio network, and the firm has ,just installed a new GPS based taxi management system. Management is looking forward to additional reports and data which help manage the growth and financial affairs of the firm. Coachella Valley Taxi study 79 surveys out of 714 (780 less 66 returned for bad addresses) were returned for a response rate of 13%. While the response rate achieved was low in comparison with other communities, it did provide a sampling of the opinions regarding local taxi service in the valley. Questionnaires The questionnaires included several types of questions. "file first part was asking respondents to tell us which taxi companies they used most often. The second pan included a series of close-ended questions with attitudinal (order) choice. These questions were used to seek their view of taxicab arrival time, driver professionalism, vehicle quality, and so on. The last part was open-ended questions asking respondents for any comments they may have regarding their local taxicab service. Thus, each community is �I somewhat unique in its various market demands for taxi services. Within the Coachella Valley, taxi services are extremely important to the local users for shopping, medical appointments, eating out and generally getting around when an automobile or public transit is not an option. Taxi services are also important to visitors and tourists who vacation in the area during the winter months. The most important single generator of taxi demand is from the local airport — Palm Springs International Airport. For the month of February, 2007, for example, the airport generated 6,850 walk up taxi trips_ This number is nearly ten times the number of prearranged taxi trips during the same time period (718 trips). This number is also considerably larger than the 774 prearranged sedan and van trips generated by the airport. This airport traffic demand hoviever, is only a portion of the total demand for taxi trips within Coachella Valley. During the month of November, 2006, the total number of taxi trips as evidenced by the taxi meter readings was 41,751 trips. If the airport generated some 6,000 of these trips, the remainder, 35,751 trips (86%) were generated by non-airport sources. While the airport is the single largest taxi traffic generator, its contribution to the total number of trips is only 14%. The remainder comes from local residents and tourists. Of this local market for taxi services, only a few taxi firms supply the bulk of this market with service. As shown below, data from the month of November 2006, shows that Four of the Valley's 22 taxi firms supply nearly 50% of the total trips. However, on the sixteenth we got in around 10pm and I commented to my partner use City Cab. Of course general conversation with the blond woman driving all she wanted to do was complain that we had picked her cab....mind u we're thinking we are giving the cab company a compliment...She continued to have an attitude and then became personal that we had picked her cab because she wanted to go down valley for the Stagecoach Festival for more money. I comment to my partner maybe should use another cab company and tell friends and visitors coming to the valley have friends pick them up or use another cab company. Finally I ask her to be quiet and what is her name. She refused and pulled over at the Exotic Cars on Ramon and drop us out of the cab due under my breath I said to my partner(hard of hearing)what a bitch. We'd been travelling all day and residents and wondering is this what the cab company or Palm Springs tourist industry encourages. We called City Cab informed them of our problem and they sent out Pete who was friendlier and noted problems he's heard of about Ingrid also. Perhaps we should have stayed in the cab and let the police handle the situation or maybe next time this woman will not be so lucky with passengers.
