This list ol'signatures submitted represent a small portion of C.A.P.S
patients who wish to voice their support of allowing us to remain open to
provide them and the community medication for their illness.
we feel that this many e-mails, calls and three minute speeches would
create an enormous overload in city business and cost time and money to
document.
A better way is by petition and we respectfully submit ours to you for
consideration when making an important decision that may that has the
potential to negatively impact the health and welfare of the many patients
residing here in palm Springs and the surrounding areas.

This letter is to ask the city to have CAPS named as the third dispensary that receives a
pennil. CAPS has always operated in an ethical manner and was the first dispensary
open in the City of Palm Springs. CAPS has never had any complaints and enjoys a
syuergic relationship with neighboring businesses. CAPS has a need based program and
offers discounts and even free medication to qualified low income patients. CAPS
patients are self advocates and are highly involved in what happens in the city of Palm
Springs. CAPS enjoys the support of patients that has been earned through constant work
to maintain a good relationship with our members. CAPS has always worked with the
City to maintain a good relationship and has always operated in the most ethical manner
under the laws of the State of California.

We are looking forward to serving the needs of the medical cannabis patients of Palm Springs. pending
your upcoming decision to award a third medical cannabis collective permit.
It is our understanding that you will likely snake your selection from '`previously submitted qualified
applications that were made within the previous two years." (p.3, 5/26/10 planning commission staff
report). It is also our understanding that we, Herbal Solutions, hold the only remaining qualified medical
cannabis collective application submitted to the City of Palm Springs within the last two years.
I lerbal Solutions Southern California was one of 11 original applications which were reviewed before
City Council at the 12/2/09 Palm Springs City Council meeting, of those I I applications each of the other
applicants were systematically eliminated via vote from the Palm Springs City Council during subsequent
Council meetings.
At the Palm Springs City Council meeting on 12/2/09 there were give medical cannabis collective
applications that were denied for various reasons. Greenway Nature Care (9005), was denied because it
was operating against the cities wishes and also failed to appear to the council meeting that same evening
(and was mentioned on 12/2/09 staff report that it was within 500' of'a sensitive use and had not provided
sufficient evidence that it was a bona fide non-profit). West Valley Patient's Collective (#01 1) was
eliminated because it was operating against the city's wishes and also tailed to appear to the council
meeting that saute evening (and was mentioned on 12/2/09 stall-report that it needed a parking
modification). Organic Solutions of the Dessert (002), was eliminated because of neighborhood
opposition (a signed petition and neighbor complaints against the collective).
Happy Relief Center(4008) was disqualified because they tailed to appear to the 12/2/09 City Council
meeting(and was mentioned on 12/2/09 stafT report that it needed a parking modification). Similarly,

Valley Patients' Association (4010) was disqualified because they failed to appear to the 12/2/09 City
Council meeting.
Subsequently, at the Palm Springs City Council meeting on 12/16/09 The Farmacy (#007) and PS
Compassionate Care (4004)were disqualified, per the staff report, because they did not submit their
supplemental information by the deadline.
There were two medical cannabis permits, per the ordinance, given as the Palm Springs City Council
meeting that took place on 2/3/10, which were awarded to Cannahelp and Dessert Organic Solutions.
However, at this same City CUnncil meeting before the two permits were awarded, the City of Palm
Springs were considering four applicants: Cannahelp, Dessert Organic Solutions, C.A.P.S., and herbal
Solutions. Before the final vote was taken, C.A.P.S. was eliminated due to the fact that it was found to be
open and operating illegally, disobeying the city's prior request to all applicants to cease operation during
the application process. Other collectives were previously eliminated for this same reason as well. (It
should also be noted that even after the aforementioned second warning during the City Council meeting
on 2/3/10. C.A.P.S. still remains open and operating illegally as of the date of this letter.)
Due to the fact that C.A.P.S. was eliminated, Herbal Solutions, Dessert Organic Solutions, and Cannahelp
were the only three remaining"previously submitted qualified applications that were made within the
previous two years' when the City Council vote awarded the two permits to Cannahelp and Dessert
Organic Solutions on 2/3/10. The process of elimination confirms that we, I lerbal Solutions, hold the
only remaining qualified medical cannabis collective application submitted to the City of Palm Springs
over the past two years.
Please take this letter into consideration during the decision that lies before the Palm Springs City
Council on June 2, 2010, regarding the award of a third permit for medical cannabis collective in the City
of Palm Springs.

Dear Jay,
My name is Cody Burke, I am writing on behalf of Desert Valley Patients Association case file
#09-010mc. We are determined to become the next municipally approved medical marijuana
collective in the city of Palm Springs. DVPA was a pioneer in providing high quality medical
grade cannabis to the patients of the desert valley area. Our collective has maintained a
balance of compassionate patient relations as well as following the city's guidelines through the
evolution of the MMJ ordinance.
The location of our collective is in compliance with zoning, we also have the knowledge,
experience and space to grow our own medicine on site as required. There is nothing of
sensitive usage within 1,O00ft and there is no other collective within a 1,OOOft. Our established
location provides ample parking, a safe well lit building, cooperative fellow tenants and
landlord. DVPA has been a patient favorite because we provide top quality medicine, friendly
atmosphere and our professional yet personable approach. Our volunteers are local to the
Palm Springs area and all have spotless criminal records. We consider our patients family and
treat them as such.
Our collective was served in February and has been closed since to be in compliance with the
city ordinance. I think it would be in bad taste of the council to approve a collective that has
remained open after being served...Why reward disobedience? I want to be crystal clear, we
are willing to do whatever is required by the city to be issued the permit and begin providing
patients their medicine in a safe and timely manner. We have over 1,300 verified patients, and
a great relationship with our neighbors in the community. DVPA has made sizable donations to
the Desert Aids Project as well as The Retired & Disabled Police of America. Weekly we
provided free medication to our low income and terminally ill patients.
Upon approval we would implement a state of the art point of sale accepting all major credit
cards, book keeping software, and paperless scanning abilities specifically designed for medical
cannabis collectives. The medicine at DVPA has always been dispensed in childproof containers
and the potentcy of the cannabis will be measured with a gas chromotographer. Our collective
will also be utilizing a cashless system, similar to a gym membership, Patients will have the
choice of various packages to best fit the financial and medicinal needs.
I have spoke to the City Attorney Doug Holland about the application process and was referred

to you by Mr. Ken Lyon. We are trying our very best to go about the application process the right way
to optimize our chance of council approval. I am aware you are looking to choose from the collectives
that applied for the permit back in December which we DID, as well as submit the $7,000 fee for the
permit. I know that we at DVPA are a perfect fit for Palm Springs. We can and should be the next
municipally approved collective in the city. We appreciate your help and consideration during the
decision making process.

To The City of Palm Springs:
Please be advised that our office has been retained to represent the interests
of Organic Solutions of the Desert, Inc., one of the applicants for the third permit to
be issued by the City of Palm Springs for a medical cannabis cooperative or
collective (hereinafter "the Permit"). It is our information and understanding that
the Planning Commission is considering revisions to Ordinance 1753 and/or
portions of the Palm Springs zoning Ordinance ("PSZO") section 93.22,00 at al.,
and included within said revisions, the issuance of the Permit. It is our further
information and understanding that the Staff Report addressing this issue,
prepared for the Planning Commission's consideration on May 26ih, only
recommends two "qualified" applicants for the Permit - Collective Apothecary
Prescription Services (aka "CAPS") and Herbal Solutions. Please accept this letter
and the attachments hereto as a request for reconsideration of Organic Solutions of
the Desert, Inc., to be considered as a qualified applicant for the Permit. It is
Organic Solutions of the Desert's position that it has improperly been "dropped
from the running" on Inapplicable, incorrect, arbitrary and/or unequal treatment
bases.
On December 2, 2009, the City Council reviewed and evaluated eleven (11 )
applications for the Permit. The Staff Report prepared on this agenda item
concluded by recommending four applicants as "potentially qualified" and
recommended that the City Council direct said four applicants to submit
supplemental information regarding their governance to the City no later than
December St'. The four potentially qualified applicants included our client, Organic
Solutions of the Desert, Happy Relief Center, Herbal Solutions and West Valley
Patients Collective. However, during the hearing on the agenda Item, certain
applications (namely, CAPS) were allowed to "proceed," despite being In violation

of express and quantitative provisions of the PSZO. Members of the City Councll
arbitrarily "bent" certain requirements (i.e., within 500 feet of sensitive uses or
primary uses on site being that of retail), allowing CAPS to proceed "to the next
round" of permit consideration,
Meanwhile, our client's application was excluded from further consideration,
based on a petition allegedly submitted to the City by a resident of the Demuth Park
area, which contained signatures of individuals who allegedly work or live near the
proposed location on Williams Road, and who are allegedly opposed to any
- -- cooperative being located on .Williams..Road.._-.I-have---[evie_wed._th9-Otrd.Lrionce and__._.._._-__.__.__
the PSZO and cannot find any basis for denying an application for a cooperative (or
any business for that matter) on the more grounds that people who allegedly work
or live in the area (the majority of which, work or live beyond 500 feet from the
proposed business), oppose the cooperative. If that were the case, then one need
merely canvas the neighborhoods of all proposed locations, and I am sure that
signators could be found for a petition apposing the location of any cooperative. If
this Is a new criteria that the City of Palm Springs has set (i,e„ no opposition within
500 feet of the proposed location), then please advise and I am sure that every
applicant will immediately canvas all competitors' proposed locations for opposition
signatures on a petition and will submit same to the City of Palm Springs to defeat
the competition. In response to the petition presented for the first time at the
December 2, 2009, hearing, and to which my client wes not given a reasonable
opportunity to respond, my client submits that all of the signators who are alleged
residents In the area," live beyond 500 feet from my client's proposed location; the
closest is approximately one third of a mile away. The "local grocery store"
referenced in the petition Is a liquor store that happens to sell a few Asian grocery
items and which Is located immediately adjacent to a hyrdoponics storel
The City Council's determination or finding on December 2, 2009, that only
two of the applicants were "qualified" is not supported by the evidence and/or such
determination is not supported by the findings at the hearing. A few of the
applicants were rejected because they were operating wlthout a license and in
violation of the City's Ordinance and/or the State's Attorney General Guidelines. It
is interesting to note that while CAPS was AND 15 clearly operating without a
license, and is currently being sued by the City of Palm Springs for said violations
(Riverside County Superior Court, Indio District, Case No. INC 088918), CAPS was
not eliminated as a "qualified applicant." Why? Our client was eliminated as a
"qualified applicant" merely because someone submitted a petition signed by
persons who allegedly worked or lived in the Williams Road area. Why? Others
were eliminated because they failed to appear at the public hearing. Why? I am

in a Staff Report, with no Information missing from the application, and no
questions existed to be posed to the applicant at the public hearing that went

Mr. Camper has been'active in the medical marijuana movement since before the drafting of SB 420 He
did not come to the medical marijuana movement to operate;a collective—he was part of it when there
were no collectives and patients were still being arrested by Riverside County Sheriff a Officers for
growing just one plant.
Dedicated to haying California's medical marijuana laws fairly and vQmpassicnatoly unforced,be has
attended patient nicotings,helped raise public awareness,spoken before city councils and worked with
local officials on providing access to patients.He is dedicated to the cause of helping patients obtain their
medicine safely,reliably,affordably and locally.
With the sole exception of Palm Springs,municipalities have,passed mean-spirited and legally suspect
moratoriums and bans with definitions so broad and vague that even Judges have problems figuring out
just what it all means.Mr.Camper has endeavored to navigate through this byzantihf,legal framework to
provide patients with their medicine and I believe has shown in his past actions his intention and
willingness to work within the law enacted by both state and local officials,
A farmer feels pride in helping to feed people-a medical marijuana provider feels pride in helping

I am writing in support of Jim Camper and his medical marijuana dispensary business,
Organic Solutions.
My owners,Betty and Bert Humber,have owned the property at 11924 Palm Drive for
more than 25 years, During that time they have seen a number of businesses come and
go as tenants without much city interference. A dental office was a long-term tenant for
many years as is an insurance company still with us today. It seemed Desert Hot Springs
encouraged our pro-business philosophy of providing office space at reasonable market
rates and building a partnership for success with these businesses. Over the past couple
of years,however,that has all changed.
When our dental office moved out, we updated our property to new city standards
including electric,plumbing,handicap parking, etc, We felt confident we could attract
another good business to move in. One by one, small business owners would enter into
leases only to break them because their businesses failed, citing overly strict city
standards and a discouraging city business attitude.
We now have a one-year lease with Organic Solutions, which began November 1, 2006,
Jim Camper,the owner,has handled his lessee responsibilities with the utmost
professionalism. The business plan he presented my owners spoke of a passion to help
Cancer patients,Multiple Sclerosis patients, and any patient in need of Mcdical
Marijuana, Massage Therapy and Yoga as a means of relief. Jim wants to provide a safe
and affordable medicine legally prescribed to patients in your community. After
reviewing his business plan we felt he was an excellent choice for our office building.

the packet I sent to you and remainder of council
members. I am writing this request, per my attorneys
suggestion to see if the matter of getting reinstated can be
placed on either open or closed agenda at next city
council meeting 04-21, I feelI should be allowed to
complete my application and be in good standings with
the city in their decision to issue a 3rd license. Mistakes
and misunderstanding by all parties were made and I was
eliminated as a result of these events even though I was
never open, this is why the case was dismissed Had this
not occurred I feel I had a very good chance of
obtaining 1 of the 2 licenses issued so this is the reason I
am requesting the matter be placed on the agenda, I just
want what is fair. I am also requesting it be place at
beginning of meeting as my attorney plans on addressing
council on this matter. The law suit was dropped due to a
series of mistakes and misunderstandings by all parties.

SUBJECT: CASE 5.1218-A — ZONE TEXT AMENDMENT, AN APPLICATION BY
THE CITY OF PALM SPRINGS TO AMEND THE PALM SPRINGS
ZONING CODE SECTION 93.22.00 RELATING TO MEDICAL
CANNABIS COOPERATIVES AND COLLECTIVES,

SUMMARY:
Following implementation of Palm Springs Zoning Code Section 93.22 (Medical
Cannabis Cooperatives and Collectives), the City Council directed staff on April 7, 2010
to initiate a zone text amendment to allow the issuance of a regulatory permit for a third
medical cannabis collective/cooperative. The City Council will conduct a public hearing
and consider the proposed amendment.
RECOMMENDATION:
1. Open the public hearing and receive any testimony.
2. Waive the reading of the ordinance text in its entirety and read by title only;
and
3. Introduce on first reading ordinance no. _, "AN ORDINANCE OF THE CITY
OF PALM SPRINGS, CALIFORNIA, AMFNDING SUBSECTIONS 93,22.00

RECENT ACTIONS:
On March 4, 2009, the City Council approved Ordinance 1758, adopting PSZC Section
93.22.00 which established a regulatory permit process for establishing medical cannabis
cooperatives/collective uses.

On December 2, 2009 and December 16, 2009, the Council evaluated eleven applications
for the possible award of two medical cannabis regulatory permits.
On January 20, 2010, the Council approved a zone text amendment to PSZC Section
93.22,00, modifying the development standards for the approval of medical cannabis
cooperatives/collectives.
On February 3, 2010, the Council awarded two medical cannabis regulatory permits; one
to Desert Organic Solutions, Inc. and a second to Cannahelp, Inc.
On April 7, 2010, the Council initiated a zone text amendment to modify the number of
regulatory permits for medical cannabis from two to three.
On May 26, 2010, the Planning Commission held a public hearing to review the draft ZTA.
Staff will report the actions of the Planning Commission at today's City Council hearing.
STAFF ANALYSIS:
At its meeting of April 7, 2010, the City Council determined that in the interest of
providing a sufficient number of reliable and appropriately regulated medical cannabis
cooperatives/collectives, there should be a total of three permits issued, instead of
two. An amendment to the Zoning Code is required to allow a third permit.
PSZO Section 94.07.01 "Zoning Ordinance Text Amendment" provides guidance for
the processing of text amendments. Section 94.07.01 states,
"The city council may initiate proceedings by motion and then submit the
matter to the commission for public hearings." And "Within thirty (30)
days after the conclusion of the public hearing, the commission shall file
its recommendation with the council, together with a report of findings,
hearings and other supporting data.
A proposed draft of a zone text amendment has been developed. The changes
therein are summarized as follows;
1. Subsection F: Change in the number of permits from two to three and
making the provision that the Council may make its selection of award of the
third permit from qualified applications received during the previous
allotment process.
Staff Analysis. As requested by Council, this amendment changes the number of
permits to be awarded from two to three. In addition, it provides that the Council may,
at its discretion, fully open the solicitation process to receive new applications, or
make its selection and award of this third permit from previously submitted uag_ lified
applications that were made within the previous two years, so as to expedite the
selection process.

2, Subsection G: Clarifies and corrects the requirements for application
submission for individuals wishing to receive a medical cannabis regulatory
permit.
Staff analysis: This proposed change clarifies requirements and details for the
security camera system (number of hours of continuous backup video records) and
other miscellaneous submittal requirements, including that applicants must submit
plans showing off-street parking and information about other tenants when the
submission is part of a multi-tenant center.
3. Subsection K: Clarifies requirements for the sale or dispensing of food
products.
Staff analysis: This proposed change is adapted to reflect current County Department
of Health oversight rules for food products containing medical cannabis.
4. Subsection L: Corrects in number the hours of required back up video
records required
Staff analysis: Previously the number of hours of required video records was
incorrectly listed at 240 hours; this has been corrected to 120 hours, consistent with
requirements elsewhere in the ordinance.
5. Subsection M: Changes the procedure for choosing a new permit holder in
the event a previously approved permit holder ceases to operate.
Staff analysis: This proposed change allows the Council at its discretion, to fully open
the solicitation process for new applications, to replace a permit holder who ceases
operations for any reason, or choose from a list of previously received and screened
qualified applicants without requiring the solicitation of new applications, so as to
expedite the selection process.
A copy of the draft ordinance is attached.
CONCLUSION:
The proposed zone text amendment would:
a. Provide opportunities for residents and others to obtain medical marijuana as
allowed by the Compassionate Use Act of 1996,
b. Provide that if a medical cannabis cooperative/collective permit holder ceases
to operate for any reason, at least two other medical cannabis collectives and
cooperatives would still be available to serve the community, and

C. Provide for the timely and efficient review and award of a third permit from
existing qualified applicants, provided such applications were not received
more than two years prior to the selection date, and

holder from existing qualified applicants in the event that an existing permit
holder ceases to operate for any reason, provided that such applications were
not received more than two years prior to the selection date.

ENVIRONMENTAL:
Staff has evaluated the potential environmental impacts of the proposed Zoning
Ordinance text amendment and determined that it is Categorically Exempt under
Section 15305 — Minor Alterations in Land Use Limitations — of the Guidelines for the
Implementation of the California Environmental Quality Act. The proposed amendment
to allow medical marijuana cooperatives and collectives does not increase land use
intensity in any significant way.

PALM SPRINGS MUNICIPAL CODE, INCREASING THE
NUMBER OF ALLOWED MEDICAL CANNABIS
COOPERATIVES AND COLLECTIVES IN THE CITY FROM
TWO (2) TO THREE (3).
City Attorney Summary
The existing provisions of the Palm Springs Municipal Code
limit the number of approved medical cannabis cooperatives
and collectives to two (2) such uses. This Ordinance will
increase that number to three (3) medical cannabis
cooperatives or collectives that can operate in the City. This
Ordinance also affects the clean-up of minor provisions of
the existing Code relating to security filming requirements,
food distribution, and enforcement. The Ordinance also
allows the Council to limit review of applications to qualified
applications reviewed in a previous Allotment Process under
defined circumstances.
THE CITY COUNCIL OF THE CITY OF PALM SPRINGS, CALIFORNIA, ORDAINS:
SECTION 1. Subsection 93.22.00F of the Palm Springs Municipal Code is amended to
read:
F. No more than three (3) Medical Cannabis Cooperatives and/or Collectives shall
be maintained or operated in the City at any time. The City Council shall review and
evaluate all qualified applications and will approve issuance of regulatory permits to the
most qualified as determined through the Allotment Process described below. Where
the City Council has reviewed qualified applications within two (2) years of any review
and allotment proposal allowed under the provisions of this Section, the City Council
may limit its review to one or more of the qualified applications reviewed and considered
during such previous Allotment Process.
SECTION 2. Subsection 93.22.00.G of the Palm Springs Municipal Code is amended
to read:
G. Prior to initiating operations and as a continuing requisite to conducting
operations, the legal representative of the persons wishing to operate a Medical
Cannabis Cooperative or Collective shall obtain a regulatory permit from the City
Manager under the terms and conditions set forth in this Section. The legal
representative shall file an application with the City Manager upon a form provided by
the City and shall pay a filing fee as established by resolution adopted by the City
Council as amended from time to time. An application for a regulatory permit for a

Medical Cannabis Cooperative or Collective shall include, but shall not be limited to, the
following information:
1. An estimate of the size of the group of primary caregivers and/or qualified
patients who will be served by the non-profit cooperative; this description should
include whether delivery service will be provide and the extent of such service.
2. The address of the location from which the cooperative for which
application is made will be operated;
3. A site plan and floor plan of the premises denoting all the use of areas on
the premises, including storage, cultivation areas, exterior lighting, restrooms,
signage, and parking; other tenant spaces if the cooperative or collective is
proposed for a multi-tenant building site.
4. A security plan including the following measures:
a. Security cameras shall be installed and maintained in good working
condition, and used in an on-going manner with at least 120 continuous hours
of digitally recorded documentation in a format approved by the City Manager.
The cameras shall be in use 24 hours per day, 7 days per week. The areas to
be covered by the security cameras include, but are not limited to, the storage
areas, cultivation areas, all doors and windows, and any other areas as
determined by the City Manager.
b. The lease/business space shall be alarmed with a reliable, commercial
alarm system that is operated and monitored by a security company or alarm
business that is operating in full compliance with Chapter 6.02 of this Code.
c. Entrance to the dispensing area and any storage areas shall be locked at
all times, and under the control of cooperative staff.
d. The business entrance(s) and all window areas shall be illuminated during
evening hours. The applicant shall comply with the City's lighting standards
regarding fixture type, wattage, illumination levels, shielding, etc., and secure
the necessary approvals and permits as needed.
e. All windows on the building that houses the cooperative or collective shall
be appropriately secured and all marijuana securely stored.
SECTION 3. Paragraph 6 of Subsection 93.22.00.K is amended to read:
6. Each cooperative or collective that prepares, dispenses, or in any manner
distributes food must comply with the provisions of all relevant State and local
laws regarding the preparation, distribution, and sale of food.

SECTION 4. Paragraph 4 of Subsection 93.22.001 of the Palm Springs Municipal
Code is amended to read:
4. The City Manager may revoke a medical cannabis regulatory permit if any
of the following, singularly or in combination, occur:
a. The City Manager determines that the cooperative or collective has failed
to comply with any provision of this Code, any condition or approval, or any
agreement or covenant as required pursuant to this Section; or
b. Operations cease for more than 90 calendar days, including during
change of ownership proceedings; or
c. Ownership is changed without securing a regulatory permit; or
d. The cooperative or collective fails to maintain 120 continuous hours of
security recordings; or
e. The cooperative or collective fails to allow inspection of the security
recordings, the activity logs, or of the premise by authorized City officials.
SECTION 5. Subsection 93.22.00.M is hereby amended to read:
M. In the event a qualified cooperative or collective that receives an allotment
under Subsection I of this Section ceases to operate for any reason, the City Manager
may or shall reopen the allotment process and provide an opportunity for new
applications to be submitted. The time periods and process provided in Subsection I
shall be applied to the review and consideration of applications and the allotment of a
regulatory permit. The provisions of this Subsection shall not apply in those situations
where the City Council has reviewed qualified applications within two (2) years of a
previous Allotment Process and the City Council decides to limit its review to one or
more qualified applications reviewed and considered during such previous Allotment
Process.
SECTION 6. Upon the effective date of this Ordinance, the City Council will not initiate
a new Allotment Process and will review and consider the following qualified
applications that the City Council previously considered during the 2009-10 Allotment
Process: MC09-003: CAPS Apothecary; and MC09-009: Herbal Solutions.

SECTION 7. The Mayor shall sign and the City Clerk shall certify to the passage and
adoption of this Ordinance and shall cause the same, or .the summary thereof, to be
published and posted pursuant to the provisions of law and this Ordinance shall take

11. The City Manager shall conduct a background click of any applicant for a regulkilory permit,including any person who is managing
or is otherwise responsible for the actiyities of the cooperative or collective,and any employee,and shall prepare a report on the
acceptability of the applicant's background and the suitability of the proposed location. Upon completing the review process,the regulatory
Permit shall be deemed a qualified application subject to the final certification and approval by the City Council pursuant to the allotment
process, unless ft City Manager finds that the applicant:
1. Has made one or more Use or misleading slnlcmcnts,or omissions on thw application or during the application process;or
2. 1 he propxascd cooperative or collective is not allowed by state or local law,statue,ordinance,or reguhtl.ion, including this
Code,at a particular location.
3. Is not a Primary Caregiver or Qualified Patient or the legal representative of the cooperative or collective;or
4. The applicant,or any person who is managing or is o0wrwise responsible for the activities of the:cooperative or collective,or
any employee,if any,has been convicted of"a fulony,or convicted of a misdemeanor involving moral turpitude,or the illegal use,
possession,transporbt.ion,distribution or similar activities related to comrolled substances,with to exception of marijuana related
offenses for which the conviction occurred prior to passage of Compassionate Use Act. A amviution within the meaning of this
section means a plus,or verdict of guilty or a conviction following 4 plea of polo contendere.

allotment process,may impose reasonable terms and conditions on the proposed Operations in addition to those specified in this Section. A

3. Operation of the cooperative or collective in tom-compliance with any conditions of approval or standards of this Section shall
constitute a violation of the Municipal Coda and shall be enforced pursuant to the provisions of this Code.
4. The City Manager may revoke a medical marijuana regulatory punnil if+my of the following,singularly or in combination,
occur:
a. the City Mamagcr determines that dw cooperativc or collective has failed to comply with this Section,any condition or
approval,or any agreement or covenant as required pursuant to this Section;or
b, Opera.l.iuns cease for more than 90 calendar days,including during ubangu of ownership proceedings;or
C. Ownership is changed without securing a regulatory pennit;or
d. The cooperative or collective fails to maintain 240 hours of security rueordings;or
G. The cooperative or collective fails to allow inspection of the security recordings,the activity logs,or of the premise by
authorized City officials.
5. Any decision regarding the approval,conditional approval,denial,or revocation of a regulatory permit may he appealed to the
City Council. Said appeal shall be made by a notice of appeal from Ilac person appealing within thirty(30)days from the date of the.
decision Thu appeal shall he accompanied by a Re,which shall be established by resolution of the City Council amcmlcd from time
to time,and a written,vcriflcd declaration setting forth the basis for the claim that the purmil was improperly approved,denied,
conditioned or revoked. Piling of an appeal shall suspend the: issuance of all regulatory permits until action is taken on the appeal.
M. In the event a qualified cooperative or collective that receives an allotment under Subsection I of this Section ceases to operate Ibr
any reason,the City Manager shall reopen the allotment process and provide an opportunity for new applications to be submitted. The time
periods and process provided in Subsection I shall be applied to the review and consideration of applications and the allotment of a.

The existing provisions of the Palm Springs Municipal Code
establish several standards and regulations pertaining to
medical cannabis cooperatives and collectives. This
Ordinance allows the City Council to approve administrative
modifications to certain specific standards and regulations
for medical cannabis cooperatives and collectives.
i"HE CITY COUNCIL OF THE CITY OF PALM SPRINGS, CALIFORNIA, ORDAINS:
S TION . Subsection 93.22.0 of the Palm Springs Municipal Code is
amended to read:
C. No Medical Cannabis Cooperative or Collective shall be established,
developed, or operated within five hundred (500) feet of a school, public playground or
park, or any residential zone property, child care or day care facility, youth center, or
church, or within one thousand (1000) feet of any other Medical Cannabis Cooperative
or Collective, and shall not be located on any property that is occupied with a
commercial retail use where such use is the primary use on such property. All
distances shall be measured in a straight line, without regard to intervening structures,
from the nearest point of the building or structure in which the Medical Cannabis
Cooperative or Collective is, or will be located, to the nearest property line of those uses
describe in this Subsection. Administrative modifications for this standard may be
granted by the City Council pursuant to Section 94.06.01_B.
SECTION 2. Section 93.22.00.E is hereby amended to read'
E. A Medical Cannabis Cooperative or Collective shall be parked at a rate of
I space for every 250 gross square feet of office space, and 1 space for every 800
square feet of warehouse i cultivation space. Administrative modifications for this
standard may be granted by the City Council pursuant to Section 94.06.01.13.
SECTION 3. Paragraph 6 of Subsection 93.22.00,H of the Palm Springs
Municipal Code is repealed.

SUMMARY:
Following implementation of Palm Springs Zoning Code Section 93.22 (Medical
Cannabis Cooperatives and Collectives), the City Council directed staff on April 7, 2010
to initiate a zone text amendment to allow the issuance of a regulatory permit for a third
medical cannabis collective/cooperative. The Planning Commission will conduct a
public hearing, consider the proposed amendment and forward its recommendation to
the Council.
RECOMMENDATION:
Staff recommends the Planning Commission:
1. Open the public hearing and receive any testimony.
2. Adopt the attached draft resolution recommending certain amendments to Section
93.22 of the Palm Springs Zoning Code.

RECENT ACTIONS:
On March 4, 2009, the City Council approved Ordinance 1758, adopting PSZC Section
93.22.00 which established a regulatory permit process for establishing medical cannabis
cooperatives/collective uses.
On December 2, 2009 and December 16, 2009, the Council evaluated eleven applications
for the possible award of two medical cannabis regulatory permits.
On January 20, 2010, the Council approved a zone text amendment to PSZC Section
93.22.00, modifying the development standards for the approval of medical cannabis
cooperatives/collectives.
On February 3, 2010, the Council awarded two medical cannabis regulatory permits; one
to Desert Organic Solutions, Inc. and a second to Cannahelp, Inc.
On April 7, 2010, the Council initiated a zone text amendment to modify the number of
regulatory permits for medical cannabis from two to three.
STAFF ANALYSIS:
At its meeting of April 7, 2010, the City Council, during review of possible rescission of
one of the regulatory permits, determined that in the interest of providing a sufficient
number of reliable and appropriately regulated medical cannabis
cooperatives/collectives, there should be a total of three permits issued, instead of
two.
PSZO Section 94.07.01 "Zoning Ordinance Text Amendment" provides guidance for
the processing of text amendments. Section 94.07.01 states,
"The city council may initiate proceedings by motion and then submit the
matter to the commission for public hearings." And "Within thirty (30)
days after the conclusion of the public hearing, the commission shall file
its recommendation with the council, together with a report of findings,
hearings and other supporting data."
A proposed draft of a zone text amendment has been developed. The changes
therein are summarized as follows;
1 . Subsection F: Change in the number of permits from two to three and
making the provision that the Council may make its selection of award of the
third permit from qualified applications received during the previous
allotment process.

Staff Analysis: As requested by Council, this amendment changes the number of
permits to be awarded from two to three. In addition, it provides that the Council may,
at its discretion, fully open the solicitation process to receive new applications, or
make its selection and award of this third permit from previously submitted qualified
applications that were made within the previous two years, so as to expedite the
selection process.
2. Subsection G: Clarifies and corrects the requirements for application
submission for individuals wishing to receive a medical cannabis regulatory
permit.
Staff analysis: This proposed change clarifies requirements and details for the
security camera system (number of hours of continuous backup video records) and
other miscellaneous submittal requirements, including that applicants must submit
plans showing off-street parking and information about other tenants when the
submission is part of a multi-tenant center.
3. Subsection K. Clarifies requirements for the sale or dispensing of food
products.
Staff analysis: This proposed change is adapted to reflect current County Department
of Health oversight rules for food products containing medical cannabis.
4. Subsection L: Corrects in number the hours of required back up video
records required
Staff analysis; Previously the number of hours of required video records was
incorrectly listed at 240 hours; this has been corrected to 120 hours, consistent with
requirements elsewhere in the ordinance.
5. Subsection M: Changes the procedure for choosing a new permit holder in
the event a previously approved permit holder ceases to operate.
Staff analysis: This proposed change allows the Council at its discretion, to fully open
the solicitation process for new applications, to replace a permit holder who ceases
operations for any reason, or choose from a list of previously received and screened
qualified applicants without requiring the solicitation of new applications, so as to
expedite the selection process.
A copy of the entire draft ordinance revision is provided for reference, and a draft
resolution has been prepared for the Commission's review and recommendation.

CONCLUSION:
The proposed zone text amendment would:
a. Provide opportunities for residents and others to obtain medical marijuana as
allowed by the Compassionate Use Act of 1996,
b. Provide that if a medical cannabis cooperative/collective permit holder ceases
to operate for any reason, at least two other medical cannabis collectives and
cooperatives would still be available to serve the community, and
C. Provide for the timely and efficient review and award of a third permit from
existing qualified applicants, provided such applications were not received
more than two years prior to the selection date, and
d. Provide for the timely and efficient review and award of a replacement permit
holder from existing qualified applicants in the event that an existing permit
holder ceases to operate for any reason, provided that such applications were
not received more than two years prior to the selection date.
e. Provide clearer submittals for more efficient City evaluation of future
applications

amendment will not result in any significant change in land use or density.

Janice Hardoon owns KoreaTown Collective, LLC. KTC is one of 187 original Los Angeles
collectives and was established in 2006, prior to the beginning of the moratorium during which
hundreds of collectives opened. KTC follows the guidelines set forth by the state attorney of
California and continues to operate under the business laws established by the city of Los Angeles.
Each patient must comply with the following politics of KTC:
1. Each patient must show valid legal identification each visit.
2. Each patient must have a verifiable and current doctor's recommendation or physician
issued card each visit.
3. Each patient must be 21 year of age.
4_ KTC prohibits the opening, repackaging, or use of medicine on the property and its
surrounding premises. A state licensed security official enforces this by continually
monitoring the aforementioned areas.
5. KTC does not allow the sharing of medicine purchases.
6. KTC adheres to a NO smoking policy on premises.
7. Each patient receives a receipt along with medicine in a sealed container in a pharmacy
bag. Stapled to the pharmacy bag is a notice stating the facility guidelines of KTC,as a
reminder.
Janice Hardoon is proud to state that she has had no encounters with law enforcement. KTC
works with officer Bruner- 213-793-0774 of the Olympic Division of the LAPD. We attend
neighborhood watch programs and events. Detective W. Scra- 213-382-9378-of the LAPD recently
visited KTC to observe and document daily operations in accordance with the City of Los Angeles'
investigation of the recent increase of medical marijuana dispensaries.
KI'C. is open from 10 am to 9 pm Monday-through Saturday, and 11 am to 8 pm on Sunday.
In a typical week, KTC sees approximately 450 patients. Busy times are between 12pm and 230pm,
and again between 5pm and 830pm. KTC has 24/7 monitored security. We maintain 12 closed

circuit cameras that maintain 30 days of data storage. In addition, a state-licensed security officer is
present on the premises during all business hours. Carneras are placed to monitor the surrounding
street and store areas.The storefront is located on a busy street, in a shopping center with six,other
tenants. Patients enter a locked front door before being greeted by a security guard at an additional
locking gate where they are asked to see proof of age. After entering the waiting area for the first
time, patients complete necessary document packets and sign a form stating they have read and
understand the facility guidelines. Each patient must provide valid state-issued identification or
Passport along with the original copy of their doctor's recommendation or recommendation 1D card.
The recommendation is verified with the doctor's office for validity and current expiration status.
Returning patients are required to provide legal identification and as a KTC employee is verifying
their recommendation expiration status.
All medicines are locked and are not accessible to any unauthorized persons. All inventories
are stored in a combination locked safe,which a manager must be present to open. When new
medicine is obtained, it is immediately packaged into varying useable amounts for patients. Sizes
include single grams, 3.5 gram, and 14 gram containers. The amount of each size packaged is
detertnincd by comparing past sales records of similar medicine. The pre-packaged containers are
stored in drawers accessible only to the manager. Each night the manager makes one cash deposit
into a locked combination safe. The credit card summaries are collected and stapled to the individual
credit card receipts. The manager makes a daily summary and records the data in a notebook.
Patients are seen individually to ensure proper care. When a patient decides what they need
with the help of a knowledgeable staff at the counter, a sales ticket along with payment is handed
through a window to the manager on duty. The manager pulls the pre-packaged container from the
appropriate drawer, rings up the sale on the computer, deposits the cash or credit card receipt into the
register, and provides any change if necessary. The patient receives their medicine in a pharmacy bag
which is sealed with a note detailing the KTC guidelines.

KTC uses intuits Quickbooks software as a comprehensive program to manage, track and
document the inventory and sales history. The point of purchase computer system is a valuable tool
that documents all sales—cash or credit- and removes product sales from inventory. The software
program can easily produce charts and graphs that memorialize patient flow, product sales and
calculate sales tax collections. Intuit software programs are integrated so that the point of purchase
program is imported to the turbo tax software to simplify all accounting.
KTC product prices are derived from the values that are determined from our designated
growers. There are many varieties of medicines to provide ditferent solutions depending on each
patient's specific ailments. Medicine prices are determined by several factors; availability,
production and labor, and quality are some of the major determining factors. KTC has a reputation
for providing the best medicine and customer service for any person's economic situation. Varying
qualities reflect different prices due to knowledge of the grower, time taken to grow the medicine,
and amount of medicine grown. While a fair majority of collectives in the area top 1/8 prices at up to
$80 each, we top our 1/8 prices at$65 including tax. In addition to fair prices, we have a generous
compassion program, which allows all qualified patients to receive necessary medicine at below or at
no costs. Currently, we are evaluating many insurance companies that will cover medical marijuana.

Products sold at P.S. CC will be priced even lower because it will all be cultivated in-house.
Costs of setting up enough equipment to properly sustain the patient community will Cost around
$1.50,000 and it would take 1 to 1 %years to recoup this expense, incorporating all factors and
salaries into the estimate. This figure is definitely it ballpark estimate, as every grow-room has
different problems that require different amount of money and labor to overcome. Examples are heat
problems, air circulation problems, and lighting problems, all of which must be controlled prior to
cultivating anything. NO room is perfect right off the bat; it takes a little bit of time and effort to
achieve the optimal environment.

Estimating the number of patients that P.S. Compassionate Care will provide medicine to is
an interesting proposition. The City of Palm Springs is granting a valuable service to a population of
people that are in need of alternative medicine options. Based on the discussion at the council
meeting on December 2, 2009, a unique business model is needed to he created and to allow for
modifications to work directly with the local government. P.S. Compassionate Care estimates a
patient community of,3000. Abiding by the city of Palm Springs ordinance guidelines of operating
hours of Monday through Saturday of 9 AM to 7 PM, the collective could average 100 patients per
day. Future growth of the collective community would be determined by the regulations of local,
county and state compassionate care legislation. It is reasonable to assume that a very large
percentage of patients will be Patin Springs residents initially, with many more patients coming from
neighboring cities and counties as time progresses.
Y.S. CC intends to glow all of the medicine that will be distributed to ensure safety and
quality of medicine. P.S. Compassionate Care has leased a property located inside the city of Palm
Springs in the required designated zone. The property address is surrounded by an electronic gate and
has no direct major thoroughfare traffic. 3585 Del Sol Rd. is at the end of Oasis Road, P.S. CC has
given the city an explicit set of security plans that have been designed and will be executed and
monitored by Olinn Executive Security. In addition to the video surveillance,a state licensed security
officer will be on staff to reassure all patients, local businesses and local authorities that all
precautions are being taken to provide peace and safety. The property that P.S. CC has leased is a
warehouse with office measuring approximately 5500 square feet. 1000 sq li has been designed to
provide a secure, comfortable and easily accessible store for patients. The layout of the store provides
several areas that can be closed off and or locked for authorized employees without sacrificing the
desired atmosphere required for patient confidentiality and contfortability. The remaining space will
be used for growing the desired medicines for our patient community. That area will be sealed and
monitored and will be accessible from an entrance not connected to the patient area.

P.S. Compassionate Care has drafted blueprints to build an area for growing medical
marijuana. The facility has 4500 sq. feet of secured warehouse that will be converted to a sterile and
environmentally controlled area to house the plants that will produce the medical marijuana. An area
of that size will be able to continuously Produce various varieties of medicine to meet the demands of
our community Populations. An operation of this size will create 20-30 full and part-timejobs in the
Palm Springs local area. A collective created within the city guidelines will offer each of the
qualified patient members a task to participant in its success.
The medicine will be grown by the most knowledgeable of staff with experience in this field.
It will he grown using strictly organic supplements with an extreme minimum of waste. There will
not be water runoff in the surrounding terrain or air contaminants present, preventing any
environmental impact in the surrounding area. The medicine grown will be inspected for pathogenic
mold prior to distribution. With the experience present and room to cultivate properly, it is assured
that only the highest quality medicine will be produced by Y.S. CC.
P.S. Compassionate Care has created a staff of professional management to oversee the
business operation. Janice Hardoon, Danny Sintov and Retired Superior Court Judge Gary Bindman
will be on premise to work with our staff and local goverment officials in order to operate a safe and
responsible collective. P.S. CC is committed to providing excellent service and opportunities for
residents of Palm Springs. 3585 Del Sol Rd., in North Palm Springs, is the best location for a
medical marijuana collective because is located at the end of a quiet commercial zone on a gated
piece of property. Security monitoring has been detail and will be provided by O'linn Executive
Security, a local business that has been doing business for the city of Palm Springs since the mid
1990s.
P.S. Compassionate Care is a collective that will continue to evolve and grow with the
community of Palm Springs. This collective is going to successful with the participation of its
member patients and local law enforcement and goverment officials. P.S. CC will make a village.

OF
P S COMPASSIONATE CARE INC.
A California Non-Profit Mutual Benefit Corporation
ARTICLE I
NAME
The name of the corporation is P S Compassionate Care Inc.
ARTICLE II
OFFICES OF THE CORPORATION
The principal place of business of the corporation shall be at a location in
Riverside County, California to be determined by the Board of Directors ("Board"). The
Board may, without changing the Bylaws, from time to time, change the location of the
corporation's principal place of business.
The Board may, from time to time, establish additional office(s) for the conduct of
the corporation's business.
ARTICLE III
CORPORATE PURPOSES
The corporation is a nonprofit mutual benefit corporation, organized under the
California Nonprofit Mutual Benefit Corporation Law, to operate as a not-for-profit collective.
The purposes of the corporation are to engage in any lawful acts and activity, other than
the credit union business, for which a corporation may be organized under such law,
including, without limitation, to facilitate providing natural remedies for chronically ill
Californians for which licensed physicians may recommend herbal and/or other
remedies, and to collect, compile and conduct research regarding herbal and/or other
remedies.
The corporation shall lawfully cultivate, acquire, possess and/or distribute lawfully
cultivated medical cannabis and its derivatives (individually and collectively, "medicine")
within the collective, and provide for the security and non-diversion of medicine in
compliance with state and local laws, regulations, guidelines and ordinances.
ARTICLE IV
MEMBERS
The corporation shall have voting members in accordance with the California
Nonprofit Mutual Benefit Corporation Law and other pertinent laws, with overall
management of the corporation's operations to be exercised by the Board and duly
elected officers.

ARTICLE V
BOARD OF DIRECTORS
In accordance with the California Nonprofit Mutual Benefit Corporation Law and
other pertinent laws, regulations, guidelines and ordinances, the operations of the
corporation shall be managed and exercised by and under the direction of the Board
and duly elected officers.
The Board and elected officers shall have all general powers afforded them
under the California Nonprofit Mutual Benefit Corporation Law and other pertinent laws,
regulations, guidelines and ordinances, including, without limitation.
1. Establishment and maintenance of the corporation's purposes, objectives
and goals, as well as the means of implementing them.
2. Oversight of the corporation's business and related matters, including,
without limitation, regulatory compliance, corporate governance and
succession„ corporate audits, and related matters.
3. Establishment and oversight of corporate committees and working groups.
4. Plan for and approve corporate leadership positions; at the Board's sole
discretion, elect andior appoint and remove corporate officers, employees and
agents; prescribe powers and duties of corporate officers, employees and
agents, and determine compensation for the performance of such duties.
5. Change the location of the corporation's principal place of business;
qualify the corporation to conduct its business in other jurisdiction(s), and
designate any place within or outside California for holding of any meeting,
including, without limitation, annual or special meetings.'
6. Adopt, make, use and, from time to time, change the corporation's seal;
prescribe and, from time to time, change the forms of membership
certificates, if any.
7. On behalf and in furtherance of the corporation's purposes, borrow money
and incur debt, and provide for execution in the corporation's name of
appropriate documents in furtherance thereof, including, without limitation,
promissory notes, bonds, deeds of trust, mortgages, hypothecations, and
other indicia of indebtedness and security for such indebtedness.
S. Invest, or cause to be invested, some or all of the corporation's assets in
accounts, properties and other capital assets.
9. Enter into agreements and arrangements with other entities and
individuals for the purpose of implementing and furthering the

corporation's goals and objectives, provided that such agreements and/or
arrangements in no way compromise the corporation's nonprofit status.
The Board shall consist of at least one and not more than five directors, the
precise number of directors to be determined by resolution of the Board. The initial
director shall be appointed by the corporation's incorporator, identified in the
corporation's initial Articles of Incorporation. Thereafter, director(s) shall be elected by a
majority of directors then in office, whether or not a quorom exists, or by the sole
director-
Director(s) shall be elected at each annual Board meeting; however, if there is no
annual Board meeting, director(s) may be elected at a special Board meeting. Each
director shall hold office until expiration of that director's term and until a successor
director has been elected.
A director may resign, which resignation shall be effective on giving written notice
to the president or secretary of the corporation or to the Board, unless the notice
specifics a later time for the resignation to become effective. If the resignation of a
director is effective at a future time. the Board may elect a successor to take office when .
the resignation becomes effective.
A director may be removed with or without cause by a vote of the majority of
director(s) then in office.
A vacancy or vacancies on the Board shall be deemed to exist on the occurrence
of (a) the death, resignation or removal of a director, (b) the declaration by resolution of
the Board of Directors of a vacancy of an office of a director who has been declared of
unsound mind by an order of court, has been convicted of a felony or has been found by
final order or judgment of a court to have breached a legally imposed duty arising under
Corporations Code § 7238.
Regular or special meetings of the Board may be held at any place within or
outside California designated by the Board. In the absence of such designation, Board
meeting shall be held at the principal place of business of the corporation. Any Board
meeting may be held by telephone conference or other generally available electronic
means of communication equipment, so long as all Directors participating jn the meeting
can hear one another, in such instances, all participating directors shall be deemed to
be personally present at such meeting.
The annual meeting of the Board shall take place on the second Friday of
February of each year, unless such Friday is an official holiday, in which case it shall
take place on the next Friday that is not an official holiday. Notice of meetings shall be
given by written noticed delivered personally, by first-class mail, by verified e-mail or by
verified fax, to the address of each director shown on the corporation's records. Unless
waived, notice of such meeting shall state the date, time, location and purpose of such
meeting.

Directors may receive reasonable compensation for their services as such, as
well as reimbursement for their expenses as such, in accordance with Board resolutions
relating thereto.
ARTICLE VI
OFFICERS
The officers of the corporation shall include, without limitation, a president,
secretary and treasurer. The Board also may elect a chairman of the Board, vice
president(s), assistant secretary(ies), assistant treasurer(s) and other officers as the
Board, in its discretion, may determine. Any number of offices may be held by the same
person.
An officer may resign, which resignation shall be effective on giving written notice
to the president or secretary of the corporation or to the Board, unless the notice
specifics a later time for the resignation to become effective. If the resignation of an
officer is effective at a future time. the Board may elect a successor to take office when
the resignation becomes effective.
Any officer(s) may be removed by the Board with or without cause.
ARTICLE VII
INDEMNIFICATION OF DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS
To the fullest extent permitted by law, the corporation shall indemnify its directors
and officers and may indemnify employees and other persons described in Corperations
Code §7237(a), including persons formerly occupying such positions, against all
expenses, judgments, fines, settlements and other amounts actually and reasonably
incurred by them in connection with any "proceeding" and including an action by or in
the right of the corporation, by reason of the fact that the person is or was a person
described in that section. "Expenses", as used in this bylaw, shall have the same
meaning as in that section of the Corporations Code.
To the fullest extent permitted by law and except as otherwise determined by the
Board in a specific instance, expenses incurred by a person seeking indemnification
under Article VI of these bylaws in defending any proceeding covered by this Article
shall be advanced by the corporation before final disposition of the proceeding, on
receipt by the corporation of undertaking by or on behalf of that person that the advance
will be repaid unless it is ultimately found that the person is entitled to be indemnified
the corporation for such expenses.
ARTICLE VII
CORPORATE RECORDS, REPORTS AND SEAL
The corporation shall keep at its principal place of business office the
corporation's Articles of Incorporation, the corporate seal and the original or a copy of

the then-current Bylaws, all of which shall be open to inspection by officers and
Directors and officers during normal business hours or as otherwise agreed.
The corporation's accounting books and records and minutes of proceedings of
the Board and committees of the Board shall be open to inspection during normal
business hours or as otherwise agreed upon written demand to the corporation.
The Board shall cause an annual report to be sent to the directors within ninety
(90) days after the end of the corporation's fiscal year. The report shall contain the
following information, in appropriate detail: the assets and liabilities, including trust
funds, if any; principal changes in assets and liabilities, including trust funds, if any;
revenue or receipts of all kinds and descriptions of the corporation, and expenses or
disbursements of the corporation; and all additional information required by pertient law
and/or the Bylaws. The annual report may be accompanied by a report on it of
independent accountants or, if there is no such report, by the certificate of an authorized
officer of the corporation that such statements were prepared without audit from the
corporation's books and records. An annual report shall not be required if the
corporation received less than ten thousand ($10,000) dollars in gross revenue receipts
during the fiscal year; however, the information specified above for inclusion in an
annual report must be furnished annually to all director(s) who request it in writing.
ARTICLE VIII
CONSTRUCTION AND APPLICABLE LAW
Unless the context otherwise requires otherwise, the general provisions, rules of
construction and definitions set forth in the California Nonprofit Mutual Benefit
Corporation Law and cases construing such law shall govern the construction of these
Bylaws. The provisions of these Bylaws shall be construed and applied in accordance
with the laws of the State of California.
ARTICLE IX
AMENDMENT OF BYLAWS
The corporation's Bylaws may be altered, amended or repealed, and new Bylaws
may be adopted, by a two-thirds (213) majority vote of the directors present at any duly
noticed meeting of the Board or by the unanimous written consent of all directors then in
office, except as otherwise provided herein.
