SUBJECT: AMENDMENT NO. 8 TO VSA AIRPORTS AGREEMENT FOR
AIRPORT DESIGN AND ENGINEERING SERVICES

SUMMARY
Federal Aviation Administration (FAA) has made approximately $7,500,000 in
discretionary funding available to the Airport for airfield improvements. To receive this
funding, project bids must be forwarded to the FAA by July 31, 2006. In order to meet
the compressed time schedule, the Airport is recommending Amendment No. 8 to the
VSA Airport Agreement. Amendment No. 8 will provide for design and engineering
services for airfield pavement rehabilitation and lighting projects. The airfield pavement
rehabilitation and lighting replacement will be accomplished in the later part of 2006.
The cost of $920,000 (minus the local share of 5% or $46,000) is eligible for FAA
funding when the grant is issued in the later part of August 2006.
Therefore, a budget amendment of $920,000, representing the total amount of
Amendment No. 8 is requested to be transferred from the Airport Fund's Retained
Earnings Account to Airport account No. 6400-XX-XXX so that the design and
engineering work can begin immediately. When FAA reimburses 95% of Amendment
No. 8 ($874,000) those funds will then be transferred back into the Airport Fund's
Retained Earnings Account.
RECOMMENDATION:
1. Approve Minute Order No. authorizing Amendment No. 8 to Agreement
No. A-4487 with VSA Airports, Inc. to provide design and engineering services
for airfield pavement rehabilitation projects in the amount of $920,000, FAA AIP
Project No. 3-06-0181-40.
2. Approve Resolution No. of the City Council of the City of Palm Springs,
California, amending the budget for fiscal year 2005-2006.
3. Authorize the City Manager to execute all necessary documents.

STAFF ANALYSIS:
In accordance with our pavement maintenance program, certain airfield aircraft
operating pavements require rehabilitation; taxiway lights and cabling require
replacement and the operating safety areas of Runway 13L/31 R require modifying.
The $7,500,000 in funding that will be available for the Airport in August will fund the
engineering, design and construction of taxiway C, A and B rehabilitation, and
replacement of current taxiway edge lights with LED lighting that will allow the Airport
substantial power savings. This funding will also fund the replacement of a section of
underground cabling, that will also save the Airport's power consumption, and
modification of Runway 13L/31R safety areas — this being a requirement of the FAA
Airport Inspector. The bids based upon design are due to the FAA no later than 31 July
2006, therefore the design work must be started as soon as possible to meet this
deadline.
FISCAL IMPACT:
There are sufficient funds in the Airport Fund's Retain Earnings Account 29302 to cover
this transfer.

AGREEMENT NO. 4487, AIRPORT ENGINEERING SERVICES
THIS EIGHTH AMENDMENT TO AGREEMENT NO. 4487 FOR CONTRACT
SERVICES, (herein "Amendment") is made and entered into on the _ day of
2006, by and between the CITY OF PALM SPRINGS (herein "City') and VSA AIRPORTS, Inc.
(herein "Contractor"). (The term Contractor includes professionals performing in a consulting
capacity.), is hereby effective _, 2006 as follows:
RECITALS
A. The City and Contractor entered into that certain Contract Services Agreement No. 4487
fDr Airport Engineering Services ("Agreement"), as duly amended from time to time.
B. The parties wish to amend the Agreement pursuant to the terms of this Amendment to
add additional services to be performed by Contractor and increase the Contract Sum to
authorize payment for such additional services.
NOW, THEREFORE, the parties hereto agree as follows:
Section 1: Section 2.1 of the Agreement entitled "Contract Sum" shall be amended as to the
reference to the Contract Sum to include the fees added with this Amendment, as described in
the revision to Exhibit "C" below (for $920,000.00), so that the revised Contract Sum shall read
"Three Million Five Hundred Twenty Thousand and 00/100 Dollars ($3,520,000.00)", with all
other provisions of Section 2.1 remaining unmodified and in full force and effect.
Section 3: Exhibit "A" Scope of Services, Part V — Project Specific Scopes, is hereby
amended by adding Project No. 9, with all other provisions of Exhibit "A" remaining unmodified

authorized to execute and deliver this Amendment on behalf of said part, (iii) by so executing
this Amendment, such party is formally bound to the provisions of this Amendment, and (iv) the
entering into this Amendment does not violate any provision of any other agreement to which
said party is bound.
