Prepare 2 or-3 design concept options. 3. Review design options with Owners. 4 Final revision of design concept. RESPONSIBILITIES OF OWNER Provide all criteria and full information as to Owner's requirements (i.e., program, schedule, budget, etc.) for the Project. Finnish as required a legal description and a certified land survey of the situ, giving, as applicable, grades and lines of street,%, alleys, pavements and adjoining property, rights-of-way, restrictions, casements, encroachments, zoning, deed restrictions, boundaries and contours of the site; locations, dimensions and complete data pertaining to exnstmg buildings, other improvements and trees; and full information concerning available service and utility Imes both public,private, above and below Grade including inverts and depths. Designate a person to act as representative with respect to professional services of Architect. The Owners representative shall examine documents submitted by Architect and render decisions pertaining thereto promptly io avoid unreasonable delays of Archit'uct's work. Give prompt notice to Architect of any development that affects the scope and/or tinning of Architect's service. Arrange and pay for such legal,auditing,insurance and other counseling services as may be required for the Project. Pay the Architect for services rendered in accordancu with these terms and conditions. PERIOD OF SERVICE The services of Architect and compensation therefore, have been agreed to in amicipation of the orderly and continuous progress of the work. Changes in the schedule will require increases in the Architect's fees and an amendment to this Agreement. Copyright 2003 Fentress Bradburn Architects Ltd Palm Springs Convention Center/20061020/City of Palm Springs Page 1 FEES AND PAYMENT The fees for design services are to be based on a time card basis at the following billing rates, plus reimbursable expenses: Principals S235 Associate Principals S 155 Senior Associates $145 Associates S 135 Project Architects $130 Architects 585-S 120 Project Interior Designer $125 Interior Designers $65-S85 Draftsmen S65-$80 Clerical 560-S75 Information Technology S75-$125 Model Shop 570-S80 The esumatcd fee for these services, excluding expenses shall be Twenty Thousand Dollars (S20,000). The Architect will not exceed this estimate without the Owner's prior written consent. The design scnnces will take approxhnately 4 week~to complete after receipt of the Owner's notice to proceed. All work completed by the 30th of the month will be billed the following month. Payment is payable 30 days after receipt of the bill. If payment is not received by Architect wirhan thirty days after date of bill, Architect may give seven days written notice and suspend work until payment is received. In the event of non-payment of any amounts billed and due, Owner agrees to pay service charge and all costs of collection,including attomey's fees In the event of delay or suspension of work by reason of the Owner's non-paynnem, Architect will be entitled to reimbursement of all coats related to such delay or suspension and shall not be deemed in breach of this Agreement. For reimbursable expenses (i.e., travel, food, lodging, telecommunications, printing, photographic and any reproduction expenses), the Owner will pay a multiple of 1 25 times the amounts expended by the Architect and the Architect's consultants in the interest of the Project. If at any tune, the scope or the schedule of the Project is changed, compensation will be renegotiated and equitably adjusted. Any design services rendered beyond the scope of the design services described herein, shall be charged to and paid by Owner at die billing rates listed above. For additional services of engineering and/or design sub-consultants, the Owner will pay a multiple of 1,10 times the amount billed to the Architect for such services. MISCELLANEOUS The requirements of the Americans with Disabilities Act (ADA) arc subject to various and possibly contradictory interpretations. Architect will use his reasonable professional efforts and judgment to interpret applicable ADA requirements and to design the Owner's facility in compliance with the ADA. Sucln interpretation andjudgment will be based on what is known about ADA interpretations at the time this service is rendered. Architect, however, cannot and does not warrant or guaranty that the Owner's facility will fully comply with interpretations of ADA requirements by regulatory bodies or court decisions. Owner agrees to indemnify and hold Architect harmless from any losses, claims, demands and expenses (including attomey's fees) which Architect incurs as a result of any errors, acts or omissions of consultants or any construction contractor or subcontractor, employed or retained separately by Owner for dine Project. Services, information, 200222.000/20061020/Cmty of Palm Springs Page 2 surveys and reports required for this Project and not part of the Archncut's design services shall be furnished at the Owner's expense, and the Architect shall be entitled to rely upon the accuracy and completeness thereof. This Agreement may be terminated by either party on seven days written notice to the other party, in which case, Architect will be paid for all work performed to date, plus all reimbursable expenses as they become latown to the Architect. Any opinions of probable Project costs or construction costs rendered by Architect represent Architect's best judgment and arc furnished for general guidance. Architect makes no warranty,either expressed or implied,as to the accuracy of such opinions as compared to bid or actual costs. The Architect vall use that degree of care and skill ordinarily exercised under similar conditions by members of the architecniral profession practicing in the same locale. No other warranty, expressed or implied,is made or intended. Architect and Owner each binds himself and his partners, successors, executors, administrators, assigns and legal representatives into the other in respect to all covenants, agreements, and obligations of this Agreement. Neither the Owner nor Architect shall assign, sublet, or transfer interest in this agreement without the written consent of the other. All documents, drawings and Specifications produced by the Architect in the course of his performance of the services hereunder shall at all times be considered the property of the Architect. Nevertheless, the Owner shall be permitted to retain a number of copies, including reproducible copies, of such documents, drawings and Specifications for information and referral purposes only in connection with the Owner's use and occupancy of the Project. The documents, drawings and Specifications shall not be used by the Owner on other projects, for additions to the Project hereunder,or for completion of the Project by others, unless agreed to in writing by the Architect.
