SCOPE OF WORK
1. The City of Palm Springs Police Department, hereafter referred to as a Contractor, agrees to
provide to the Commission on Peace Officer Standards and Training, hereafter referred to as
POST, the presentation of and purchase of training aids and equipment for the Tactical Medicine I
& II Courses,
2. Contractor shall present two (2) POST-certified Tactical Medicine I & 11 courses annually and work
with POST's designated Program Manager, Don Lane, to schedule additional presentations as
needed and as work sites become available.
3. The training aids and equipment purchased under this Agreement shall be used specifically and
dedicated exclusively for work in connection with the POST-certified Tactical Medicine I &II course
presentations and may be used for other POST-certified training conducted by the Contractor. Any
other use of the training aids and equipment, except in the case of an emergency, must be
approved by the POST Program Manager.
4. Contractor agrees to purchase specified training aids and equipment with consultation and
approval of Dr. Lawrence E. Heiskell, Medical Director, of the International School of Tactical
Medicine (ISTM).
5. Contractor will use appropriate municipal, county, State or Federal bidding procedures and master
contract sources to obtain the specified training aids and equipment at the best possible price.
Contractor may use Internet vendors to obtain the lowest possible price for specified items.
6. Contractor, with the prior written approval of the POST Program Manager, has the authority to
purchase additional training aids and equipment for the Tactical Medicine I & II Courses if funding
becomes available after the initial items listed in Exhibit F have been procured.

BUDGET DETAIL.AND PAYMENT PROVISION
1. Invoicing and Payment
A. For services satisfactorily rendered, and upon receipt and approval of the invoices, the State
agrees to compensate the Contractor for actual expenditures incurred in accordance with the rates
specified herein, which is attached hereto and made a part of this Agreement.
B Invoices shall include the Agreement Number and shall be submitted in triplicate not more
frequently than monthly in arrears to:

2. Budget Contingency Clause
A. It is mutually agreed that if the Budget Act of the current year and/or any subsequent years covered
under this Agreement does not appropriate sufficient funds for the program, this Agreement shall
be of no further force and effect. In this event, the State shall have no liability to pay any funds
whatsoever to Contractor or to furnish any other considerations under this Agreement and
Contractor shall not be obligated to perform any provisions of this Agreement-
B. If funding for any fiscal year is reduced or deleted by the Budget Act for purposes of this program,
the State shall have the option to either cancel this Agreement with no liability occurring to the
State, or offer an agreement amendment to Contractor to reflect the reduced amount.
3. Prompt Payment Clause
Payment will be made in accordance with, and within the time specified in, Government Code Chapter
4.5, commencing with Section 927,
4. Payment Amounts
The total amount of this agreement shall not exceed $90,000.00 and shall be in accordance with
Exhibit F of this agreement. Contractor is entitled to recover actual costs only.

SPECIAL TERMS AND CONDITIONS
1. Statement of Work
a. The project will be divided into two specific phases as follows,
Phase I Acquisition and installation of specific training aids and equipment.
Phase II Presentation of the Tactical Medicine I&11 courses. This phase will
involve the assignment of personnel to manage the project and provide
liaison with POST and other law enforcement agencies sending trainees to
the certified courses.
b. Contractor shall make available to the State technically competent personnel for the
purpose of providing the services required to accomplish the tasks prescribed in this
agreement in the manner described herein.
c. The work is defined in this agreement and describes the work to be accomplished by the
Contractor and a statement of POST's role and responsibilities.
d. The Contractor agrees to perform the services as outlined in Exhibit A, Scope of Work and
will provide the deliverable items as required. This performance is predicated, however, on
the State meeting its prescribed responsibilities in the time and manner described in this
agreement.
2. Personnel
a. The Contractor will make every effort consistent with sound business practices to honor the
specific requests of the State with regard to assignment of its employees; however,the
Contractor reserves the sole right to determine the assignment of its employees. If a
Contractor employee is unable to perform due to illness, resignation, or other factors
beyond the Contractor's control, the Contractor will make every reasonable effort to
provide suitable substitute personnel-
b. In recognition of the fact that Contractor personnel providing services under this agreement
may perform similar services from time to time for others, this agreement shall not prevent
Contractor from performing such similar services or restrict Contractor from using the
personnel provided to the State under this agreement, providing that such use does not
conflict with the performance of services under this agreement and regional law
enforcement personnel will have priority use.
3. Control and Supervision
The services provided by the Contractor to accomplish this agreement shall be under the control,
supervision, and management of the Contractor.

4. Responsibilities of the State
a. The State is responsible for providing required information, data, documentation, to
facilitate the Contractor's performance of the work, and will provide such additional
assistance and services as is specifically set forth in this agreement.
b. POST Senior Consultant Donald Lane is responsible for ensuring the performance of the
State personnel under this agreement, and is the State individual to whom all
communications relative to this agreement will be addressed.
5. Reporting
a. The Contractor shall provide appropriate documentation of task completion to POST as
required. These reports will be made to Donald Lane, Senior Consultant, Commission on
POST, and to any other personnel deemed appropriate.
6. Liabilities for Damages
a. The Contractor shall be relieved of liability with respect to the performance of work as
outlined for each phase when the State agrees that the phase has been satisfactorily
completed-
b. Neither party to this agreement shall be liable for damages resulting from delayed or
defective performance when such delays arise out of causes beyond the control and
without the fault or negligence of the offending party. Such causes may include, but are
not limited to, Acts of God or of the public enemy, acts of the State in its sovereign
capacity, fires, floods, power failures, disabling strikes, epidemics, quarantine restrictions,
freight embargoes, and subcontractor delays.
7. Disputes
a. Any dispute concerning a question of fact arising under terms of this agreement which is
not disposed of within a reasonable period of time by the Contractor and the State
employees normally responsible for the administration of this contract, shall be brought to
the attention of the Chief Executive officers(or designated representatives) of the
contracting State department and the Contractor forjoint resolution.
At the request of either parry, the State shall provide a forum for discussion of the disputed
item(s), at which time the Chief of Procurement or his/her representative shall be available
to assist in the resolution by providing advice to both parties as to State of California
policies and procedures. If an agreement cannot be reached through the application of
high level management attention, either party may assert its other rights and remedies
within this contract or within a court of competent jurisdiction.
b. The State and Contractor agree that the existence of a dispute notwithstanding, they will
continue without delay to carry out all their responsibilities under this contract which are not

affected by the dispute,
8. Contractor Training Commitment
The contractor agrees to continued use of the training aids and equipment in accordance with this
contract for five (5) years after delivery of training aids and equipment to the contractor in order to
provide instruction in POST certified training courses to California law enforcement personnel.
Should Contractor cease to present such training prior to the expected five(5) year life of the
training aids and equipment, the training aids and equipment shall (upon request in writing by
POST) be immediately returned to POST at Contractor's expense, or at POST's election,
transferred to possession and use by another public entity presenting such training.
9. Designated Contact
The Contractor agrees to designale one specific person as the Project Director who will be the
liaison with Senior Consultant Donald Lane, who is designated as the POST Project Manager. The
personnel assigned by the Contractor to this project should be able to maintain such assignment
throughout the term of this contract.
10. Facilities
The Contractor agrees to provide safe, dedicated, secure facilities to house the training aids and
equipment and to provide a classroom area and other training facilities as needed to present the
Tactical Medicine/ &11 courses, including use of range facilities as arranged by the Contractor-
The appropriate storage site and facilities shall be ready for use upon arrival of the training aids
and equipment.
11, Ownership
All of the specified training.aids and equipment shall remain the property of the Contractor unless
the terms and conditions are not met. Contractor shall provide suitable recognition to POST as to
its funding role and other assistance.
12, Certification
The Contractor agrees to present POST-certified Tactical Medicine I & II courses for in-service
officers and other appropriate trainees as directed by POST.
13. POST-Approved SafetV Guidelines
The Contractor agrees to follow and maintain POST Safety guidelines at all times while using
specified training aids and equipment in course presentations.
14. Curricula
The Contractor agrees to regularly review and make appropriate modifications to POST-certified
course curricula as necessary.

15, Business Operating Plants
The Contractor agrees to develop and maintain a business operating plan for the Tactical Medicine
I & II program and have this available for review by POST,
16. Data Collection
The Contractor agrees to cooperate with POST in collecting data for on-going evaluation of the
effectiveness of the Tactical Medicine I & II course presentations,
17. Cancellation Clause
Either party may cancel this agreement upon thirty(30) days prior written notice.
18, Contractor Evaluation
In accordance with provisions of the State Administrative Manual, Section 1283, Contractor's
performance under this agreement will be evaluated. The evaluation will be prepared by POST
within 30 days after completion of the agreement.
19, Amendments
This agreement may be amended by mutual written consent.

CONDITIONS FOR PURCHASING TRAINING AIDS AND EQUIPMENT
1. The training aids and equipment purchased under this contract will be used specifically far work in
connection with the certified Tactical Medicine I & II Course Presentations and may be used for
other POST certified courses conducted by the contractor with the prior written approval of the
Project Manager.
2. Contractor shall be responsible for the repair of any damage, necessary maintenance, or
replacement for any lost or stolen items during the life of the training aids and equipment. Failure
to do so will result in the cost of same being charged to contractor or deducted from any then
current agreement between POST and contractor, at POST's option.
3. Upon receipt of the training aids and equipment, contractor shall forward to the POST Contracts
Officer, a copy of the invoice, which shall include make, model, and serial number of all purchased
items. Upon receipt of the itemized list of training aids and equipment purchased, POST will
forward State property tags to be affixed to each piece of training aid and equipment. The items
will then be inventoried by providing all information requested in Exhibit F.
4. The inventory record (Exhibit F) of each piece of such training aid and equipment shall include the
description and model identification, serial number, total cost, date acquired, State ID tag#
(supplied by POST), and any other information or description necessary to identify said. Contractor
shall provide the itemized inventory listing with the physical location of each item to the POST
Contracts Officer. This list will be maintained in the contract file. This list will be audited on a yearly
basis, in June, until the useful life of this equipment has expired. The useful life of this training aid
and equipment shall be five (5) years.
5. Contractor must continue to use the training aids and equipment for work in connection with the
certified Tactical Medicine I & II Course presentations and other POST certified courses conducted
by the contractor, should future contracts be entered into between POST and contractor. Should
future contracts not be entered into prior to the expected five-year life of the training aids and
equipment, the training aids and equipment shall, upon request in writing by POST, be immediately
returned to POST at contractor's expense. At the end of the useful life of this training aids and
equipment, ownership is automatically transferred to the contractor.
