Subject: APPROVE AMENDMENT NO. 1 TO FRANCHISE AGREEMENT
(AGREEMENT NO. 6378) WITH PALM SPRINGS DISPOSAL SERVICES
(PSDS) TO IDENTIFY OPTIONAL SERVICES AND COSTS
THEREFORE THAT WERE NOT INITIALLY INCLUDED IN THE RATE
SCHEDULE.

SUMMARY
Palm Springs Disposal Services (PSDS) has approached the City with a revised Exhibit
K (Rate Schedule) to include additional services that have been requested by PSDS's
customers. This Amendment will include PSDS's request which will add established
costs for optional services not initially included in the Rate Schedule approved July 3,
2013.
RECOMMENDATION:
1. Approve Amendment No. 1 to Franchise Agreement (Agreement No. 6378)
adding optional services not initially included in the Rate Schedule (Exhibit K) of
approved Agreement No. 6378.
2. Authorize the City Manager to execute all necessary documents.
STAFF ANALYSIS:
On July 3, 2013, City Council approved Agreement No. 6378 with Palm Springs
Disposal Services which established reduced residential rates for a change to once
weekly service. The agreement replaced the 2003 agreement and included modified
terms and a modified rate schedule. The new rates went into effect April 1, 2014.
PSDS has approached the City with a revised Exhibit K to include optional services
requested by PSDS's customers since the switch to once weekly service. This item will
add and/or clarify these optional rates to Exhibit K of the Agreement, so that all types of
requested services have a corresponding, Council Approved fee.

Palm Springs Disposal Services Amendment No. 1
Residential customer's new optional rates include second weekly pick-ups for special
needs for all service levels. Commercial Cart customer's rates have been changed from
a weekly rate to a monthly rate for consistency and to avoid any future billing errors that
PSDS had previously been experiencing. Additional refuse cart sizes and recycling
carts will also be available. Commercial Bin customer's optional rates are: 1) temporary
bin clean-up rentals, 2) construction bin rentals and 3) bin enclosure cleaning services.
Industrial customer's options include: 1) direct landfill haul, 2) stationary compactor
diversion and 3) cleaning services.
These rates are scheduled to go into effect July 1, 2014 and commercial and industrial
rates have also been adjusted by the Council approved Consumer Price Index and
County Tipping Fee increase (commercial 1.921%, industrial 2.774%, and .545% CPI).
All residential rates will continue to remain the same through June 30, 2015 as specified
in the agreement.
Attached is a separate list of all additional rates described above. Complete revised
Exhibit K including those additional rates highlighted in yellow as well as Amendment
No. 1 to make the revised Exhibit K part of the current Agreement with PSDS are also
attached.

applies to Manual Collection ONLY.
3. Individually billed accounts will be billed quarterly in advance to property owner of record unless other arrange-
ments made. Alternative payment arrangements do not relieve property owner of responsibility for payment.
4. Centrally billed accounts will be billed monthly in arrears to a single authorized payer for two or more dwellings.
All dwellings must subscribe to the same service level. Additional services added when authorized by
designated representative.
5. Additional cart(can)services are in addition to the regular subscription service.
6. Customer selects service level: Economy, Family Value, Walk-In or Estate.Walk-In Service is the default service
in the event Customer fails to select a service level. $25.00 fee to change service levels(fee waived during

subscription level is changed.

8. Estate Service includes Contractor-provided containers and walk-in service for Refuse, Recyclables and

on Weekdays with 24-hour request.
9. Change Service Charge applicable for service changes including cart size; charge waived for one change each
year during the September enrollment period.
10. Special curbside collection service by special arrangement, additional fees may apply.

enclosure is free of debris and swept clean.

INDUSTRIAL SERVICES:
Debris Box & Stationary Compactor Service
Notes:
1. Reserved for future use.
2. Services are C.O.D. unless an account is established for this service.
3. Established accounts are billed monthly in arrears.
4. Deposit of two months service required for new accounts or delinquent accounts. Deposits plus interest
returned after 12 months of maintaining account status as"current".
5. Add 15%to Service&Franchise Fee rate components for Saturday service.
6. Container must be accessible at time of pickup. Extra charge applies to return to service inaccessible containers
7. Boxes must be filled no more than level full. Extra charges for off-loading, tarping over-filled boxes,and
returning to service box apply.
8. For seven-day rental;add for addifional days at 1/7"'of the pull charge.
9. For permanent accounts, monthly rate is 4.3 times the pull charge and incudes one pull per week; extra pulls

This Amendment No. 1 to the Franchise Agreement ("Agreement') is made and entered into to
be effective on the 1" day of July, 2014 by and between the City of Palm Springs, a California
Charter City and Municipal Corporation ("City") and Palm Springs Disposal Services, a
California Corporation("Contractor") (collectively, the "Parties")

A. City and Contractor previously entered into the Agreement
B. Section 14.5 of the Agreement provides that it may be amended at any time with the
mutual written consent of the Parties
