City, being the owner of the real property identified as City Hall located at 320 East Tahquitz Canyon Drive, Palm Springs, California (hereinafter "Property") hereby grants to Air Quality Management District (AQMD), its employees, agents or contractors a non-exclusive right to enter upon a portion of said Property for the purpose of conducting a lawn mower exchange program being hosted by AQMD. This right of entry shall be valid from 9:00 a.m. on Friday, April 41h, 2008 to 12:00 p.m. on Saturday, April 5", 2008. In consideration for the City granting a non-exclusive right of entry, the AQMD agrees to indemnify, defend, and hold harmless the City from and against any and all liability, loss, damage, expense, costs (including without limitation costs and fees of litigation) of every nature arising out of or in connection with AQMD's use of said Property. The AQMD shall take all safety precautions necessary to protect employees, invitees, agents, and members of the general public from risk of harm arising from the AQMD's use of said Property. The AQMD shall comply with all requirements of municipal, state and federal authorities now in force, or which may hereafter be in force, pertaining to the use of said Property, and shall faithfully observe all municipal ordinances and state and federal statutes now in force, or which may hereafter be in force. The AQMD shall remove all equipment, displays, trash and other debris generated by the AQMD's use of said Property and leave said Property in the same condition as it was found. The City hereby grants permission with the understanding that the AQMD shall indemnify, defend, and hold harmless City from and against any and all liability, loss, damage, expense, costs (including without limitation costs and fees of litigation) of every nature arising out of or in connection with the use of said Property. The AQMD further agrees to indemnify and save harmless City from any and all liability and/or claims for personal injury, property damage or wrongful death arising from the use of said Property by the AQMD, invitees, agents, and members of the general public.
