The Display must be removed from its current location to accommodate the construction of the 1/10 — Indian Avenue Interchange Project. 12 WHEREAS, the City is working with the State of California for the benefit of its 13 Department of Transportation ("Caltrans") to complete the construction of the 1/10 — Indian Avenue Interchange Project which will thereby improve traffic and circulation within this portion 14 of the City. is WHEREAS, Tesoro agrees to this Agreement to dispose, release, remit any interest Tesoro may have in the Properly, remove the Display currently located in the planned public 16 right-of-way and to terminate the Rental Agreement pursuant to the terms thereof. 17 NOW, THEREFORE, in consideration of their mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which hereby are 1s acknowledged, identifying Assessor's Parcel Number 666-370-025, of which it is mutually agreed as follows: 19 1. The City shall pay to the order of Tesoro the sum of Fifty Thousand 20 Dollars ($50,000) for property or interest therein, including any goodwill associated with its commercial activities, and any claim for business interruption, based upon the termination of 21 the Rental Agreement by Tesoro. 22 2. Tesoro shall: 23 A. Indemnify, defend, protect, and hold City, its officers, employees, agents, successors, and assigns free and harmless from and against any and all claims, 24 liabilities, penalties, forfeitures, losses, or expenses, including without limitation, attorneys' fees, whatsoever, arising from or caused in whole or in part, directly or indirectly, by either (a) 25 the presence in, on, within, under, or about the parcel of hazardous materials, toxic 1 1 substances, or hazardous substances as a result of Tesoro's use, storage, or generation of such materials or substances or (b) Tesoro's failure to comply with any federal, state, or local 2 laws relating to such materials or substances. For the purpose of this agreement, such materials or substances shall include without limitation hazardous substances, hazardous 3 materials, or toxic substances as defined in the Comprehensive Environmental Response, Compensation, and Liability Act of 1980, as amended, 42 U.S.C. Section 9601, et seq.; the 11 Hazardous Materials Transportation Act, 49 U.S.C. Section 1801, at seq.; the Resource Conservation and Recovery Act, 42 U.S.C. Section 6901, et seq.; and those substances 5 defined as hazardous wastes in Section 25117 of the California Health and Safety Code or hazardous substances in Section 25316 of the California Health and Safety Code; and in the 6 regulations adopted in publications promulgated pursuant to said laws. 7 B. Be obligated hereunder to include without limitation, and whether foreseeable or unforeseeable, all costs of any required or necessitated repair, clean-up, s detoxification, or decontamination of the parcel, and the preparation and implementation of any closure, remedial action, or other required plans in connection therewith, and such obligation 3 shall continue until the parcel has been rendered in compliance with applicable federal, state, and local laws, statutes, ordinances, regulations, and rules. 10 C. Deem the acceptance and execution of this Agreement to serve 11 as written notice to terminate the Rental Agreement and such termination shall be effective as of the date of execution of this Agreement. 12 3. It is mutually understood and agreed by and between the parties hereto 13 that the right of possession and use of the subject property by City, including the right to remove and dispose of improvements, shall commence upon the execution of this agreement 14 by all parties. The amount shown in Paragraph 1 includes, but is not limited to, full payment for such possession and use. 15 4. Tesoro hereby agrees and consents to the dismissal of any 16 condemnation action which has been or may commenced by County in the Superior Court of Riverside County to condemn said land, and waives any and all claim to money that has been 17 or may be deposited in court in such case or to damages by reason of the filing of such action. 18 5. The performance by the City of its obligations under this agreement shall relieve the City of any and all further obligations or claims on account of the acquisition of the is property referred to herein or on account of the location, grade, or construction of the proposed public improvement. 2a 6. This Agreement shall not be changed, modified, or amended except 21 upon the written consent of the parties hereto. 22 7. This Agreement is the result of negotiations between the parties and is intended by the parties to be a final expression of their understanding with respect to the 23 matters herein contained. This Agreement supersedes any and all other prior agreements and understandings, oral or written, in connection therewith. No provision contained herein shall be 24 construed against the City solely because it prepared this Agreement in its executed form. 25 8. Tesoro, their assigns and successors in interest, shall be bound by all 2 the terms and conditions contained in this agreement, and all the assigns and/or successors in interest thereto shall be jointly and severally liable thereunder. 2 9. The individuals executing this Agreement and the instruments 3 referenced herein on behalf of each party and the partners, officials, or trustees of each party, if any, have the legal power, right and actual authority to bind the party on whose behalf they are 4 executing such instrument to the terms and condition of those documents. 5 10. The parties hereto expressly agree that this Agreement will be governed by, interpreted under, and construed and enforced in accordance with the laws of the State of 6 California in which the Property is located.
