" GRANT AWARD & AUTHORIZATION AGREEMENT
The County of Riverside (the "County"), and the City of Palm Springs (the "Grantee")
hereby enter into the following GRANT AWARD &AUTHORIZATION AGREEMENT (the
"Agreement"):
RECITALS
WHEREAS, the County issued a Request for Proposals for regional air quality
enhancement projects, to be funded from the Coachella Valley Air Quality Enhancement
Trust Fund; and
WHEREAS, in response to the County's request, the Grantee submitted a proposal for a
Coachella Valley Air Quality Enhancement Project, which was subsequently reviewed by
the Coachella Valley Air Quality Advisory Committee and recommended for funding; and
WHEREAS, on March 23, 2010, the Riverside County Board of Supervisors approved the
recommendations of the Coachella Valley Air Quality Advisory Committee and authorized
the County Executive Office to enter into an Agreement with the Grantee;
NOW, THEREFORE, in the joint and mutual exercise of their powers, and in consideration
of the above premises and of the mutual covenants herein contained and for other valuable
consideration, the parties hereto agree as follows:
SECTION 1. DEFINITIONS
(a) "COUNTY" shall mean the County of Riverside, a political subdivision of the
State of California.
(b) "GRANTEE" shall mean the City of Palm Springs.
(c) "AGREEMENT" shall mean that certain Grant Award & Authorization
Agreement between the County and the Grantee dated the '�, day of
2010.
(d) "PROJECT shall mean the regional air quality enhancement project to be
conducted by the Grantee for positive benefit to regional air quality in the Coachella Valley.
SECTION 2. PURPOSE
The purpose of this Agreement shall be implementation and operation of a regional air
quality enhancement program for the Coachella Valley. The Scope of Work to be
performed by the Grantee pursuant to this agreement is attached hereto as Exhibit"A"and
is incorporated herein by this reference.
SECTION 3. ADMINISTRATION
The County Chief Executive Officer (or his designee) shall administer this Agreement on
behalf of the County. All reports, notices or other documentation shall be submitted to the
County Executive Office at the address set forth in Section 13.

SECTION 4. TERM
The term of this Agreement shall be one year from the final execution date. Approved
project must be completed within the one year term. Extensions of this time period may be
requested in writing and sent to the address set forth in Section 13.
SECTION 5. ALTERATION
No alteration or variation of the terms of this Agreement shall be valid unless made in
writing and signed by the parties hereto, and no oral understanding or agreement not
incorporated herein shall be binding on any of the parties hereto. The Board of
Supervisors and the County Executive Officer are the only authorized County
representatives who may at any time, by written order, make alterations within the general
scope of this agreement.
SECTION 6. TERMINATION
The County may terminate this Agreement upon thirty days written notice to the Grantee
for any of the following reasons:
(a) In the event the Grantee fails to perform the covenants herein contained at
such times and in such manner as is herein provided; or
(b) In the event there is a conflict with any federal, state, or local regulation, or
rule rendering any of the provisions of the Agreement invalid or untenable;
SECTION 7. DOCUMENTATION OF EXPENDITURES
All expenditures made pursuant to the Agreement shall be properly supported by
appropriate accounting documents, and such documents shall be maintained in
accordance with accepted accounting principles, practices, and procedures. The Grantee
shall maintain and keep available all such documents for a period of not less than five (5)
years after its Final Report has been submitted to the County as required by Section 9
herein, and be available for audit by the County.
SECTION 8. PAYMENTS
(a) The total payment due to the Grantee under this Agreement is $10,000,
which will be used to support the purchase of Neigborhood Electric Vehicle Program.
(b) Payments shall be made to the Grantee upon receipt and approval of the
reports and invoices as required in Section 9 below. Invoices for vehicle purchases must
include proof of purchase and delivery.
(c) The County Executive Office shall review invoices in a timely fashion, and
submit them to the Auditor-Controller for payment.
SECTION 9. REPORTS
The Grantee shall submit quarterly performance reports. The fourth quarter report shall
include an invoice for payment and be submitted within forty-five (45) days of the one year
term, project completion and/or vehicle purchase and receipt. In the event the project is
completed prior to the end of a twelve month period, the Grantee need only submit reports
for the quarters preceding the end of the project.

SECTION 10. INSPECTIONS
The Grantee shall make available to the County for inspection and audit its records and
data with respect to all matters covered by the Agreement. Inspections and audits may be
made at any time after reasonable notice is given the Grantee.
SECTION 11. INDEPENDENT CONTRACTOR
The Grantee is, for purposes arising out of this Agreement, an independent contractor, and
shall not be deemed to be an employee of the County. Contractor is not, and shall not be
considered to be in any manner, an employee, agent or representative of the County.
Personnel providing services under this Agreement on behalf of Contractor shall at all
times be under Contractor's exclusive direction and control.
SECTION 12. FAIR EMPLOYMENT PRACTICES
The Grantee shall not discriminate in the hiring of persons to fulfill its requirements
hereunder based on race, religion, national origin, sex, age, medical disability or marital
status, exclude any person from participation in, deny any person the benefit of, nor
subject any person to discrimination under any program or activity funded pursuant to this
Agreement.
SECTION 13. NOTICES
Any notices required or desired by either party shall be addressed to the respective parties
as set forth below and are deemed submitted one day after their deposit in the United
States mail, postage prepaid:

SECTION 14. COMPLIANCE WITH LAW
The Grantee shall comply with all Federal, State and local laws and regulations pertinent to
its operations and the activities to be performed hereunder. The Grantee, its employees,
and/or agents shall keep in effect any and all licenses, permits, notices, and certificates as
are required thereby.
SECTION 15. INCORPORATED MATTERS
The Grantee expressly represents that all documents incorporated by reference herein,
and matters within such documents, have been reviewed and understood.
SECTION 16. ASSIGNMENT
Neither this Agreement nor any part hereof shall be assigned by the Grantee without the
prior written consent of the County.

SECTION 17. WAIVER OF PERFORMANCE
No waiver by the County at any time of any of the provisions of this Agreement shall be
construed as a waiver at any time thereafter of the same or any other provisions contained
herein or of the strict and timely performance of such provisions.
SECTION 18. INDEMNIFICATION
The Grantee shall indemnify, and hold harmless the County, Special Districts, their
respective directors, officers, the Board of Supervisors, employees, elected officials and
agents from any liability whatsoever arising from the negligence of the Grantee and relating
to or in any way connected with the accomplishment of the work or performance of
services under this Agreement. As part of the foregoing indemnity, the Grantee agrees to
protect and defend at its own expense, including attorney's fees, the County, Special
Districts, their respective directors, officers, Board of Supervisors, employees, elected
officials and agents in any legal action based upon any such alleged acts or omissions.
SECTION 19. SEVERABILITY
The invalidity of any provision in this Agreement as determined by a court of competent
jurisdiction shall in no way affect, except as provided in Section 15, the validity of any other
provision herein.
SECTION 20. PARAGRAPH HEADINGS
The paragraph headings herein are for the convenience of the parties only, and shall not
be deemed to govern, limit, modify or in any manner affect the scope, meaning or intent of
the provisions or language of this Agreement.
SECTION 21. ENTIRE AGREEMENT
This Agreement is intended by the parties hereto as the final expression of their agreement
and understanding with respect to the subject matter hereof, and supersedes any and all
prior and contemporaneous agreements and understandings, oral and/or written, in
connection herewith. This Agreement may be changed or modified only upon written
consent of the parties hereto.

To partially fund Neighborhood Electric Vehicle Pilot Program Plan and `Your Sustainable City Hall'
Program
Over $800,000 in request for funding were received by the County and only $200,000 in grant funds
were awarded. Due to the overwhelming amount of applicants the program components that will be
funded are as described in "EXHIBIT A" as Phase 1. This includes Component 1, Electric Vehicle,
and a modified version of a charging system as described in Component 2 of "EXHIBIT A". Phase 2
of the project will be funded when additional grant funding is awarded.

Proiect Goals and Objectives
The City of Palm Springs' Office of Sustainability and Office of Neighborhood Involvement are
working with neighborhoods to create a viable Neighborhood Electric Vehicle program. On October 7,
2009 the City of Palm Springs is expected to adopt the City of Austin's Plug-In Partners Resolution.
This resolution increases the interest in electric vehicles and will lead to efforts that contribute to our
goal of reducing government and community related GHG emissions from the transportation sector.
To continue to push this effort forward the City of Palm Springs will host an Electric Vehicle Fair and
Rally on October 21, 2009 to educate residents about their EV, LSEV and NEV options. The City of
Palm Springs is requesting additional support via the funding available through the Colmac Air
Quality Enhancement Fund. This funding will enable the City's new Office of Sustainability to lead an
exciting program that when completed will not only educate and generate interest but will also be a
direct benefit to the health of our residents. As PM-10 particulate matter increases we see more

cases of asthma, bronchitis and other respiratory ailments. Educating our residents about the
connection between particulate matter/emissions and their health will be a part of this program as
well.
The program includes four components including a demonstration EV, plug in charging station,
mapping and maps provided to residents and signage resulting in increased accessibility to existing
plug-in stations (2 public use, 2 staff). The demonstration electric vehicle will be used by City staff,
primarily Office of Sustainability staff, for educational outreach and event display, hauling supplies,
small landscape projects and travel throughout the City on roads safe for LSEV's. Of the $19,900
needed for the electric truck the Office of Sustainability has $10,000 allocated towards the program
cost. The main goals of the project is to increase the use of existing EV's by clearly identifying plug-in
access areas, provide maps that depict NEV and LSEV routes for safe and legal travel throughout
Palm Springs and to reduce greenhouse gases by increasing accessibility, improving ease of use
and providing education regarding alternative vehicle options like EV's
Component 1:
The vehicle chosen as the demonstration vehicles is a MILES Electric vehicle. Model ZX40ST is
easily charged at any standard 110V outlet and can reduce GHG emissions by up to 12,000 lb
annually for every gas powered vehicle replaced. This vehicle was chosen to be the vehicle for the
newly formed Office of Sustainability because it has multiple uses, an idea that is aligned with the
values set by permaculture and sustainability practices. The vehicle will not only be used to educate
others at fairs and displays but will be used in daily travel to and from facilities and neighborhood
meetings. It will also be used for small landscape projects and other materials and supply hauling.
The practical design includes fold down and removable sides and tailgate for easy loading and
unloading and a spacious 89" x 54" truck bed. This vehicle is already used in a number of fleets
including police use, jails, schools, local governments and small businesses. The specifications for
this vehicle are attached as part of this application.
Component 2: Plun-In Station
The cost of the plug-in port with a solar carport component was estimated at $19,300 by the
California's Plug-In Bay Area Coordinators Sara Schedler. This cost estimate is provided for a two
car plug-in station with a solar car port based on projects they have completed. Solar fuel stations
reduce emissions associated with producing electricity from power plants. In comparison to driving a
conventional car, a vehicle powered by the sun avoids 5.29 tons of CO2 equivalent emissions
annually.' A visible solar fuel station will increase our residents' confidence regarding their NEV's,
and LSEV's. Providing a plug-in station assures them that plug-in electric cars can be reliably and
cleanly fueled while away from home. In addition, a free public use station provides residents with an
increased incentive. Finally, by increasing the visibility of our existing plug-in ports and building a new
highly visible plug-in station we are encouraging others in the local community to provide such a
service at their place of business. Educating our Mayor's Sustainability Leadership Council and green
business partners about the ways they can add a plug-in station will be a key part of the program.

Component 3: Map
A map of LSEV and NEV safe has been created by City of Palm Springs Engineering Assistant
Richard Jenkins. The map is attached to this grant application. This will be provided to Palm Springs
residents to encourage use of their existing NEV's throughout the City rather than in neighborhoods
only. The group PSNIC has made the increased use of NEV's and LSEV's a priority for the coming
year. This endeavor began with several meetings of the Ecology group. This desire to increase NEV
use is evidenced in meeting minutes and in the new survey that has been disseminated to all
neighborhood groups. The NEV survey asks neighborhood groups what would be necessary to
increase their use throughout the City. Residents were asked if they knew where existing plug-in
stations are located and if they would consider purchasing an NEV or increase their use if they had
more information. Most residents are not aware of plug-in port locations and do not know which roads
are legal for NEV travel. Many did not know that they could use their NEV's outside of their gated
communities. The maps will be an essential tool in educating residents about NEV use and in
communicating an acceptance of their use within the City. The map will be finished into an 18X24
map that will be folded for easy handling. Along with the map there will be sustainability tips including
information on proper tire inflation and other transportation related eco-tips. There will also be
information regarding new City sustainability projects, contacts for the Office of Sustainability, City
program guides and helpful City contact information on the back cover. The Office of Sustainability
expects to initially produce 1000 maps as part of the proposed Coachella Valley Air Quality
Enhancement Project.
Component_4: Plun-In Port Sianaae
At least 3 viable plug-in stations exist throughout the City. Due to their being no signage, improper
labeling, and lack of knowledge of their location there is little or no use of these plug-in ports for
charging. The locations are listed below.
Location 1: Breezeway between Development Services Building and the Finance portion of City Hall
Location 2: Basement level of the Downtown Parking Garage
Location 3: City Yard near the Streets Division entrance
Location 4: Possible viable location at the Airport and maintained by Airport, not the City

The way finding signage for existing plug-in stations will be approximately $750.00 per plug-in port
area. The total cost estimated for signage is about $3,000.00
Project Phases:
Phase 1: Fall 2009 — Winter 2010 — (October 2009 to April 2010) - Print maps, create and install
signage for existing plug-in ports, and purchase EV for Office of Sustainability. Continue to work with
neighborhood groups to educate, distribute maps and surveys and increase interest in NEV's. Drive
resident interest and knowledge about NEV's and the City of Palm Springs program. Develop a
human health and transportation program that educates residents about the connection between
emissions and human health and the things they can do to reduce their risks, reduce their emissions
and give specifics about GHG, particulate matter and what the City hopes to do to reduce their risks.
Plans are underway to partner with the Desert Regional Medical Center who host, a Pulmonary
Disorders aftercare class that meets on the last Friday of the month. Michele Mician, Director of the
Office of Sustainability, is scheduled to speak in January to talk about the EV program and help
make the connection between transportation issues and respiratory disorder. There are special guest
speakers each month. Tina Moreno, 760-323-6757 is the contact for the program
Phase 2: Fall 2009-- Fall 2010 — Site new plug-in Station. Begin development review process in Fall
2009 and complete project in Fall 2010. Continue to educate residents, distribute materials and host
educational events. A ribbon cutting and second EV Fair and Rally will be planned to dedicate the
new solar plug-in station.

Rebate estimate is $2.30/ watt
Representatives at California Solar Initiative calculated a $2.30 per watt rebate based on customer
class and step for City of Palm Springs.

participants. Please be aware that the final CSI incentive rate that is reserved for you will be
determined by your CSI Program Administrator at the time your reservation request (RR)
application is approved, and may be lower than the current incentive rate shown in the CSI
Statewide Trigger Point Tracker. Please note that final incentive amounts are subject to
change based upon the configuration of the as-built system. (Per the CSI Handbook, no
projects or applications are reserved CSI funding until all required information has been
submitted and approved in writing by the Program Administrator.)
