RECITALS WHEREAS,Animal Samaritans is in the business of providing animal medical and veterinary services, as defined as(1) Spay and Neuter Surgery, (2)Vaccinations, (3) General Surgery, (4) Orthopedic Examinations and Surgery, (5) Dental Procedures, (6) Office Procedures, (7) Comprehensive Laboratory Reports, and(8)X-ray procedures; and WHEREAS,the Palm Springs Animal Shelter for the City of Palm Springs desires and agrees to use Animal Samaritans as a source of spay and neuter services, along with other services that may be required from time to time for the health of animals presented to Animal Samaritans that are as described in this MOU. NOW THEREFORE, Animal Samaritans and the City mutually agree as follows: 1. TERM. a. This MOU shall be effective on and remain in effect until one (1) year from the date of approval by both entities, or until such other time as provided herein. This MOU may be renewed by written agreement of the parties. b. Either party may terminate this MOU by providing written notification to the other party. Termination will take effect thirty (30) days from the date of notice. This MOU shall automatically terminate in the event that either party ceases business during the course of the MOU or Animal Samaritans loses its 501(c)(3) status. 2. SERVICES. a. General Services. Animal Samaritans will provide primary spay and neuter services of canines and felines that are delivered for services by the Palm Springs Animal Shelter. In addition, Animal Samaritans will provide other services as requested by the Palm Springs Animal Shelter. Adopters of animals that are adopted through the Palm.Springs Animal Shelter will be provided the same services as if the animals were presented by the Palm Springs Animal Shelter, if proof of adoption from the Palm Springs Animal Shelter is presented to the 1 741706.1 ORIGINAL. BID AND/OR AGREEMENT Animal Samaritans. All animals presented are assumed adoptable canines and felines, and are defined as: i. Healthy animals, felines and canines, eight weeks of age or older, that at or subsequent to the time the animal is taken into possession, have demonstrated no sign of a serious behavioral, temperamental or aggressive characteristic that could pose a health or safety risk to Animal Samaritans staff and other animals. ii. Animals that are free, to the best of the Palm Springs Animal Shelter staff s knowledge, of life threatening disease, injury or condition that adversely affects the health of the animal. b. Surgery Services. i. Animals presented to Animal Samaritans for surgery will be given a pre- surgery examination to insure that each animal is healthy enough to withstand surgery. If animals are judged not to be healthy enough to undergo surgery, then surgery will not be performed and the Palm Springs Animal Shelter will be notified. ii. Animals presented to Animal Samaritans for surgery must be current on required vaccinations or in the process of vaccination series, or sign a vaccination waiver if vaccinations are not current or waived. Animal Samaritans can provide vaccinations upon request and no waiver will then be required. iii. The minimum age for animals presented for spay or neuter surgery fitness is two months and two pounds weight, unless otherwise judged fit for surgery by Animal Samaritans veterinarians. C. Feral Feline Services. Animal Samaritans will continue to surgically spay and neuter feral felines that are captured and brought to their facility by individuals or groups for the purposes of spay or neuter and release. Feral cats are limited to two per week. i. Feral felines may be captured via animal traps may be available through Animal Samaritans. ii. Animal Samaritans will "tip" the ears of spayed or neutered feral cats as required for future identification. d. Euthanasia Services. Animal Samaritans does not provide euthanasia services, except in cases of feline FELV/FIV, or cases in which it may be more humane to provide such services. Animal Samaritans will notify Palm Springs Animal Shelter if euthanasia is recommended as a humane solution for the condition of the animal. e. Overnight Boarding and Hospitalization,Delivery and Pick-up Services. i. Animal Samaritans does not have an overnight staff for overnight accommodations. 2 741706.1 ii. On the day of surgery, animals are expected to be picked up by Palm Springs Animal Shelter by 5:00 p.m. of that same day or if adopted animals, to be picked up by adopting party by the same time. iii. Animal Samaritans will by mutual agreement pick up and deliver Animals providing that a minimum of ten animals are transported at one time at a fee of$25.00 per round trip. Palm Springs Animal Shelter personnel will make ready and help load all animal provided for Animal Samaritans transport. f. Emergency Services. Should an emergency medical condition or event occur, Animal Samaritans will contact Palm Springs Animal Shelter for approval to proceed and if immediate contact is not available, Animal Samaritans will first consider the health and welfare of the animal and proceed with life saving and health safety medical assistance and follow up with Palm Springs Animal Shelter as soon as possible, on the same day. However, Animal Samaritans acknowledge that this MOU only provides for up to $25,000 in total compensation, as referenced in Section 3(e), and that the City reserves the right to refuse any costs for emergency services provided in excess of that amount. g. Rechecks. Animal Samaritans will recheck animals for problem surgical wound sites at no additional charge. Rechecks are related only to spay and neuter issues and not routine office visits. h. Scheduling,Required Information and Schedule Times. i. The contact information for Animal Samaritans are as follows: Phone (760) 343-3477, Ext. 3, Fax (760) 601-3917. ii. Animal Samaritans will schedule animals in the electronic schedule system. Depending upon volume of animals to be spayed or neutered on a given day, blocks of sequential scheduling times or numbers will be provided to Palm Springs Animal Shelter. iii. Information provided to Animal Samaritans must include (1) number of animals by gender, (2) the Palm Springs Animal Shelter or the Adopting Owner Name, and (3) additional services other than spay or neuter services. iv. Timing: Any request for surgery must be scheduled two (2) days in advance to surgical day requested. V. Palm Springs Animal Shelter animals shall be given priority time slots in order to allow time for animals to fully recover prior to release,pick-up and delivery i. Compliance with Applicable Law. Animal Samaritans will comply with all Federal, State and local laws regulating veterinary services and will employ only veterinarians currently licensed to practice in the state of California. j. Veterinarian Requirement. Spay and Neuter and other surgical and office procedure services will be performed at Animal Samaritans by a California licensed veterinarian qualified to perform such services. 3 741706.1 3. PAYMENT. a. Services provided will be invoiced to Palm Springs Animal Shelter or Adopters of Palm Springs Animal Shelter's animals, whichever is applicable. b. Invoices for services will be faxed to Palm Springs Animal Shelter daily with payment due, and will include in detail the services rendered. The Palm Springs Animal Shelter shall remit payment within thirty (30) days of receipt of the invoice, or on the next available business day if the thirty- day period falls on a non-business day. C. Adopting families picking animals on their own will be invoiced for at the time of pick up for the day's services. Payment for services will be expected same day prior to release of animal. Proof of adoption from Palm Springs Animal Shelter must be presented to Animal Samaritans. d. Rates for services are per the Palm Springs Animal Shelter fee schedule, attached and incorporated by reference as Exhibit "A" ("Fee Schedule"). The Fee Schedule is effective upon mutual signing dates of this agreement and for one year thereafter. e. The total amount of compensation for total services referenced in this MOU and provided by Animal Samaritans shall not exceed twenty-five thousand dollars ($25,000), unless otherwise modified by the City. 4. INSURANCE. a. Animal Samaritans shall procure and maintain public liability and property damage insurance against all claims for injuries against persons or damages to property resulting from Animal Samaritan's performance under this MOU. Animal Samaritans shall procure and maintain all insurance at its sole cost and expense, in a form and content satisfactory to the City, and submit concurrently with its execution of this MOU. Such insurance shall not be cancelable without thirty(30) days advance written notice to City of any proposed cancellation. Certificates of insurance evidencing the foregoing and designating the City, its elected officials, officers, employees, agents, and volunteers as additional named insured by original endorsement shall be delivered to and approved by City prior to commencement of services. The procuring of such insurance and the delivery of policies, certificates, and endorsements evidencing the same shall not be construed as a limitation of Animal Samaritan's obligation to indemnify City, its elected officials, officers, agents, employees, and volunteers. b. Animal Samaritans shall maintain comprehensive general liability insurance at a minimum of one million dollars ($1,000,000) combined single limit coverage per occurrence and two million dollars($2,000,000) general aggregate. C. For any claims related to this MOU, Animal Samaritan's insurance coverage shall be primary with respect to the City and its respective elected officials, officers, employees, agents, and volunteers. Any insurance or self-insurance maintained by City and its respective elected officials, officers, employees, agents, and volunteers shall be in excess of Animal Samaritan's insurance and shall not contribute with it. 4 741706.1 5. INDEMNIFICATION. a. Both parties shall each indemnify and hold harmless the other, including its Directors, agents and employees, from and against any and all loss, damage, liability, or expense of any kind, arising by reason of the acts or omissions of the respective party's officers, directors, agents, employees, contractors, members or volunteers acting alone or in collusion with others. This indemnification obligation shall survive the expiration or earlier termination of this MOU until all actions against the parties for such matters indemnified are fully and finally barred by the applicable statute of limitations or, if an action is timely filed, until such action is final. 6. NOTIFICATION. a.
