A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PALM
SPRINGS, CALIFORNIA, ESTABLISHING A PARKING
MANAGEMENT PROGRAM FOR THE DOWNTOWN PALM
SPRINGS SPECIFIC PLAN, INCLUDING A MAXIMUM 4-HOUR
PARKING TIME LIMIT FOR PUBLIC PARKING SPACES,
DESIGNATING CERTAIN AREAS AS EMPLOYEE PARKING
SPACES -WITH A MAXIMUM 12-HOUR PARKING TIME LIMIT,
AND AUTHORIZING CLOSURE OF THE PARKING FACILITIES
FROM 3:00 AM TO 6:00 AM.
WHEREAS, the City of Palm Springs entered into a Project Financing Agreement
on September 29, 2011, with Palm Springs Promenade, LLC, a California limited liability
company, ("PSP"); and
WHEREAS, the Project Financing Agreement was amended on April 18, 2012,
December 18, 2012, January 24, 2013, and October 30, 2014, for various changes
related to escrow instructions, project design and use, and other project-related issues;
and
WHEREAS, on June 27, 2012, PSP conveyed by Grant Deed to the City of Palm
Springs certain real property, including subterranean, surface, and above grade parking
spaces throughout the Downtown Palm Springs Specific Plan area, (hereinafter referred
to as the "Parking Facilities"), and wherein the Grant Deed requires the City to
"...operate, maintain, and use the Parking Facilities as and for free parking in a safe,
sound, attractive, operational and top quality condition, in perpetuity, for the benefit of
the public..."; and
WHEREAS, the Project Financing Agreement, as amended, does not specify
parking time limits, or designated employee parking areas, and allows for the City
Council to close only that portion of the Parking Facilities located under Block A of the
Downtown Palm Springs Specific Plan from 3:00 AM to 6:00 AM; and
WHEREAS, the Parking Management Program for the Downtown Palm Springs
Specific Plan is recommended for a period of twelve (12) months, subject to automatic
renewal, unless it is terminated with sixty(60) days prior written notice; and
WHEREAS, the City Manager may enter into an agreement consistent with the
terms of this Parking Management Program for the Downtown Palm Springs Specific
Plan, in a form subject to the review and approval by the City Attorney, which sets forth
the administrative regulations for implementation of the Parking Management Program;
and

WHEREAS, Palm Springs Municipal Code, Section 5.38.040 Establishment of
vehicle parking facilities and regulations provides that "The city council by resolution
may designate vehicle parking areas and facilities including metered lots, streets and
other facilities pertaining thereto which will be metered. The resolution(s) may specify
the regulations pertaining to each vehicle parking facility including parking rates or fees,
allowable maximum and/or minimum parking time limits, special validation programs,
incentive parking programs, preferential employee parking, valet parking and long-term
rental parking. The resolution(s) may be amended from time-to-time to reflect then
current conditions"; and
WHEREAS, with the increasing use of ride sharing via Transportation Network
Companies (or "TNCs"), it is necessary to identify certain on-street parking spaces for
drop-off and pick-up of riders using the services of TNCs; and
WHEREAS, certain major events occurring at the Palm Springs Art Museum and
other venues within the Downtown Palm Springs area generate traffic related to the
events, requiring the use of valet parking programs; and
WHEREAS, the Parking Facilities acquired by the City are necessary for the
successful operation of the commercial, retail, office, hotel, residential, and other uses
constructed, under construction, or planned for construction within the Downtown Palm
Springs Specific Plan described in the Project Financing Agreement, as amended.
THE CITY COUNCIL OF THE CITY OF PALM SPRINGS DOES HEREBY
RESOLVE AS FOLLOWS:
SECTION 1. The foregoing Recitals are true, correct, and incorporated by this
reference herein as material terms relied upon by the City Council in adopting this
Resolution.
SECTION 2. Pursuant to Palm Springs Municipal Code 5.38.040, the City
Council hereby establishes a maximum parking time limit of four (4) hours for public
parking spaces within the Parking Facilities located at the Downtown Palm Springs
Specific Plan as described in the Project Financing Agreement, as amended, (with the
public parking spaces identified on Exhibits 1 and 2, attached hereto this Resolution).
SECTION 3. Pursuant to Palm Springs Municipal Code 5.38.040, the City
Council hereby designates Employee Parking within the Parking Facilities located at the
Downtown Palm Springs Specific Plan as described in the Project Financing
Agreement, as amended, (with the employee parking spaces identified on Exhibit 3,
attached hereto this Resolution). The City Manager shall be authorized, upon
consultation with and approval of, the City Council Project Sub-Committee and PSP, to
adjust the limits and locations of the Employee Parking as deemed necessary by the
City and/or PSP.

SECTION 4. Pursuant to Palm Springs Municipal Code 5.38.040, the City
Council hereby allows a maximum parking time limit of up to twelve (12) hours for
spaces designated as Employee Parking within the Parking Facilities located at the
Downtown Palm Springs Specific Plan as described in the Project Financing
Agreement, as amended.
SECTION 5. The City Manager is hereby authorized to close the entire Parking
Facility between the hours of 3:00 AM and 6:00 AM for cleaning and security purposes.
Access through the Parking Facility shall be maintained for PSP as to private parking
facilities used by PSP and its tenants.
SECTION 6. The City Manager is hereby authorized to designate certain on-
street parking spaces within the Downtown Palm Springs Specific Plan as reserved for
use as loading areas, and as drop-off and pick-up locations for users of Transportation
Network Companies. The City Manager shall be authorized, upon consultation with and
approval of the City Council Project Sub-Committee and PSP, to adjust the locations of
the loading areas as deemed necessary by the City and/or PSP. All such loading areas
shall be identified with appropriate signage.
SECTION 7. The City Manager is hereby authorized to approve Valet Parking
License Agreements, or such other similar agreements in a form acceptable to the City
Attorney, to designate portions of the Parking Facilities for parking by special events
scheduled at the Palm Springs Art Museum or for special events organized by non-profit
agencies within the Downtown Palm Springs area that generate traffic requiring traffic
coordination and planning efforts.
SECTION 8. The City Manager is hereby authorized to enter into a Parking
Management Agreement with PSP in a form acceptable to the City Attorney consistent
with the terms of the Parking Management Program adopted pursuant to this
Resolution, for a term of twelve. (12) months subject to automatic renewal, unless
otherwise terminated with sixty (60) days prior notice.
