AMENDMENT NO. 2 CONTRACT SERVICES AGREEMENT WITH METRO VIDEO
SYSTEMS, INC., FOR THE PALM SPRINGS INTERNATIONAL AIRPORT SECURITY
ACCESS CONTROL SYSTEM AND VIDEO MANAGEMENT SYSTEM TO INCLUDE THE
CITY-WIDE CAMERA SYSTEM
This Amendment No. 2 to the Contract Services Agreement (A7222), ("Amendment No.
1"), is made and entered into this day of , 2019, by and between the City
of Palm Springs, a California charter city and municipal corporation, ("City") and Metro Video
Systems, Inc., a California corporation, ("Contractor"). City and Contractor are individually
referred to as"Party" and are collectively referred to as the"Parties".
RECITALS
A. City has determined that there is a need for access control and video management
system and maintenance and services for maintaining and servicing .the Palm Springs
International Airport Access Control and Video Management System, (hereinafter the"Project").
B. On. October 17, 2018, the City Council approved a Contract Services Agreement
(A7222) with Contractor to provide routine and non-routine as-needed, "on-call" access control
and video management system and maintenance and services for maintaining and servicing the
Palm Springs International Airport Access Control and Video Management System,with an initial
term of three (3)years, and an initial maximum compensation not to exceed $209,700.
C. City requested Contractor to provide additional services for the Project related to
Video Management Software (VMS) Implementation, City-wide Maintenance IP Camera
Systems.
D. Contractor has submitted to City a proposal to provide additional Contract services
to provide Video Management Software (VMS) Implementation, City-wide Maintenance IP
Camera Systems under the terms of this Amendment No. 2, included as Attachment 1.
E. The parties wish to enter into this Amendment No. 2 to proceed with the additional
Contract services related Video Management Software Implementation.
NOW, THEREFORE, in consideration of these promises and mutual obligations,
covenants, and conditions, the Parties agree as follows:
AGREEMENT
SECTION 1.The true and correct recitals above are incorporated by this reference herein
as the basis for this First Amendment.
SECTION 2. Section 2.1 Maximum Contract Amount of the Agreement is hereby
amended as follows:

The Maximum Contract Amount is increased by$114,654 in year-1, and$69,900 in year-
2, 3, 4, and 5 for a New Total Maximum Contract Amount of$568,145.17.
SECTION 3. Exhibit"A""Scope of Work"is hereby revised by incorporating the additional
Contract services as outlined in the Contractor's proposal dated June 20, 2019, included
herewith as Attachment 1.
SECTION 4. Exhibit "D" "Schedule of Compensation" is hereby replaced to read, Total
Annual Inspection and Preventative Maintenance Amount $568,145.17, Five Hundred Sixty-
Eight Thousand, One Hundred Forty-Five Dollars and Seventeen cents.
SECTION 5. Full Force and Effect. All terms, conditions, and provisions of the Contract
Services Agreement (A7222), unless specifically modified herein, shall continue in full force and
effect. In the event of any conflict or inconsistency between the provisions of this Amendmeni
No. 2 and any provisions of the Contract Services Agreement (A7222), the provisions of this
Amendment No. 2 shall in all respects govern and control.
SECTION 6. The persons executing this Amendment No. 2 on behalf of the Parties
hereto warrant that (i) such party is duly organized and existing, (i�i they are duly authorized to
execute and deliver this Amendment No. 2 on behalf of said party, (iii) by so executing this
Amendment No. 2, such party is formally bound to the provisions of this Amendment No. 2, and
(iv)the entering into this Amendment No.2 does not violate any provision of any other agreement
to which said Party is bound.

Video Management Software (VMS)
This includes moving from one forest(server)to another forest (server)and deploying a
new video management software (VMS). The new software will be Genetec and will
provide the City of Palm Spring further synergy with other city entities, including Palm
Springs International Airport (PSP). The City of Palm Springs will furnish all hardware.
All hardware and software furnished by the City must meet the Genetec specification
requirement. A Genetec Certified Systems Integrator to perform all work.
This includes the following:

The maintenance for the existing City of Palm Spring Public/City Wide Surveillance .
System includes Quarterly Preventive Maintenance and On-Call Service. Metro Video
Systems, Inc. will provide an on-going service log for the City's perusal. The City of
Palm Springs to provide a detailed camera map location, a wireless connectivity
topology and list of field installed materials. Metro Video Systems, Inc., to provide one
(1) set of spares at the cost listed. Maintenance is proposed for a three(3) year term
with an option for year 4 and 5.
The Price Per Year. $69,900.00 for the listed Service/Maintenance Agreement
Note—the 1 It year would start at Q3. The total for Yr. 1 $34,950.00
This would parallel the existing contract/agreement with The Palm Springs International
Airport F/Y 18/19. Agreement No 7222. PO# 19-0833. Approved by City Council on
10/17/2018.
Quarterly Preventive Maintenance Includes the Following:
• Check the Camera Performance, Radio Performance, POE to meet
specification/operation requirement
• Ensure proper view and camera fittings
• Check back-focus, target and low-light
• Check for intermittent video
• Check the integrity of the video
Verify that all field devices are securely mounted
• Check all connectors
• Axis Certified Technician to perform work
• Clean housing and interior areas of the enclosure
• Apply Ran X on the lower acrylic bubble
• Report any inoperative/malfunction hardware
• Provide a detail report of the quarterly report
All supports hours will coincide with the rates in the existing contract

CONFLICT OF INTEREST AND NON-DISCRIMINATION
CERTIFICATION
Conflict of Interest. Contractor acknowledges that no officer or employee of the City has or
shall have any direct or indirect financial interest in this Agreement nor shall Contractor enter
into any agreement of any kind with any such officer or employee during the term of this
Agreement and for one year thereafter. Contractor warrants that Contractor has not paid or
given,and will not pay or give,any third party any money or other consideration in exchange for
obtaining this Agreement.
Covenant Against Discrimination. In connection with its performance under this Agreement,
Contractor shall not discriminate against any employee or applicant for employment because of
actual or perceived race, religion, color, sex, age, marital status, ancestry, national origin ( i.e.,
place of origin, immigration status, cultural or linguistic characteristics, or ethnicity), sexual
orientation, gender identity, gender expression, physical or mental disability, or medical
condition (each a"prohibited basis"). Contractor shall ensure that applicants are employed, and
that employees are treated during their employment, without regard to any prohibited basis.As a
condition precedent to City's lawful capacity to enter this Agreement, and in executing this
Agreement, Contractor certifies that its actions and omissions hereunder shall not incorporate
any discrimination arising from or related to any prohibited basis in any Contractor activity,
including but not limited to the following: employment, upgrading, demotion or transfer,
recruitment or recruitment advertising; Iayoff or termination; rates of pay or other forms of
compensation;and selection for training, including apprenticeship;and further, that Contractor is
in full compliance with the provisions of Palm Springs Municipal Code Section 7.09.040,
including without limitation the provision of benefits, relating to non-discrimination in city
contracting.

THIS AMENDMENT NO. 1 TO THE CONTRACT SERVICES GREEM T A7222
("Amendment No. 1") is made and entered into, to be effective this 2d day of , 2019,
by and between the CITY OF PALM SPRINGS, a California charter city and municipal
corporation, (hereinafter referred to as "City") and Metro Video Systems, Inc., is a California
corporation, (hereinafter referred to as "Contractor"). City and Contractor are sometimes
hereinafter individually referred to as "Party" and are hereinafter collectively referred to as the
"Parties."
RECITALS
A. City has determined that there is a need for access control and video management
system and maintenance and services for maintaining and servicing the Palm Springs
International Airport Access Control and Video Management System, (hereinafter the "Project").
B. On October 17, 2018, the City Council approved a Contract Services Agreement
(A7222) with Contractor to provide routine and non-routine as-needed, "on-call" access control
and video management system and maintenance and services for maintaining and servicing the
Palm Springs International Airport Access Control and Video Management System, with an initial
term of three (3) years, and an initial maximum compensation not to exceed $209,700.
C. On October 12, 2018, immediately preceding the City Council's approval of
Contract Services Agreement (A7222), the Palm Springs International Airport was impacted by
a significant storm event that caused damage to a number of critical airport electrical systems.
D. City requested and received a proposal from Contractor in the amount of
$103,991.17 to perform required repairs to the critical airport electrical systems damaged by the
storm, and it is necessary amend Contract Services Agreement (A7222) to increase the
maximum compensation with Contractor in the amount of $103,991.17.
E. City wishes to amend Contract Services Agreement (A7222) to increase the
maximum compensation not to exceed $313,691.17 pursuant to this Amendment No. 1.
NOW, THEREFORE, in consideration of the promises and mutual obligations, covenants, and
conditions contained herein, and other valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the Parties agree as follows:

Individual Task Order (Purchase Order) in the additional amount of One Hundred Three
Thousand Nine Hundred Ninety One Dollars and Seventeen Cents ($103,991.17), for nonroutine
repairs to critical airport electrical systems damaged by a storm event on October 12, 2018, in
accordance with Contractor's proposal included herewith as Attachment A.
SECTION 3. Full Force and Effect. All terms, conditions, and provisions of the Contract
Services Agreement (A7222), unless specifically modified herein, shall continue in full force and
effect. In the event of any conflict or inconsistency between the provisions of this Amendment
