AMENDMENT NO. 2 TO THE CITY OF PALM SPRINGS
OFFICIAL POLICE TOW SERVICE AGREEMENT
THIS AMENDMENT NO. 2 TO THE CITY OF PALM SPRINGS OFFICIAL POLICE
TOW SERVICE AGREEMENT, ("Amendment No. 2") is made and entered into on this 1`i44`
day of 'Moxr,1n , 2024, by and between the CITY OF PALM SPRINGS, a California
charter city and municipal corporation, (hereinafter referred to as "City") and Mohica Towing
Inc., a California Corporation, (hereinafter referred to as "Contractor"). City and Contractor are
sometimes hereinafter individually referred to as "Party" and are collectively referred to as the
"Parties."
RECITALS
A. City's Police Department requires the aid and assistance of towing services on a
regular basis in the performance of its emergency response and traffic control duties, including
response to and the investigation of vehicular accidents.
B. As a means for providing the necessary towing service, City has approved the
use of certain towing service companies who have agreed to contract with City to provide the
requisite towing service pursuant to the requirements and performance criteria established by
the City's Police Department, as set forth in the terms and conditions contained herein and in
the City of Palm Springs Request for Statements of Qualifications (SOQ 07-19) for Towing and
Storage of Vehicles as requested by the Department.
C. Official police tow services provider means a towing company selected by the
Department to be used on -call and on a rotational basis for any police emergency or response
situation where the use of a tow truck is required.
D. In order for the Contractor to perform as a towing services company for City, the
towing service company must enter into a contractual agreement with City and must be
designated by City as a towing services company.
E. Contractor owns or leases tow trucks and employs personnel that are capable of
providing the desired vehicle towing and storage services to City.
F. On July 18, 2018, the City Council adopted Resolution No. 24471, approving a
fee schedule that set the maximum tow and storage rates official police tow services providers
can charge, as well as an associated Vehicle Towing Administrative Cost Recovery Fee
("VTACR Fee").
G. On December 19, 2018, City Council adopted Resolution No. 24536, approving
the City of Palm Springs Official Police Tow Service Agreement with the Contractor (the
"Agreement"), for purposes of providing police towing and vehicle impound and storage
services for City.

H. Section 4.1 of the Agreement requires Contractor to pay City a VTACR fee, "in
an amount established by the City Council and/or the Chief of Police ... , as it may be
amended from time to time."
I. Section 4.5 of the Agreement provides that, pursuant to Palm Springs Municipal
Code Section 11.82.070(b), the City Council must establish a fee schedule to be provided
under the Agreement "not to exceed those charges adopted by City Council July 18, 2018, or
by subsequent action of the City Council."
J. On June 5, 2019, the City Council adopted Ordinance No. 1991 amending City of
Palm Springs Municipal Code section 11.82.070(b) to authorize the City Council to set, and
amend from time to time, the maximum tow rates without regard to the Indio Bureau of the
California Highway Patrol average tow rates.
K. In accordance with Resolution No. X51 Fig , adopted by City Council on March
14, 2024, approving maximum rates that tow service providers can charge and an associated
VTACR Fee, the City desires to amend the Agreement to incorporate the maximum tow rates
and associated VTACR Fee, as provided for in the Agreement.
NOW, THEREFORE, in consideration of the promises and mutual obligations, covenants, and
conditions contained herein, and other valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the Parties agree as follows:
SECTION 1. The foregoing Recitals are true, correct, and incorporated by this reference
herein as material terms relied upon by the Parties in agreeing to and executing this
Amendment No. 2.
SECTION 2. The definition of the term "Hourly rate" is hereby added to Section 1.0 of the
Agreement to read as follows:
"Hourly rate" means the measure of time for which a Contractor may charge a vehicle
owner/operator to perform a specific tow service request by the City of Palm Springs Police
Department.
SECTION 3. Section 4.1 of the Agreement is hereby amended as follows and a revised Tow
Fee Schedule added:
4.1 In accordance with Section 11.82.090 and 11.82.100 of the Palm Springs Municipal
Code, on or before the Effective Date of this Agreement, and on or before each annual
anniversary of the Effective Date, Contractor shall pay City a vehicle towing
administrative cost recovery fee for the City's administering this Agreement and
operating a vehicle towing program ("VTACR fee"), in an amount established by the City
Council and/or the Chief of Police pursuant to Palm Springs Municipal Code Section
11.82.100, as it may be amended from time to time. The total annual costs
associated with administering the rotational tow program as stated in Resolution
No. 2.51 %0\ , adopted by City Council on March 14, 2024, is $345,016.16. These
administrative costs shall be recovered by the VTACR Fee of $235 per tow, which

is equal to the total annual administrative costs divided by the 1,468 vehicles
estimated to be towed annually. Furthermore, the Tow Fee Schedule is adopted as
follows:

*Hourly rates
Hourly rates shall not be applied to vehicles towed from Villagefest or any other City -
sponsored special event. Contractor shall pay and remit to the City of Palm Springs the
$235 VTACR Fee even under circumstances where vehicle owner/Contractor, pursuant
to Civil Code section 3068.2, are subject to lien dependent on possession procedures or
what is sometimes referred to as the CA Amnesty Program. The VTACR Fee may only
be waived by City for abandoned vehicles, where neither the Contractor or the City
charge or receive payment for any fees, and the Contractor avails itself to the
abandoned vehicle program as more fully set forth in Section 2.3.4 of this Agreement.
SECTION 3. Section 4.5 of the Agreement is hereby amended as follows:
4.5 Pursuant to Palm Springs Municipal Code Section 11.82.070(b), the City Council of the
City shall establish the fee schedule for services to be provided under this Agreement.
All charges for towing, impound, storage, and other services required to be performed
by Contractor under the terms and conditions of this Agreement shall not exceed those
charges adopted by City Council july 18, 2018 March 14, 2024, or by subsequent
action of the City Council.
SECTION 4. Subsections 4.6.1, 4.6.2, 4.6.3, and 4.6.4, of Section 4.6 shall be added as
follows:

4.6.1 Hourly towing rates shall be calculated beginning at the time the tow service
provider arrives on scene and end at the time of return to the storage yard or
other location designated by the Police Department, or completion of the call, if
another call is pending, whichever is shorter.
4.6.2 For towing requiring a response out of the jurisdiction, total towing time shall be
calculated beginning at the time the tow service provider is dispatched and ends
at the time of return to the storage yard or other location designated by the Police
Department.
4.6.3 The time expended for towing a vehicle back to the operator's storage yard shall
be charged at the appropriate rate shown in the Tow Fee Schedule of Section 4.1
on an hourly basis.
4.6.4 For tows exceeding one hour, rates shall be charged to the vehicle
owner/operator in fifteen (15) minute increments.
4.6.5 Contractor shall keep accurate and detailed records of tow calls, in order for the
City to accurately audit the hourly rates charged by the Contractor. Such records
shall, at a minimum, include, as applicable, the time the Contractor is dispatched,
the time the Contractor arrives on scene, the time of return to the storage yard or
other location designated by the Police Department, and the time of completion of
the call. Contractor shall retain such records for a period of three (3) years
following the termination or expiration of this Agreement.
SECTION 4. Full Force and Effect. All terms, conditions, and provisions of the Agreement,
unless specifically modified herein, shall continue in full force and effect. In the event of any
conflict or inconsistency between the provisions of this Amendment No. 2 and any provisions
of the Agreement, the provisions of this Amendment No. 2 shall in all respects govern and
control.
SECTION 6. Corporate Authority.
The person(s) executing this Amendment No. 2 on behalf of the Parties hereto warrant
that (i) such party is duly organized and existing, (ii) they are duly authorized to execute and
deliver this Amendment No. 2 on behalf of said party, (iii) by so executing this Amendment No.
2, such party is formally bound to the provisions of this Amendment No. 2, and (iv) the entering
into this Amendment No. 2 does not violate any provision of any other agreement to which said
Party is bound does not violate any provision of any other Agreement to which the Party for
which he or she is signing is bound.

conditions contained herein, and other valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the Parties agree as follows:

RECOVERY
Contractor shall pay and remit to the City of Palm Springs the $235 VTACR Fee even
under circumstances where vehicle owner/Contractor, pursuant to Civil Code section

provided by the City or upon ninety (90) day written notice from the Contractor. In the
event that City should cancel, revoke, or suspend Contractor's work pursuant to this
Section 5.3, Contractor shall be entitled to payment for services fully and adequately
provided hereunder prior to the effective date of the cancellation, revocation, or

under this Agreement shall include the performance standards described in the SOQ, but
not be limited to, the following, unless stated otherwise in this Agreement:
