Fuller, Assistant City Manager/City Engineer Bryan Reyes, Police Chief SUMMARY The City Council has previously adopted Chapter 11.82 of the Palm Springs Municipal Code in order to, among other things, ensure that nonconsensual towing services are prompt, reasonably priced, and in the best interest of the public, as well as the interest of efficient policing operations for the removal of vehicles within the City. On June 5, 2019, City Council adopted Ordinance 1991, amending section 11.82.070(b), providing flexibility to the City to establish the tow fees in an amount determined to be in the best interest of the City. This action will formally adopt the schedule of tow fees pursuant to Ordinance 1991. RECOMMENDATION: 1. ITEM NO. 1 City Council Staff Report March 19,2020— Page 2 Adoption of Tow Service Charges BUSINESS PRINCIPAL DISCLOSURE: A search of records available through the Secretary of State of California showed that as of September 27, 2004, A&A Towing and Recovery, Inc., is a California corporation and its officers are Russell Coward (CEO) and Debra Coward (Secretary/CFO); Russell and Debra Coward are also listed as Directors. A&A Towing and Recovery, Inc., is 100% owned by Russell and Debra Coward. Dave's Towing Service is a Sole Proprietorship which is 100% owned by David E. Bell. A search of records available through the Secretary of State of California showed that as of July.30, 2008, Mohica Towing, Inc., is a California corporation and its officer is Jesse Mojica (CEO/Secretary/CFO); Jesse Mojica is also listed as a Director. Mohica Towing, Inc., is 100% owned by Jesse Mojica and Joel Mojica. BACKGROUND: On April 6, 2006, City Council adopted Ordinance 1686, adding Chapter 11.82 "Police Tow Services Standards," -to the Palm Springs Municipal Code. Chapter 11.82 established a contractual process for the provision of nonconsensual vehicle towing services initiated or requested by the Police Department, including the requirement for a competitive selection process, and the establishment of a citywide rotational dispatch. The Ordinance established criteria for the evaluation of qualifications, maximum rates that tow service providers are allowed to charge, and a vehicle towing administrative cost recovery fee("VTACR fee")to ensure the City recovers its full cost for administering police tow services. Nonconsensual tows are those vehicle tows that are requested by the City's Police Department,for instance, when a vehicle is towed because the owner/operator is arrested or is incapacitated. The Police Department maintains a tow rotation list, whereby tow service providers are called, in turn, to provide nonconsensual tow services within the City. Tow service providers are selected by the City Council, through a process established in Chapter 11.82. Through a competitive.qualifications-based solicitation, the City receives formal proposals from qualified tow service providers to provide rotational tow services, which are evaluated by staff in accordance with the criteria in the formal Request for Proposals ("RFP"). The evaluation committee recommends award of one or more tow service providers, with the City Council awarding an agreement to one or more tow service providers that the City wishes to conduct business with. California Vehicle Code Section (CVC) 22850.5(a) allows the City Council, by ordinance or resolution, to establish procedures for the release of properly impounded vehicles to the registered owner, or the owner's authorized agent, and to impose a charge equal to the City's administrative costs relating to the removal, impound, storage, or release of the vehicles to the registered owner, or the owner's authorized agent. Chapter 11.82 also authorizes the City Council to establish a VTACR fee, allowing the City to recover from the owners of all impounded or towed vehicles all of the City's direct and indirect costs associated with the administration of the rotational tow program. 2 City Council Staff Report March 19,2020--Page 3 Adoption of Tow Service Charges On July 18, 2018, the City Council adopted Resolution No. 24471, approving a fee schedule that set the maximum tow and storage rates official police tow services providers can charge, as well as the associated VTACR fee, and approved the City's RFP to solicit proposals for new tow service providers. The adopted fee schedule included rates slightly higher than the prior fee schedule that was effective with the older tow service contracts. In response to the City's RFP, the City's three incumbent tow service providers submitted proposals to continue providing tow services to the community. On December 19, 2018, City Council adopted Resolution No. 24536, approving an Official Police Tow Service Agreement with those three firms: A&A Towing and Recovery, Inc. (A6280); Dave's Towing Service (A6281); and Mohica Towing, Inc. (A6282) (collectively, the "Police Tow Services Agreements"). These three firms were previously awarded tow service contracts by the City in 2006 and 2012. Section 4.5 of the Police Tow Services Agreements provides that, pursuant to the City of Palm Springs Municipal Code section 11.82.100(b), the City Council is authorized to establish a fee schedule provided under the agreements, and that all such charges for police tow provider services"shall not exceed those charges adopted by City Council July 18, 2018, or by subsequent action of the City Council." Following approval of the Police Tow Service Agreements, on June 5, 2019, the City Council adopted Ordinance No. 1991, amending a single provision of Chapter 11.82, Section 11.82.070(b), which removed a restriction that the adopted towing and storage fees be solely based on the average of such fees charged by the California Highway Patrol, Indio Bureau. The term of official police tow truck service agreements shall be three years, with two one-year options. STAFF ANALYSIS: In accordance with Chapter 11.82 and CVC section 22850.5(a), the VTACR Fee is based on the actual and reasonable costs incurred by the City, including administration and overhead, from operating the rotational tow program by the Police Department. Chapter 11.82 further provides that, each year the Chief of Police must review the VTACR Fee and make adjustments, to reflect actual costs, ensuring that the changing economic conditions do not impair the real value of the fees and charges. Staff has evaluated its historic labor and material costs associated with administering the rotational tow program and has determined that the current costs are equivalent to $235 per tow(the VTACR Fee) as calculated and shown in Table 1 below. An audit of records 3 -City Council Staff Report March 19,2020--Page 4 Adoption of Tow Service Charges indicated that over the past three years an average of 637 vehicles annually are subject to the VTACR Fee, which excludes vehicles stolen and/or recovered,vehicles towed from Villagefest or vehicles towed as evidence. The total annual costs associated with administering the rotational tow program is $149,758.55, itemized as "Total Administrative Costs" in Table 1. These administrative costs are reimbursed through the VTACR Fee, which is equal to the total annual administrative costs divided by the estimated total of 637 vehicles towed annually, or $235. In this case, staff is recommending that Council re-adopt the tow fees previously adopted in July 2018, maintaining rates lower than all other cities in the Coachella Valley, as shown in Table 2 on the next page. A further clarification is recommended by eliminating that portion of the VTACR fee imposed on the tow service providers directly ($50,000 annually of the $149,759 total VTACR fee, equivalent to $50 per tow) and charging the full annual VTACR fee of $149,759 ($235 per tow) on the owners of the vehicles (an increase of $50). As a result, an amendment is required to update the implementation of the VTACR fee'in the Police Tow Service Agreements. Official police tow services providers, pursuant to the terms of their agreements,,will be required to comply with the maximum rates chargeable. Finally, in order to conform the existing Police Tow Services Agreements to the changes in VTACR fee and tow/storage fee authority, staff is recommending that the City Council direct and authorize staff to enter into amendments to those Agreements with the three existing tow operators. Should one or more tow operator(s) choose not to enter into such an amendment, City staff requests authority from the City Council to terminate such Tow Agreement. 5 City Council Staff Report March 19,2020—Page 6 Adoption of Tow Service Charges CALIFORNIA ENVIRONMENTAL QUALITY ACT (CEQA) DETERMINATION: The requested City Council action is not a "Project" as defined by the California Environmental Quality Act (CEQA). Pursuant to Section 15378(a), a "Project" means the whole of an action, which has a potential for resulting in either a direct physical change in the environment, or a reasonably foreseeable indirect physical change in the environment. The requested action is exempt from CEQA pursuant to Section 15378(b), in that a "Project" does not include: (5) Organizational or administrative activities of governments that will not result in direct or indirect physical changes in the environment. FISCAL IMPACT: Adoption of the Resolution establishing the VTACR Fee of $235 will ensure that all City expenses associated with administering the rotational tow program are recovered through fees paid by owners of vehicles impounded or towed at the direction of the City's Police Department. Though the annual administrative fixed fee will be eliminated,the increased VTACR Fee will compensate for the difference. Adoption of towing services charges consistent with those adopted in July 2018 maintains service costs for the community consistent with the City s past practice of ensuring our residents and visitors are charged a competitively low rate. City and Contractor are sometimes hereinafter individually referred to as "Party" and are collectively referred to as the "Parties." RECITALS A. City's Police Department requires the aid and assistance of towing services on a regular basis in the performance of its emergency response and traffic control duties, including response to and the investigation of vehicular accidents. B. As a means for providing the necessary towing service, City has approved the use of certain towing service companies who have agreed to contract with City to provide the requisite towing service pursuant to the requirements and performance criteria established by the City's Police Department, as set forth in the terms and conditions contained herein and in the City of Palm Springs Request for Statements of Qualifications (SOQ 07-19) for Towing and Storage of Vehicles as requested by the Department. C. Official police tow services provider means a towing company selected by the Department to be used on-call and on a rotational basis for any police emergency or response situation where the use of a tow truck is required. D. In order for the Contractor to perform as a towing services company for City, the towing service company must enter into a contractual agreement with City and must be designated by City as a towing services company. E. Contractor owns or leases tow trucks and employs personnel that are capable of providing the desired vehicle towing and storage services to City. F. On July 18, 2018, the City Council adopted Resolution No. 24471, approving a fee schedule that set the maximum tow and storage rates official police tow services providers can charge, as well as an associated Vehicle Towing Administrative Cost Recovery Fee ("VTACR Fee"). G. On December 19, 2018, City Council adopted Resolution No. 24536, approving the City of Palm Springs Official Police Tow Service Agreement with the Contractor (the "Agreement"), for purposes of providing police towing and vehicle impound•and storage services for City. Page 1 of 5 H. Section 4.1 of the Agreement requires Contractor to pay City a VTACR fee, "in an amount established by the City Council and/or the Chief of Police . . . . as it may be amended from time to time." I. Section 4.5 of the Agreement provides that, pursuant to Palm Springs Municipal Code Section 11.82.070(b), the City Council must establish a fee schedule to be provided under the Agreement "not to exceed those charges adopted by City Council July 18, 2018, or by subsequent action of the City Council." J. On June 5, 2019, the City Council adopted Ordinance No. 1991 amending City of Palm Springs Municipal Code section 11.82.070(b) to authorize the City Council to set, and, - _ amend from time to time, the maximum tow rates as the City Council determines in the best interests of the City. K. In accordance with Resolution No. 24733, adopted by City Council on March 19, 2020, approving maximum rates that tow service providers can charge and an associated VTACR Fee, and as required by Section 4.5 of the Agreement, the City desires to amend the Agreement to: (1) incorporate the maximum tow rates; (2) eliminate that portion of the VTACR Fee paid directly by Contractor; and (3) increase the VTACR Fee such that 100% of the VTACR Fee is charged to and paid by vehicle owners. NOW, THEREFORE, in consideration of the promises and mutual obligations, covenants, and conditions contained herein, and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: SECTION 1. The foregoing Recitals are true, correct, and incorporated by this reference herein as material terms relied upon by the Parties in agreeing to and executing this Amendment No. 1. SECTION 2. The VTACR Fee may only be waived by City for abandoned vehicles, where neither the Contractor or the City charge or receive payment for any fees, and the Contractor avails itself to the abandoned vehicle program as more fully set forth in Section 2.3.4 of this Agreement. SECTION 3. Section 5.3 of the Agreement is hereby amended as follows: 5.3 This Agreement may also be cancelled without cause upon thirty (30) days written notice provided by the City or upon ninety (90) day written notice from the Contractor. Section 19.3 is hereby amended as follows: 19.3 Contractor acknowledges and agrees that the minimum performance standards required under this Agreement shall include the performance standards described in the SOQ, but not be limited to, the following, unless stated otherwise in this Agreement: SECTION 5. Full Force and Effect. All terms, conditions, and provisions of the Agreement, unless specifically modified herein, shall continue in full force and effect. In the event of any conflict or inconsistency between the provisions of this Amendment No. 1 and any provisions of the Agreement (A6280), the provisions of this Amendment No. 1 shall in all respects govern and control. SECTION 6. Corporate Authority.
