FOR PLACEMENT OF UTILITIES INSTALLATIONS UNDERGROUND
THIS AGREEMENT, made and entered into -this 3rd day of
SePtember, 1963, by and between the Mount San Jacinto Winter
- Park Authority, hereinafter referred to as "First Party",
and the City of Palm Springs ,California, hereinafter re-
ferred to as "Second Party" ,
W I T N E S S E T H
In consideration of the hereinafter set forth covenants and
promises by the parties hereto, IT IS MUTUALLY AGREED:
That whereas second party, by Section 9633. 3 of Division 9
of the "Palm Springs Ordinance Code" requires land developers
to place utility service underground in certain portions of
the city; and
WHEREAS First Party has made application to the City Council
of Second Party for temporary relief from the requirements so
that First Party can be served overhead electric power service
for its parking lots located at the lower station of the
"Palm Springs Aerial Tramway" ,now being constructed and oper-
ated by the Mount San Jacinto Winter Park Authority,
1) IT IS UNDERSTOOD AND AGREED that First Party may contract with
California Electric Power Company to provide overhead electric
power service to the hereinabove referred to parking lots so
as to provide lighting for said parking lots . The said Tram-
way Development- and parking lots are all as set forth on plats
provided the City and now on file in the office of the Planning
Director;
2) First Party shall arrange with California Electric Power Company
to have said overhead power lines placed underground upon order
of the City Council, which said order to be made at the direction
of the City Council.
3) First Party agrees that Second Party may order California
Electric Power Company to cease service if First Party does
not comply with City Council ' s demand for underground installation.
4) First Party specifically agrees and does hold harmless the Second
Party and any public utility affected thereby from any and all
claims by First Party, or its successor in interest, occasioned
the cessation of the utility service which cessation was caused
by demand of the Second Party.

Riverside, appeared 0. Earl Coffman and V. W. Grubbs,known to

respectively, of Mt. San Jacinto Winter :'ark Authority, the cor—
poration which executed the foregoing instrument, and acknowledged
that they executed same for and on behalf of said organization
and were duly authorized so to do.
