(415) 832.8489 1 AGREEMENT This agreement for professional services is a contract between the Community Redevelopment Agency of the City of Palm Springs, hereinafter referred to as the "Agency, " and Cultural Systems Research, Inc. , hereinafter referred to as "Consultant. " RECITALS A. The Agency desires to retain technical and professional services for the archaeological reconnaisance of Tentative Tract 17155, located at the western terminus of Tahquitz-McCallum Drive in Palm Springs, Riverside Co. , California, which the owner proposes to develop. The task is described in Consultant' s attached "Proposal for Archaeological Reconnaisance of Tentative Tract 17155, August 25, 1988 . B. The Agency has approved the selection of the Consultant to assume responsibility for the performance of the work described herein in accord with the terms and conditions set forth herein. THEREFORE, THE AGENCY AND THE CONSULTANT AGREE AS FOLLOWS: A. SCOPE OF WORK The Consultant shall prepare, perform, and complete the professional services as outlined in "Exhibit A, " Proposal for Archaeological Reconnaisance of Tentative Tract 17155, to the reasonable satisfaction of the Agency. B. TIME SCHEDULE The Scope of Work will be conpleted by the Consultant and submitted to the Agency according to a schedule to be mutually agreed upon. C. COMPENSATION Consultant shall be compensated as set forth in the "Budget, Archaeological Reconnaisance, Tentative Tract 1755, August 25, 1988 . " Invoices will be submitted to the Agency by the Consultant at the first of each month for work done in the previous month. Payment shall be due within 30 days. D. TERMINATION The Agency or Consultant may terminate this Agreement at any time by giving written notice thereof, provided that the Agency shall be obligated to pay the Consultant for all work performed and for all costs incurred prior to receipt of notice of termination by either party. Written notice of termination shall be sent by Certified Mail and deemed effective upon receipt. E. EQUAL EMPLOYMENT OPPORTUNITY The Consultant agrees to comply with the applicable requirements governing equal employment opportunity. F. INSPECTION The Agency, in reference to any request for payment submitted by the Consultant for services under this Agreement, shall have the right to examine and audit the records of the Consultant pertaining to this Agreement, to verify expenses submitted. G. AUTHORITY Each of the parties to this Agreement represents that the person signing on behalf of such party has authority to do SO. H. RELATIONSHIP OF PARTIES It is understood that the contractual relationship of the Consultant to the Agency is that of an independent contractor, and all persons working for or under the Consultant are its agents, servants, and employees and not agents, servants, or employees of the Agency. I. CONSULTANT TO ABIDE BY ALL LAWS Consultant is required to abide by all Federal, State and Local laws applicable to the Scope of Work. J. HOLD HARMLESS Consultant shall indemnify and hold Agency harmless from any liability whatsoever, including wrongful death, based upon any wrongful act or omission by Consultant, its employees, subcontractors and agents, if any, relating to or in any way connected with the accomplishment of the work or performance of service under this Agreement. K. WORKMAN'S COMPENSATION INSURANCE Consultant's staff members are insured by the State Compensation Insurance Fund and/or other suitable carrier of workman's compensation insurance. Where subcontractors are employed to perform potentially hazardous duties, said contractors are shall be required by Consultant to provide proof of disability insurance. (415) 832.8489 EXHIBIT A August 25, 1988 PROPOSAL FOR ARCHAEOLOGICAL RECONNAISANCE of Tentative Tract 17155 Cultural Systems Research hereby submits a proposal for the archaeological reconnaisance of Tentative Tract 17155, located at the western terminus of Tahquitz-McCallum Drive in Palm Springs, Riverside County, California. This property consists of a portion of the NW 1/4 of the BE 1/4 of Section 15, T4S, R4E, S.B.B.M, as shown on the Palm Springs, CA 7.5' USGS Quadrangle. In order to determine the significance of this site for archaeological, historical and cultural purposes, it will be necessary to engage in a preliminary research effort to determine as exactly as possible what the potential significance is. This can be done in three steps: 1) An archaeological reconnaisance that will test for pre-historic and ethnographic resources in the area that has been recorded as having been the site of the Patencio cemetery up to 1893, and that was mapped by Indian Agent H. N. Rust in 1893 will be the first step; 2) A separaye step will be an archival search for data, circa 1893, in order to see if there is further documentation regarding the use of the site as a cemetery before the Cahuilla were forbidden to make further use of it for that purpose by McManus. This will include a search of the Rust personal and official papers now held by the Huntington Library in San Marino, California, and a review of newspaper accounts of that period. 3) Finally, present-day Cahuillas who may have heard of the use of the area as a cemetery or for other purposes will be interviewed. It is anticipated that oral traditions about the exact location of the cemetery and its uses may still persist. This study is to be limited to that area identified in historic documents and in oral history as a cemetery. The degree of archaeological effort proposed at this time may or may not reveal the location and extent of the cemetery. The historic data at hand, ano, the fact that there are an irrigation ditch, mesquite, cacti, fig trees, and the like suggest that this is the site of the cemetery and a settlement site with multiple other uses. On the other hand, the fact that the site has been greatly disturbed in the present century may make it difficult to find the burials that would confirm the site's use as a cemetery. After this preliminary phase, a description of what has been discovered will be provided the Planning Department of the City of Palm Springs, and recommendations will be made regarding further study, or measures that would mitigate proposed impacts to the site. This research will begin in October, 1988, and will include as investigators Lowell John Bean, Ph.D. and Sylvia Brakke Vane, M.A. , as Principal Investigators, who will serve as project managers, ethnographers and ethnohistorians; Daniel McCarthy of the University of California, Riverside, and C. Michael Elling, as Project Archaeologists, and such crew members as are needed; and Native Americans, who will participate as Archaeological Monitors and Consultants. The Agua Caliente Tribal Council will be advised of all work as it progresses.
