Dear Mr. Johnston:
Pursuant to authorization by the Redevelopment Agency Board of Directors,
I am providing this amendment to the letter agreement referenced above to
allow for the reimbursement to Motel 6 for certain costs related to the
completion of the new intersection of South Palm Canyon Drive at Camino
Parocela. These costs, specifically, the reconfiguration of on-site driveways
at the Sun Center and Palm Canyon Plaza properties, were identified in the
original letter agreement as items to be fully reimbursed by the Agency,
but no dollar figure was mentioned. With this amendment, the Agency agrees
to reimburse the full cost of the demolition of existing improvements and
installation of new curb and pavement on site (i .e. , behind the Caltrans
right-of-way) at the Sun Center and Palm Canyon Financial Plaza plus reason-
able contractor and corporate overhead. This reimbursement will be paid
within 30 days of the presentation by Motel 6 of paid receipts for the work.
The Agency has authorized a maximum expenditure for this work of $20,000,
which is above, and separate from, the $170,000 to be reimbursed to Motel
6, from tax increment flowing to the Agency from the new hotel , for other
intersection improvements.

Dear Mr. Neelan:
Recently, the conditions of approval for the proposed Motel 6 were changed
to allow for the issuance of an occupancy permit by the City prior to the
installation of the intersection and signal improvements at South Palm Canyon
Drive and Camino Parocela. This change was conditioned on formal approval
by Motel 6 to construct these improvements in a timely manner once the
necessary right-of-way has been obtained. Your office has previously approved
this condition.
In order to comply with the above condition, the following amendment is
to be made to the October 28, 1987, letter agreement between Motel 6 and
the Agency:
Motel 6 agrees to install the intersection improvements prior
to December 31, 1989. Said date may be extended by mutual agreement
between the Agency and Motel 6 if design and/or easement issues
have not been resolved to allow construction to proceed prior
to June 30, 1989.
Should the language included above be agreeable to you, please sign and
return this letter. Subsequent to your acceptance, I will present the amend-
ment to the Agency Board for their approval . Please contact me should you
have any questions.

RE: Proposed Motel 6/Palm Canyon Drive and Camino Parocela
Dear Mr. Gossen:
As part of the approval of the above referenced project, the City required
the substantial realignment and resignalization of the intersection of
Palm Canyon Drive and Camino Parocela to alleviate existing and potential
traffic hazards in the area. Due to the general area-wide benefit of these
improvements as well as the potential infeasibility of the hotel project
due to the extent of costs associated with the intersection work, the Agency
proposes to reimburse Motel 6 for 'approximately three quarters of the cost
of this work. The details of this, proposed arrangement are outlined below.
The Agency proposes to reimburse seventy-five percent of the construction
cost for the following improvements associated with the realignment and
resignalization of Palm Canyon Drive and Camino Parocela:
1. Traffic signals
2. Removal of existing curb and gutter, as required, on Palm Canyon Drive
3. Installation of new curb and gutter, as required, on Palm Canyon Drive
4. Reconfiguration of the median island.
5. Traffic control during construction
In addition, the Agency proposes to reimburse twenty-five percent of the
construction cost of items identified for Palm Canyon Drive on Attachment
I , (Engineer's Estimate of Probable Construction Cost) and not mentioned
above.

Finally, the Agency proposes to reimburse all costs associated with the
reconfiguration of the Sun Center and Palm Canyon Financial Plaza driveways
and parking lots as required by the intersection work.
The Agency's total reimbursement amount shall not exceed $170,000 unless
inceased by mutual agreement of the Agency and Motel 6.
Under the Agency proposal , the design and construction of the intersection
improvements are to be performed by Motel 6. Motel 6 also pays for the
improvements initially with reimbursement of these costs by the Agency in
five equal annual payments plus accrued interest beginning one year after
the issuance by the City's Building Department of a Notice of Completion
for the hotel . Interest on the amount advanced by Motel 6 shall be eight
percent per annum. A separate loan agreement will be required to formalize
this arrangement, and shall be executed after determination of the final
cost of the improvements.
