This Agreement, made and entered into this day of 1987, by and between the City
of Palm Springs Redevelopment Agency, hereinafter referred to as "Agency" and Municipal
Services, Inc., hereinafter, referred to as "Consultant":
WHEREIN, the Agency contemplates a project to be known as the Redevelopment Project
Area, hereinafter called "The Project."
WHEREAS, the Agency desires to retain the services of Consultant to assist in the studies
for "The Project" as defined by the Work Program described in the proposal and referred to
herein as Exhibit "A":
NOW THEREFORE, in consideration of the mutual covenants and agreements herein
contained, the parties agree as follows:
1. The Agency hereby retains the Consultant to serve as the Agency's Consultants
for the project at a fee not to exceed $52,750 as delineated in the Price Sheet
Summary, Exhibit 111311.
2. The Consultant agrees to perform such services and specific tasks as described in
Exhibit "A".
3. Date certain for accomplishment of those tasks described in Exhibit "C" are
included therein. The service of the Consultant will begin within five days of the
execution of this Agreement and shall be completed in accordance with the
schedule shown in Exhibit "C". This schedule may be amended to benefit the
program if mutually agreed to in writing by the Redevelopment Agency and
Consultant.
4. Agency may authorize Consultant in writing to perform additional services not
included in the Scope of Services. Consultant will be compensated for such
services on a flat fee basis agreeable to both parties. Additional services will be
invoiced separately from services performed in accordance with the Scope of
Services.
5. The Consultant designates Roy Evans as its Consultant Team Leader who shall be
available and attend such conferences and meetings as required by Exhibit "A11
and any additional meetings of the Agency and/or its agencies as shall be
determined by the Agency's Redevelopment Director, Kenneth E. Feenstra, or
the designated Project Manager, John C. Terell.
6. All reports, information, data and exhibits prepared or assembled by Consultant
in connection with the performance of its services pursuant to the Agreement
are confidential until released by Agency to the public and the Consultant agrees
that they shall not be made available to any individual or organization without
prior written consent of the Agency prior to such release. All such reports,
information, data and exhibits shall be the property of the Agency and shall be
delivered to the Agency upon demand without additional cost or expense to the
Agency. Notwithstanding such ownership, Consultant shall be entitled to make
and obtain copies of such reports and information and to retain copies for its
files. Consultant may distribute and reproduce such information as it deems
appropriate once such information has been made public by the Agency.
7. Municipal Services, Inc. agrees to indemnify, defend and save Agency and its
agents and employees harmless from any and all liability, claims, damages or
injuries to any person, including injury to Municipal Services, Inc.'s employees
and all claims which arise from or are connected with the negligent performance
of or failure to perform the work or other obligations of this agreement, or are
caused or claim to be caused by the negligent acts of Municipal Services, Inc., its
agents or employees, and all expenses of investigating and defending against
same; provided, however, that this indemnification and hold harmless shall not
include any claim arising from the sole negligence or willful misconduct of the
Agency, its agents or employees.
8. Municipal Services, Inc. shall procure and maintain, at its sole expense, Worker's
Compensation Insurance in such amount as will fully comply with the laws of the
State of California and which shall indemnify, insure and provide legal defense
for both Municipal Services, Inc. and the Agency against any loss, claim, or
damage arising from any injuries or occupational diseases happening to any
worker employed by Municipal Services, Inc. in the course of carrying out the
within agreement. A Certificate of Insurance, or other appropriate insurance
binder, widening the above insurance coverage with a company acceptable to the
City's Risk Manager shall be submitted to the Agency prior to execution of this
agreement on behalf of the Agency.
9. The Agency shall inform Municipal Services, Inc. of any deficiencies or non-
compliance with the terms of this agreement with sufficient advance notice so
that Municipal Services, Inc. may remedy any such deficiency or non-compliance.
Advance notice of not less than thirty (30) days shall be considered sufficient for
the purposes of this paragraph.
If the remedy of any such deficiency or non-compliance does not occur within
such advance notice, the Agency shall be able to cancel this contract provided,
however, that Municipal Services, Inc. shall be paid for all work performed to the
date of cancellation.

10. Except as otherwise provided herein, any notice, approval, acceptance, request,
bill, demand, or statement hereunder from either party to the other, shall be
given by either personal service or by mail, postage prepaid, addressed to the
respective parties as follows:

Either party may at any time change such address by delivering or mailing, as aforesaid, to

11. It is understood that Consultant will adequately complete and properly submit all
work required under Scope of Work on the date set forth in Exhibit "A" the
parties acknowledging that time is of the essence.

EXHIBIT "A"
A. Approach
The legal basis for establishing a redevelopment project area is the existence of
blighting conditions. Conditions of blight include physical conditions (aged and
obsolete structures, deteriorated improvements) social conditions (high concentrations
of poverty, unemployment, criminal activity) or economic conditions (low property
values and rents, high commercial vacancies, shifting land uses). By law, these
conditions must pose a serious burden upon the community which cannot be alleviated
by the private sector acting alone.
The principal initial effort, therefore, is to conduct a preliminary blight assessment of
the City of Palm Springs. General conditions of blight will be documented and a
recommendation made as to the specific locations that are deemed to evidence
conditions of blight consistent with State Law and deserve further consideration. The
decision to include or delete areas will ultimately be made by the City Council after
consultation with City Staff, legal counsel, and consultants. MSI will present the
redevelopment information to the City Staff for distribution to the City Council,
Planning Commission, and appropriate staff members.
MSI will fulfill all responsibilities to complete this phase toward the formation
redevelopment plan process in accordance with State Law. The redevelopment plan
process requires close cooperation with the City Staff and all Departments since
redevelopment programs substantially overlap with the traditional responsibilities of
City Departments. MST will maintain frequent contact with the Project Manager to
ensure that the lines of communication remain open.
B. Establishment of a Project Area and Preparation of Preliminary Recommendations
Goal
This portion of the project consists of identifying an appropriate survey area boundary,
evaluation of blighting conditions, coordination of the involvement and orientation of
members of the public and preparation of the preliminary recommendation to the City
Council. This will be accomplished as described in the following tasks:
Task 1. Designation of Survey Area and Study Session with the City Council
The City Staff has identified a tentative target area for the survey area in which a
redevelopment program could be established. Initially MSI will meet with City Staff
to become acquainted with City Personnel, and perceptions of issues and identification
of information and data sources. MSI will collect and review existing studies and
documents pertaining to the area including General Plan, zoning ordinance maps,
existing project area documents, and related information. MSI will also conduct a
study session with the City Council, City Staff, and interested groups, to familiarize
MSf with the community, its characteristics, background, and long range prospects.
Designation of the survey area will initiate the redevelopment program for the
targeted area within the City of Palm Springs. The survey area will identify
geographic boundaries for evaluation as to the feasibility of undertaking a
redevelopment project. We will prepare and submit for approval, a Survey Area Map
and appropriate resolutions necessary to establish a Redevelopment Survey Area
consistent with applicable sections of the Health and Safety Code.
Task 2. General Citizen Participation
MSI recommends that the City properly inform the community regarding
redevelopment objectives by involving the community at the onset of preliminary
planning for the proposed redevelopment project. Redevelopment has precipitated
considerable public protest in many communities, principally because businessmen and
residents who were directly affected by programs were not informed as to
redevelopment objectives. It was with the intent of mandating citizen participation in
the planning and implementation of redevelopment programs that the California
Community Redevelopment Law was amended to require a Project Area Committee
(Citizen Advisory Committee) whenever redevelopment contemplated displacement of
low and moderate income families. While this will not necessarily occur in Palm
Springs it is advisable to establish such a committee even for business and industrial
areas.
We recommend that an informative community relations program be provided for
purposes of elaborating upon the benefits and pitfalls of redevelopment in order to
elicit community support for this important community development tool. We will
undertake to meet with community organizations and with other residents in the
community, as appropriate, for purposes of informing all concerned regarding the
redevelopment process and properly communicating the City's goals and objectives in
order to counteract potential negativism caused by rumors and misinformation.
Specifically, we are prepared to discuss from firsthand experience, the various aspects
of the redevelopment process, including the ramifications of pertinent sections in the
Government Code, including, information both written and verbal on the issues and
process for acquisition by eminent domain and accompanying relocation benefits.
Further, as the various reports, recommendations, and accompanying documents are
submitted for action, we will make the required presentations before such citizen
groups for purposes of eliciting their comments, recommendations, and support.
While interaction with community organizations is emphasized, we are equally aware
that proper interaction with the City Council, Planning Commission, Staff, property
owners, and special interest groups, is crucial to the success of any redevelopment
program. If desired, MSI will help organize the Project Area Committee in accordance
with Redevelopment Law and prepare the necessary resolutions. The Project Area
Committee will serve as an advisory body to the City Council and eventually the
Redevelopment Agency Board of Directors.
Task 3. Assessment of Conditions Report/Urbanized Area Requirement
As previously stated, documentation of blighting conditions within the Survey Area
will be the most important factor in determining the feasibility of establishing a
redevelopment project area. Past Supreme Court decisions have underscored the need
for properly documented blight indices. MSI will undertake an assessment of blighting
influences within the survey area, examining relevant physical, social, economic, and
environmental conditions.

Conditions of blight will be documented in accordance with Community
Redevelopment Law as follows:
1. Physical blight will be documented through field surveys, review of existing
reports and studies regarding structural conditions or public improvement
deficiencies. The Planning and Public Works Departments of the City
possess information which can be used to document physical blight.
2. Social blight will be documented through contact with area police,
sanitation, health and welfare agencies, as well as through published data
sources. Demographic tables are typically constructed showing a relative
social imbalance which causes undue hardship to the area.
3. Economic blight will be documented principally through field surveys and
review of existing economic studies. Trends in property values or rents,
property vacancy rates, types of land uses and sales tax revenues and
trends will be assessed to document prevailing economic conditions within
the area.
The end product will be a report which assesses the Survey Area's condition in terms of
the presence and severity of blighting conditions. The report will include tables,
charts, figures and photographs illustrating the various conditions within the Survey
Area. MSI will then recommend preliminary project area boundaries which fulfill the
requirements of State Law pertaining to blight.
The Assessment of Conditions Report will provide preliminary evidence of blighting
conditions. After areas which do not clearly evidence blight are eliminated from
consideration, more exhaustive research will be undertaken once the project area
boundaries are established. The City Council must make a finding of blight at the very
end of the process during the joint public hearing; thus sufficient time will remain for
the City Council to study the report and solidify the redevelopment plan thinking
pertinent to evidence of blight. MSI will also perform a preliminary assessment of the
recommended project areas compliance with the urbanized area requirements.
Community Redevelopment Law requires that at least 80 percent of the proposed
project area be considered "urbanized". The definition of urbanized is somewhat
nebulous and the City Attorney's support will be necessary to establish the framework
for determining compliance. The assessment will be conducted based upon the
recommended project area as determined from the Assessment of Conditions Report.
Task 4. Prepare Final Schedule of Actions and Designation of Project Area
Upon City Staff and Council review, and consideration of the Assessment of
Conditions Report, specific areas may be designated as comprising the Redevelopment
Project Area and scheduled for preparation of preliminary redevelopment plans and
the remaining documents leading to the public hearings. MSI will prepare a final
schedule and strategy for adoption of these plans and documents for Council
consideration if a decision is made to implement the redevelopment process.

Task 5. Preparation of'Preliminary Recommendations to Council
Under this 'task specific project area boundaries and a Preliminary Redevelopment
Plan will be prepared in accordance with Community Redevelopment Law and
recommended for adoption by the City Planning Commission. However, until the
implementation program is commenced the map and legal description will not be
transmitted to the taxing entities. The Preliminary Plan will contain:
1. A description of the potential boundaries of the project area.
2. A general statement of the land uses, layout of principal streets,
population densities, and building intensities and standards proposed as the
basis for redevelopment of the project area.
3. A discussion of how the purposes of Redevelopment Law would be attained
through redevelopment.
4. Evidence which shows that the proposed redevelopment conforms to the
master or general community plan.
5. A general description of the project's impact upon residents and the
surrounding neighborhood.
During this process, MSI will secure copies of the Assessor's parcel maps and ownership
rolls for all properties in the Project Area in order to prepare the map and legal
description and to establish the mailing list for the Project Area on our computer for
future mailings.
Task 6. Review and Approvals
During preparation of the Preliminary Plan, Boundary Maps, and Legal Descriptions for
the Project Area, MSI will work closely with the City Staff and Advisory Groups to
ensure that proper communications are maintained. MSI will coordinate and schedule
appropriate meetings with the City Council, Staff, and Advisory Groups to secure the
review and approval of the Preliminary Plan, reports, and maps.
C. Plan Adoption
Goal
This portion of the program shall result in consideration of the Redevelopment Plan by
the City Council at a joint public hearing with the Redevelopment Agency Board. This
phase will be accomplished as described in the following tasks:
Task 1 - Recommendations to Council
The redevelopment law specifically requires that redevelopment agencies relate their
intentions regarding proposed redevelopment activities upon completion of the
Preliminary Plan, including preparation of the Preliminary Redevelopment Report

required under Section 33344.5 of the Health and Safety Code. MSI will prepare a
report to the Council which will be preliminary to the implementation program. That
report will comply with the necessary Health and Safety Code requirements. It will
include the following:
(a) The reasons for the selection of the Project Area(s).
(b) A description of the physical, social, and economic conditions existing in
the Project Area(s).
(c) A preliminary assessment of the proposed method of financing the
redevelopment of the Project Area, including an assessment of the
economic feasibility of the project and the reasons for including a provision
for the division of taxes pursuant to Section 33670 in the Redevelopment
Plan.
(d) A description of specific project or projects which may be proposed by the
agency in the Project Area in sufficient detail and specificity to permit the
review of the potential impacts of the proposed project.
(e) A description of how establishing the Project Area will improve or
alleviate the conditions described in (b) above.
The Preliminary Report can be prepared during this phase using data previously
collected regarding conditions of blight and through identification of specific projects
which will alleviate these conditions. City staff's input on potential projects and costs
will be critical to the preparation of this document.
Task 2. Preparation of Redevelopment Plan(s)
MSI will prepare the required Redevelopment Plan for the proposed Project Area,
including all of the elements required pursuant to the California Community
Redevelopment Law. Previous work prepared by City Planning Staff such as economic
analyses, land use studies, and development standards will be incorporated into the
Plan if deemed appropriate. The Redevelopment Plan tends to be a more legalistic
document than some of the earlier reports, but represents by far the most important
document since it establishes the Agency's legal authority to undertake and finance
the projects.
The Redevelopment Plan will be submitted to the Planning_ Commission for
consideration of the following:
1. Whether the Redevelopment Plan conforms to the adopted General Plan.
2. Whether property acquisitions for public purposes which may be proposed
by the Redevelopment Plan are consistent with the adopted General Plan.
The Planning Commission will make its report and recommendation in the form of a
Resolution which will become part of the Report to the City Council.

Task 3 - Preparation of Owner Participation Rules and Relocation Method
MSI will prepare the Owner Participation Rules -- a supportive document, identifying
as applicable the various methods by which property owners and tenants are
encouraged to participate in Redevelopment Plan implementation. MSI will provide
Rules and Procedures enabling Staff to effectively deal with owner-participants
immediately following adoption of the Redevelopment Plan.
MSI will also prepare the Relocation Method. The Relocation Method will contain
policies and procedures which will provide Staff with the necessary guidelines to
effectively deal with relocatees who may be displaced as a result of Project activities.
Task 4 - Preparation of Report to City Council
The Report to the City Council will include all of the information required by Section
33352 of the Community Redevelopment Law. Much of the required information
overlaps with information already provided in the Preliminary Report. The Report to
the City Council will be a comprehensive document which enables the City Council to
make an informed decision as to the costs and benefits of redevelopment:.
Task 5- Environmental Review
Most redevelopment plans consist of general land use and development objectives
similar in presentation to a community plan or general plan. The redevelopment plan,
for instance, typically does not indicate the precise location of specific land uses or
specific parcels to be acquired, cleared and redeveloped. Consequently, the
environmental assessment must evaluate the cumulative and secondary impacts of the
redevelopment program. The Environmental Impact Report can only be as specific as
the project itself.
Article 12 of the CEQA Guidelines further provides the following with respect to
redevelopment plan EIR's:
Section 15180(a) - All public and private activities or undertakings pursuant to or
in furtherance of a redevelopment plan constitute a single project, which shall be
deemed approved upon adoption of the redevelopment plan.
Section 15180(b) - An EIR on a redevelopment program shall be treated as a
Program EIR with no subsequent EIR.'s required for individual components of the
redevelopment plan unless a subsequent EIR or a supplement to an EIR would be
required by Section 15162 or15163.
The CEQA guidelines, therefore, require the preparation of a "Program EIR" for a
redevelopment plan. A Program EIR permits analysis of the secondary and cumulative
effects of the redevelopment program recognizing the general land use and regulatory
nature of most redevelopment plans. This approach allows the Agency to consider
broad policy measures and program-wide mitigation measures before the
commencement of specific project activities. As more specific development and
building plans are submitted to the City, more detailed environmental analyses,

including a subsequent EIR or focused EIR may be required. This tiering approach is
expressed by Section 15180 cited above as well as by Section 15152 of the CEQA
Guidelines. Tiering recognizes that projects proceed through a series of approval
stages and focuses environmental review on the environmental issues which are
relevant to the approval being considered.
The major tasks in the preparation of the Environmental Impact Report are as follows:
1. Prepare the Initial Study in close cooperation with the City Planning Staff
to try and focus the environmental issues to be discussed.
2. Distribute the Initial Study and Notice of Preparation to all responsible
agencies and affected taxing entities.
3. Receive Responses to Notice of Preparation and Prepare Screencheck EIR..
4. Staff evaluates adequacy of Draft EIR and files Notice of Completion;
circulates EIR.
5. Receive Responses to Draft EIR and Respond as part of the Final EIR.
6. Council certification of the EIR prior to consideration of the
Redevelopment Plan.
Task 6 - Public Notices
MSI will prepare all required legal notices necessary to complete the redevelopment
process. These will include the following.
1. Notice of Public Hearing before the Planning Commission to Consider the
Draft Environmental Impact Report.
2. Notice of Joint Public Hearing before the City Council and the
Redevelopment Agency to Consider the Redevelopment Plan and Draft
Environmental Impact Report.
3. Notice to All Property Owners and Taxing Entities Notifying Them of the
Joint Public Hearing.
4. Statement of Interest in Participating in the Redevelopment Project.
All of these notices will be delivered to Agency Counsel for legal review and then
submitted to the City Clerk for distribution as required by law. All documents,
resolutions, ordinances and actions provided or recommended by MSI will also be
subject to Counsel and other Staff review. The City will be responsible for publishing
the notices in designated newspapers and distribution of the documents prepared by
MSI.
MSI will prepare the mailing materials for 'transmittal to the property owners of
record thirty days prior to the noticing, including preparation of the certified mail
cards and receipts. MSI will deliver properly addressed envelopes to the City for
postage and mailing.

Task 7 - Legal Reviews
This proposal assumes that all legal reviews required for documentation of blight, the
Preliminary Plan, Owner Participation Rules, Relocation Plan, Report to the City
Council, Redevelopment Plan, Environmental Impact Report, as well as all formal
actions to be taken by the City, Redevelopment Agency, and Planning Commission will
be accomplished by the Agency Counsel, Joseph Coomes. We will, for purposes of
insuring delivery of a quality product, and to avoid delays in adopting the
Redevelopment Plan, closely cooperate with Agency Counsel and other appropriate
Agency staff on all matters pertaining to the Redevelopment Plan, the EIR and the
entire process leading to Redevelopment Plan adoption.
Task 8 - Preparation of Joint Public He@iring Script, Required Resolutions and
Ordinance s
MSI will prepare a joint public hearing script, complete with the necessary resolutions
and ordinance. This package shall include the necessary findings regarding low- and
moderate-income housing. This package will be submitted to the Agency's Legal
Counsel, Joseph Coomes of McDonough, Holland and Allen, for review prior to
consideration by the City Council and Redevelopment Agency.
D. Fiscal Review/Tax Increment Negotiations
Goal
This portion of the process shall result in a report and a series of agreements with the
various Taxing Entities.
Task 1. Preliminary Project Review
Municipal Services, Inc. and/or the Agency's designated staff member will meet with
each of the affected agencies (County, Flood Control, Schools, etc.) to determine the
nature and extent of any existing or planned activities or facilities which affect the
Project Area. Based upon these meetings a list of specific development or
improvements will be prepared together with a negotiating strategy.
Task 2. Agency Closed Session
Municipal Services, Inc. will review the various negotiating strategies with the Agency
Board in order to obtain specific guidance and develop a negotiating posture which will
maximize the income potential to the Agency. The various options and potential
agreements will be presented to the Agency for review and consideration prior to
submitting them as offers for agreements to the Taxing Entities.
Task 3. Negotiations
Municipal Services, Inc., in conjunction with the Agency Staff and/or Counsel will
meet with the Taxing Entities to negotiate a tax increment split or "share" agreement
prior to the Fiscal Review Committee's report.

E. Project Coordination and Citizen Participation
Goal
This phase is designed to ensure that the redevelopment plan adoption process
proceeds without delays or complications due to inadequate communication. This phase
will also ensure that citizens are aware of the City's plans and, to the extent possible,
elicit their support for the project.
Task 1 - Project Coordination
MSI will provide consultation on a frequent basis to ensure that the redevelopment
plan adoption process proceeds on schedule. MSI will communicate with the Project
Director on a weekly basis, at a minimum, regarding the progress of work. MSI will
also submit a monthly written progress report describing completed tasks and
upcoming actions. The key to successful and timely adoption of the redevelopment
plan will be proper communication between key personnel.
Task 2 - Citizen Participation Program
Community Redevelopment Law requires that a Project Area Committee be formed if
substantial displacement of low- and moderate-income households is contemplated. If
such a determination is made to pursue redevelopment, MSI will help organize the
Project Area Committees in accordance with Redevelopment Law and prepare the
necessary resolutions. While the City of Palm Springs may not contemplate any
relocation or displacement of residents, even a commercial or industrial
redevelopment Project Area Committee or a Citizen Advisory Group is desirable to
insure community support for the program. In this instance the Project Area
Committee will serve as an advisory body to the City Council. In addition to the
Project Area Committee, MSI will provide support services for a Citizen Participation
Program.
Task 3 - Attendance at Meetings
MSI will attend all meetings necessary to complete the adoption process. It is
anticipated that the following meetings will be attended:
- Initial Study Session - City Council
- Designation of Survey Area - City Council
- Selection of Redevelopment Project Area,
Approval of Preliminary Plan, - Planning Commission
- Project Area Committee - (if established)
- Review of Development Limitations - City Council
- Citizen Meetings
- Joint Public Hearing and 2nd Reading - City Council/
Redevelopment Agency
PRICE SHEET SUMMARY
EXHIBIT "B"
Delineated below is the lump sum fee schedule for each work phase. We will invoice the
Agency monthly based upon the percentage completion of each phase. Fees shall be payable
within 30 days of receipt of our invoice.
This proposal anticipates that timely adoption of the redevelopment plan will be facilitated
by the City Council and Staff. The City shall provide us with any plans, publications,
reports, statistics, records or other data or information including County Assessor maps,
rolls, and mylar maps pertinent to the services to be rendered by us, which are reasonably
available to the Agency/City. We shall provide the City with twenty copies of all reports.

redevelopment plan adoption and municipal financing and project implementation, urban

INTRODUCTION AND PROJECT OBJECTIVES
' The City of Palm Springs wishes to contract for consultant services to assist the City Staff
and Legal Counsel in determining whether a Redevelopment Plan, under the requirements of
California Community Redevelopment Law (California Health and Safety Code Sections
33000 et se ), could be feasibly implemented.
Municipal Services, Inc. will provide the City Staff with all consultant services necessary to
determine the feasibility of establishment of a Redevelopment Project Area within the• P ) City

' WORK PROGRAM
' A. Approach
The legal basis for establishing a redevelopment project area is the existence of
' blighting conditions. Conditions of blight include physical conditions (aged and
obsolete structures, deteriorated improvements) social conditions (high concentrations
of poverty, unemployment, criminal activity) or economic conditions (low property
values and rents, high commercial vacancies, shifting land uses). By law, these
' conditions must pose a serious burden upon the community which cannot be alleviated
by the private sector acting alone.
' The principal initial effort, therefore, is to conduct a preliminary blight assessment of
the City of Palm Springs. General conditions of blight will be documented and a
recommendation made as to the specific locations that are deemed to evidence
' conditions of blight consistent with State Law and deserve further consideration. The
decision to include or delete areas will ultimately be made by the City Council after
consultation with City Staff, legal counsel, and consultants. MSI will present the
redevelopment information to the City Staff for distribution to the City Council,
' Planning Commission, and appropriate staff members.
MSI will fulfill all responsibilities to complete this phase toward the formation
' redevelopment plan process in accordance with State Law. The redevelopment plan
process requires close cooperation with the City Staff and all Departments since
redevelopment programs substantially overlap with the traditional responsibilities of
City Departments. MSI will maintain frequent contact with the Project Manager to
' ensure that the lines of communication remain open.
B. Establishment of a Project Area and Preparation of Preliminary Recommendations
' Goal
' This portion of the project consists of identifying an appropriate survey area boundary,
evaluation of blighting conditions, coordination of the involvement and orientation of
members of the public and preparation of the preliminary recommendation to the City
Council. This will be accomplished as described in the following tasks:
1 Task I. Designation of Survey Area and Study Session with the City Council
The City Staff has identified a tentative target area for the survey area in which a
redevelopment program could be established. Initially MSI will meet with City Staff
to become acquainted with City Personnel, and perceptions of issues and identification
' of information and data sources. MSI will collect and review existing studies and
documents pertaining to the area including General Plan, zoning ordinance maps,
existing project area documents, and related information. MSI will also conduct a
study session with the City Council, City Staff, and interested groups, to familiarize
' MSI with the community, its characteristics background,round g rang and long e pr

Designation of the survey area will initiate the redevelopment program for the
targeted area within the City of Palm - Springs. The survey area will identify
' geographic boundaries for evaluation as to the feasibility of undertaking a

' redevelopment project. We will prepare and submit for approval, a Survey Area Map
and appropriate resolutions necessary to establish a Redevelopment Survey Area
consistent with applicable sections of the Health and Safety Code.
Task 2. General Citizen Participation
' MSI recommends that the City properly inform the community regarding
redevelopment objectives by involving the community at the onset of preliminary
planning for the proposed redevelopment project. Redevelopment has precipitated
considerable public protest in many communities, principally because businessmen and
' residents who were directly affected by programs were not informed as to
redevelopment objectives. It was with the intent of mandating citizen participation in
the planning and implementation of redevelopment programs that the California
' Community Redevelopment Law was amended to require a Project Area Committee
(Citizen Advisory Committee) whenever redevelopment contemplated displacement of
low and moderate income families. While this will not necessarily occur in Palm
' Springs it is advisable to establish such a committee even for business and industrial
areas.
We recommend that an informative community relations program be provided for
' purposes of elaborating upon the benefits and pitfalls of redevelopment in order- to
- elicit community support for this important community development tool. We will
undertake to meet with community organizations and with other residents in the
' community, as appropriate, for purposes of informing all concerned regarding the
redevelopment process and properly communicating the City's goals and objectives in
order to counteract potential negativism caused by rumors and misinformation.
' Specifically, we are prepared to discuss from firsthand experience, the various aspects
of the redevelopment process, including the ramifications of pertinent .sections in the
Government Code, including, information both written and verbal on the issues and
' process for acquisition by eminent domain and accompanying relocation benefits.
Further, as the various reports, recommendations, and accompanying documents are
submitted for action, we will make the required presentations before such citizen
' groups for purposes of eliciting their comments, recommendations, and support.
While interaction with community organizations is emphasized, we are equally aware
that proper interaction with the City Council, Planning Commission, Staff, property
' owners, and special interest groups, is crucial to the success of any redevelopment
program. If desired, MSI will help organize the Project Area Committee in accordance
with Redevelopment Law and y 1
I P prepare the necessary resolutions. The Project Area
' Committee will serve as an advisory body to the City Council and eventually the
Redevelopment Agency Board of Directors.
' Task 3. Assessment of Conditions Report/Urbanized Area Requirement
As previously stated, documentation of blighting conditions within the Survey Area
will be the most important factor in determining the feasibility of establishing a
' redevelopment project area. Past Supreme Court decisions have underscored the need
for properly documented blight indices. MSI will undertake an assessment of blighting
influences within the survey area, examining relevant physical, social, economic, and
environmental conditions.

1 Conditions of blight will be documented in accordance with Community
Redevelopment Law as follows:
1 1. Physical blight will be documented through field surveys, review of existing
reports and studies regarding structural conditions or rove public improvement

deficiencies. The Planning and Public Works Departments of the City
1 possess information which can be used to document physical blight.
2. Social blight will be documented through contact with area police,
sanitation, health and welfare agencies, as well as through published data

3. Economic blight will be documented umented principally through field surveys and
review of existing economic studies. Trends in property values or rents,
property vacancy rates, types of land uses and sales tax revenues and
1 trends will be assessed to document prevailing economic conditions within
the area.
The end product will be a report which assesses the Survey Area's condition in terms of
the presence and severit
y ity of blighting conditions. The report wil

1 charts, figures and photographs illustrating the various conditions within the Survey
Area. MSI will then recommend preliminary project area boundaries which fulfill the
requirements of State Law pertaining to blight.

The Assessment of
Condit
ions Report will provide- preliminary evidence of blighting
conditions. After areas which do not clearly evidence blight are eliminated from
1 consideration, more exhaustive research will be undertaken once the project area
boundaries are established. The City Council must make a finding of blight at the very
end of the process during the joint public hearing; thus sufficient time will remain for
the City Council to study the report and solidify the redevelopment plan thinking
1 pertinent to evidence of blight. MSI will also perform a preliminary assessment of the
recommended project areas compliance with the urbanized area requirements.
Community Redevelopment Law requires that at least 80 percent of the proposed
1 project area be considered "urbanized". The definition of urbanized is somewhat
nebulous and the City Attorney's support will be necessary to establish the framework
for determining compliance. The assessment will be conducted based upon the
1 recommended project area as determined from the Assessment of Conditions Report.
Task 4. Prepare Final Schedule of Actions and Designation of Project Area
1 Upon City Staff and Council review, and consideration of the Assessment of
Conditions Report, specific areas may be designated as comprising the Redevelopment
1 Project Area and scheduled for preparation of preliminary redevelopment plans and
the remaining documents leading to the public hearings. MSI will prepare a final
schedule and strategy for adoption of these plans and documents for Council
consideration if a decision is made to implement the redevelopment process.

' Task 5. Preparation of Preliminary Recommendations to Council
Under this task specific project area boundaries and a Preliminary Redevelopment
' Plan will be prepared in accordance with Community Redevelopment Law and
recommended for adoption by the City Planning Commission. However, until the
implementation program is commenced the map and legal description will not be
transmitted to the taxing entities. The Preliminary Plan will contain:
1. A description of the potential boundaries of the project area.
' 2. A general statement of the land uses, layout of principal streets,
population densities, and building intensities and standards proposed as the
basis for redevelopment of the project area.
' 3. A discussion of how the purposes of Redevelopment Law would be attained
through redevelopment.
' 4. Evidence which shows that the proposed redevelopment conforms to the
master or general community plan.
' 5. A general description of the project's impact upon residents and the
surrounding neighborhood.

' Task 6. Review and Approvals
' During preparation of the Preliminary Plan, Boundary Maps, and Legal Descriptions for
the Project Area, MSI will work closely with the City Staff and Advisory Groups to
ensure that proper communications are maintained. MSI will coordinate and schedule
appropriate meetings with the City Council, Staff, and Advisory Groups to secure the
' review and approval of the Preliminary Plan, reports, and maps.
C. Plan Adoption
Goal
' This portion of the program shall result in consideration of the Redevelopment Plan by
the City Council at a joint public hearing with the Redevelopment Agency Board. This
phase will be accomplished as described in the following tasks:
Task 1 - Recommendations to Council
The redevelopment law specifically requires that redevelopment agencies relate their
' intentions regarding proposed redevelopment activities upon completion of the

' required under Section 33344.5 of the Health and Safety Code. MSI will prepare a
report to the Council which will be preliminary to the implementation program. That
report will comply with the necessary Health and Safety Code requirements. It will
' include the following:
(a) The reasons for the selection of the Project Area(s).
' (b) A description of the physical, social, and economic conditions existing in
the Project Area(s).
' (c) A preliminary assessment of the proposed method of financing the
redevelopment of the Project Area, including an assessment of the
economic feasibility of the project and the reasons for including a provision
for the division of taxes pursuant to Section 33670 in the Redevelopment
Plan.
' (d) A description of specific project or projects which may be proposed by the
agency in the Project Area in sufficient detail and specificity to permit the
review of the potential impacts of the proposed project.
' (e) A description of how establishing the Project Area will improve or
alleviate the conditions described in (b) above.
�I' The Preliminary Report can be prepared during this phase using data previously
collected regarding conditions of blight and through identification of specific projects
which will alleviate these conditions. City staff's input on potential projects and costs
will be critical to the preparation of this document.

Task 2. Preparation of Redevelopment Plan(s)
' MSI will prepare the required Redevelopment Plan for the proposed Project Area,
includingall o h f the elements required pursuant to the California Community
' Redevelopment Law. Previous work prepared by City Planning Staff such as economic
analyses, land use studies, and development standards will be incorporated into the
Plan if deemed appropriate. The Redevelopment Plan tends to be a more legalistic
document than some of the earlier reports, but represents by far the most important
' document since it establishes the Agency's legal authority to undertake and finance

the projects.
' The Redevelopment Plan will be submitted to the Planning Commission for
consideration of the following:
1. Whether the Redevelopment Plan conforms to the adopted General Plan.
2. Whether property acquisitions for public purposes which may be proposed
by the Redevelopment Plan are consistent with the adopted General Plan.
' The Planning Commission will make its report and re
commendation ecommendation in

Resolution which will become part of the Report to the City Council.

' Task 3 - Preparation of Owner Participation Rules and Relocation Method
MSI will prepare the Owner Participation Rules -- a supportive document, identifying
' as applicable the various methods by which property owners and tenants- are
encouraged to participate in Redevelopment Plan implementation. MSI will provide
Rules and Procedures enabling Staff to effectively deal with owner-participants
' immediately following adoption of the Redevelopment Plan.
MSI will also prepare the Relocation Method. The Relocation Method will contain
policies and procedures which will provide Staff with the necessary guidelines to
effectively deal with relocatees who may be displaced as a result of Project activities.
Task 4 - Preparation of Report to City Council
' The Report to the City Council will include all of the information required by Section
33352 of the Community Redevelopment Law. Much of the required information
' overlaps with information already provided in the Preliminary Report. The Report to
the City Council will be a comprehensive document which enables the City Council to
make an informed decision as to the costs and benefits of redevelopment.
' Task 5- Environmental Review
Most redevelopment plans consist of general land use and development objectives
' similar in presentation to a community plan or general plan. The redevelopment plan,
for instance, typically does not indicate the precise location of specific land uses or
specific parcels to be acquired, cleared and redeveloped. Consequently, the
environmental assessment must evaluate the cumulative and secondary impacts of. the
' redevelopment program. The Environmental Impact Report can only be as specific as
the project itself.
Article 12 of the CEQA Guidelines further provides the following with 1 respect to

' Section 15180(a) - All public and private activities or undertakings pursuant to or
in furtherance of a redevelopment plan constitute a single project, which shall be
deemed approved upon adoption of the redevelopment plan.
' Section 15180(b) - An EIR on a redevelopment program shall be treated as a
Program EIR with no subsequent EIR's required for individual components of the
redevelopment plan unless a subsequent EIR or a supplement
q pp t to an EIR would be
required by Section 15162 or 15163.
The CEQA guidelines, therefore, require the preparation of a "Program EIR." for a
redevelopment plan. A Program EIR permits analysis of the secondary and cumulative
' effects of the redevelopment program recognizing the general land use and regulatory
nature of most redevelopment plans. This approach allows the Agency to consider
broad policy measures and program-wide mitigation measures before the
' commencement of specific project activities. As more specific development and
building plans are submitted to the City, more detailed environmental analyses,

' including a subsequent EIR or focused EIR may be required. This tiering approach is
expressed by Section 15180 cited above as well as by Section 15152 of the CEQA
Guidelines. Tiering recognizes that projects proceed through a series of approval
' stages and focuses environmental review on the environmental issues which are
relevant to the approval being considered.
' The major tasks in the preparation of the Environmental Impact Report are as follows:
1. Prepare the Initial Study in close cooperation with the City Planning Staff
to try and focus the environmental issues to be discussed.
2. Distribute the Initial Study and Notice of Preparation to all responsible
agencies and affected taxing entities.
' 3. Receive Responses to Notice of Preparation and Prepare Screencheck EIR.
4. Staff evaluates adequacy of Draft EIR and files Notice of Completion;
' circulates EIR.

' Task 6 - Public Notices
MSI will prepare all required legal notices necessary to complete the redevelopment
' process. These will include the following:
1. Notice of Public Hearing before the Planning Commission to Consider the
Draft Environmental Impact Report.
2. Notice of Joint Public Hearing before the City Council and the
Redevelopment Agency to Consider the Redevelopment Plan and Draft
' Environmental Impact Report.
3. Notice to All Property Owners and Taxing Entities Notifying Them of the
' Joint Public Hearing.
4. Statement of Interest in Participating in the Redevelopment Project.
' All of these notices will be delivered to Agency Counsel for legal review and then
submitted to the City Clerk for distribution as required by law. All documents,
resolutions, ordinances and actions provided or recommended by MSI will also be
' subject to Counsel and other Staff review. The City will be responsible for publishing
the notices in designated newspapers and distribution of the documents prepared by
MSI.
' MSI will prepare the mailing materials for transmittal to the property owners of
record thirty days prior to the noticing, including preparation of the certified mail
cards and receipts. MSI will deliver properly addressed envelopes to the City for
' postage and mailing.

' Task 7 - Legal Reviews
This proposal assumes that all legal reviews required for documentation of blight, the
' Preliminary Plan, Owner Participation Rules, Relocation Plan, Report to the City
Council, Redevelopment Plan, Environmental Impact Report, as well as all formal
actions to be taken by the City, Redevelopment Agency, and Planning Commission will
' be accomplished by the Agency Counsel, Joseph Coomes. We will, for purposes of
insuring delivery of a quality product, and to avoid delays in adopting the
Redevelopment Plan, closely cooperate with Agency Counsel and other appropriate
Agency staff on all matters pertaining to the Redevelopment Plan, the EIR and the
1 entire process leading to Redevelopment Plan adoption.
Task 8 - Preparation of Joint Public Hearing Script Required Resolutions and
' Ordinance(s)
MSI will prepare a joint public hearing script, complete with the necessary resolutions
and ordinance. This package shall include the necessary findings regarding low- and
' moderate-income housing. This package will be submitted to the Agency's Legal
Counsel, Joseph Coomes of McDonough, Holland and Allen, for review prior to
consideration by the City Council and Redevelopment Agency.
Fiscal Review/Tax Increment Negotiations
' Goal
This portion of the process shall result in a report and a series of agreements with the
various Taxing Entities.
' Task 1. Preliminary Project Review
Municipal Services, Inc. and/or the Agency's designated staff member will meet with
each of
the affected agencies (Count Flood Control Schools,
' Yr , etc.) to determine the
nature and extent of any existing or planned activities or facilities which affect the
Project Area. Based upon these meetings a list of specific development or
' improvements will be prepared together with a negotiating strategy.
Task 2. Agency Closed Session
Municipal Services, Inc. will review the various negotiating strategies with the Agency
Board in order to obtain specific guidance and develop a negotiating posture which will
maximize the income potential to the Agency. The various options and potential
agreements will be presented to the Agency for review and consideration prior to
submitting them as offers for agreements to the Taxing Entities.
' Task 3. Negotiations
Municipal Services, Inc., in conjunction with the Agency Staff and/or Counsel will
' meet with the Taxing Entities to negotiate a tax increment split or "share" agreement
prior to the Fiscal Review Committee's report.

' E. Project Coordination and Citizen Participation
Goal
' This phase is designed to ensure that the redevelopment plan adoption process
proceeds without delays or complications due to inadequate communication. This phase
will also ensure that citizens are aware of the City's plans and, to the extent possible,
elicit their support for the project.
Task 1 - Project Coordination
1 MSI will provide consultation on a frequent basis to ensure that the redevelopment
plan adoption process proceeds on schedule. MSI will communicate with the Project
' Director on a weekly basis, at a minimum, regarding the progress of work. MSI will
also submit a monthly written progress report describing completed tasks and
upcoming actions. The key to successful and timely adoption of the redevelopment
' plan will be proper communication between key personnel.
Task 2 - Citizen Participation Program
Community Redevelopment Law requires that a Project Area Committee be formed if
substantial displacement of low- and moderate-income households is contemplated. If
such a determination is made to pursue redevelopment, MSI will help organize the
' Project Area Committees in accordance with Redevelopment Law and prepare the
necessary resolutions. While the City of Palm Springs may not contemplate any
relocation or displacement of residents, even a commercial or industrial
redevelopment Project Area Committee or a Citizen Advisory Group is desirable to
insure community support for the program. In this instance the Project Area
Committee will serve as an advisory body to the City Council. In addition to the
Project Area Committee, MSI will provide support servi

' expansion of the manufacturing operations for Silverwood Mobile Homes, Inc. Also,
Roy served as the Agency/City coordinator with both County and Hospital districts for
the expansion and construction of new facilities for Corona Community Hospital, Palo
Verde Hospital, Ridgecrest Community Hospital, and the development of Beverly
' Convalesent Hospital in Ridgecrest.
Mr. Evans served as a staff advisor to the Riverside County Airport Commission and
' provided technical assistance to the San Bernardino County Airport Commission during
the development and preparation of the master plans and development strategies for
the Needles Airport, Blythe Municipal Airport, Thermal Airport, and the Riverside
Countywide Aviation Master Plan.

David comes from a background of 11 years experience in the public sector. His
experience has included supervision of planning, building, public works and
redevelopment operations. His experience in public facilities development includes:
' - Construction management of over $11.7 million in street improvements, sewer
and water facilities and underground conversion of electric and communications
facilities.
- Project management of the development of the Cit d'1 gy of Indian Wells Civic Center
including a fire station, City Hall and Community Center with a total value of
' $2.2 million.
- Management of resident building inspector programs for construction of the $72
million Grand Champions Hotel. The Club House for the Vintage Club (value $20-
' million); and the $8 million Lowe Terrances Condominiums.
- Construction management of the $16 million Indian Wells Golf Resort which

' 6. All reports, information, data and exhibits prepared or assembled by Consultant
in connection with the performance of its services pursuant to the Agreement

information, data and exhibits shall be the property of the Agency and shall be

' PROPOSAL PRICE SHEET SUMMARY
Delineated below is the lump sum fee schedule for each work phase. We will invoice the
