SUBJECT: APPROVAL OF A REIMBURSEMENT AGREEMENT WITH THE PALM
SPRINGS INTERNATIONAL FILM FESTIVAL IN AN AMOUNT NOT TO
EXCEED $150,000 FOR IMPROVEMENTS TO THE PALM CANYON
THEATER, 538 NORTH PALM CANYON DRIVE; AND, MAKING THE
FINDINGS THAT THE AGENCY EXPENDITURE OF FUNDS ON A CITY
OWNED FACILITY IS NECESSARY

SUMMARY:
The City recently extended the lease of Palm Canyon Theatre and entered .a separate
Palm Canyon Theatre Use Agreement with the Palm Springs International Film Festival
(PSIFF) to help create an additional venue for their film events. The PSIFF used the
Theater for their festival in January, 2007 and various Palm Springs Film Society
events, and the Agreement allows and coordinates the use of the Theater between
PSIFF and Palm Canyon Theatre. The PSIFF had proposed funding an additional
$50,000 in capital improvements to the facility, and the Agency had budgeted $100,000
for Phase II improvements in the 2007-08 budget. PSIFF has undertaken the
contracting on the work, as a tenant improvement on the facility. The total estimated
cost of the improvements is now $220,000, of which the Agency's share would be
$150,000 and the PSIFF's share would be $70,000.
This Agreement proposes that the Agency reimburse PSIFF for its share of the
improvements, subject to a Reimbursement Agreement. The improvements include a
new monument sign on the Palm Canyon Drive side; relocating the small marquee sign
to the Indian Canyon Drive side; lobby renovation including cosmetic, lighting and air
conditioning improvements; replacement of two air conditioning compressors for the
main auditorium; combining the existing men's and women's rooms into a larger
women's room; and, constructing a new men's room on the west side of the breezeway,
in a space currently used for storage. PSIFF needed to commence construction in

August to be able have the restrooms available in January for the Film Festival patrons.
The Agency budgeted $100,000 for Palm Canyon Theatre Improvements in the 2007-08
budget; the additional $50,000 is from Unscheduled Capital Projects.

STAFF ANALYSIS:
PSIFF conducts, promotes and markets the Palm Springs International Film Festival, an
annual event held for approximately fifteen days in early January of each year, and the
Palm Springs International Short Film Festival, an annual event held for approximately
seven days in the late summer/early fall of each year. Palm Springs International Film
Society (PSIFS) presents film screenings at various venues for its members and guests.
The City owns the Palm Canyon Theatre located at 538 North Palm Canyon Drive. The
Theatre is leased to a live theater group, Palm Canyon Theatre, a California nonprofit
corporation under a Lease that now extends to 2012. In October, 2006 the City
amended the Tenant's lease to create a tenant improvement allowance of $205,000,
which matched a significant investment by PSIFF in upgrading the facility.
The City also entered a separate Palm Canyon Theatre Use Agreement with PSIFF to
allow use of the facility when not in use by the Tenant, approximately 15 days in
January and up to 10 days in late August/early September, PSIFS also desires to use
the Theater for evening Screenings.

Because the City owns the building, the City Council must make a finding under Section
33679 of California Redevelopment Law that the Agency expenditure of funds on City-
owned property is appropriate because no other funds are available. The 2006
improvements were done as a lease Amendment with the Tenant as a tenant
improvement allowance using City money (from a loan repaid by the Agency). Because
Redevelopment Agency money would go directly into the project, and because the
Agency doesn't have an agreement with either party, a Reimbursement Agreement
between PSIFF and the Agency would be the conduit.
This phase of improvements includes the new marquee sign ($20,000, including the
cost of electrical); improvements to the lobby ($15,000); replacement of two existing air
conditioning compressors with two new compressors for the main auditorium ($25,000);
installation of 2 ductless air conditioning units for the lobby area ($10,000). The most
significant expenditure is combining the existing men's and women's lavatories into a
single expanded ladies' room, and creating a new men's room in the supply closet
located on the west side of the breezeway. The combining of the restrooms will require
full demolition and rebuilding, and the utility closet conversion will require new water and
plumbing lines to be extended to that room. The cost for the new lavatories is expected
to be $150,000.
Because Palm Canyon Theater will run its full schedule of theatrical performance
through the fall, special care is being taken to ensure that there is at least one set of
operable lavatories in the building. Therefore, it is intended to build out the new men's
room prior to demolishing/rebuilding the new ladies' room so that there will be
operational bathroom facilities at all times. This will reduce or eliminate the need for
portable toilets and ensure that the construction will not interfere with the Film Festival
event in January 2008.
FISCAL IMPACT:
The total project cost is expected to be $220,000. The Agency share would be up to
$150,000, and the PSIFF will contribute $70,000.

The City Council of the City of Palm Springs finds:
A. The City owns the Palm Canyon Theatre located at 538 North Palm Canyon
Drive in Palm Springs, California ("Theatre"). The Theatre is leased to a live theater
group, the Palm Canyon Theatre, a California nonprofit corporation ("Tenant") under
that Lease dated the 9th day of July 1997, and amendments thereto ("Lease"), and the
City approved a Palm Canyon Theatre Use Agreement with Palm Springs International
Film Festival ("PSIFF") a California nonprofit corporation on June 6, 2007, giving PSIFF
right and access to the Theatre during certain agreed-upon days.
B. PSIFF proposes to contribute $70,000 toward the construction of certain
improvements at the Theatre, which is approximately one-third the cost of the
improvements, and to undertake and manage the construction of the improvements in a
manner mutually beneficial to Tenant, PSIFF, and the City.
C. The Agency proposes to reimburse the PSIFF a sum not to exceed $150,000 for
the costs of constructing the improvements.
D. The proposed use of the Theatre by PSIFF and PSIFS will benefit the City by,
among other things, promoting tourism to the City of Palm Springs-
E. The Members of the Agency have determined that the Improvements within the
meaning of the Statute are of benefit to Merged Redevelopment Project No. 1.
F. Section 33679 of the CRL states that before a redevelopment agency commits to
use the portion of taxes to be allocated and paid to an agency pursuant to subdivision
(b) of Section 33670 of the CRL (tax increment financing) for the purpose of paying all
or part of the value of land for, and the cost of the installation and construction of, any
publicly owned building, other than parking facilities, the legislative body shall hold a
public hearing;

A. All of the findings and determinations made herein were based upon careful
consideration and analysis of all relevant evidence.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF PALM SPRINGS DOES
HEREBY RESOLVE AS FOLLOWS:
SECTION 1. The City Council of the City of Palm Springs determines, based on the
recitals contained in this resolution and the findings and facts provided in this resolution,
the agenda report, public testimony, and any other relevant and supporting evidence,
and in full accordance with the provisions of the Statute, all of the following:
(1) The buildings, facilities, structures or other improvements are of benefit to the
project area or the immediate neighborhood in which the project is located,
regardless of whether the improvement is within another project area, or in
the case of a project area in which substantially all of the land is publicly
owned that the improvement is of benefit to an adjacent project area of the
Agency.
(2) No other reasonable means of financing the buildings, facilities, structures, or
other improvements, are available to the community.
(3) The payment of funds for the acquisition of land or the costs of buildings,
facilities, structures, or other improvements will assist in the elimination of one
or more blighting conditions inside the project area or provide housing for low
or moderate income persons, and is consistent with the implementation plan
adopted pursuant to the California Health and Safety Code Section 33490.
SECTION 2. The expenditure of funds by the Agency for a City owned property located
at 538 North Palm Canyon Drive, in Frances Stevens Park is appropriate and
necessary.

WHEREAS, the City Council of the City of Palm Springs adopted the Amended and
Restated Redevelopment Plans for Merged Redevelopment Project No. 1 and Merged
Redevelopment Project No. 2 (collectively, the "Project Areas") on February 19, 2003 by
Ordinance Nos. 1623 and 1624 and amended said Redevelopment Plans on May 5,
2004 by Ordinance Nos, 1649-1652.

Drive in Palm Springs, California ("Theatre"). The Theatre is leased to a live theater
group, the Palm Canyon Theatre, a California nonprofit corporation ("Tenant") under

form acceptable to the Agency Counsel, is hereby approved.
Section 2. The Executive Director is hereby authorized to execute the Agreement
and all related documents.

FESTIVAL PHASE 2 IMPROVEMENTS TO THE PALM CANYON THEATRE
538 NORTH PALM CANYON DRIVE IN FRANCES STEVENS PARK
NOTICE IS HEREBY GIVEN THAT the Community Redevelopment Agency ("Agency") and City
Council ("City") of the City of Palm Springs, California, will hold a joint public hearing on
September 19, 2007, at 6.00 p.m. in the City Council Chamber, 3200 E. Tahquitz Canyon Way,
Palm Springs.
The purpose of the hearing is to consider the Reimbursement Agreement with Palm Springs
International Film Festival for Phase 2 Improvements to the Palm Canyon Theatre located at 538
North Palm Canyon Drive in Frances Stevens Park.
REVIEW OF PROJECT INFORMATION: The proposed Reimbursement Agreement for Phase 2
Improvements to the Palm Canyon Theatre is available for public review at City Hall between the
hours of 8:00 a-m- and 5:00 p.m-, Monday through Friday. Please contact the Office of the City
Clerk at(760) 323-8204 if you would like to schedule an appointment to review these documents.
COMMENT ON THIS APPLICATION: Response to this notice may be made verbally at the
