SUBJECT: AMENDMENT No. 1 TO AIRPORT PARKING LOT MANAGEMENT
SERVICES AGREEMENT NO. 5215 WITH ACE PARKING
MANAGEMENT, INC.

SUMMARY
Airport staff is requesting approval to amend the Ace Parking Management, Inc.
agreement No. 5215 effective September 1, 2006 and valid until January 31, 2011 to add
Taxi Starter Service as a reimbursable expense.
RECOMMENDATION:
1. Approve Minute Order No. , approving Amendment No. 1 to Airport
Parking Lot Management Services Agreement No. 5215 with Ace Parking
Management, Inc., effective September 1, 2006 and valid until January 31, 2011 to
add Taxi Starter Service as a reimbursable expense from taxi fees for the
remaining four years and five months of the Agreement.
2. Authorize the City Manager to execute all necessary documents.
STAFF ANALYSIS:
The taxicab operation at Palm Springs International Airport has grown to the point that a
Taxi Starter Service needs to be implemented at the Airport. Implementation of a Taxi
Starter Service would provide the regulation needed to assure the public received the
best service possible when using the taxis at the Airport. Ace Parking Management, Inc.
is currently under a five-year contract to provide parking and traffic control at the Airport
and it is recommended to amend their existing contract to provide reimbursement for the
Taxi Starter Service. To adequately accommodate the traveling public, the taxi starter
service would be provided fourteen (14) hours per day from November 1 through April 30
and ten (10) hours per day May 1 through October 31. This arrangement will be under

continuous review to ensure a satisfactory level of service. Further, an advisory
committee comprised of Airport Staff, Taxi/CVTOA representatives, will be formed to
administer resolution to Taxi/Taxi Starter Contractor disputes.
At its regularly scheduled meeting on July 5, 2006, the Airport Commission recommended
City Council approve this amendment to the current Agreement with Ace Parking
Management, Inc.
FISCAL IMPACT: IFinance Director Review:
The estimated costs to provide Taxi Starter Service fourteen (14) hours per day from
November 1 through April 30 and ten (10) hours per day May 1 through October 31 on an
annual basis is $78,000.
If it is determined by Staff that the annual fees are not sufficient to sustain the Operation,
then a fee increase would be requested or Staff may recommend to modify or eliminate
the program.
The Taxi Starter costs will be authorized on a monthly basis throughout the remaining
term of the Agreement as a reimbursable expense.
This expense would be recovered by increasing the Airport Taxi Ground Access Fee —
Standard pick-up from $1.00 to $2.50 per trip.

this Minute Order approving Amendment No. 1 to Airport Parking Lot
Management Services Agreement No. 5215 with Ace Parking Management, Inc.,
effective September 1, 2006 and valid until January 31, 2011 to add Taxi Starter
Service as a reimbursable expense from taxi fees for the remaining four years
and five months of the Agreement, was adopted by the City Council of the City of
Palm Springs, California, in a meeting thereof held on the 18th day of October,
2006.

AMENDMENT NO.1
TO
AIRPORT PARKING LOT MANAGEMENT SERVICES AGREEMENT
PALM SPRINGS INTERNATIONAL AIRPORT
(Agreement No. 5215)
THIS FIRST AMENDMENT to the Airport Parking Lot Management
Services Agreement (the "Amendment") is made and entered into to be
effective the _ day of September 2006 by and between the CITY OF
PALM SPRINGS, a charter city and California municipal corporation
(hereinafter referred to as the "City") and ACE PARKING MANAGEMENT,
Inc., a California corporation (hereinafter referred to as the "Contractor")
(collectively, the "Parties"),
RECITALS
A. City and Contractor previously entered into an agreement for
Airport Parking Lot Management Services (the "Agreement"), which was
made and entered into on February 2, 2006, concerning the provision of
parking lot management contract services at the Palm Springs International
Airport for an initial term of five (5) years, commencing on February 1, 2006
and terminating on January 31, 2011, and which may be duly amended, in
writing, from time to time.
B. Section 2.03 paragraph Z and section 2.09 paragraph F of the
Agreement authorize the City's Director of Aviation to request additional
services and personnel.
C. City and Contractor desire to amend the Agreement to require
Contractor to implement a taxi starter service at the Palm Springs
International Airport ("Airport")-
NOW, THEREFORE, in consideration of the mutual promises and
covenants contained herein, the Parties agree as follows:
AGREEMENT
1. Amendment to Section 2.03, "Scope of Services." of the Agreement:
Section 2.03 is hereby amended to add paragraph AA after paragraph
Z:, which shall read as follows:
"AA. Provide a taxi starter service, which entails the provision of one
or more individuals to oversee taxicab operations on the commercial
loop road at the--established taxi cab stand across from the terminal
building arrival area at the Airport, including monitoring the need for
taxi service at the Airport and making appropriate recommendations
to either increase or decrease the number of taxicabs required to
handle the passenger flow during peak or off peak periods. The
purpose of the taxi starter service is to provide a liaison between
passengers requesting a cab and the taxicab operators and, when
appropriate, to reduce the number of taxicabs waiting in front of the
Airport terminal when there is little or no passenger activity,"
2. Amendment to Section 2.09, "Personnel," of the Agreement: Section
2.09 is hereby amended to add paragraph J, which shall read as
follows:
"J. Taxi Starter
Throughout the term of this Agreement, Contractor shall provide a
qualified, competent, and experienced taxi starter on duty at Airport
seven (7) days per week not to exceed (NTE) 14 hours per day during
in-season (November through April) and NTE 10 hours per day during
off-season (May through October). The hours of operation may or
may not be continuous, depending on the scheduled times of arrival
for flights into the Airport. The City will monitor monthly flight activity
and make revisions in writing to the taxi starter schedule at least
seven (7) days in advance."
For purposes of this section, 'Taxi Starter" means an individual who
generally oversees taxicab operations on the commercial loop road at
the established taxi cab stand across from the terminal building arrival
area at the Airport. The Taxi Starter must be capable of providing the
following services:
(1) Quoting approximate fares to destinations throughout the
valley;
(2) Assisting with providing the best possible vehicle, whether it is
a van or a sedan, to the passenger based on passenger needs and
desires;
(3) Ensuring that all rules and regulations governing taxicabs at
the Airport are strictly enforced and that any violation to these rules
and regulations will be reported to Airport Operations immediately;
(4) Ensuring that all taxicab operators are permitted to conduct
business at the Airport;
(5) Ensuring that all taxicabs are properly maintained in
cleanliness and appearance; and,
(6) Ensuring that taxicab operators are well groomed and behave
in a professional manner at all times while on Airport property."
3. Amendment to Exhibit "A." Summary of Compensation, Identification
of Equipment Investment and Identification of Reimbursable
Expenses" of the Agreement: Exhibit A is hereby amended by adding
the following to "Reimbursable Expenses":
• Taxi Starter Service
Year 1 (2006): Not to Exceed (NTE) $17.50 per man hour and NTE
$30,000.00 per year
Year 2 (2007) NTE $18.50 per man hour and NTE $81,000.00 per
year
Year 3 (2008) NTE $19.50 per man hour and NTE $85,000.00 per
year
Year 4 (2009) NTE $20.50 per man hour and NTE $89,000.00 per
year
Year 5 (2010) NTE $21.50 per man hour and NTE $93,000.00 per
year
4. Full Force and Effect. This modifying Amendment is supplemental to
the Agreement and is by reference made a park of said Agreement.
All of the terms, conditions, and provisions, thereof, unless specifically
modified herein, shall continue in full force and effect. In the event of
any conflict or inconsistency between the provisions of this
Amendment and any provisions of the Agreement, the provision of
this Amendment shall in all respects govern and control.
5. Corporate Authority. The persons executing this Amendment on
behalf of the Parties hereto warrant that (i) such party is duly
organized and existing, (ii) they are duly authorized to execute and
deliver this Amendment on behalf of said party, (iii) by so executing
this Amendment, such party is formally bound to the provisions of this
Amendment, and (iv) the entering into this Amendment does not
violate any provision of any other agreement to which said party is
bound.
6. Termination By City For Airport Related Purpose. In the event City should
not require the Taxi Starter Services, or any portion thereof, for any Airport
related purpose whatsoever, Tenant agrees that City may terminate this
Amendment No. 1 by giving Tenant thirty days written notice.
IN WITNESS WHEREOF, the Parties have executed and entered into this
Amendment to the Agreement as of the date first written above.
