Doria for airline marketing activities for a five (5) month period for an amount not to exceed $21,500. SUMMARY: In order to maintain continuity with our air service development activities, staff is recommending that the city extend the contract services agreement with Nancy Doria for five (5) months. The Airport Commission unanimously approved this action on November 1, 2000. BACKGROUND: For the last six(6) months, Nancy A. Doria has provided airline marketing activities and consultant services under a professional services contract with the City of Palm Springs. This contract was put in place at the request of the Airline Service Committee, which operates under the auspices of the Palm Springs Desert Resorts Convention and Visitors Authority, as a method to increase air services at Palm Springs International Airport. This overall effort has been successful, and the Airport must continue to focus on increasing airline service in the coming year. A request for Statement of Qualifications for providing Airport Marketing Program Development Services is currently being advertised. In between that time, it is essential that we maintain the continuity of a marketing presence with the airlines and the tourism community. Staff has negotiated for an additional five (5) month contract service agreement with Nancy A. Doria to provide basically the same services that were provided in the original agreement with more focus on the development of targeted airline service. Sufficient funds are available in Airport Administration account number 415-6002- 43200 Contractual Services . No general fund monies will be used. Agreement REVIEWED BY DEPT.OF FINANCE CITY OF PALM SPRINGS AGREEMENT FOR AIRLINE MARKETING SERVICES THIS AGREEMENT FOR AIRLINE MARKETING SERVICES (herein "Agreement") is made and entered into this _ day of , 2000 ("Effective Date"), by and between the CITY OF PALM SPRINGS, a municipal corporation (herein "City") and NANCY A. DORIA (herein "Consultant"). In consideration of the promises and of the mutual covenants and agreements hereinafter contained, and for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, City and Consultant covenant and agree as follows: 1.0 SERVICES OF CONSULTANT 1.1 Scope of Services. In compliance with all of the terms and conditions of this Agreement, the Consultant shall perform the work or services set forth in the "Scope of Services" attached hereto as Exhibit "A" and incorporated herein by reference. Consultant warrants that all work and services set forth in the Scope of Services will be performed in a competent, professional and satisfactory manner in accordance with the standards prevalent in the industry. 1.2 Compliance With Law. All work and services rendered hereunder shall be provided in accordance with all ordinances, resolutions, statutes, rules and regulations of the City and any Federal, State or local governmental agency of competent jurisdiction. 1.3 Licenses, Permits, Fees and Assessments. Consultant shall obtain at its sole cost and expense such licenses, permits and approvals as may be required by law for the performance of the services required by this Agreement. Consultant shall have the sole obligation to pay for any fees, assessments, and taxes, plus applicable penalties and interest, which may be imposed by law and arise from or are necessary for Consultants performance of the services required by this Agreement, and shall indemnify, defend and hold harmless City against any such fees, assessments, taxes, penalties, or interest levied, assessed, or imposed against City thereunder. 1.4 Performance to Satisfaction of City. Consultant agrees to perform all work to the satisfaction of City within the time specified. If Consultant's work is not satisfactory, in the sole and absolute discretion of City, City has the right to take appropriate action, including, but not limited to: (1) meeting with Consultant to review the quality of the work and resolve matters of concern; (2)requiring Consultant to correct the work at no additional fee until it is satisfactory; (3) suspending the work; (4) withholding payment; and (5)terminating this Agreement, in accordance with the procedures set forth in Section 5.2 of this Agreement. 892/014094-0001 ��3 IN WITNESS WHEREOF, the parties have executed and entered into this Agreement as of the date first written above. To a maximum of 240 hours during the term of the contract to complete the tasks outlined in Exhibit "A" plus reimbursable expenses. The parties acknowledge that during the six(6)months industry activity may require a greater effort in one of the three task areas than indicated on Exhibit "A". If this is occurring, Contractor shall seek, in writing, approval to adjust the hours in the various tasks. Contractor shall invoice the City once each month and shall itemize hours worked based on work items listed in Exhibit "A". If a request is made for travel outside a fifty-mile radius, expenses incurred are to be reimbursed by City at cost. The City will reimburse Contractor for agreed upon expenses including travel, meals, mileage, insurance and entertainment, at actual cost.
