PALM SPRINGS CAR CLASSIC AGREEMENT
RECOMMENDATION:
That City Council approve the attached five-year agreement with Spectrum Auction
Company to produce the Palm Springs Car Classic, a City-sanctioned event.
BACKGROUND:
Palm Springs Car Classic,which was sanctioned by the City on November 1, 1995,
is a multiple-day event typically held in the downtown area, to be held in 2001 on
April 6, 7 and 8.The event includes activities such as food booths, car shows, and
auctions and necessitates the closure of certain city streets.
The purposes of this event are to generate revenue through increased tourist traffic
and auto sales and offer a wide range of appealing activities and entertainment
throughout the community that will attract a variety of family and adult participants
to the local business community and the City of Palm Springs in general.
The City of Palm Springs receives direct financial gain through hosting the Palm
Springs Car Classic in two ways:Transient Occupancy Tax(TOT)and generation
of sales taxes from automobile sales.The business community obviously benefits
financially from this event through increased traffic in the community as attendees
purchase merchandise, food and beverage sales, and the somewhat
undocumented business exposure and repeat business as a result of visitors
coming to Palm Springs.
Spectrum Auction Company has produced this event since 1998,when the former
five-year contract with Palm Springs Car Classic was assigned to it.
Spectrum Auction Company has made local hotel arrangements for preferred
sellers each year through the auction portion of the event.The arrangements have
averaged about 200 rooms annually(2000-219 rooms; 1999-212 rooms; 1998-
186 rooms; and 1997-209 rooms) and are sold out well in advance of the show.
Participants and attendees of the Concours d'Elegance and the downtown"Show-
n-Shine" portions of the event make their arrangements independently. For the
past three years, there have been roughly 350 individual automobile sellers, 250
Concours d'Elegance entrants,and about 400"Show-n-Shine"entrants, giving us
a total of essentially 1,000 different event participants coming to the City of Palm
Springs for a minimum two-night stay in our local hotels.

• 2,000 room nights x$90/night= $180.000 hotel sales
(average rate in April) (per Tourism Bureau)
• 10% of$180,000= $18,000 estimated TOT revenue to City

Another component of the event that generates revenue directly to the City is the
sales tax coming from automobile sales at the auction during the event.According
to the State Board of Equalization, the local portion of these sales coming directly
to the City is calculated to be 1%of the total retail sales(TRS)volume attributable
to the event. Sales and use taxes on the auction sales and registration fees go
directly to the State of California and are redistributed to the various cities and
counties under a rather complicated formula that the Franchise Tax people could
not explain understandably to staff; therefore, these dollar amounts are not
calculated and are considered relatively minor. The TRS sales volume and the
City's tax increment of that sales volume for the past five years from Spectrum
Auction sales at the Palm Springs Car Classic is shown below.Total auction sales
are also shown.
• 1996 TRS -$468,750 x 1% _$4,687 Total Auction Sales = $1,256,145
• 1997 TRS-$532,486 x 1% _ $5,324 Total Auction Sales= $1,625.963
• 1998 TRS -$304,895 x 1% _ $3,049 Total Auction Sales= $ 980,242
• 1999 TRS -$796,271 x 1% _ $7,963 Total Auction Sales = $2,213,293
• 2000 TRS -$575,883 x 1% _$5,759 Total Auction Sales = $1,852,437
Average TRS Tax Revenue to City=$5,356 Total Average Sales=$1,585,616
The economic impact of the event on the business community is substantial when
considering food-and-beverage and merchandise sales by event and auction
attendees. Attendance at the event for the past five years has been as follows
(total auction site entries):
• 2000 = +/-40,000
• 1999 = +/-45,000
• 1998 = +/-25,000
• 1997 = +/-40,000
• 1996 = +/-28,500
Average attendance = 35,700 (17,850/day x 2 days)
Average expenditure = $420($210/day x 2 days)(Tourism Bureau estimates)
Economic impact = $14,994,000 (35,700 x$420)
Based upon all of the above information, the City has realized, over the past five
years, average revenues from the event of$23,356 from TOT and event-related
retail sales taxes; furthermore, the economic impact to the business community
has been about$15,000,000 according to the best available information provided
to staff from the event producer and the Tourism Bureau.
Under the agreement with Spectrum Auction, the City agrees to perform the
following services for the event:
1. Suspend the building, noise,zoning and sign ordinances for the duration of the
event. During such suspension, control over issues normally covered by these
ordinances shall be at the discretion of the City Manager.

2. Assist contractor with public relations at the discretion of the City.
3. Use reasonable efforts to promote and obtain support for the event from the
local community.
4. Act promptly upon all applications for permits and licenses needed for the event
and assist contractor, at no cost to the City, in obtaining any permits, licenses
or consents required by any other governmental agency with jurisdiction.
5. A change from the previous agreement is that the contractor is requesting that
the City provide up to, but not exceeding, $5,000 (instead of$2,500) in City-
support services and the remaining cost for City services is the responsibility of
the contractor. In the past three years,Spectrum Auctions has paid from$1,900
in 1997 to $4,800 this past April in event costs above the City's $2,500
contribution for in-kind services support. The contractor feels that with the
continued growth of the event and relative spending market as compared to
1995 when the original agreement was executed, the City's cost participation
should also increase.City will attempt to use regular-shift employees whenever
possible to minimize the use and cost of employees who would otherwise
exceed their normal work week hours and be entitled to overtime pay.
Beer and wine will be sold at various locations throughout the event in a manner
approved by the Palm Springs Police Department,working with the Special Events
Planning Team.
Additionally,staff is requiring the contractor,as a special requirement,to report the
gross sales volume of both the retail and wholesale sales value of the auto auction
within sixty (60) days after the conclusion of each year's event.
Attached is the most current list of events provided by the contractor.
Funds have been allocated in Account 112-2018-45630,Palm Springs Car Classic,
to cover the $5,000 in City-support services for the 2001 event.
At its June 21 meeting,the Parks and Recreation Commission unanimously(8/0)
voted to recommend that City Council approve the five-year agreement with
Spectrum Auction Company to produce the Palm Springs Car Classic and the
$5,000 level of financial support.

Dear Scott,
During our six year Palm Springs Car Classic auction participation which along the
way, we obtained and kept alive the Cruise and Coneours events, we have truly
enjoyed the professional oversight and assistance from the City of Palm Springs.
We have conducted events throughout Caiforrds over the last 15 years and unfor-
tunately, very few event location City departments take the time and effort to
review, dictate and assist with the necessary procedures to insure a eafe and
successful event as your Palm Springs representatives effectively deliver.
We would like to take this opportunity to formally request a renewal of the five
year City agreement to sanction the event in an effort to rnahrtain the fine tuned
event presentation coordination we have proudly developed in the past. The only
change we would respectfully ask to increase is-am $2,600 allocation budget of
City services to $6.000. We hope that the City will appreciate that the continual
growth of the event and-relative spending ,market at this time compared to 1996 is
considerably larger, which should prompt an equal increase in various City cost
Participation.
We are proud to deoiaro that the three classic oar events in Palm Springs have
developed into a marked on my calendar*^must attend" event for car enthusiasts
state and nationwide. We hope you appreciate the caliber of participants and
general car enthusleet that these events attract. The Palm Springs 2000 car auc-
tion had 351 care offered for sale; the Cruise had 398 Cora on the street and the
Concours had 247 oars in competition. This, realistically, is about TOO individuals
participating, with approximately 66% of times participants requiring hotel and
food accommodations in town. ➢f you add in the 1000's of oar anthusleets and
classic car buyers, that religiously attend this event,this creates the hotel sellout
for Saturday night and an impressive 80% occupation for the Friday night visitors.
We have provided the following statistics for each of the six auction events that
reflect the gross sales figures, local Mverside county retail participation amounts
and estimated weekend attendance figures on the following page.

CONTRACT SERVICES AGREEMENT FOR
PALM SPRINGS CAR CLASSIC
THIS CONTRACT SERVICES AGREEMENT(herein"Agreement")is made and entered
into this day of , 2000 by and between the CITY OF PALM
SPRINGS, a municipal corporation (herein "City") and SPECTRUM AUCTION COMPANY
(herein "Contractor"). The parties hereto agree as follows:
1.0 SERVICES OF CONTRACTOR
1.1 SSpe of Services. In compliance with all terms and conditions of this
Agreement, the Contractor shall provide those services specified in the "Scope of Services"
attached hereto as Exhibit "A" and incorporated herein by this reference, which services may be
referred to herein as the "services" or "work" hereunder. As a material inducement to the City
entering into this Agreement, Contractor represents and warrants that Contractor is a provider of
first-class work and services and Contractor is experienced in performing the work and services
contemplated herein and, in light of such status and experience, Contractor covenants that it shall
follow the highest professional standards in performing the work and services required hereunder
and that all materials will be of good quality, fit for the purpose intended.
1.2 Contractor's Proposal. The Scope of Services shall include the Contractor's
proposal or bid, which shall be incorporated herein by this reference as though fully set forth
herein. In the event of any inconsistency between the terms of such proposal and this Agreement,
the terms of this Agreement shall govern.
1.3 CQmW is p with Law. All services rendered hereunder shall be provided in
accordance with all ordinances, resolutions, statutes, rules and regulations of the City and any
federal, state or local governmental agency having jurisdiction in effect at the time service is
rendered.
1.4 Licenses. Permits Fees and Assessments. Contractor shall obtain at its sole
cost and expense such licenses, permits and approvals as may be required by law for the
performance of the services required by this Agreement.
1.5 Familiarity with Work. By executing this Contra,,t, Contractor warrants that
Contractor(a)has thoroughly investigated and considered the scope of services to be performed,
(b)has carefully considered how the services should be performed, and(c)fully understands the
facilities,difficulties and restrictions attending performance of the services under this Agreement.

SCOPE OF SERVICES
Contractor shall plan, organize, manage and produce a food and music festival within the
jurisdictional boundaries of the City ("Event"). The planning, organizing, managing and
production of the Event shall be subject to the following requirements:
1. The Event shall have a name mutually agreeable to the parties hereto. Contractor
shall be solely responsible for acquiring the right to use said name, including,
without limitation, acquiring any such rights that may be owned by others. The
Event shall be known as Palm Springs Car Classic.
2. Contractor shall furnish to the City by June 1 a report that provides a summary of
the preceding year's attendance at the Event and participant figures, success of
marketing and promotion campaign,a general evaluation of the Event that includes
what went well and what changes will be recommended.
3. The Event shall be produced throughout the central business district of Palm
Springs. Contractor is responsible for acquiring the appropriate access and
agreements for use of any and all private property used by the Event.
4. Contractor shall be responsible for all repairs and maintenance required for the
Event or caused by the Event. Said obligation shall include constant monitoring
of the Event venues. Any equipment(such as staging, barricades, tables, chairs,
etc.), property or facilities provided to Contractor by City under this Agreement
shall be maintained in a good condition and repair and shall be returned to the City
in as good a condition as it was delivered within five (5) days of the last day of
each annual Event. If Contractor fails to perform its maintenance obligations as
herein provided, the City shall have the right to perform said maintenance at
Contractor's expense. The City shall inform Contractor, in writing, of the nature
of the maintenance obligations yet to be completed. Contractor shall have ten(10)
days to comply. If the maintenance obligation is not met within ten(10)days, the
City shall remedy the obligation and invoice the Contractor. Any amounts
expended by the City to perform said maintenance(including the cost of staff time)
shall bear interest at the rate of ten percent (10%) per annum from the date
expended until fitlly repaid.

5. Contractor shall have the right, subject to the review and approval of the City, to
produce ancillary events that are complementary to and will increase attendance at
the Event. Examples of such ancillary events shall include, but not be limited to,
receptions, dinner dances, and sporting events and live entertainment. Contractor
shall submit to the Contract Officer, at least ninety (90)days prior to each Event,
a written report setting forth in detail the final plan for that year's Event, including
the proposed construction schedule for setting up and dismantling the stages and
booths for all proposed ancillary events ("Report"). Contractor shall appear at a
regularly-scheduled City Council meeting after the Report is submitted to discuss
the Report and the final plans. The City Council shall thereafter have the right to
approve said final plans for the Event or request revisions thereto and approve or
disapprove each of the ancillary events and the final plans therefor.

The City agrees to perform the following services for the Event:
1. The City agrees to waive the building, noise, zoning and sign ordinances and
regulations that would otherwise apply to the Event. During such suspension,
control over issues normally covered by these ordinances shall be at the discretion
of the City Manager.
2. Subject to the terms and provisions of this Agreement and California Vehicle Code
Section 21101, the City authorizes the use of the streets within the jurisdictional
boundaries of the City for the Event.
3. The City shall assist Contractor with public relations activities for the Event at no
cost to and at the discretion of the City.
4. The City shall act promptly upon all applications for permits and licenses needed
for the Event. In addition, the City agrees to assist Contractor, at no cost to the
City, in obtaining any permits, license or consents required by any other
governmental agency with jurisdiction.
5. The City shall provide City employee services and equipment(including, but not
limited to, police, fire, traffic, streets, mobile stage, tables, chairs, sound
equipment, routine trash collection) as required to support the Event as presented
by the Contractor in Exhibit "C" of this Agreement. The City will provide
services up to, but not to exceed, Five Thousand Dollars ($5,000) primarily to
cover the cost of City services.
6. City shall make available City facilities, such as the Leisure Center, for signage,
ticket sales and other activities at the discretion of the City.
Contractor agrees to perform the following:
1. Contractor shall furnish a report detailing the gross sales volume of both the retail
and wholesale sales value of the auto auction within sixty (60) days after the
conclusion of each year's event.

• Tentatively scheduled closure, based on merchants' and City approval, of Palm Canyon
Drive from Alejo to Baristo beginning at 6:00 a.m. Setup begins for vendors' displays—
tents, generators, etc. NOTE: Height limits will be addressed and mandated for vendor
placement that will cause a store front to be hidden.
• Show vehicles will begin placement as early as 6:00 a.m.until 10:00 a.m. event opening,
at which time all cars must be in place.
• Officially opens to public at 10:00 a.m. and continues until 4:00 p.m. No charge to public
for entry.
• Beginning at 3:30 p.m., as part of the events schedule, the cars will parade and cruise off
the main street and enjoy the evening activities.
• All cars and displays to be off Palm Canyon Drive by 4:30 p.m., with notices issued to
vendors and participants that cars or vehicles will be towed unless moved by this time.

Carpet is laid in the tent. Computers are hooked up and tested.

Friday. April 6
• The car for the auction begin checking in at 9:00 a.m. Official check-in tunes are
9:00 a.m. to 6:00 p.m.
• Final work is completed and staff leaves at approximately 12:00 p.m.
• Gates open at 5:00 p.m. for admission to the Friday-night sale.
• Events will rum until approximately 11:00 p.m.
Saturday and Sunft.April 7 and 8
• Gates open to the public at 8:30 a.m. for viewing. $8 General Admission. Children under
12 are free.
• Check-in for the auction from 8:30 a.m. to 5:00 p.m.
• Auction begins at 10:00 a.m. and ends at approximately 7:00 p.m. on Saturday and
6:00 p.m. on Sunday.
• Staff remains on site usually 2 to 3 hours after the sale is completed on each day for
finalization of sales and next-day prep.
• No-sale cars check out and the low is usually half empty by Sunday evening.

• Officially open at 9:00 a.m. for checking out of"No Sales"and payment of bought auction
cars.
• Teardown begins with the final car payments in the company RV office and trailer.
• Official close time is 6:00 p.m.

Attached are four(4)notarized copies of the Palm Springs Car Classic agreement. As you know,D.
Aleshire had some minor changes to the Scope of Service's portion of the contract and we have made
those as requested.The contractor has seen those minor changes and had absolutely no problem with
them. They were mostly clarifications to the schedule itself.
Also include is their Certificates of Insurance as requested.I think everything is finally in order on this
and we can put the contracts to rest in the files for now.

SPECTRUM AUCTION COMPANY TO PRODUCE THE
PALM SPRINGS CAR CLASSIC.
1 HEREBY CERTIFY thatthis Minute Order,approving a five-year agreement with Spectrum
Auction Company to produce the Palm Springs Car Classic, was adopted by the City
Council of the City of Palm Springs, California, in a meeting thereof held on the I e day of
July, 2000.
