PROFESSIONAL SERVICES AGREEMENT FOR VIRTUAL UNIVERSITY SYSTEMS
ANALYSIS
RECOMMENDATION:
That the City Council approve a Professional Services Agreementwith Words at Work ID
perform a systems analysis of the Palm Springs Virtual University to determine
methods of delivering college courses leading to degrees at a total cost not to exceed
$9,000.
BACKGROUND:
During the course of the Library Services and TechnokW Act Phase I andll grants which
have funded the development of the Virtual University, it has become apparent that there
are some technological and procedural components which must be specifically identified
and acted upon in order to move from offering only extension and personal enrichment
classes to providing matriculated courses leading to degrees.
The principals of Words at Work are eminently qualified to perform the systems
analysis of the Palm Springs Virtual University, to make recommendations, and to act
upon moving forward. The offering of degree programs is a necessary component if PSVU
is to become self-sufficient by the time the LSTA grant ends in October, 2000. Although
Council has been in recess, the contractor agreed to begin working mid-August in order
to complete the report due September 30, with the undemanding that work would not
proceed should the contract not be approved.
The California State Librarian has approved the expenditure of this money for this
purpose
FISCAL IMPACT:
This contract is funded entirely by the Library Services and Technology grant (account
number 151-2753-43200) and will have no impact upon the General Fund.

Dear Mr. Binder:
Attached is one executed copy of the agreetient for contractual services regarding the Palm
Springs Public Library Virtual University Project between Words at Work and the City of Palm
Springs, approved by the City Council on September 1, 1999, by Minute Order 6474.
Agreement#4136.
Certificates of Insurance should be provided, naming the City of Palm Springs as an additional
insured, for General Liability for $1,000,000 CSL; Automobile Liability for $1,000,000 CSL;
and Worker Compensation in California Statutory requirements. Further, the cancellation clause
shall state as follows: Should any of the above-described policies be canceled before the
expiration date thereof, the issuing company will mail 30 days written notice to the certificate
holder named to the left.

PALM SPRINGS PUBLIC LIBRARY VIRTUAL UNIVERSITY PROJECT
THIS CONTRACT SERVICES AGREEMENT (herein "Agreement') is
made and entered into this nineteenth (19th) day of August,
1999, through September 30, 1999, by and between the City of
Palm Springs, a municipal corporation (herein referred to as
"City") and Words at Work (Elena DeVos, Ed.D. and Bruce Binder,
Principals), (herein referred to as "Contractor').
NOW, THEREFORE, the parties hereto agree as follows:
1.0 SERVICES OF CONTRACTOR
1.1 Ssooe of Services. In compliance with all of the terms and
conditions of this Agreement, the Contractor shall perform the work or
services set forth in the "Scope of Services" attached hereto as Exhibit "A" and
incorporated herein by reference. Contractor warrants that all work and
services set forth in the Scope and Services will be performed in a competent,
professional and satisfactory manner.
1.2 Compliance With law. All work and services rendered
hereunder shall be provided in accordance with all ordinances, resolutions,
statutes, rules, and regulations of the City and any Federal, State or local
governmental agency of competent jurisdiction.
1.3 Licenses. Permits. Fees and Assessments. Contractor shall
obtain at its sole cost and expense such licenses as may be required by law for
the performance of the services required by this Agreement. Required
permits under the control of the City shall be granted to the Contractor at no
cost but subject to normal approval policies and procedures of the City. Fees
and assessments under the control of the City shall also be waived.
2.0 COMPENSATION
2.1 Contract Sum. For the services rendered pursuant to this
Agreement, Contractor shall be compensated in accordance with the "Schedule
of Compensation" attached hereto as Exhibit "B". but not exceeding the
maximum contract amount of nine-thousand dollars ($9,000), ("Contract Sum")
plus expenses, and incorporated herein by this reference.
3.0 COORDINATION OF WORK
3.1 Representative of Contractor. Elena DeVos and Bruce
Binder are hereby designated as being the principals and representatives of
Contractor authorized to act in its behalf with respect to the work and service
specified herein and make all decisions in connection therewith.

by the City Council of the City of Palm Springs, California, in a meeting
there of held on the 1 st day of September, 1999.
