HomeMy WebLinkAbout7/28/1999 - STAFF REPORTS (16) DATE: July 28, 1999 TO: City Council FROM: Procurement Manager and Director of Communications APPROVE REVISING PAY PHONE AGREEMENT WITH AT&T RECOMMENDATION: Approve revisions to award of City-wide pay phone services (Minute Order No. 5734 dated May 1, 1996)to AT&T (Agreement#3662) providing for additional payphones at the Palm Springs International Airport to support the expanded facility, increase the commission the City receives from 24%to 30% effective September 16, 1999, the third anniversary of the execution of the original five year award; extend the expiration date from September 15, 2001,to September 15, 2002 and provide for two additional one-year renewal options. BACKGROUND: In 1996 City Council approved (Minute Order 45734) participation in a National League of Cities/PTI sponsored contract for provision of pay phones, including local and long distance dial tone. The agreement (Agreement#3662) resolved a problem created when the previous provider(GTE) attempted to remove pay phones at the Convention Center which did not meet their minimum billing criteria. AT&T has not only retained the City desired service levels, they have also updated the technology, including strategic addition of data ports and ADA compliant devices, while increasing the commission received by the City by 4%. Additionally, AT&T has installed and supported additional phones such as the telephone at the train station and the telephone at the City Dog Park, which serve public safety and convenience but are not large generators of revenue. The requirements for the new airport terminal building have driven the revision to this award. At least eleven (11) new pay phones are required in the new terminal. Because of changes in the flow of passenger traffic, phones elsewhere in the facility need to be moved, added or changed to reflect current and new requirements. With two years remaining on the original five year agreement, AT&T wished to be assured of a contract tern of sufficient duration to recover their equipment investment costs. At the same time, in recognition of the increased volume anticipated in the expanded airport facility, AT&T has offered to increase the City's commission from 24% to 30%. Staff members including Director of Communications, Aviation Administration and Procurement Manager participated in the negotiations with AT&T. Staff is pleased to recommend the City Council approval of the revised award. It should be noted that because the City is participating in a master agreement sponsored by the National League of Cities, the agreement is not the City's standard agreement form, and therefore is not totally in agreement with the City Attorney's standard contract language. Negotiations between the City Attorney's office and AT&T's attorney when the agreement was initially approved in 1996 resulted in the agreement being silent on indemnification, the result of which is that each party to the agreement is required to defend itself from its own negligence. Commissions paid to the City for the 12 month period beginning June 1998 and ending May 1999 totaled $29,760. ("AT&T")and City of palm Springs ("City")is renewed and amended,effective upon signing by both parties,as follows: I. The term of the Agreement is extended for a period of three(3)years from the 16th day of the month after the date that AT&T signs this Amendment. The Agreement shall be automatically renewed for two additional one-year terms unless either party gives thirty(30)days written notice of its intention not to renew. 2. Section I AT&T RESPONSIBILITIES —Subsection B Compensation, of the Agreement with Palm Springs is deleted in its entirety and replaced with the following: AT&T shall pay to the City commissions on all billed revenue from AT&T Undesignated Non-Sent Paid calls (i.e., collect, credit card and billed to third number excluding 500, goo,800, $g8, goo and Directory Assistance)placed from all public pay telephones included on Attachment A and installed by AT&T's subcontractor pursuant to this Agreement. The commission rate is set forth in Attachment B to this Agreement and is the rate available through arrangements with Public Technologies, Incorporated (PTl) as of the effective date of this Amendment. AT&T shall provide monthly reports showing the amount of commissionable revenue for calls placed from the public pay telephones listed in Attachment A. AT&T shall provide separate monthly revenue reports for each or the following locations: (a)the airport;(b)the jail;(c) the convention center and(d)all other City Locations combined. 3. The commission rate set forth in Attachment B of the Agreement shall be replaced with the commission rate of 30%. 4. Any rate change will be effective beginning on the 16th day of the first calendar month of the renewal period. 5. WHEREAS, the City wishes to have AT&T provide public pay telephone management and communications service on an exclusive basis at the Locations. NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows: I. AT&T RESPONSIBILITIES A. AT&T either itself or through its subcontractors shall provide public pay telephones, enclosures, wiring, and ancillary equipment ("public pay telephones") and services at the locations listed in Attachment A ("Locations"), as set forth below. 1. Telecommunication Services. AT&T shall provide, or arrange for the provision of, the following telecommunication services from the public pay telephones provided pursuant to this Agreement: operator services, l+ and 0+ local, intraLATA toll, interLATA, and international services. All operator service providers and carriers shall be selected by AT&T. 2. Public Pay Telephones and Enclosures. AT&T shall provide, or arrange for the provision of, industry standard installation and maintenance of public pay telephones at the Locations. AT&T or its subcontractor will purchase existing GTE public pay telephone enclosures at the Locations when appropriate, provided mutually agreeable terms can be reached with GTE. ,all public pay telephones shall be equipped with volume control. AT&T, either itself or through its subcontractors, shall comply with Accessibility Guidelines under the Americans with Disabilities Act (ADA) relating to type of public pay telephone equipment and mounting of such telephones. In all other respects, including but not limited to removal of barriers and construction and alteration of structures, compliance with ADA Accessibility Guidelines shall be the responsibility of the City. AT&T or its subcontractor(s) shall retain coins deposited in the public pay telephones installed under this Agreement. Convention Center. AT&T shall provide at the convention center: • at least one (I) Telecommuncation Device for the Deaf(TDD); • a minimum of seven (7) public pay telephones with data ports; • a minimum of two (2) public pay telephones with a multi-language instruction display; and _ • all public pay telephones to be the universal type capable of accepting both coins and calling cards. B. Compensation 1. AT&T shall pay to the City commissions on all billed revenue from AT&T undesignated Non-Sent Paid Calls (i.e., collect, credit card and billed to third number excluding 500, 700, 800, 888, 900 and Directory Assistance) placed from non-AT&T public pay telephones included on Attachment A and installed by AT&T's subcontractor pursuant to this Agreement. No commissions shall be paid on billed revenue from calls placed from AT&T-branded telephones included on Attachment A. The commission rate is set forth in Attachment B to this Agreement and is the rate available through arrangements with Public Technologies, Incorporated (PTI) as of the effective date of this Agreement. The commision rate set forth in Attachment B shall be fixed for the term of this Agreement. AT&T shall provide monthly reports showing the amount of commissionable revenue for calls placed from the public pay telephones listed in Attachment A. AT&T shall provide separate monthly revenue reports for each of the following locations: a) the airport; b) the jail; c) the convention center and d) all other city locations combined. 2. AT&T shall pay to the City twenty four percent (24%) of its subcontractors' net profits from the sale of advertising space on the public pay telephone enclosures at Locations listed in Attachment A. Net profits shall be conclusively determined by the subcontractors' records, including the subcontractors' allocation of overhead and administrative costs, which shall be kept in accordance with reasonable accounting practices consistently applied Contractor's right to sell advertising space on the public telephone enclosures shall be subject to, and may be limited lw, any agreements concerning advertising entered into by the Citv_ prior to signing this Agreement PI ISPIM2 DOC 3/7/96 II. THE CITY'S RESPONSIBILITIES A. The City represents and warrants that it is authorized to enter into this Agreement and to choose the source of service and make decisions regarding the installation of public pay telephones, and the right to receive commissions therefrom and information relating thereto, for the Locations. B. City hereby appoints AT&T as its agent for the purpose of conducting any and all activities that are necessary or incident to the terms of this Agreement, including, but not limited to, managing and coordinating all functions necessary for the installation, maintenance, management, and removal of public pay telephones at the Locations. C. To the extent allowed at law, the City authorizes AT&T to select a primary carrier for all types of telecommunications services (local, intraLATA, interLATA, and international sent paid and non-sent paid calls) from the public pay telephones. The primary carrier may be either AT&T or another carrier, at AT&T's discretion. D. Attachment A may be modified to add or delete Locations by mutual consent of AT&T and the City. E. The City at its expense shall: 1. provide reasonable space at the public pay telephone Locations; 2. permit the public to use the public pay telephones; 3. keep the area around public pay telephones reasonably free from debris or obstructions; 4. take reasonable precautions to protect the public pay telephones from damage, vandalism, theft, or hazardous conditions and promptly report any damage, service failure or hazardous condition to AT&T; and 5, provide access to AT&T, its agents, subcontractors, or representatives to the public pay telephones at all reasonable times without charge. F. No equipment or information shall be affixed or attached to the public pay telephones unless previously authorized in writing by AT&T. G. Title to the public pay telephones and any and all station wiring, enclosures, software, and ancillary equipment provided or installed pursuant to this Agreement shall at all times remain in AT&T or its subcontractors or suppliers, as applicable. All the public pay telephones are provided pursuant to this Agreement as a service to the City. III. EFFECTIVE DATE: TERM A. This Agreement shall become effective on the sixteenth (16th) day of the month following the signing of this Agreement by both parties ("Effective Date") and shall remain in effect for three (3) years- B. Either party may terminate this Agreement with respect to any or all Locations if the Federal Communications Commission, a State Public Utilities Commission or a court of competent jurisdiction issues an order or ruling which materially and adversely affects this Agreement, or the party's ability to perform its responsibilities as set forth herein. Such termination shall not give rise to any claims for damages, provided, however, that the parties shall comply with their obligations hereunder up to the date of termination. C. Either party may terminate this Agreement as to any (or all) of the Locations if the other party has materially defaulted in the performance of its obligations under this Agreement as to the affected Locations (or all of the Locations where all are affected). Such termination shall be effective sixty (60) days after receipt of written notice from the non-defaulting party, unless such default or breach has been cured within that sixty (60) day period. IV. REGULATORY APPROVALS This Agreement is subject to the applicable tariffs and regulations relating to public telephone service and to regulatory, judicial and other governmental orders, rules, decisions, regulations or requisite approvals as may apply from time to time (collectively "Laws"). If any conflict between this Agreement and such Laws exist, the Laws shall control and this Agreement shall be deemed modified accordingly LIMITATION OF LIABILITY A. AT&T shall be responsible for direct damages for bodily injury or injury to tangible property to the extent caused by AT&T's or its agents' or subcontractors' negligence. AT&T SHALL HAVE NO LIABILITY FOR OTHER TYPES OF CLAIMS, BEYOND THE OBLIGATION TO PAY COMMISSIONS, EXCEPT IN CASES INVOLVING RECKLESS, WILLFUL OR WANTON CONDUCT BY AT&T OR ITS AGENTS OR SUBCONTRACTORS. NO LIABILITY SHALL ATTACH TO AT&T FOR INTERRUPTION OF TELEPHONE SERVICE FROM ANY CAUSE. .AT&T SHALL NOT BE LIABLE IN ANY EVENT FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE LOSS OR DAMAGE OF ANY KIND, INCLUDING LOST PROFITS (WHETHER OR NOT AT&T HAD BEEN .ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE), BY REASON OF ANY ACT OR OMISSION IN AT&T'S OR ANY OF AT&T'S SUBCONTRACTORS' OR SUPPLIERS' PERFORMANCE UNDER THIS AGREEMENT OR A DEFECT OR FAILURE IN PUBLIC TELEPHONE SERVICE OR EQUIPMENT PROVIDED HEREUNDER. THIS LIMITATION OF LIABILITY SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE. FOR PURPOSES OF THIS LIMITATION OF LIABILITY SECTION. ".AT&T" SHALL INCLUDE AT&T'S _4_ .isriur I,nc 3/7/96 AFFILIATED COMPANIES, SUBSIDIARIES, PARENT CORPORATION, OFFICERS, EMPLOYEES, - AGENTS, SUBCONTRACTORS, AND SUPPLIERS. NOTHING CONTAINED IN THIS SECTION SHALL BE DEEMED TO LIMIT AT&T'S LIABILITY TO THIRD PARTIES ARISING FROM THE ACTS OR OMISSIONS OF AT&T, OR ITS AGENTS OR SUBCONTRACTORS. VI. INSURANCE AT&T shall procure and maintain, at its sole cost and expense, and except as noted below shall cause its subcontractors to procure and maintain at the subcontractors' sole cost and expense, during the entire term of this Agreement, including any extension hereof, the following policies of insurance: A. Comprehensive General Liability Insurance. A policy of comprehensive general liability insurance with a combined single limit of not less than $5,000,000, except that the combined single limit for subcontractors' policies shall be not less than $1,000,000. B. Worker's Compensation and Employers' Liability Insurance. A policy of worker's compensation insurance and employers' liability insurance in such amount as will fully comply with the laws of the State of California. C. Automotive Insurance. A policy of comprehensive automobile liability insurance in an amount not less than either (i) bodily injury liability limits of$250,000.00 per person and $500,000.00 per occurrence and property damage liability limits of$100,000.00 per occurrence and $250,000.00 in the aggregate or (ii) combined single limit liability of $500,000.00. Comprehensive automobile liability coverage shall include coverage for owned, hired and non-owned automobiles. All of the above policies of insurance shall be issued by carriers qualified to conduct business in the State of California. All of the above policies of insurance shall be primary insurance and shall name the City as an additional insured. All of said policies of insurance shall provide that said insurance may not be amended or cancelled without providing thirty (30) days prior written notice to the City. In the event any of said policies of insurance are cancelled, AT&T shall submit new evidence of insurance to the City. No work or services under this Agreement shall commence until AT&T has provided the City with certificates of insurance evidencing the above coverages. VII. PROPRIETARY INFORMATION Any technical or business information or data disclosed or furnished to one party by the other party ("information") remains the property of the disclosing party. When in tangible form, this information must be returned upon request To the extent allowed by applicable public record laws, all such information must be I:ept confidential by the receiving party and used only in its performance under this Agreement, unless the information was previously known to the receiving party free of any obligation of confidentiality or is made public by the disclosm<t party This Agreement and its terms and conditions and all information relating to calls carried through the public pay telephones are proprietary and confidential to AT&T NAISMU;2 DOC 3/7/96 VIII. ASSIGNMENT -- Any assignment by a party of any right, obligation or duty, in whole or in part, or of any other interest hereunder, without the written consent of the other party shall be void. IX. FORCE MAIEURE A party's delay in, or failure of, performance under this Agreement shall be excused where such delay or failure is caused by an act of God, fire or other catastrophe, electrical, computer or mechanical failure, work stoppage, delays or failure to act of any carrier or agent or any other cause beyond a party's direct control, or the control of each of their respective subcontractors, agents or representatives. X. SURVIVABILITY The obligations of the parties under this Agreement that by their nature continue beyond the expiration of this Agreement shall survive any termination or cancellation of this Agreement. XI. NO WAIVER The failure of any party at any time to enforce any right or remedy available to it under this Agreement with respect to any breach or failure by the other party shall not be construed to be a waiver of such right or remedy with respect to any other breach or failure by the other party. XII. PROMOTIONS AND ADVERTISING Neither party has the right to use any trademark, name, trade name, service mark, or logo which the other may use or have the right to use, or any marks, names, or logos confusingly similar thereto in its promotional or advertising efforts in reference to activities undertaken under this Agreement without review and approval by the other party prior to publication or use thereof, Such review process shall take no longer than thirty (30) days, at which time the reviewing party will notify the other party whether or not approval will be given. Such approval shall not be unreasonably withheld. XIII. INDEPENDENT CONTRACTOR It is expressly understood and acknowledged that this Agreement is not intended to create, nor shall it be construed as creating, any type of partnership or joint venture between the parties, and that the parties are entering into this Agreement as independent contractors for all purposes and at all times. ENTIRE AGREEMENT == This Agreement and any attachments hereto constitute the entire understanding between the parties. They supersede all prior understandings, oral or written representations, statements, negotiations, proposals and undertakings with respect to the subject matter hereof. All amendments to this Agreement must be in writing, must refer specifically to this Agreement and must be signed by authorized representatives of the parties. No commission will be paid on local nor�sent paid calls or on any type of sent-paid calls. C%L COCW-'L ".IUPR 2Ul u: RESOLUTION NO. 19627 OF THE CITY COUNCIL OF THE CITY OF PALM SPRINGS, CALIFORNIA, APPROVING AMENDMENT TO AGREEMENT NO. 3662 WITH AT&T FOR CITY-WIDE PAY PHONE SERVICES APPROVED BY MO#5734 DATED MAY 1, 1996. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PALM SPRINGS, CALIFORNIA, that Agreement No. 3662 with AT&T for City-wide pay phone services approved by Minute Order#5734, dated May 1, 1996, is amended to provide the following: SECTION 1. The commission the City receives shall be increased from 24%to 30% effective September 16, 1999, the third anniversary of the execution of the original five- year award. SECTION 2. A minimum of eleven(11) additional payphones shall be added at the Palm Springs International Airport to support the expanded facility. SECTION 3. The expiration date is hereby extended from September 15, 2001, to September 15, 2002; and SECTION 4. Two one-year renewal options are added to the revised agreement for the annual periods of September 16, 2002 through September 15, 2003 and September 16, 2003 through September 15, 2004.
