AMENDMENT NO. 5 TO THE PROFESSIONAL SERVICES
AGREEMENT 23Q183 BETWEEN THE CITY PALM SPRINGS
AND GROUP 4 ARCHITECTURE, RESEARCH + PLANNING, INC.
1. Parties and Date.
This Amendment No. 5 to the Professional Services Agreement 23Q183 is made and entered
into as of this 14th day of May, 2025, by and between the City of Palm Springs, a California charter
city and municipal corporation (“City”), and Group 4 Architecture, Research + Planning, Inc., a
California corporation (“Consultant”). City and Consultant are sometimes individually referred to as
“Party” and collectively as “Parties.”
2. Recitals.
2.1 Agreement. City and Consultant entered into an agreement titled “Professional
Services Agreement 23Q183, Palm Springs Public Library Renovation Design Services” dated
September 18, 2023 (“Agreement”) for the purpose of retaining the services of Consultant to provide
Design Services for an amount of $1,838,898 and a term of September 18, 2023 to September 17,
2026.
2.2 Amendment No. 1. City and Consultant entered into Amendment No. 1 to the
Agreement dated February 29, 2024, for the purpose of providing additional design services for the
library renovation.
2.3 Amendment No. 2. City and Consultant entered into Amendment No. 2 to the
Agreement dated February 29, 2024, for the purpose of providing a geotech investigation.
2.4 Amendment No. 3. City and Consultant entered into Amendment No. 3 to the
Agreement dated November 6, 2024, for the purpose of providing materials testing.
2.5 Amendment No. 4. City and Consultant entered into Amendment No. 4 to the
Agreement dated January 9, 2025, for the purpose of providing the design and landscape architecture
of the median island completion on Sunrise Way.
2.6 Amendment No. 5 Purpose. City and Consultant now desire to amend the Agreement
for the JC Frey Building redesign and median irrigation existing condition verification.
2.7 Amendment Authority. This Amendment No. 5 is authorized pursuant to Exhibit “B”
Section 3.2. Additional Services Contingency of the Agreement.
3. Terms.
3.1 Scope of Services. Section 1.1 of the Agreement is hereby amended as follows:
Exhibit “A” is hereby amended to include the additional scope of services as set
forth in “ASR 05” dated 22 April 2025 attached hereto and incorporated herein
by reference.

3.2 Maximum Contract Amount. Section 2.1 of the Agreement is hereby amended to read
as follows:
The total compensation for Phase I and Phase II is increased by $25,040 for a
new not to exceed amount of $3,144,706 (“Maximum Contract Amount”).
3.3 Continuing Effect of Agreement. Except as amended by this Amendment No. 5, all
other provisions of the Agreement remain in full force and effect and shall govern the actions of the
parties under this Amendment No. 5. From and after the date of this Amendment No. 5, whenever
the term “Agreement” or “Contract” appears in the Agreement, it shall mean the Agreement as
amended by this Amendment No. 5.
3.4 Adequate Consideration. The Parties hereto irrevocably stipulate and agree that they
have each received adequate and independent consideration for the performance of the obligations
they have undertaken pursuant to this Amendment No. 5.
3.5 Severability. If any portion of this Amendment No. 5 is declared invalid, illegal, or
otherwise unenforceable by a court of competent jurisdiction, the remaining provisions shall continue
in full force and effect.
3.6 Counterparts. This Amendment No. 5 may be executed in duplicate originals, each of
which is deemed to be an original, but when taken together shall constitute but one and the same
instrument.

SCOPE SUMMARY:
Frey Building Mechanical Redesign
Per direction from the planning department on 3/18/2025 after the first two plan check submissions, the
mechanical system will be redesigned to remove it from the roof and eliminate the need for any rooftop
screening. The new system will be a VRF system with Dedicated Outside Air and will be mounted on the
ground to the south of Frey Building.

PROPOSAL FOR ADDITIONAL ENGINEERING SERVICES – AS-2
The following proposal is based on plans and information received to date. If accepted, this proposal will
become the contract for services rendered.
We intend to provide Engineering Services for the JC Frey redesign of the previous Roof Top Package Units
design to a VRF system with a DOAS unit for $12,400.00. Services to include:
1) Mechanical plan(s) including the following:
a) Schedule of VRF mechanical equipment
b) Revised Energy calculations for the mechanical requirements
c) Location of new VRF HVAC units and equipment as required
d) Locations of new DOAS (Dedicated Outside Air System)
e) Locations of new Relief Exhaust System
f) Duct layout and air distribution for all equipment listed above
2) Plumbing plan(s) including the following:
a) Condensate piping for HVAC units
3) Electrical power plan(s) including the following:
a) Revised Single line diagram
b) Revised Load schedules
c) Revised Panel schedules
d) Electrical connections to low voltage devices as specified by other system designs
e) VRF HVAC equipment power connections specified by Mechanical Engineer
