This program, developed by AirportNEXT Solutions Inc. (ANSI), is a dynamic tool for airports to assess and improve stakeholder alignment and support. Airports Council International – North America (ACI-NA) has partnered with ANSI to deliver this program. As an industry-wide initiative for airports across the US and Canada, there is no other program available to deliver this type of assessment. The justification to award this contract on a sole-source basis is provided in Appendix A. We are delighted to work with the Client to deliver a comprehensive AirportNEXT stakeholder assessment program over the next four years. The program deliverables are summarized below: 1.Complete a detailed assessment twice, every two years: a)Work with Client to set up and manage an online survey of key stakeholders to gain feedback on a comprehensive set of variables outlined below; b)Produce a detailed report of the survey results and takeaways; and c)Deliver presentation(s) of the results, as directed by the Client. 2.In each of the other two years: a)Prepare a report on airport industry trends and best practices from assessments done in those years; b)Deliver a presentation on report to audience as directed by the Client; and c)Provide access to an online library on best-in-class airports and best practices Docusign Envelope ID: 7C720915-A155-4C44-8F1F-9EE04D8298F7 AirportNEXT Assessment The assessment is based on 6 variables related to airport infrastructure and facilities, and 6 variables related to stakeholder alignment. For each variable, a series of metrics will be identified to provide an in-depth look at each variable, as outlined on the following page. A comprehensive online survey will be prepared for the Client to send to key stakeholder groups. Additional open-ended questions to address specific issues and topics can be added, as agreed between ANSI and the Client. An email, with a link to the survey , will be prepared for distribution by the Client to the key stakeholders. Key activities and responsibilities of each party are summarized below. The following timeline for each assessment is proposed. These assessments are each expected to last 3-6 months. ANSI Ownership of Data It is agreed that all data generated from the survey will be the property of the Client and treated as confidential, except as prohibited by law. The results will be presented only in aggregated form by ANSI, for benchmarking against other airports and/or for advocacy purposes by ACI-NA. Unless expressly agreed in advance or as required by public disclosure laws, the individual Client’s results will not be shared with other airports. The only exception is the right to highlight the top three performing airports in the scenario model to sho wcase best-in-class case studies. This includes showcasing the top three airports in each of the 80 statements, the 12 variables, the final Infrastructure & Facilities score, and the final Stakeholder Alignment score. Presentation(s)/Workshop(s) ANSI will work the Client to determine the best overall strategy to share the results with the airport and/or key stakeholders. This may include a workshop to identify key actions required to address opportunities/issues in the assessment. Any presentation will be reviewed and approved in advance with the Client. The library will contain: -Listings of the top three airports in each of the 80 statements, the 12 variables, the final Infrastructure & Facilities score, and the final Stakeholder Alignment score; -Case studies and/or videos of best practices collected from these airports; -Aggregate data on key AirportNEXT assessment results identifying key trends and issues, on an annual basis; and -Other material which can be collected for the benefit of participating airports. ANSI will provide a link to the Client to access this information once it has been established. Nothing contained in this Agreement should be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between or among the parties, and no party will have authority to contract for or bind any of the other parties in any manner whatsoever. To the extent allowed by law, each party to this Agreement agrees to indemnify, defend and hold the other parties harmless from any and all third-party claims, demands, costs and expenses, including reasonable attorneys’ fees for the defense thereof, to the extent arising from the indemnifying party, or its employees’, agents’ or representatives’ wrongful or negligent act or omission arising out of this engagement, or breach of this letter agreement. In case of any action or proceeding brought against any party by reason of any such claim, upon notice from such party, the indemnifying party covenants to defend such action or proceeding. This provision will survive termination or expiration of this Agreement. Insurance ACI-NA and ANSI shall procure and maintain, at their sole cost and expense, policies of insurance as set forth in the attached Exhibit "A", incorporated herein by reference. Termination The Client may terminate this Agreement at any time, with or without cause, upon thirty (30) days prior written notice to ACI-NA and ANSI. Where termination is due to the fault of ACI-NA and ANSI and constitutes an immediate danger to health, safety, and general welfare, the period of notice shall be such shorter time as may be determined by the Client. Upon receipt of the notice of termination, ACI-NA and ANSI shall immediately cease all Services except such as may be specifically approved by the Client. ACI-NA and ANSI shall be entitled to compensation for all Services rendered prior to receipt of the notice of termination and for any Services authorized by the Client after such notice. The Client shall not be liable for any costs other than the charges or portions thereof which are specified herein. ACI- NA and ANSI shall not be entitled to payment for unperformed Services and shall not be entitled to damages or compensation for termination of Work. If the termination is for cause, the Client shall have the right to take whatever steps it deems necessary to correct ACI-NA and ANSI's deficiencies and charge the cost thereof to ACI-NA and ANSI , who shall be liable for the reasonable cost of the Client's corrective action. ACI-NA and ANSI may not terminate this Agreement except for cause, upon thirty (30) days written notice to the Client. The Client will be invoiced annually by ACI-NA, with the first invoice issued upon signing this Agreement. The Client agrees to pay, for four years, an annual fee of USD $1,000 for out-of-pocket travel expenses incurred by ANSI to deliver presentation(s)/workshop will be billed at cost, as incurred. Total Fees: $43,000 Once countersigned by the Client, this letter constitutes an Agreement for Services, with a term beginning upon the Client’s signature approving the Agreement, and ending four years later. AirportNEXT Solutions Inc. (ANSI) is the only vendor capable of completing this work. The following outlines the justification for a sole source contract. - AirportNEXT is owned by ANSI. During the past two years, ANSI developed the AirportNEXT scenario model and assessment tool. It was based on DestinationNEXT, a highly successful program for the tourism industry, which was also developed by ANSI Founder and Chairman Paul Ouimet over ten years ago. DestinationNEXT has been used to assess over 400 tourism destinations around the world. ANSI developed and owns the IP for this new product for the airport community. - AirportNEXT is an industry-wide initiative. In January, 2024, ANSI entered into a partnership agreement with ACI-NA to test and validate this new program. 24 airports from across the US and Canada agreed with ACI-NA to participate in the pilot project and serve on a Steering Committee to fine-tune this program. In September, 2024, ACI-NA agreed with ANSI to roll out the program for all airports in North America and abroad. The data collected will play a critical role in supporting ACI-NA advocacy efforts. - This program can only work with one, exclusive vendor for all airports. The surveys and assessments of all the airports must be done collectively through one vendor to amalgamate the comparative data required to generate the individual airport reports and support ACI-NA advocacy efforts. Annual awards are being given to top-performing airports by ACI-NA, based on a number of variables. ANSI does not plan to do any additional consulting work beyond completing the AirportNEXT assessments. These reports will be available to other vendors for follow-up work with individual airports. Legal may just want our insurance requirements added to the agreement, which is easy to do as it is an exhibit to our contract template that could be moved over. If insurance is required then an insurance certificate would be obtained from the Contractor. For the business license that is a Finance policy, and they are required unless Finance waives the requirement. Not hard to obtain and costs usually less than $200. I would also recommend once legal approves the agreement that you add our signature page to the back of this agreement, so that you can obtain the all the required signatures (the Contractors, Jeff’s, Brenda’s, and yours). A contract abstract should be added to the agreement and then it can be routed through DocuSign for quick signatures when you are at this point. Tonya on your team is doing a great job with these agreements and should be able to assist if needed. Brian can also assist as needed or support Tonya to get this done. Hope that helps. The project is designed to benchmark off the DestinationNEXT Futures study which does achieves something similar for Visitors Bureaus and municipalities. As apart of the pilot, PSP would help define the study components, work with ACI to launch the study over the next year, then report out to ACI delegation along with the other airports. The project costs for our size airport is $11,700. Given that this project is being built from scratch, is there anything else I would need to do/provide aside from the attached agreement?
