TEMPORARY CONSTRUCTION EASEMENT
FOR VALUABLE CONSIDERATION, receipt of which is hereby acknowledged, RIVERSIDE
COUNTY FLOOD CONTROL AND WATER CONSERVATION DISTRICT, a body corporate
and politic ("DISTRICT"), grants to the CITY OF PALM SPRINGS, a municipal corporation
("GRANTEE"), a temporary construction easement (TCE) as set forth herein in the city of Palm Springs,
County of Riverside, State of California, described and depicted in Exhibits "A" and "B" attached hereto
and made a part hereof. The parties agree and acknowledge that the following shall apply to the grant of
the temporary construction easement ('Basement Area"), referenced above:
A. The TCE is for the purpose of constructing the East Palm Canyon Bridge over the Palm Canyon
Wash, Project No. BRLO-5282 (041), City Project No. 12-04, a public project (Project) gives
GRANTEE, its employees, agents, contractors, suppliers and consultants, and parties retained or
utilized thereby, and shall permit such parties to enter upon and perform all activities necessary
for the construction and completion of the Project, inclusive of ingress and egress, and necessary
appurtenances thereto, in, over, across, along, through and under the Easement Area. This TCE is
in conjunction with the District issued Encroachment Permit (EP) No. 3702 and must conform to
the limitations listed therein.
B. The rights herein granted may be exercised for a duration of forty-eight (48) months ("Term")
commencing October 1, 2024 and terminating September 30, 2028.
C. The Easement shall include the right to remove improvements on the Easement Area and, if
necessary, store equipment or construct temporary facilities thereupon, but shall not include the
right to construct permanent facilities thereupon. At the termination of the TCE, improvements,
if any, shall be restored to the Easement Area and be left in as good or better condition as found,
and the surface shall be left in a neat and usable condition.

D. GRANTEE understands that the rights granted by this TCE are non-exclusive, and DISTRICT
may still use the Easement Area for any purposes deemed necessary by DISTRICT. If DISTRICT
has the need to use the Property in such manner or time as would conflict with the rights granted
to GRANTEE, DISTRICT and GRANTEE intend to coordinate as needed to minimize delays or
disruption.
E. GRANTEE shall indemnify and hold DISTRICT, including DISTRICT's officers, employees,
agents, representatives, successors, and assigns, harmless from all claims of third parties occurring
from, or arising out of, the use of the Easement Property, except any acts arising out of intentional
or negligent acts of DISTRICT.
F. GRANTEE shall provide written, oral, or electronic notice to DISTRICT at least forty-eight (48)
hours prior to the initial mobilization onto the Easement. During periods of active use of the site
by GRANTEE, DISTRICT agrees to notify GRANTEE at least forty-eight (48) hours prior to any
planned activities by DISTRICT on the site to allow coordination of the activities and to minimize
delays and/or interference with each other.

G. GRANTEE, their assigns, and their successors in interest, shall be bound by all the terms and
conditions contained in this TCE, and all parties thereto shall be jointly and severally liable
thereunder.
H. This TCE shall be governed by the laws of the State of California. Any action at law or in equity
brought by either of the parties hereto for the purpose of enforcing a right or rights provided for
by this TCE shall be tried in a court of competent jurisdiction in the County of Riverside, State of
California, and the DISTRICT and GRANTEE hereto hereby waive all provisions of law providing
for a change of venue of such proceedings to any other county.
I. This TCE constitutes the entire Agreement of the DISTRICT and GRANTEE and supersedes any
prior written or oral agreements between them with respect to the subject matter hereof. All
modifications, amendments, or waivers of the terms of this TCE must be in writing and signed by
the appropriate representatives of the DISTRICT and GRANTEE.
J. The parties to this contract shall, pursuant to Section 21.7(a) of Title 49, Code of Federal
Regulations, comply with all elements of Title VI of the Civil Rights Act of 1964. This
requirement under Title VI and the Code of Federal Regulations is to complete the USDOT-Non-

Discrimination Assurance requiring compliance with Title VI of the Civil Rights Act of 1964, 49
C.F.R. Part 21 and 28 C.F.R. Section 50.3.
K. No person in the United States shall, on the grounds of race, color, or national origin, be excluded
from participation in, be denied the benefits of, or be otherwise subjected to discrimination under
any program or activity that is the subject of this contract.

This Agreement may be signed in counterpart or duplicate copies and any signed counterpart or
duplicate copy shall be equivalent to a signed original for all purposes. No obligation other than those
set forth herein will be required.

northwest quarter of Section 30, Township 4 South, Range 5 East, San Bernardino Meridian,
described as follows;
Commencing at the northwest corner of said Section 30;
Thence South 00°06'03" West 914.78 feet along the westerly line of said Section 30 to a non -
tangent curve concave southeasterly having a radius of 4199.89 feet, a radial line to said curve
bears North 42139'22" West, said point being the Point of Beginning;
Thence northeasterly 1830.81 feet along said curve through a central angle of 24°58'35" to the
northerly line of said Section 30;
