I, Bike Palm Springs Rentals, (“Grantee”), will receive a one-time grant in an amount not to exceed Five Hundred dollars ($500), (“Grant”), based upon actual costs shown in the attached Proof of Payment, for the completed purchase and installation of a Commercial Security Camera System. 2. Grantee will be reimbursed for Grantee’s actual costs to purchase and install the Commercial Security Camera System up to Five Hundred dollars ($500). 3. Grantee has received approval of the Commercial Security Camera System Grant Program Application (“Application’) from the City of Palm Springs (“City”). 4. The Commercial Security Camera System has been installed at the approved location indicated in the Application. 5. Grantee will register its Security Camera System with the Palm Springs Police Department (PSPD) at www.palmspringsca.gov/pspdsecuritycameraregistry as a condition of receiving Grant funds. 6. Grantee agrees that it will retain the Security Camera System for a minimum of three (3) years, unless system is upgraded at the sole expense of Grantee. If Grantee upgrades its Security Camera System, the Grantee must register the upgraded system with the PSPD at www.palmspringsca.gov/pspdsecuritycameraregistry. Grantee agrees that it will retain the upgraded system for the remainder of the three (3) year term. 7. Grantee shall maintain the Commercial Security Camera System at its sole expense. Grantee shall be solely responsible for obtaining any required permits and shall contact the City’s Permit Center to determine if any permits are required. 8. Grantee will not be responsible for repaying the Grant funds to the City except in the event that the Grantee has failed to meet its obligations under this Agreement by (1) failing to install the Security Camera System at all; (2) failing to install the Security Camera System in the manner or in the location approved in the Grant Application; (3) failing to retain the Security Camera System for a minimum of three years; or (4) failing to retain an upgraded Security Camera System for the remaining balance of the original three (3) year term after the system was upgraded. 9. Grantee will submit one (1) signed copy of this Agreement to the City of Palm Springs, Attn: Dean Grubl, Business District Administrator, 3200 E. Tahquitz Canyon Way, Palm Springs, CA 92262. Copy of Valid Palm Springs Business License (Grantee). b. Copy of Valid Palm Springs Business License (Contractor hired to perform work). c. Confirmation of Security Camera System registration with the Palm Springs Police Department. d. Completed W-9. e. Proof of payment (up to $500) for purchase and installation of Commercial Security Camera System. f. Image(s) of the installed Security Camera System. g. Evidence of authorization of signatory to execute legal documents on behalf of the business (i.e. most recent tax return, Articles of Incorporation or Statement of Information). h. Proof that all required City of Palm Springs permits, if any, have been attained. City Obligations: 1. The City hereby agrees to reimburse the Grantee for the amount expended on the Security Camera System in an amount not to exceed Five Hundred dollars ($500). 2. The City is not responsible for any grant-related tax requirements. IMPORTANT ALL APPLICANTS MUST READ BEFORE SIGNING To the fullest extent permitted by law, Grantee - and if Grantee is a business, then the owner(s) of the business as well (“Business Owner”) - shall indemnify, defend and hold harmless, the (“City"), the City Council, its officers, agents, employees, volunteers and independent contractors free and harmless from any and all liability or claim for loss, damage, or injury to property or persons, including wrongful death, in any manner arising out of or incident to any act or omission of the City, its officials, officers, employees, agents, volunteers or contractors, relating to or in any way connected with Grantee and/or Business Owner’s participation in the Program. Grantee certifies that the above statements are true and accurate to the best of his/her knowledge. Grantee’s application to the Program shall remain the property of the City and shall be deemed a public record for purposes of the California Public Records Act (Government Code § 6250 et seq.).
