However, such organization will not qualify as a Named Insured under this provision if it: a. Is newly acquired or formed during the policy period; b. Is also an insured under another policy, other than a policy written to apply specifically in excess of this Coverage Part; or c. Would be an insured under another policy but for its termination or the exhaustion of its limits of insurance. Each such organization remains qualified as a Named Insured only while you maintain an ownership interest of more than 50% in the organization during the policy period. 2. The last paragraph of Section II – Who Is An Insured does not apply to this provision to the extent that such paragraph would conflict with this provision. B. Insured Status – Employees Paragraph 2.a.(1) of Section II – Who Is An Insured is replaced by the following: 2. Each of the following is also an insured: a. Your "volunteer workers" only while performing duties related to the conduct of your business, or your "employees", other than either your "executive officers" (if you are an organization other than a partnership, joint venture or limited liability company) or your managers (if you are a limited liability company), but only for acts within the scope of their employment by you or while performing duties related to the conduct of your business. However, none of these "employees" or "volunteer workers" are insureds for: (1) "Bodily injury" or "personal and advertising injury": (a) To you, to your partners or members (if you are a partnership or joint venture), to your members (if you are a limited liability company), to a co-"employee" while in the course of his or her employment or performing duties related to the conduct of your business, or to your other "volunteer workers" while performing duties related to the conduct of your business; (b) To the spouse, child, parent, brother or sister of that co-"employee" or "volunteer worker" as a consequence of Paragraph (1)(a) above; (c) For which there is any obligation to share damages with or repay someone else who must pay damages because of the injury described in Paragraphs (1)(a) or (b) above; or (d) Arising out of his or her providing or failing to provide professional health care services. However: Paragraphs (1)(a) and (1)(d) do not apply to your "employees" or "volunteer workers", who are not employed by you or volunteering for you as health care professionals, for "bodily injury" arising out of "Good Samaritan Acts" while the "employee" or "volunteer worker" is performing duties related to the conduct of your business. "Good Samaritan Acts" mean any assistance of a medical nature rendered or provided in an emergency situation for which no remuneration is demanded or received. TO PROVIDE A COMMON/ SHARED USE PASSENGER PROCESSING SYSTEM FOR THE PALM SPRINGS INTERNATIONAL AIRPORT BOARDING GATES FROM: Justin Clifton, City Manager BY: Department of Aviation SUMMARY: This item will approve an agreement with Amadeus Airport IT Americas, Inc. (Amadeus) to provide a Common/ Shared Use Passenger Processing System with Support for the boarding gates of the Bono and Regional concourses at the Palm Springs International Airport. This system will optimize the use of gates by providing the ability to accommodate airlines at any gate. RECOMMENDATION: 1. Approve a Contract Services Agreement (Attachment A) with Amadeus to provide a Common/ Shared Use Passenger Processing System with Support at the Palm Springs International Airport Bono and RJ concourses boarding gates, in an amount not to exceed $568,029 for a three-year term with two one-year options. 2. Authorize the City Manager or Designee to execute all documents. BUSINESS PRINCIPAL DISCLOSURE: According to the Public Integrity Disclosure included in the response to RFP 11-22 (Attachment B), Amadeus is a Delaware Corporation registered in Florida with a principal place of business in Orlando, Florida. BACKGROUND: The Palm Springs International Airport has been using an airline-specific Departure Control System (DCS) which allows airlines to use proprietary equipment at designated boarding gates. This has been a method preferred by airlines, however, this restriction of gates to specific airlines can result in gates being unoccupied while aircraft wait to be DocuSign Envelope ID: 0F1814F5-7B79-478E-9F44-86E02AC6C92C City Council Staff Report June 30, 2022 -- Page 2 Agreement with Amadeus for Common/shared Use System at Airport Boarding Gates accommodated. As demand increases, the Airport is in need of a more flexible method to optimize gate assignment. The solution is to install a Common/ Shared Use Passenger System at all boarding gates of the Bono and Regional concourses. In the future, such a system will be considered at the ticket counters and in baggage claim. STAFF ANALYSIS: At the Palm Springs International Airport, gate assignment at dedicated gates has historically been preferred by the airlines, as they have considered it to be a passenger convenience. The increase of flight operations at the Palm Springs International Airport over the past couple years has brought the Airport to the conclusion that dedicated gate usage by individual airlines is no longer a viable solution: gates can be vacant while aircraft wait for qualified gates or must be relocated to ground boarding positions. This difficulty is intensified when irregular operations occur, and time is of the essence to turn an aircraft around promptly. Discussions with airlines regarding common use have taken place over the years, in particular during the remodeling of the Airport ticket wing. While airlines are not ready at this time to implement the Common Use System at the ticket counters, they agree to switch to common use at the boarding gates to improve overall on time performance and customer satisfaction. The common use service platform will offer a portal to each individual airline DCS. With common use, the Airport gains the advantages of mobility, operational agility, and reduced Airport infrastructure costs. The Procurement and Contracting Department worked closely with the Aviation Department to develop the specifications to conduct a formal Request for Proposals (RFP 11-22) process. The RFP was advertised on the PlanetBids website and in the local newspaper. The Procurement Department received four proposals. The evaluation committee, consisting of the Airport and Information Technology Staff, evaluated the proposals against the criteria published in the RFP, which included firm’s experience, staff’s experience, understanding of the scope, local preference, and price. The selection committee recommends award of the contract to Amadeus as the highest scoring proposer. Amadeus has a cloud-based platform that has proven successful at many airports throughout the country, and it is preferred by many of the airlines that use the Palm Springs International Airport. The cost for the installation of the system inclusive of all materials, labor, and expenses for the 36 boarding positions amounts to $373,279. Maintenance and support costs amounts to $38,950 yearly for the three years of the agreement, for an initial agreement total of $490,129. Two additional optional years of maintenance and support at $38,950 each would bring the total cost to $568,029. However, depending on equipment availability, it may be possible for work to commence at an earlier date. Upon approval of the contract, the Airport will work with Amadeus to verify equipment availability to potentially accommodate an earlier commencement date. In addition, Amadeus will work with the Airport to identify an installation and cutover plan that will minimize disruption to the airlines and PSP. Amadeus and the airlines’ network engineers will collaborate to enable connectivity to the airlines’ host DCSs, and the Airport will have the ability to accommodate future expansion of the Common Use System to ticket counter and baggage claim counter positions. ALIGNMENT WITH STRATEGIC PLANNING: This item supports the City Council Priority of Good Governance.
