Dear George/Paris:
Thank you for your participation in the downtown restroom program for the last seven years.
The City was recently were informed that the AZUL /Alibi Business on 369 North Palm Canyon Drive was sold and the
restaurant has been closed since the first week of June. The memorandum of agreement (MOA) states that either party
may at any time and for any reason terminate the MOA upon providing the other party with 30 days advance written
notice. In selling your business and closing it, you should have provided this written notice at the beginning of
May. Since we did not receive notice, and the establishment is now closed... effectively no longer providing downtown
public restroom services, be advised that effective June 1, 2018, the MOA between the City and Desert Vistas Inc.
(A6933) is terminated. Payment of your final invoice for the service month of May 2018 will be paid and sent to the
address on file. Purchase Order will be closed immediately.
If you have any questions or concerns, don't hesitate to contact me.

Paris,
Thank you for sending the invoices. We are not going to be able to pay the June invoice since it is our understanding
that the AZUL is closed for business and sold to another owner a couple of weeks ago near the beginning of the
month. We only pay for services rendered.
