SUMMARY:
The requested action will approve Amendment No. 1 to the Professional Services
Agreement with Dokken Engineering, a California Corporation, (Agreement No. A6597)
in the amount of $85,000 for an increased total contract amount of $1,267,540 for the
East Palm Canyon Drive Bridge, City Project No. 12-04, Federal Aid Project No. BRLS-
5282(042), (the "Project").
RECOMMENDATION:
1. ·Approve Amendment No. 1 to a Professional Services Agreement with Dokken
Engineering, a California corporation, (Agreement No. 6597) in the amount of $85,000
for an increased total contract amount of $1,267,540 for the East Palm Canyon Drive
· Bridge, City Project No. 12-04, Federal Aid Project No. BRLS-5282(042); and,

2City Council Staff Report October 8, 2020 --Page 2 East Palm Canyon Bridge CP 12-04 BACKGROUND: The East Palm Canyon Drive Bridge, constructed in 1956 and widened in 1963, is listed in the Federal Eligible Bridge List with a status of "Structurally Deficient (SD)" and a low Sufficiency Rating (SR) of 53.6 according to the Bridge Inspection Report (BIR) prepared by Caltrans Office of Structure Maintenance and Investigations. Since the bridge is rater with an SR lower than 80, the bridge is eligible for major rehabilitation in accordance with the Highway Bridge Program (HBP) guidelines. On April 24, 2012, the City approved a professional services agreement with CNS Engineers, Inc., to develop a bridge advance planning study, and Highway Bridge Program (HBP) funding application for rehabilitation/widening of the existing East Palm Canyon Drive Bridge (Bridge No. 56C0409) at Palm Canyon Wash. CNS subsequently completed the study and the funding application, requesting almost $6 Million in federal HBP funds for the project. The existing East Palm Canyon Drive Bridge is eligible for funding under the HBP, which is administered by the state of California Department of Transportation ("Caltrans"). The HBP federal funds cover 88.53% of eligible project costs, requiring an 11.47% local match. On August 30, 2013, Caltrans approved $890,000 of the total project costs for the Environmental and Design phase of the project. The Coachella Valley Association of Governments adopted the 2010 Update to the Transportation Project Prioritization Study ("TPPS") identifying this project in their report. Therefore, staff requested CVAG to approve a reimbursement agreement with the City to fund a share (75%) of the local match required. On January 27, 2014, the CVAG Executive Committee approved the CVAG Reimbursement Agreement for this project. On April 2, 2014, City Council approved the CVAG Reimbursement Agreement for this project. As design progressed, the proposed bridge design required further widening of an additional 2 feet to align with the City's standard 12 foot lane width and 8 foot shoulder. The added costs, including updated seismic retrofit costs, were approved by Caltrans on March 7, 2016 for a revised program total of $1,023,735forthe Environmental and Design phase of the project. The City also requested additional funding for rehabilitation of the pedestrian bridge located north of the bridge and extension of the south sidewalk to the east of the bridge and installation of a concrete bus pull-out area to replace the undeveloped bus stop in front of the Horizon Mobile Home park. Since these were elements of CVAG's Active Transportation Plan (ATP). These qualified for CVAG's regional funding program although not funded by the HBP program
3City Council Staff Report October 8, 2020 --Page 3 East Palm Canyon Bridge CP 12-04 The project includes a seismic retrofit and widening of the existing bridge over the Palm Canyon Wash. East Palm Canyon Drive will be maintained with four lanes of traffic (two east bound, two westbound), separated by a new ten foot wide striped center median. The roadway shoulders will be widened to accommodate Class II bicycle lanes and a new ADA-compliant sidewalk on the south side of the bridge. The bicycle/pedestrian bridge on the north side will remain, however the deteriorated wood deck and railings will be replaced. On September 3, 2014, the City Council approved a Professional Services Agreement with Dokken Engineering for the environmental and design phase of the Project for a total amount of $1,182,540. The base fee was $790,000, and proposed $392,540 in optional tasks to be used as needed for the project. On July 9, 2020, Dokken Engineering submitted a request for Amendment 1, totaling $85,000 for a new total contract amount of $1,267,540 to address additional tasks requested by the City. The proposal splits tasks into participating costs, or those that can receive federal reimbursements, and non-participating cost, which are tasks the City pays in full. For participating costs, the agreement with Caltrans 88.53% is covered with federal funds, and 11.47% represents the local match. The City also has a funding agreement with CVAG to fund 75% of the local match. A detailed description of participating and non-participating tasks are included in Attachment 2 and summarized in the Table 1 below: Participating/Reimbursable Tasks Complete a noise study report to determine if sound walls are $15,000 feasible in lowering noise impacts to the adjacent residential area Complete a foundation and geotechnical report, and pay any $5,000 permit fees to Riverside County Flood Control (RCFC) for geotechnical investigations Prepare a habitat monitoring and management plan $15,000 Establish a conservation easement and endowment $15,000 Total Participating Costs: $50,000 Non Participating/Non-reimbursable Tasks Design the rehabilitation of the existing wood pedestrian bridge $20,000 Design extension of the pedestrian sidewalk to connect to the $12,000 Auto Center sidewalk Fix drainage issues in the area next to the Araby Trail parking lot $3,000 Total Non-Participating Costs: $35,000 Total Amendment No. 1 $85,000 Table 1. 4City Council Staff Report October 8, 2020 --Page 4 East Palm Canyon Bridge CP 12-04 ENVIRONMENTAL IMPACT: Section 21084 of the California Public Resources Code requires Guidelines for Implementation of the California Environmental Quality Act ("CEQA"). In accordance with the CEQA Guidelines, the City acting as "Lead Agency" pursuant to CEQA, previously completed an environmental analysis of the potential impacts resulting from construction of the Project. On November 1, 2017, the City Council adopted Resolution No. 24326, adopting and ordering the filing of a Mitigated Negative Declaration for the Project. Subsequently, on November 6, 2017, staff filed a Notice of Determination with the Riverside County Clerk and State Clearing House. The Project is funded, in part, by federal funds, requiring local oversight by the State of California, Department of Transportation ("Caltrans"). As a federally funded project, the Project is subject to environmental review pursuant to the National Environmental Policy Act ("NEPA"). On November 3, 2017, Caltrans, made an environmental determination that the Project does not individually or cumulatively have a significant impact on the environment as defined by NEPA and is excluded from the requirements to prepare an Environmental Assessment ("EA") or Environmental Impact Statement ("EIS"), has considered unusual circumstances pursuant to 23 CFR 771.117(b), and that it qualifies for a Categorical Exclusion in accordance with 23 CFR 771.117(d). FISCAL IMPACT: The City has programmed $1,182,540 with Caltrans for the environmental and design phase of this project with $1,046,903 (88.53%) in federal funding with a required $135,637 (11.47%) local match. The City also has entered into a funding agreement with CVAG to fund 75% of the local match. The proposed Amendment No. 1 will add $85,000 for a new total maximum contract amount of $1,267,540. 12We request that the following components (phases/tasks) be ADDED to the contract: PHASE 1 ENVIRONMENT AL DOCUMENT AND TECHNICAL STUDIES (Participating) TASK 4.4 NOISE STUDY REPORT A Noise Study Report (NSR), in the area of the extended sidewalk improvement limits south of the bridge, will be prepared in accordance with Caltrans' Noise Analysis Protocol and Caltrans' Technical Noise Supplement. Noise receptors will be placed near the southwest corner of the bridge. The NSR will include exhibits showing sensitive noise receptors in the project vicinity, measurement locations, and modeled receivers. The NSR will include suitable measures to minimize construction noise. Should results of the Noise Study Report determine sound walls are feasible in lowering noise impacts, a Noise Abatement Decision Report (NADR) will be prepared to determine if sound walls meet FHW A and Caltrans' criteria for actual construction. Sound walls identified in the Noise Study Report will be analyzed for constructability and costs. The NADR will include recommendations for noise abatement. Deliverable: Approved Noise Study Report & Approved Noise Abatement Decision Report (if necessary); Phase 1 -Task 4.4 Fee: $15,000 PHASE 2 FINAL CIVIL ENGINEERING DESIGN (Participating) Task 1.1 -Foundation and Geotechnical Design Reports, should be amended to include permit application fees to RCFC for geotechnical investigation in the Palm Canyon Wash. Additional Phase 2-Task 1.1 Fee: $5,000. PHASE 3 TASK 2.0 RIGHT OF WAY APPRAISALS AND ACQUISITION (Participating) HABIT AT MONITORING AND MANAGEMENT PLAN In accordance with Conservation Measures 20 through 23 of the Biological Opinion issued for this project (FWS-ERIV-l 6B0245-l 7F 1406), the Consultant will prepare a Habitat Mitigation and Monitoring Plan (HMMP) for the conservation area. The HMMP will be drafted to meet the requirements of the Biological Opinion and will include a planting plan, a non-native vegetation removal and control plan, watering schedules, monitoring requirements, success criteria, and potential corrective actions if success criteria are not met. The plan will be provided to USFWS for review and comment. The Consultant will revise the plan per USFWS comments and will continue coordinating with them until USFWS's approval is secured. 13Deliverable: Approved Habitat Monitoring and Management Plan & Interpretive Sign Design,; Phase 3, Task2.0 Fee: $15,000 TASK 3.0 ESTABLISH CONSERVATION EASEMENT & ENDOWMENT The Consultant shall identify an appropriate non-profit agency and shall coordinate with the agency to establish a permanent conservation easement on a 5.13 acre portion of parcel: 510-210-003 (as required by the project's Biological Opinion (FWS-ERIV-16B0245-17F1406)). The Consultant will establish contracts with the chosen agency to develop a Property Analysis Record (PAR) and to prepare the Conservation Easement. The Consultant will make sure all USFWS requirements are included (permanent sign installation, year-round access permitted to USFWS, habitat health assessments, Casey's June beetle monitoring, etc.). Also, the Consultant will create and provide all required project documentation and will coordinate with the agency to determine an appropriate non-wasting endowment amount. The Consultant will regularly follow up with the agency, will review all the produced documents, and will coordinate with USFWS to secure their comments and ultimate approval of the Conservation Easement language and the endowment amount. This scope/fee does not include the fees the non-profit agency will charge to produce the PAR & conservation easement and it does not include the actual endowment amount. In addition, the Consultant will coordinate with the agency to establish a contract for the installation, maintenance, monitoring, & reporting of the approved Habitat Monitoring and Management Plan. Deliverable: Conservation Easement Phase 3 -Task 2.0 Fee: $15,000 PHASE 8 TASK 1.0 PEDESTRIAN BRIDGE REHABILITATION DESIGN (Non-Participating) BRIDGE REHABILITATION DESIGN The Consultant will prepare bridge rehabilitation design details for the existing pedestrian bridge located immediately north of the vehicular bridge. The associated plan sheets will likely include: • Construction Details (2) Phase JO Fee: $3,000 In summary, we request that our total contract amount be increased by $85,000 to include participating and non-participating items of work as described above. Our current contract value for Phases I and 2 items of work totals $790,000 and we submitted a Request for Optional Task Authorization on 6/24/20 that would bring our total contract value to $1,121,840. This additional Amendment Request in the amount of$85,000 would increase the total contract value to $1,206,840 if both Requests are approved. Please call me if you have any questions. 16AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT, EAST PALM CANYON DRIVE BRIDGE WIDENING@PALM CANYON WASH, CITY PROJECT NO. 12-04, FEDERAL AID PROJECT NO. BRLS 5282 (041) BETWEEN THE CITY PALM SPRINGS AND DOKKEN ENGINEERING 1. Parties and Date. This Amendment No. 1 to the Professional Services Agreement, East Palm Canyon Drive Bridge Widening @ Palm Canyon Wash, City Project No. 12-04, Federal Aid Project No. BRLS 5282 (041) is made and entered into as of this __ day of ______ , 2020, by and between the City of Palm Springs ("City") and Dokken Engineering, a California Corporation with its principal place of business at 110 Blue Ravine Road, Suite 200, Folsom CA 95630 ("Consultant"). City and Consultant are sometimes individually referred to as "Party" and collectively as "Parties." 2. Recitals. 2.1 Agreement. The City and Consultant have entered into an agreement entitled "Professional Services Agreement, East Palm Canyon Drive Bridge Widening @ Palm Canyon Wash, City Project No. 12-04, Federal Aid Project No. BRLS 5282 (041)" dated September 29, 2014 ("Agreement" or "Contract") for the purpose of retaining the services of Consultant to provide professional services to complete the environmental, design, right of way, and construction administration services for the East Palm Canyon Drive Bridge Widening @ Palm Canyon Wash, City Project No. 12-04, Federal Aid Project No. BRLS 5282 (041), ("Project"). 2.2 Amendment. The City and Consultant desire to amend the Agreement to provide additional compensation to due changes in project scope and to extend the term of the agreement. 2.3 Amendment Authority. This Amendment No. 1 is authorized pursuant to Section 1.8 Additional Services and 2.3 Changes in Scope of the Agreement. 3. Terms. 3 .1 Scope of Services. Section 1.1 of the Agreement is hereby amended in its entirety to read as follows: "Exhibit A" is hereby revised by incorporating the additional professional services outlined in the Consultants letter dated July 9, 2020, attached hereto and incorporated herein by reference." 3.2 Maximum Contract Amount. Section 2.1 of the Agreement is hereby amended to read as follows: The Maximum Contract Amount is increased by $85,000 to a new Maximum Contract of $1,267,540. 173.3 Method of Payment. Section 2.2 of the Agreement is hereby amended to read as follows: "Exhibit C-1 and C-2" Schedule of Compensation is hereby revised by incorporating the additional fees for professional services outlined in the Consultant's letter dated July 9, 2020, attached hereto and incorporated herein by reference. 3.4 Term. Section 3.4 of the Agreement is hereby amended in its entirety to read as follows: Unless earlier terminated under this Agreement, this Agreement shall commence upon the effective date of this Agreement and continue in full force and effect until the completion of Services. 3.5 Continuing Effect of Agreement. Except as amended by this Amendment No. 1, all other provisions of the Agreement remain in full force and effect and shall govern the actions of the parties under this Amendment No. 1. From and after the date of this Amendment No. 1, whenever the term "Agreement" or "Contract" appears in the Agreement, it shall mean the Agreement as amended by this Amendment No. 1. 3.6 Adequate Consideration. The Parties hereto irrevocably stipulate and agree that they have each received adequate and independent consideration for the performance of the obligations they have undertaken pursuant to this Amendment No. 1. 3.7 Severability. If any portion of this Amendment No. 1 is declared invalid, illegal, or otherwise unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. 3.8 Counterparts. This Amendment No. 1 may be executed in duplicate originals, each of which is deemed to be an original, but when taken together shall constitute but one and the same instrument.
