SUBJECT: MOU
Attached is a MOU for data sharing that we want to enter into with the County. It will
allow us to view their contact information and them ours. All of the Cyrun based cities
(CCPD, Indio and DHS) have already agreed to this.
There isn't really a cost involved other than a $400 startup charge. The Chief would
like your initials on the signature page before he takes it to the CM.

Memorandum of Understanding
For Information Sharing of a Datawarehouse
Purpose
This Memorandum of Understanding (MOU) is entered into by the Riverside County
Sheriff's Department (RSD) and the City of Palm Springs (City) participating in an
information sharing of a datawarehouse. The purpose of this MOU is to set forth the
policy and procedures for the use of the datawarehouse by the participating agencies,
including the ownership and control of the information within the system contributed by
each party.
Points of Contact
Each party shall designate an individual as the party's point of contact (POC) for
representing that party in regard to the MOU. A party may change its POC at any time
upon written notification to each participating party.
Mission/Objectives
Integrate Countywide law enforcement data from participating agencies within one
warehouse of databases that will be accessible by all participating agencies.
Ownership, entry, and maintenance of information
Each party retains sole ownership of, exclusive control over content and sole
responsibility for all of the information it contributes, and may at will at any time update
or correct any of its information or delete it from the datawarehouse entirely. All systems
entries will be clearly marked to identify the City.
Just as each party retains sole ownership and control of the information it contributes, so
does a party retain sole ownership and control of the copies of that information replicated
in the datawarehouse.
Information in the system may not be used for any unauthorized or non -official purpose
and shall not be disseminated outside of an accessing party without first obtaining
express permission of each party that contributed the information in question.
In the event that an unauthorized release of information from the Data Warehouse has
occurred, the RSD will be designated as the lead agency responsible to investigate how
the unauthorized release occurred. Member agencies agree to assist and cooperate with
any such investigation or inquiry as is appropriate.
City's responsibilities
The City has the sole responsibility and accountability for ensuring compliance with all
applicable laws, regulations, policies, and procedures applicable to the party's entry and
sharing of information into the datawarehouse.
All parties will have access via a LAWNET connection to all of the information in the
datawarehouse and each agency is responsible for the cost of any network security and
connectivity hardware and software.
RSD's responsibilities
RSD will be responsible for insuring the continued service of the datawarehouse,
including the hardware, operating and application software, and LAWNET.
RSD will acknowledge a problem call from the City and start trouble -shooting the
problem within 24 hours of the City's initial call.
Maintenance which causes the unavailability of the datawarehouse services for the City
should be scheduled upon 72 hours advance notice by RSD.
RSD will be responsible for training the City personnel who will then serve as trainers of
City staff.
Security
Each party will be responsible for designating those employees who have access to the
datawarehouse and for the administration of user ID's and passwords allowing that
access. The system has been developed with the capability to record each use of the
system, including the identity of the individual accessing the system, the time of the
access to the system, and the information queried. It should be remembered by each
participating member that access to the information within the system should be on a
strictly official, need -to -know basis, and that all information is law enforcement sensitive.
Each party agrees to use the same degree of care in protecting information accessed under
this MOU as it exercises with respect to its own sensitive information.
Each party is responsible for training those employees authorized to access the
datawarehouse system regarding the use and dissemination of any information obtained
from the system. Specifically, employees should be given a clear understanding of the
need to verify the reliability of the information with the originating party before using the
information for purposes such as obtaining subpoenas and warrants.

Costs
The City will be responsible for the cost of obtaining or upgrading any workstations that
are used to access this data. The City will also be responsible for any network security or
connectivity costs.
RSD will be responsible for the ongoing upgrading and maintenance cost of the system.
The City will not be required to pay any transaction or, other fee for use of the system.
Indemnification
Riverside County agrees to indemnify the City of Palm Springs, its officers, agents and
employees against, and will hold and save them harmless from, any and all actions, suits,
claims, damages to persons or property, losses, costs, penalties, obligations, errors,
omissions or liabilities, (herein "claims or liabilities") that may be asserted or
claimed by any person, firm or entity arising out of or in connection with the negligent
performance of the work or services of Riverside County, its agents, employees,
subcontractors, or invitees during the time that this Memorandum of Understanding is in
place, but excluding such claims or liabilities arising from the sole negligence or willful
misconduct of the City of Palm Springs, its officers, agents or employees. It is further
understood and agreed that, pursuant to Government Code section 895.4 Riverside
County shall fully indemnify, defend and hold the City of Palm Springs harmless as
stated in this provision, from any liability imposed for injury, as defined by Government
code section 810.8, occurring by reason of any act or omission on the part of Riverside
County under or in connection with any work, authority or jurisdiction delegated to
Riverside County under this Agreement during the time that this Memorandum of
Understanding is in place.
The City of Palm Springs agrees to indemnify Riverside County, its officers, agents and
employees against, and will hold and save them harmless from, any and all actions, suits,
claims, damages to persons or property, losses, costs, penalties, obligations, errors,
omissions or liabilities, (herein "claims or liabilities") that may be asserted or claimed by
any person, firm or entity arising out of or in connection with the negligent performance
of the work or services of the City of Palm Springs, its agents, employees, subcontractors,
or invitees during the time that this Memorandum of Understanding is in place, but
excluding such claims or liabilities arising from the sole negligence or willful misconduct
of Riverside County, its officers, agents or employees. It is further understood and
agreed that, pursuant to Government Code section 895.4 the City of Palm Springs shall
fully indemnify, defend and hold Riverside County harmless as stated in this provision,

Resolution of disagreements
Disagreements among the parties arising under or relating to this MOU shall be resolved
only via consultation at the lowest practicable level by and between the affected parties
and their sponsoring agencies and will not be referred to any court, or to any other person
or entity for settlement.
Effective date/duration/modification/termination
This MOU shall become effective when the duly authorized representative(s) of each
party have all signed it.
This MOU shall continue in force indefinitely for so long as it continues to advance the
participant's mission purposes, contingent upon approval and availability of necessary
funding.
This MOU may be modified upon the mutual written consent of the duly authorized
representatives of all parties.
This MOU may be terminated at any time by the mutual written agreement of the duly
authorized representatives of all parties. A party's duly authorized representative may
also terminate the parry's participation in the MOU upon written notice to all other
parties of not less than thirty (30) days.
All information contributed to the datawarehouse by a terminating party will be deleted
from the datawarehouse.
