HomeMy WebLinkAboutA2485 - COLER ODONNELL GOLF COURSE UTILITY UNDERGROUND EASEMENT i Alexander Coler, Christina i Coler, ANiTA Brock, Gayle airota, O'Donnell G/C Undergrounding Util .- Easement AGREEMENT #2485 -- AGREEMENT THIS AGREEMENT is made this " day of 1987, by and between ALEXANDER COLER, CHRISTINA COLER, ANITA BROCK, and GAYLE SIROTA ("Coler") ; the O'DONNELL GOLF CLUB, a California corporation ( "O ' Donnell" ) ; and THE CITY OF PALM SPRINGS , a municipal corporation ( "City" ) , with reference to the following facts: A. Coler is the owner in fee of the real property described in Exhibit "A" attached hereto (herein called "Coler Property") . B. O'Donnell is the owner of a long-term leasehold estate in and to the real property described in Exhibit "B" attached hereto I(herein called "O 'Donnell Property" ) , which property is owned in fee by the City. C. Coler desires to obtain an easement, as described herein, across the O ' Donnell Property, and certain other rights. O'Donnell and the City are willing to grant such an easement and give certain rights to Coler upon the terms and conditions set forth herein. NOW, THEREFORE , in consideration of the mutual covenants and agreements hereinafter set forth, it is hereby agreed by the parties as follows: 1. O ' Donnell and City agree to grant to Coler and their successors an easement across the O ' Donnell Property for underground utility purposes, and for no other purpose. 1 r Said easement is legally described in the Grant of Easement attached hereto as Exhibit "C . " The location of said easement is identified in Exhibit "D" attached hereto . The location of the easement may be adjusted slightly as the location of existing water and utility lines may require, and as field conditions may require , to permit the installation of the utilities at the least amount of cost and with the least amount of damage to the golf course and existing facilities. Coler covenants to move to the extent reasonably necessary said utility lines, at Coler's expense, to accommodate any future building, structure, or other use of grantor ' s property which may be inconsistent or incompatible with the easement and, if the inconsistency or incompatibility cannot be eliminated by moving the utility lines, to remove the utility lines and abandon said easement. The easement shall not be transferable to, nor shall any sub-easement be created in favor of any utility company. The easement is intended to serve only one ( 1) single-family residence on Coler' s property. Upon execution of the Grant of Easement, Coler shall record same with the Recorder for the County of Riverside. 2 . Together with the Grant of Easement, O 'Donnell and City further grant to Coler the right of reasonable access to the O'Donnell Property to install and repair the utility lines contemplated by this Agreement. 3 . The Grant of Easement referred to in paragraph 1 2 • 0 above shall be subject to the following conditions: A. Coler shall have full responsibility for any expense incurred in connection with installing the utility lines in connection with installing, moving, or removing the utility lines. B. Coler agrees to indemnify and hold O'Donnell and City harmless from any damage, loss, or expense arising out of the work incident to the installation of the utility lines. C. Coler agrees that no work on the installation of the utility lines shall commence until there has been consultation between the contractor Coler has engaged to do the work and the president of O'Donnell or his representative regarding the scheduling of the work and the location of O'Donnell ' s water and utility lines. O'Donnell shall have the right to approve the commencement date of construction, which approval shall not be unreasonably withheld. D. Coler agrees that the installation work shall be completed no later than September 28 , 1987. In the event the work is not completed by said date, Coler shall pay as liquidated damages to O 'Donnell the sum of $500 per day for each additional day taken to complete the work, unless such delays are caused by O ' Donnell or its 3 employees. It is agreed that the amount fixed as liquidated damages is reasonable and it would not be possible to ascertain the precise amount of damage suffered by O'Donnell due to a delay in the completion of the work once it has started. E. Coler agrees that the O'Donnell Property shall be properly returned to its original condition upon completion of the installation. F. Coler further agrees that any time repairs regarding said utility lines are required, Coler shall not commence such repairs without the written consent of O ' Donnell thereto , which consent shall not be unreasonably withheld, and Coler agrees that : ( 1 ) the work will be satisfactorily completed within a reasonable time; (2) the O'Donnell Property shall be returned to its original condition; and (3 ) Coler shall not request consent to repair, nor undertake such repairs during the months of September through June, unless such repairs are of an emergency nature . Consent of the Club manager or the maintenance superintendent , together with any member of the Board of Directors or, in the alternative, any two members of the Board of Directors shall be deemed sufficient for the purposes of this paragraph . Repairs may be 4 undertaken without the consent of O'Donnell in an emergency situation where it would be impractical to obtain consent provided the repairs do not in any way interfere with the playability of the golf course. 4 . Coler shall have the right to install landscaping subject to the approval of O'Donnell , which approval shall not be unreasonably withheld, in the northern corner of the O'Donnell utility yard to improve the appearance of the entrance to the access road to the Coler Property. This landscaping shall be installed and maintained at Coler ' s expense. 5. Coler shall have the right to run an underground power line across the O ' Donnell utility yard to provide power for decorative lighting at the entrance to the access road to the Coler Property . This power line shall be installed and maintained in a manner which does not interfere in any way with O ' Donnell ' s use of the utility yard. 6. Coler shall have the right to install a gas meter inside the fence of the O'Donnell Property near the service gate adjacent to the third tee . This meter shall be installed in such a manner that it may be read from outside the fence. 7. Coler shall have the right of reasonable access to the O'Donnell Property for the purpose of making repairs 5 i 0 that may reasonably be required to the access road to the Coler Property. 8. Coler has indicated an intention to construct a tennis court near and to the southeast of the fourth tee of the O'Donnell golf course. In the event Coler elects to proceed with the construction of the tennis court, it is agreed that the tennis court will be constructed as nearly as reasonably possible in conformance with the plan attached hereto as Exhibit "E . " Coler agrees to landscape the perimeter of the tennis court by planting oleander trees or other suitable shrubbery at least around the easterly, northerly, and westerly sides of the tennis court. Coler shall install and maintain the landscaping in a neat and attractive manner at his own expense. Coler further agrees to indemnify and hold O ' Donnell and its members and City harmless from any liability, claim or expense arising out of accidents or incidents resulting from golf balls struck by golfers that unintentionally may cause damage to property or injury to persons on or near the tennis court. 9. The boundary line which is common to the Coler Property and the O ' Donnell Property shall be adjusted by Coler executing and delivering to City, in a form to permit recording, a Grant Deed conveying to City the parcel of property outlined in red on Exhibit "E" attached hereto . Said Grant Deed shall be in the form of Exhibit "F" attached hereto and shall be recorded by City upon execution of this 6 0 Agreement . City shall lease the subject property to O'Donnell for a term commencing on the date of recordation of the Grant Deed and ending on October 31, 2043 . City and O'Donnell shall execute an amendment to their existing lease in the form of Exhibit "G" attached hereto. 10. Coler agrees to grant O ' Donnell and City an easement over the parcel of property described in the Grant of Easement attached hereto as Exhibit "H. " The location of said easement is outlined in black on Exhibit "E" attached hereto . The easement shall be for the purpose of constructing, maintaining, and utilizing a teeing area for the O'Donnell golf course and for no other purpose. 11. No structures, improvements, or fixtures of any type, whether permanent or temporary, shall be constructed by Coler within 30 feet of any boundary line of the O'Donnell Property, except the tennis court referred to in paragraph 8 above, which, if otherwise permitted by law, may be constructed within 20 feet of the boundary line. 12 . O ' Donnell shall have the right to utilize the easement and the utility lines to be installed by Coler to the extent feasible should the need arise . However , O'Donnell shall pay all costs and expenses attendant to any such use, including but not limited to the cost of repairing any damage to any utility lines occasioned by its use of such lines. 13 . Coler agrees to pay legal fees of SCHLECHT , 7 i • SHEVLIN & SHOENBERGER in an amount not to exceed $1 , 500 for their work in connection with the negotiation and preparation of this Agreement . SCHLECHT , SHEVLIN & SHOENBERGER shall render an itemized bill to Coler within 30 days following the execution of this Agreement, and Coler agrees to pay said bill within 15 days of its receipt. 14 . Should any litigation be commenced between the parties hereto concerning this Agreement or the rights and duties of either in relation thereto, the party prevailing in such litigation shall be entitled, in addition to such other relief as may be granted, to a reasonable sum as and for attorneys ' fees. 15. The waiver by any party to this Agreement of a breach of any provision of the agreement shall not be deemed a continuing waiver or a waiver of any subsequent breach, whether the same or another provision of this Agreement. 16 . Each party to this Agreement agrees to execute and deliver all documents and perform all further acts that may be reasonably necessary or expedient to carry out the intent and purposes of this Agreement including, but not limited to, recording this Agreement upon execution with the Recorder for the County of Riverside. 17. This Agreement contains the entire agreement between Coler, O ' Donnell, and City, and any agreement , warranty, representation, or covenant not expressly set forth therein is null and void. 8 0 18 . This Agreement has been prepared by the attorney for O'Donnell and said attorney has not acted on behalf of Coler or City in any respect. City and Coler represent that this Agreement has been reviewed and approved by the respective attorneys for City and Coler. 19 . Each and every covenant, condition, limitation, and restriction contained in this Agreement shall run with the subject real property parcels herein, shall be binding upon all parties having title or interest therein or any part thereof, and shall be for the benefit of each owner of any portion of either property parcel , or any interest therein, and shall inure to the benefit of and be binding on the parties to this Agreement, their respective heirs , personal representatives , assigns , and other successors-in-interest. 20. In the event of any breach or attempted breach by Coler or her successors, of paragraph 3 , 5, 8, or 10 of this Agreement, O'Donnell shall be entitled, in addition to any other relief to which O'Donnell would be entitled under the laws of the State of California, to obtain a court order from a court of competent jurisdiction restraining any further breach or attempted breach and/or ordering the situation which constitutes the breach to be restored to its condition prior to such breach or attempted breach. 21. It is acknowledged by the parties that this Agreement shall in no way effect Coler ' s obligation to 9 obtain all ordinary governmental and regulatory approvals for the development of the Coler property, and the usual authority and discretion of such governmental agencies , including the City , shall in no way be diminished or affected by this Agreement. The extent of the burden of the easement hereby created shall be for underground utility service for one ( 1 ) single-family residence. Grantees, for themselves, their successors and assigns, covenant that within 90 days of notice to do so, they will move, to the extent reasonably necessary , said utility lines, at Grantees ' expense, to accommodate any future building, structure, or other use of Grantor ' s property which may be inconsistent or incompatible with the easement and, if the inconsistency or incompatibility cannot be eliminated by moving the utility lines , to remove the utility lines and abandon said easement. O'Donnell, herein referred to as "O'Donnell, " leased to the Golf Club, for a period of ninety-nine (99) years , the real property legally described in Exhibit "A" attached hereto and identified as Parcels 30, 31, and 32 on Exhibit "B" attached hereto. On or about December 27 , 1944 , O ' Donnell deeded Parcels 30, 31, and 32 to the City, subject to said ninety-nine (99) year Lease, which Lease is hereinafter referred to as "Lease No. 208 . " B. Golf Club and City have contemporaneously herewith entered into an agreement with Alexander Coler, Christina Coler, Anita Brock, and Gayle Sirota , whereby said individuals have agreed to convey the property described in Exhibit "C" attached hereto to City in consideration of a grant of easement across Parcel 30 for underground utility purposes. C. The City and the Golf Club desire to amend Lease No. 208 by adding the property described in Exhibit "C" to 1 said Lease.
