Los pueblos - License Agr to lndsep & maintain a por of City prop on Golf Course AGREEMENT #1042 (Orig 3-13-74) MO #2190, 3-13-74 L I C E N S E The City of Palm Springs (hereinafter "City") hereby grants a license to Los Pueblos, 2300 Golf Club Drive, Palm Springs, Califor- nia, (hereinafter "Licensee") to landscape and maintain a portion of City property. WITNE S SETII: --The City is owner of a portion of land located at the Palm Springs Municipal Golf Course adjoining Tract No. 5453, and it is the purpose of this License to permit the Licensee to landscape and maintain this property. --The property covered by this License is that which is described on the map which is Exhibit A attached to this License and which property is hereinafter referred to as the subject property. --City and Licensee understand that the subject property is unimproved, undeveloped, unlandscaped, native land owned by the City of Palm Springs adjoining fairways at the Palm Springs Municipal Golf Course; that the City of Palm Springs has no obligation or need to develop or improve this property; and that the Licensee has deter- mined that the adjoining private property known as the Los Pueblos Tract, would directly benefit from the landscaping of this property, and that for this reason the Licensee has hereby agreed to landscape and maintain the subject property in accordance with the provisions of this License. --In the event the Licensee fails to abide by the terms of this License, the City is not obligated to and does not assume the respon- sibility for maintaining the subject property in any condition other than existed prior to issuance of this License. 9 a .x --As used herein, the Los Pueblos Tract is Tract #5453 accord- ing to map thereof recorded in Book 80 , Page 56 & 57 of Maps, Records of Riverside County, California. This License is being granted subject to the following terms and conditions: 1. The landscaping and maintenance of the subject property shall be of a type and of a quality equal to, or better than, the adjacent Golf Course Fairways. 2. The materials and plans for all landscaping, irrigation, and grading shall be submitted to City Department of Community Services for approval prior to installation or undertaking construction. 3. No furniture, barbecues, game equipment or other materials shall be permanently stored on the subject property. 4. Subject to this License, the subject property shall remain under the complete control of the City. 5. The Licensee shall have access to the subject property for use to the same extent as the general public. 6. The Licensee agrees to install and maintain the following: A. Turf--The type of turf shall be approved by the City and shall consist of Bermuda grass, and shall be main- tained in the same condition as the adjoining fairways. If adjoining fairways are overseeded with rye grass, or similar material, for the fall-winter season, the subject property shall also be similarly overseeded and maintained by Licensee. B. Irrigation--An automatic sprinkler system shall be installed by the Licensee, such system shall be designed to adequately irrigate the subject property. -2- 9 a i L Licensee shall maintain the system in proper working order and shall pay all water use charges. Licensee understands that the irrigation system to be installed is such that it is easily adaptable for City use in the event this license is terminated or City assumes maintenance. C. Grading--Grading of the site shall be approved by the City. D. Other Landscaping--All other landscaping materials and plans shall be installed only with City's permission. E. Litter--Licensee shall maintain subject property free of lifter and debris. 7. Termination of License. A. City may in its sole discretion cancel this License at any time, for cause. Cause may include: 1) Failure to complete the landscaping within 12 months of the issuance of this License. 2) Failure to abide by the terms and conditions of this License as determined by the City Manager. 3) City's desire to maintain or otherwise improve the subject property. B. Upon termination of the License, Licensee understands that all landscaping and irrigation materials are to remain in place and are the property of the City. 8. Ownership of Materials. A. Ownership of all landscape materials shall be that of the City upon planting and acceptance by the City. -3- 9 a s 2 B. Ownership of all irrigation materials shall be that of the City upon completion of the installation of the irrigation system on the subject property and upon acceptance by the City. 9. License Period. This License shall commence on March 13, 1974 and shall continue in effect until terminated by the City in accordance with the provisions of paragraph 7-A herein- above. 10. Assignment or Transfer of License. The Licensee may not assign or transfer this License without prior approval of the City, except as may be assigned to and assumed by Los Pueblos Owners' Association. Upon such as- signment the City shall be promptly notified in writing of the name, address and phone number of the assignee. 11. Distribution of License Agreement. The Licensee shall provide a copy of this License to successors-in-interest of any and all portions of the Los Pueblos Tract, prior to the transfer of Licensee's interest in any and all portions of the Los Pueblos Tract. This License shall become a part of the official records of the Los Pueblos Owners' Association at the time main- tenance responsibilities of the Los Pueblos development are assigned to them. This License shall enter the Associa- tion's records at a regular meeting of the Association. Licensee agrees to disclose this License prior to the transfer of ownership of any real property in Tract 5453. The prospective new owner of any real property in Tract 5453 shall be required by Licensee to sign a written 9 a -4- 1 statement evidencing his knowledge of this License. Upon each sale of real property in Tract 5453, a copy of such signed statement shall be filed with the City Clerk of the City of Palm Springs. 13. Notification.
